  • Stock-Option Agreement between Corporation and Officer or Key Employee
Stock-Option Agreement between Corporation and Officer or Key Employee

    From:William Glover

    Document Overview:
Statutory options include the “incentive stock option” (ISO) and the employee stock-purchase plan option. An ISO can be limited to key employees. The employee stock-purchase plan, if granted, must be made available to employees generally (with some exceptions). There are substantial tax deferral opportunities for the employee. He or she is not taxed when the option is granted, even though the option is granted as compensation. The employee is also not taxed when the option is exercised and the stock is bought at a bargain, even if the stock's value has gone up since the option was granted (unless the alternative minimum tax applies). The employer gets no deduction. The non-statutory option is a class that includes all compensatory options other than statutory options. These can be limited to key employees. There are some tax-saving opportunities for employees, depending on whether the option can be valued at the time of grant. The employer usually gets a deduction.
