Other common names for this agreement are non-disclosure agreement (NDA), confidential disclosure agreement (CDA) or secrecy agreement. A general confidentiality agreement is commonly used when two companies need to understand the processes used in each others business in order to evaluate the potential for a business relationship between the two parties. A general confidentiality agreement can restrict the information use by both parties or it can be a one way agreement where only a single party is restricted. It is also often common for an employer to have potential and current a general confidentiality agreement in order to restrict employees use and/or sharing of company-owned confidential information. In unusual circumstances, the general confidentiality agreement may state that the existence of the general confidentiality agreement itself cannot be disclosed.
