This general confidentiality agreement is a legal document that serves as a contract between two or more parties that outlines confidential materials or knowledge the parties want to share with each another for specific purposes, but choose to restrict access to. Both parties agree not to disclose information outlined in the agreement and creates a confidential relationship between the parties to protect confidential information, proprietary information or trade secret. Other common names for this agreement are non-disclosure agreement (NDA), confidential disclosure agreement (CDA) or secrecy agreement. A general confidentiality agreement is commonly used when two companies need to understand the processes used in each others business in order to evaluate the potential for a business relationship between the two parties. A general confidentiality agreement can restrict the information use by both parties or it can be a one way agreement where only a single party is restricted.
