CONTEST RULES
                                         CONTEST RULES

Section 1.     Description of the Contest.

        1.1      UniCredit S.p.A. (“UniCredit”), in cooperation with the banks controlled directly,
indirectly or jointly by UniCredit, located in one of the countries of the Central and Eastern Europe
(CEE) listed under Section 2.1 below (“UniCredit Group”), intends to promote an art contest for
Venice award (the “Contest”) in the frame of the 54th International Art Exhibition “Biennale” which
will be held in Venice, Italy between June 4 and November 27, 2011 (the “Biennale”).

         1.2    The Contest is designed to promote the visual arts and encourage the production of
artistic creations in the CEE countries. For this purpose, UniCredit intends to award a monetary
prize (as better detailed under Section 5 below) to reward one or more professional artists (or
groups of professional artists working together) whose artwork(s) will be displayed in the national
pavilion or in the collateral event representing one of the CEE countries in the frame of the
Biennale, chosen by the Jury (as defined under 4.1 below) as the most innovative and deserving of
the prize.

        1.3    UniCredit Group shall be the exclusive banking partner of the Project (as defined
under 2.2 below) including the artwork(s) awarded in the frame of the Biennale, and will advertise
such partnership according to the UniCredit Group policies. UniCredit, upon payment of the Prize
specified under Section 5 below, shall become the exclusive owner of the artwork(s) chosen by the
Jury among those included in the mentioned Project. Such artwork(s) will be lent to the Applicant
(as defined below) free of charge for the duration of the Biennale for exhibition in the relevant
national pavilion or collateral event and, thereafter, will be lent to museums or other exhibition
places located in the CEE country represented by the Project.

      1.4     The terms and conditions of the Contest are set forth herein (the “Contest Rules”).
The application to the Contest pursuant to Section 3 below implies full and unconditional
acceptance of the Contest Rules by the Applicant, the person responsible for the Project (the
“Curator”) and the Artists (as defined below).

       1.5     In addition to any other remedy available at law, UniCredit reserves the right, in its
sole discretion, to disqualify any Applicant should UniCredit find such Applicant, the relevant
Curator and/or any Artist to: (i) be in breach of the Contest Rules; and/or (ii) have a conduct which
is considered to be unbecoming; and/or (iii) provide false or inaccurate information or statements.

Section 2.     Eligibility.

        2.1    The Contest is addressed to public authorities or private associations (the
“Applicants”) intending to set up an authorized pavilion or – exclusively in the absence of such
pavilion for the relevant country – a national collateral event, recognized by the Biennale
representing one of the following CEE countries: Azerbaijan, Bosnia and Herzegovina, Bulgaria,
Croatia, Czech Republic and Slovakia, Estonia, Hungary, Kazakhstan, Kyrgyzstan, Latvia,
Lithuania, Poland, Romania, Russia, Serbia, Slovenia, Turkey or Ukraine.

        2.2    An authorized pavilion or national collateral event pursuant to Section 2.1 above can
be either a permanent national art pavilion located in the Biennale (i.e. in the Giardini or Arsenale),
or a national art pavilion or – exclusively in the absence of such national pavilions for the relevant
country – another national collateral event set up for the duration of the Biennale in another
location in Venice or in other dedicated spaces recognized by Biennale, in any case subject to the
satisfaction, prior to the submission of the application of each and all of the following conditions: (i)
it is recognized by the Biennale foundation as national pavilion or national collateral event; and (ii)
it, all the Artists whose artworks will be displayed therein and the Curator do not and will not have,
for the entire duration of the Biennale, any banking partner or banking sponsor whatsoever; and
(iii) the representatives of the Applicant and the Curator comply with the conditions set forth under
Section 2.3(ii) and (iii) below (the “Project”). For the sake of clarity, a national collateral event
representing a country may be admitted to the Contest only in case that neither a permanent
national art pavilion, nor another national art pavilion representing that country will be set up in the
frame of Biennale.

       2.3    The Project may include one or more artworks, without limitation of artistic technique
used (e.g. painting, sculpture, photography, video or animation artwork, new media) each created
by an individual professional artist or a group of professional artists working together provided
however that: (i) no one of them has or will have, for the duration of the Biennale, any banking
partner or banking sponsor whatsoever; and/or (ii) no one of them is a member of the Jury or
spouse or relative within the fourth degree of one or more members of the Jury; and/or (iii) no one
of them is an employee, director, executive or consultant of any company belonging to UniCredit
Group (such individual artist or group of artists working together, the “Artist”).

Section 3.     Submission of the application.

       3.1   The participation to the Contest is free of charge. Each Applicant cannot submit
more than one application.

        3.2    To take part to the Contest, the Applicant shall submit to the Jury the complete set of
the following documents:

       (a)     a document describing the plan for the setting up of the Project, in paper and
               electronic format, including at least the following:

               -    the name of the Curator of the Project and of the Artist(s), along with their
                    curriculum vitae;

               -    description of the curatorial concept of the Project and the message which the
                    Project intends to promote with the public;

               -    a rendering through graphic or visual means of the Project and of the artwork(s)
                    it will contain (each of them an “Artwork”);

       (b)     the form included in Annex A duly filled in and signed by each Artist;

       (c)     the form included in Annex B duly filled in and signed by authorized
               representative(s) of the Applicant and by the Curator.

      3.3    The application prepared according to Section 3.2 above shall be submitted
pursuant to Section 6.4 below and shall be delivered on or before April 30th, 2011. UniCredit
Group accepts no responsibility for applications lost, damaged, defaced or mislaid for any cause
whatsoever.

        3.4   The application may not be accepted as valid by the Jury and the Applicant may not
be admitted to the Contest if: (i) the application is not received within the deadline and in the place
specified under Sections 3.3 and 6.4 letter (a); and/or (ii) the application does not include each and
all documentation and materials listed under Section 3.2; and/or (iii) the statements made by the
Applicant, Curator or by one or more of the Artists turn out to be false or inaccurate.

      3.5    The Jury shall have the right to request the Applicant to integrate the application.
Should the Jury not receive such integrative documentation within 5 (five) days as of the date of

the request, the relevant Applicant and Project may be excluded from the Contest.

       3.6     All documentation and material delivered to the Jury pursuant to this Section 3 will
be, after the end of the Biennale: (i) destroyed; or (ii) upon written request of the Applicant,
returned to the Applicant at the latter’s costs and expenses.

Section 4.    Evaluation of the application.

       4.1     The application duly submitted pursuant to Section 3 above shall be evaluated by a
Jury consisting of 6 (six) members as follows: 4 (four) experts appointed by UniCredit and being
part of the Scientific Commission of UniCredit & Art and 2 (two) duly qualified employees of
UniCredit (the “Jury”).

       4.2     When evaluating the applications, the Jury will take into consideration, among other
aspects, the artistic and esthetic value and the creativity expressed by the Artwork.

        4.3    By May 16th, 2011 the Jury will provide a short list of maximum 5 (five) Projects that
will be considered for the Prize, communicating such list to the Applicants and Artists with a press
release pursuant to Section 6.4 below.

       4.4    Based on its discretionary evaluation, the Jury shall identify either:

                (i)   1 (one) Artwork as the winner of the Prize; or

                (ii) more Artworks, provided that all such Artworks are included in the same
                     Project, as ex aequo winners of the Prize, up to a maximum number of 5 (five)
                     of such Artworks.

              The Jury shall also identify a further number of Artworks (from one to five Artworks
       included in the same Project) for the purposes of Section 5.3 below, also specifying their
       ranking if such Artworks are more than one.

        4.5    The Jury shall declare the winner(s) of the Contest on June 3rd, 2011 and written
notice thereof will be sent within 10 (ten) days to the Applicant and to the awarded Artist(s)
pursuant to Section 6.4 below. UniCredit Group may advertise, in its sole discretion, the Contest
(including the name of the Applicant, Curator and Artist and the relevant Project and Artwork(s))
and the winner(s) thereof through media campaigns.

       4.6     The decision of the Jury is final and binding upon the Applicants and the Artists. By
submitting the application, the Applicant, Curator and Artists waive all claims of any nature which
might arise in any way whatsoever, directly and/or indirectly, from the decision of the Jury and, to
the maximum extent permitted by law, undertake not to appeal or challenge the decision of the
Jury before any court or authority in any Country.




Section 5.    Prize.

       5.1     The monetary prize to be awarded by the Jury is an amount equal to Euro
150,000.00 (euro one-hundred fifty thousand) (the “Prize”) to be awarded to the Artist(s) who
created the Artwork(s) chosen by the Jury according to Section 4.4 above and to be sale-
purchased by UniCredit. This amount shall be intended as the all inclusive consideration owed to
the mentioned Artist(s) for the sale-purchase by UniCredit of the full and unconditional property of
the Artwork(s) awarded and of all relevant rights of utilization. Should the Artworks chosen by the
Jury according to Section 4.4 above be more than one and/or should the artists who created the
chosen Artwork(s) be more than one, the amount of Euro 150,000.00 shall not be increased in any

way whatsoever and shall be divided by the number of Artworks declared as ex aequo winners
pursuant to Section 4.4 above and/or by the number of artists who created such Artwork(s) (e.g. if
3 (three) Artworks were declared ex aequo winners, each Artwork shall be assigned a pro quota of
the Prize equal to Euro 50,000.00; and if 1 (one) of such ex aequo Artworks awarded was created
by a group of 5 (five) artists, then each artist shall be assigned a pro quota of the Prize equal to
Euro 10,000.00).

       5.2      UniCredit, subject to the execution of the sale-purchase agreement(s) between
UniCredit and the Artist(s) pursuant to which the full ownership of the Artwork(s) (including all
relevant utilization rights) is transferred to UniCredit, shall pay the Prize (or the relevant pro quota)
in Euro currency, by wire transfer to the bank accounts notified by the recipients of the Prize, upon
payment request, pursuant to Section 6.4 below. Any and all tax amounts due for any reason
whatsoever to any tax authority in relation to the payment of the Prize shall be due and paid
exclusively by the Artist(s) receiving it.

        5.3    Should the payment of the Prize (or the relevant pro quota) not be requested by one
or more of the awarded Artist(s) within 90 (ninety) days as of notification of the decision of the Jury,
the right to such payment shall be forfeited; in such case, the Prize (or the relevant pro quota) will
be awarded to the Artist(s) who created the Artwork(s) identified pursuant to the second paragraph
of Section 4.4 above – following the ranking specified by the Jury if such Artworks are more than
one – and the full ownership of the Artwork(s) so awarded (including all relevant utilization rights)
shall be transferred to UniCredit as set forth in this Section 5.

        5.4    After the Biennale, the Artwork(s) chosen by the Jury according to Section 4.3 above
will be displayed in museums or other exhibition places of the CEE country represented by the
Project in which such Artwork(s) was/were included.

Section 6.     Final Provisions.

        6.1     UniCredit Group responsibility vis-à-vis the awarded Applicant, Artist(s) and Curator
of the Project in which the awarded Artwork(s) is/are included is limited to the payment of the Prize
to the winner(s) according to Section 5 above, being expressly excluded any other liability for any
costs, expenses, damages, claims which might arise in connection with the Contest or the setting
up of the Project. To the maximum extent permitted by law, all the Applicants, Curators and Artists
undertake jointly and severally to indemnify and hold UniCredit Group and the Jury harmless from
and against any liability, including any unpaid tax amounts, claims, demands, losses, damages,
costs and expenses resulting from any act, default or omission by them or a breach of any
warranty set forth in the Contest Rules.

        6.2    All the Applicants, Curators and Artists undertake: (i) to agree in advance with
UniCredit the issuance and the content of any press release and any other media announcement
referring to the Contest and/or UniCredit or UniCredit Group’ s name and/or activities; and (ii) to
refrain from any announcement whatsoever which could damage the reputation of the UniCredit
Group.

        6.3    Personal data of the Applicants, Curators and Artists included in the application shall
be processed by UniCredit and the Jury in compliance with the Italian laws on protection of
personal data and according to the terms set forth in the privacy statement enclosed to this
Contest Rules as Annex C. By submitting the application to the Contest, the Applicants, Curators
and Artists signatories of the relevant statements expressly give their consent to the processing of
their data according to the aforementioned law and terms.

      6.4     Any announcement, reminder, information or document to be delivered pursuant to
the Contest Rules shall be made in writing to the following addresses:

        6.5    The Contest Rules shall be governed by and construed in accordance with the laws
of the Republic of Italy and the Courts of Milan shall have exclusive jurisdiction to decide upon any
dispute arising out of, or in connection with, the Contest Rules.

Any announcement, reminder, information or document shall be considered to have been
delivered: (i) on delivery, if delivered in person; (ii) 3 (three) calendar days after mailing, if sent by
registered mail with confirmation by fax; (iii) on confirmation of delivery of the whole message
printed out by the fax machine of the sender, if sent by fax.

The Contest Rules are drafted in English and in other languages. In case of any discrepancy
between the different language versions, the content of the English version shall always prevail.

        sponsor whatsoever;

(iv)    unconditionally accept to transfer to UniCredit S.p.A. full property of the Artwork
        chosen by UniCredit S.p.A. pursuant to Sections 4.4 and 5 of the Contest rules
        and each and all utilization rights of such Artwork upon payment of the Prize (or
        the relevant pro quota thereof) specified under Section 5.1 of the Contest rules,
        being this payment the only obligation of UniCredit S.p.A. in relation to the sale-
        purchase of the Artwork and of all the economic rights thereof;
(v)    unconditionally accept that UniCredit Group may advertise my name as participant
       to the Contest and the copy of the Artwork through media or promotional activities,
       interviews and events and undertake to endeavor to attend said events, if any;

(vi)   unconditionally accept that UniCredit Group may display the Artwork in museums,

        and each and all utilization rights of such Artwork upon payment of the Prize (or
        the relevant pro quota thereof) specified under Section 5.1 of the Contest rules,
        being (a) this payment the only obligation of UniCredit S.p.A. in relation to the
        sale-purchase of the full property of the Artwork and all economic rights thereof
        and (b) the relevant amount not increasable in any way whatsoever and to be
        divided between the undersigned artists pro quota;

partner or banking sponsor whatsoever other than UniCredit Group.

I/we also:

(i)    unconditionally accept and agree with the terms and conditions of the Contest
       rules issued by UniCredit S.p.A. on [●];

(ii)   unconditionally accept that full property of the Artwork(s) made by the Artist(s) (as
       defined in the Contest rules) awarded pursuant to Sections 4.4 and 5 of the
       Contest rules and each and all utilization rights of such Artwork(s) will be
       transferred to UniCredit S.p.A. upon payment of the Prize (or the relevant pro
       quota thereof) specified under Section 5.1 of the Contest rules, being this payment
       the only obligation of UniCredit S.p.A. in relation to the sale-purchase of the
       Artwork(s) and of all the rights thereof; and
(iii)   unconditionally accept that UniCredit Group may advertise the name of our
        institution/association as participant to the Contest and the copy of the Artworks
        included in our Project through media or promotional activities, interviews and
        events and undertake to endeavor to attend said events, if any;
(iv)    represent and warrant (a) not to be member of the Jury or spouse or relative within
        the fourth degree of one or more members of the Jury; and (b) not to be an
        employee, director, executive or consultant of any company belonging to UniCredit
        Group;

(v)     in case one or more Artwork(s) included in our Project is/are awarded in the frame
        of the Contest, unconditionally accept that UniCredit Group shall be the exclusive
        banking partner of our Project; in this case UniCredit Group may advertise such
        partnership, which will be without consideration and will be carried out according to
        the UniCredit Group policies. In the context of the partnership (a) the name and
        logo of UniCredit shall be shown in the [national art pavilion/national collateral
        event] and (b) clearly visible plates indicating the author and title of the Artworks
        and making reference to the partnership shall be placed in the [national art
        pavilion/national collateral event]; as for the Artwork(s) awarded and purchased by
        UniCredit, the mentioned plates shall also indicate the UniCredit ownership over
        such Artwork(s);

(vi)    in the context of the above promotional and partnership arrangements,
        unconditionally accept to refrain from any announcement whatsoever in relation to
        the Contest which could damage the reputation of the UniCredit Group.

(vii) waive all claims which might arise from the decision of the Jury and undertake not
      to challenge the decision of the Jury in any way whatsoever.

                                        ANNEX C

Information according to Art. 13 of the Italian Legislative Decree no. 196/2003
(Code on Personal Data Protection)

UniCredit S.p.A. (“UniCredit”), as Data Controller, informs that personal data provided
by the data subject (the “Data Subject”) will be used and processed by UniCredit S.p.A
– in compliance with the Italian Code on Personal Data Protection – for the purpose of
participation in the contest organized by UniCredit and linked to the 54th International Art
Exhibition “Biennale” in Venice (respectively, the “Contest” and the “Biennale”).
The provision of the data is optional, but the lack of such data make impossible the
participation in the Contest.
UniCredit guarantees the use of all suitable security measures set forth by the relevant
regulation.
Such data shall be processed temporarily until the conclusion of the Biennale and after
this term the data shall be destroyed or, upon a written request, returned to the Data
Subject.
UniCredit informs also that the data will be communicated exclusively to the members of
the jury appointed for the evaluation of the applicants’ artworks; the data will also be
used for promotional purposes, interviews, events and other activities related to the
Contest.
UniCredit also informs that the Data Subject can exercise the rights established in Art. 7
of Italian Legislative Decree no. 196/2003 such as the right of cancelling, updating,
rectifying, integrating or blocking the Data and furthermore to object, for legitimate
purposes, to the processing of the data.
The Data Subject, in case of need, can exercise such rights contacting the following

Identity and Communications – Via San Protaso, 3 – 20121 Milan (Italy). The Data
