       Eligibility
            o The MockSides Ultimate Filmmaker Challenge (the “Contest”) is open anyone who
                 is at least eighteen (18) years old at the time of entry. Employees, board members,
                 founders and owners of MockSides, and any of their parent and affiliate companies
                 as well as the immediate family (spouse, parents, siblings and children) and
                 household members of each such employee are not eligible. The Contest is subject to
                 all applicable federal, state, and local laws and regulations. Void where prohibited.
       Sponsor/Administrator
            o DS Studioworks, 3435 Wynkoop St. Unit B, Denver, CO 80216.
            o Co-Sponsor: Jansen & Associates, P.C., 621 Seventeenth St., Suite 1740, Denver, CO
                 80293. Co-Sponsor is only providing prizes to be awarded through this contest and
                 has no administrative responsibilities regarding this Contest.
       Agreement to Official Rules
            o Participation in this Contest constitutes entrant’s full and unconditional agreement to
                 these Official Rules and Sponsor’s and Administrator’s decisions, which are final and
                 binding in all matters related to this Contest. Winning a prize is contingent upon
                 fulfilling all requirements set forth herein.
       Timing
            o The Contest has four phases, Entry Phase, Contestant’s Production Phase, Advisory
                 Board Voting Phase and Screening/Award Ceremony. Deadlines and inclusive
                 period       for     each      phase     of     the    current     contest   is    listed
                 at http://www.mocksides.com/CONTESTS.html. Sponsor’s computer is the official
                 time keeping device for the Contest.
       How to Enter
            o The Contest is a local Colorado short film and video competition open to all
                 independent filmmakers who wish to participate. Contestants do not have to be a
           resident of Colorado to participate, however, the registration for the local contest is
           done in person at our MockSides Registration and Meet-Up Event.

       A Registration Packet will be provided at the Registration and Meet-Up Event

       1.) This Entry Form – This will include all rules and agreements regarding the Contest,
           which includes release of all rights of the entrants short film submission to DS
       2.) Two (2) tickets to the MockSides UFC Screening & Awards Ceremony
       3.) Standard Talent Release forms for Adults and Miners (under the age of 18).
       These forms are provided as a courtesy, but any talent release can be accepted upon
       review by the Contest organizers and their agents.

       *Entry Fee. $50.00
       * Payments from can be made by credit/debit card, money order, cash or check. Credit
       /debit card payments will include an additional $5.00 processing fee.
       Please make all Checks or Money Orders payable to: DS StudioWorks (Entrance fee is

       o   Participants may submit more than one Entry, but each Entry must be submitted
           (including payment of a separate Submission Fee) and will be judged separately. You
           will receive one (1) Entry into the Contest per unique entry. Sponsor is not
           responsible for late, lost, damaged, unreadable or delayed materials, or entries that do
           not conform to the terms and conditions, technical specifications contained herein,
           which will not be judged.

   General Entry Guidelines
    1.     Entries must be in English or with English subtitles;
    2.     Each entry must be between 6 and 8 minutes in length;
    3.     Each entry must incorporate the provided scene in their short-film, they must shoot
           the scene as it is written. The assigned script will have specific instructions the
           filmmaker must follow, however, there will be some room for interpretation and the
           contestant must build a story around that scene justifying all of its characters and
    4.     The entry must be the entrant's original work or entrant must have the express
           authority to use the script in connection with the Entry;
    5.     Entries must comply with the Technical Requirements for Submission Qualification
           listed below and on http://www.mocksides.com/CONTESTS.html
6.    Film Credits: The credits that appear in your completed film submission must
      include (but not limited to) the following:
           o The registered Production Team Name (which may be the name of the
               individual filmmaker)
           o The Title of Your Film
           o All Primary Actors with speaking roles.
7.    Sponsor assumes no responsibility for disputes between persons claiming authorship
      of the Entry;
8.    The Entry must be suitable for publication in a public forum (as determined by
      Sponsor in its sole discretion), may not contain material that is unlawful, in violation
      of or contrary to the laws or regulations in Colorado, USA, or the jurisdiction where
      the Entry is created;
9.    Entries must not contain material that violates or infringes another’s rights, living or
      deceased, including but not limited to privacy, publicity or intellectual property
      rights, or that constitutes copyright infringement;
10.   Entries must not disparage Sponsor or any other person or party affiliated with the
      promotion and administration of this Contest;
11.   Entries may must not contain brand names or trademarks;
12.   All footage and music contained in the Entry must be properly licensed, in the public
      domain or created by entrant;
13.   Entries must not contain material that is inappropriate, indecent, obscene hateful,
      tortuous, defamatory, slanderous or libelous;
14.   Entries must not contain material that promotes bigotry, racism, hatred or harm
      against any group or individual or promotes discrimination based on race, gender,
      religion, nationality, disability, sexual orientation or age; and
15.   Entrant must have permission from all individuals that appear in the Entry to use
      their name and/or likeness in the Entry and to grant the rights set forth herein. If
      requested by Sponsor, entrant must be able to provide such permissions in a form
      acceptable to Sponsor. Submission of an Entry signifies the grant of the right for
      Sponsor to use the material during the term of the contest and for a period of one
      (1) year thereafter as part of Sponsor’s marketing of this or similar contests and will
      thereafter become the exclusive property of the creator. Notwithstanding, Sponsor
      shall take no ownership interest in any previously existing intellectual property
      (including the script) contained in the Entry, except for the non-exclusive rights
      outlined herein. Sponsor shall have the right to edit, adapt and publish any or all of
      the Entries, and may use them in any media without attribution or compensation to
      the entrant, his/her successors or assigns, or any other entity.
      Parties are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-
            intelligible, garbled, delayed or misdirected Entries; all of which will be void. In the
            event of a dispute as to any Entry, the authorized account holder, at time of entry, of
            the email address used to register for the Contest will be deemed to be the entrant
            and must comply with these Official Rules. The “authorized account holder” is the
            natural person assigned an email address by an Internet access provider, online
            service provider or other organization responsible for assigning email addresses for
            the domain associated with the submitted address. The entrant may be required to
            show proof of being the authorized account holder.
   Technical Requirements for Submission Qualification
        o Submissions must be HANDED IN at the DS StudioWorks office in person no
            earlier than 3:00pm and no later than 7:00pm on Sunday, January 30, 2011 in order
            to qualify. The completed video submission must be transferred to a DVD and a
            compressed version on a flash drive or CD.
        o If you do not abide by the terms and conditions, acceptable content and delivery
            rules, or Sponsor is unable to contact you (functioning email address and valid phone
            number are required) within one week of your initial attempt, your Entry will be
            disqualified. Disqualification may result in the following: loss of future Entry
            privilege, forfeiture of any prizes, including money awarded to your Entry.
   Judging
        o Winners are selected by a judging panel of industry professionals consisting of
            independent producers, production companies, agents, distributors, filmmakers,
            actors and/or other film industry professionals who may be substituted at the
            discretion of the competition organizers. All entries are judged equally based on
            these 4 areas:
                1. Story Originality (adaptation of provide script and directing);
                2. Acting (Serving the story beyond the dialogue);
                3. Editing ( transitions, pacing, continuity, and flow); and
                4. Production and image Value (Focus, color, sound and lighting quality).
   Prize
        o ONE (1) GRAND PRIZE: US$1000 payable in cash for the winning entry. The
            GRAND PRIZE WINNER will also receive a Registration Fee Waiver for the next
            MockSides contest to be determined. The Grand Prize and Registration Fee Waiver
            is subject to the Entrant’s acceptance of these rules and other terms and conditions
            of the MockSides website. All federal, state, and local taxes, and customs fees, when
            applicable, are the sole responsibility of the winner, unless required to be withheld by
            applicable law.
   Winner Requirements
        o The Finalists will not be announced prior to the MockSides Film Challenge Award
            Showing. The top finalists will have their films shown to the public at the designated
            date and times:

    TIME:   7:00 p.m.
        o   The Winner(s) will be announced after the end of the presentation.
        o   The Contest will use its best efforts to show the finalists’ projects and announce the
            winners at the designated date and time, but will not be held liable for any
            unforeseen delays.
        o The Grand Prize winner will be required to execute and return to Administrator,
            within ten (10) days of the date notice or attempted notice is sent, an Affidavit of
            Eligibility, Liability & Publicity Release (“Affidavit”) and Additional Terms of
            Acceptance (which will be provided upon notification) in order to claim his/her
            prize. If the Grand Prize winner cannot be contacted within a reasonable time
            period, fails to execute and return the Affidavit or other required paperwork within
            the required time period (if applicable), is not in compliance with these Official
            Rules, or prize or prize notification is returned as undeliverable, such person forfeits
            the prize. If a potential Grand Prize winner is disqualified for any reason, the prize
            may be awarded to a runner-up, if any, at Sponsor’s sole discretion. Only three (3)
            alternate winners will be selected through this process, after which the applicable
            prize may remain un-awarded. Acceptance of any prize shall constitute and signify
            winner’s agreement and consent that Sponsor and its designees (including Sponsor)
            may use the winner’s, name, city, state, likeness, photo, Entry and/or prize
            information in connection with the Contest for promotional, advertising or other
            purposes, worldwide, in any and all media now known or hereafter devised, including
            the Internet, without limitation and without further payment, notification,
            permission or other consideration, except where prohibited by law. The Grand Prize
            will be fulfilled approximately two (2) to four (4) weeks after the conclusion of the
            Contest and announcement of the winner.
   Release and Indemnification
        o By participating, entrant agrees to release and hold harmless the Sponsor and their
            respective board members, employees, volunteers, founders, subsidiaries, affiliates,
            suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each
            of their respective parent companies and each such company’s officers, directors,
            employees and agents (collectively, the “Released Parties”) from and against any
            claim or cause of action, including, but not limited to, personal injury, death, or
            damage to or loss of property, arising out of participation in the Contest or receipt or
            use or misuse of any prize. By participating, entrant agrees to defend, indemnify and
            hold Released Parties harmless from and against any and all third party claims,
            liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees
            and expenses, including, without limitation, the expense of enforcing this provision)
            to the extent arising out of or related to their Entry, Finalist Entry, or participation in
            the Contest.
   General Conditions
        o Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part
            of it, for any reason, but specifically if any fraud, technical failures or any other factor
            impairs the integrity or proper functioning of the Contest, as determined by Sponsor
            in its sole discretion. If terminated Sponsor may, in its sole discretion, determine the
            winners from among all non-suspect, eligible Entries received up to time of such
            action using the judging procedure outlined above. Sponsor, in its sole discretion,
            reserves the right to disqualify any individual it finds to be tampering with the Entry
            process or the operation of the Contest or to be acting in violation of these Official
            Rules or those of any other promotion or in an unsportsmanlike or disruptive
            manner and void all associated Entries. Any attempt by any person to deliberately
            undermine the legitimate operation of the Contest may be a violation of criminal and
            civil law, and, should such an attempt be made, Sponsor reserves the right to seek
            damages and other remedies (including attorneys’ fees) from any such person to the
            fullest extent permitted by law. Sponsor’s failure to enforce any term of these
            Official Rules shall not constitute a waiver of that provision.
   Limitations of Liability
       o Released Parties are not responsible for: (1) any incorrect or inaccurate information,
            whether caused by entrant, printing, typographical or other errors or by any of the
            equipment or programming associated with or utilized in the Contest; (2) technical
            failures of any kind, including, but not limited to malfunctions, interruptions, or
            disconnections in phone lines or network hardware or software; (3) unauthorized
            human intervention in any part of the Entry process or the Contest; (4) printing,
            typographical, technical, computer, network or human error which may occur in the
            administration of the Contest, the uploading, the processing or judging of Entries or
            votes or the tabulating of votes, the announcement of the prizes or in any Contest-
            related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any
            injury or damage to persons or property which may be caused, directly or indirectly,
            in whole or in part, from entrant’s participation in the Contest or receipt or use or
            misuse of any prize (including any travel/activity related thereto). Released Parties
            are not responsible for misdirected or undeliverable Entries or for any technical
            problems, malfunctions of computer systems, servers, providers, hardware/software,
            lost or unavailable network connections or failed, incomplete, garbled or delayed
            computer transmission or any combination thereof. Released Parties are not
            responsible for any unauthorized third party use of any Entry.
   Disputes
       o Except where prohibited, entrant agrees that: (1) any and all disputes, claims and
            causes of action arising out of or connected with this Contest or any prize awarded
            shall be resolved individually, without resort to any form of class action, and
            exclusively by the United States District Court for the District of Colorado or the
            appropriate Colorado State Court located in Denver, Colorado; (2) any and all
            claims, judgments and awards shall be limited to actual out-of-pocket costs incurred,
            including costs associated with entering this Contest, but in no event attorneys’ fees;
            and (3) under no circumstances will entrant be permitted to obtain awards for, and
            entrant hereby waives all rights to claim, indirect, punitive, incidental and
            consequential damages and any other damages, other than for actual out-of-pocket
            expenses, and any and all rights to have damages multiplied or otherwise increased.
            All issues and questions concerning the construction, validity, interpretation and
            enforceability of these Official Rules, or the rights and obligations of the entrant and
            Sponsor in connection with the Contest, shall be governed by, and construed in
            accordance with, the laws of the State of Colorado without giving effect to any
            choice of law or conflict of law rules (whether of the State of Colorado or any other
            jurisdiction), which would cause the application of the laws of any jurisdiction other
            than the State of Colorado.
   Entrant's Personal Information
       o Information collected from entrant is subject to Privacy Policy posted
            on http://www.mocksides.com/CONTESTS.html.
 I have read and understood the above Contest Rules and by signing my name agree to abide by these
Contest Rules. I also understand and acknowledge that during this event and related activities, I may
be photographed and hereby give permission for the Sponsors, MockSides and related event holders
to use any photos, videos or film likeness for any legitimate purpose.
