  1        Introduction

  Like many employers in the UK, the Company provides Car Benefits to designated
  employees. Your contract of employment specifies whether you are eligible to participate in
  the Car Benefit Scheme. This policy summarises these benefits and your related
  responsibilities. The responsibilities detailed in this policy also apply to you, if you are not
  provided with a Car Benefit, but need to use a vehicle on Company business.

  You need to read this policy thoroughly, as disciplinary action may be taken against you if you
  fail to comply with this policy.

  The Company reserves the right to periodically review the terms and conditions of the car
  policy in the light of changing circumstances.

  If you have any queries, please always refer in the first instance to the Human Resources
  Department.

The terminology listed below is used in this document with the specific meaning indicated:

    Car Benefit – the provision by the Company of access to the Siemens Structured Plan, a
                  Company Car, or a Company Car Cash Alternative specifically earmarked to
                  enable the employee to provide a vehicle in order to assist the employee to
                  travel on Company business.

    Car Benefit Scheme – the options by which the Company provides the Car Benefit.

    Job Related Cars – Car Benefits provided to employees who need a vehicle as an essential
                 tool of their job;

    Non Job-Related Cars – Car Benefits provided to employees where the reason for the
                 provision is not entirely job task related, i.e. it is not an essential tool of their
                 job.

2      Car Benefit Eligibility

You will have been notified in writing by the Company whether you are eligible for a Car
Benefit.

The Company retains the right to withdraw the Car Benefit, including allowances for
independent sourcing and cash alternatives, without compensation where the provision of the
benefit is abused. Misconduct will be viewed as abuse as will failure to adhere to this policy.

3      Car Benefit Schemes

3.1    Siemens Building Technologies – the Siemens Structured Plan
The Siemens Structured Plan is a scheme that provides you with an interest bearing loan
facility – the Car Benefit Loan – together with an interest Free Loan (IFL), that can be used
very cost effectively to purchase and run a vehicle suitable for business purposes. Under this
option, you can take advantage of the prices and services that the Company has negotiated
with its preferred supplier, Lex Vehicle Leasing (Lex).

You will be granted an eligibility band appropriate for your role within your business and
comparable roles in the external labour market. The Car Benefit Loan will be used to pay the
outgoings for your vehicle and you will also be expected to make a direct contribution towards
the cost of the vehicle. The contribution you pay will vary depending on the whole life costs of
your chosen vehicle.

In many instances, it will be possible for you to significantly reduce your contributions by
being selective within your eligibility band, as the contribution paid takes into account whole
life costs of the vehicle which varies between makes and models. Downgrading to a lower
band, where this is possible, could even result in a zero contributions level. You will also have
the option to upgrade to a higher band level by increasing your contributions.

Vehicles purchased through Lex have to be new, with only delivery mileage on the clock. Lex
will source the vehicles directly from their network of approved dealers. All vehicles provided
through Lex will include full servicing & maintenance cover, roadside recovery where this is
not separately provided through manufacturer’s agreements, and gap insurance for early
cancellations.

In addition at the end of the contract term, you will have the option either to sell the car to the
supplier and use the proceeds to reduce the outstanding balance on the Car Benefit Loan
before final settlement, or to retain the car by settling the outstanding balance in full.

Under the terms of the Siemens Structured Plan, you authorise the Company to redirect the
payment of the Inland Revenue Approved Mileage Allowance Payments1 due to you (net of
any amounts paid to reimburse you for business fuel) to offset against the balance on your
Car Benefit Loan.

Any outstanding balance on the Car Benefit Loan at the end of the contract term will be
made good by the Company through the payment of a one off allowance, with the Company
accounting directly to the Inland Revenue for any tax and National Insurance payments due.

3.2       Siemens Structured Plan – Independent Sourcing
Under the terms of the Siemens Structured Plan, you have the freedom to source your
vehicle from an independent supplier rather than the Company’s preferred supplier. In such
cases you will be able to draw down a set allowance from the Car Benefit Loan to provide you
with funds for Independent Sourcing. This allowance is specifically earmarked to enable you
to own or have unrestricted access to a suitable vehicle for business purposes and you will
continue to be bound by the terms of this policy. The allowance is not consolidated and is
excluded from pensions, overtime, bonus, and similar calculations.

Employees who select this option will not be entitled to an Interest Free Loan but will be
supplied with insurance cover.

The suitability of the vehicle will be assessed on its compliance with the vehicle minimum
requirements and standard fittings outlined in Appendix 1 and the general requirement of
being fit for business purposes. This means it must be fitted with:

          Driver and passenger airbags
          ABS
          High level rear break light

Furthermore, the vehicle must:-

          be no more than 5 years old.
          have done less than 125,000 miles for petrol vehicles and or less than 150,000 for
           diesel cars

Please note these requirements apply at the point of use, not at the point of purchase (i.e.
you may independently source a car which is 3 years old but must change it before it is 5
years old)

The following types of vehicles are specifically excluded from the car benefit scheme
(including independent sourcing):
     Motorcycles.
     Light Commercial Vehicles (LCV’s)
     Left-hand drive vehicles.

          Off-Road and Utility vehicles.
          Pick-up Trucks
          Minibuses
          Kit Cars
          Classic or Vintage vehicles
          Cabriolets and convertibles.
          Camper Vans.

You must get authorisation for your choice of vehicle from your Division Head before
committing yourself to the purchase

You will be responsible for all costs associated with running the vehicle, including providing a
replacement vehicle with insurance cover for business use, in the event of a breakdown.

As with the preferred supplier route under the Siemens Structured Plan, you authorise the
Company to redirect the payment of the Inland Revenue Approved Mileage Allowance
Payments2 due to you (net of any amounts paid to reimburse you for business fuel) to offset
against the balance on your Car Benefit Loan.

Any outstanding balance on the Car Benefit Loan at the end of the contract term will be
made good by the Company through the payment of a one off allowance, with the Company

Where you have elected to source your vehicle independently, rather than use the
Company’s preferred supplier under the Siemens Structured Plan, you will be able change
back to sourcing through the Company’s preferred supplier at the end of 12 months after
electing to source independently.

3.3       Siemens Commercial Vehicles
The Siemens Commercial Vehicles scheme is the method by which light commercial
vehicles, such as vans, are provided and run. The users of these vehicles are most likely to
be employees in service and installation type roles who need to transport tools and
equipment as part of their role.

Generally the relevant business manager will provide a detailed specification of the vehicle
requirements, including customisation work and livery, to Lex Vehicle Leasing, our preferred
supplier. Lex will then source the best value vehicle, taking account of the acquisition and
running costs during the lifetime of the vehicle.

Employees are allowed to use commercial vehicles for private use. However, where such use
is permitted, it is considered by the Inland Revenue to be a ‘benefit in kind’ to employees. The
tax charge is currently a flat rate tax of £ 500 per year. So you will carry this liability if you are
allowed to use a commercial company vehicle privately. You should also note that driving the
vehicle home at night and back to the depot in the morning is considered by the Inland
Revenue as private use, even if you make no further use of the vehicle.

4     Vehicle Provision

In order to maximise the use of Company resources, the Company is entitled to reassign
suitable cars to new employees, employees who have recently become eligible for a Car
Benefit, or employees whose vehicles are due for replacement. Eligibility for a Car Benefit
does not entitle you to a new car. As far as possible this will be done in consultation with the
employee concerned. If a member of staff is asked to take a reallocated vehicle he will not
be required to do so twice in a row.

4.1   Minimum Requirements
In general terms all vehicles must be fit for business purposes and the ultimate arbiter of
fitness for business purposes is the management of your business unit.

Many of the Car Benefit Schemes offer a range of choice regarding the vehicles from which
you can choose. Certain types of vehicles, however, are specifically excluded, and as the list
of excluded vehicles can vary from business to business, the list of exclusions is shown in
Appendix 1.

You may select a vehicle capable of running on LPG (bi-fuel type vehicles), however you may
only select those LPG vehicles that are manufacturer fitted. Retro fitting of LPG is not
permitted as it can invalidate the manufacturer’s warranties.

4.2   Standard Fittings
Where this is not part of the standard fittings, your vehicle is required to be equipped with the
following items:

         alarm system or immobiliser
         driver and front passenger airbags
         ABS
         floor mats
         locking wheel nuts for all vehicles with alloy wheels
         eye level rear stop light

Where your business unit requires a towbar to be fitted, or where you require one for your
personal use, these must be dealer fitted.

4.3   Upgrades and downgrades.
Under the Car Benefit Scheme, it is possible for you to select a vehicle from a band that is
higher (upgrade) or lower (downgrade) than your actual eligibility, or alternatively select
optional extras (upgrade). If you wish to upgrade, you will typically be expected to increase
your contributions to reflect the increased cost incurred by the Company. Where you
downgrade, your contributions will reduce accordingly.

Limits on upgrade and downgrade are as follows:

Upgrades       For each band, the ability to upgrade will be restricted to the benchmark car(s)
               for the next band on the policy

Downgrades You will be permitted to downgrade without restriction assuming the selected
           vehicle is ‘fit for purpose’. Your final car choice must be authorised by your
           Division Head.

The freedom to upgrade your vehicle, places a potential additional cost liability on the
Company should you choose to leave the Company’s employment. In event that you leave
the Company’s employment voluntarily, the Company will retain the right to recover the
additional cost for the remainder of the contract associated with the upgrade. We would not
seek to recover these costs in the event of involuntary terminations for example redundancy.

5        Maintenance of Vehicles

You are ultimately responsible at all times for carrying out the necessary maintenance to
ensure that your vehicle is kept in a roadworthy condition. You must, therefore, regularly
check and comply with the required standards/conditions for:

             Oil levels (weekly)
             Water levels (weekly)
             Water in washer bottles (weekly)
             Tyre profile/tread (monthly)
             Tyre pressure (weekly)
             Quantity of anti-freeze (at routine service or more frequently in the case of coolant
              loss)
             Displaying of a valid Road Fund Licence disc

You must also ensure that the servicing is carried out in accordance with the manufacturer’s
service interval schedules, that the service book is completed, and that MOT certificates are
obtained on a timely basis where appropriate.

Unreasonable wear and tear is charged separately under the Car Benefit Scheme contracts.
The Company reserves the right to recover such costs from you or exclude such costs from
payments to be reimbursed to you as part of the Car Benefit Scheme.

6        Insurance

6.1      Insurance Cover
The Company provides comprehensive car insurance for all Company Cars and for private
vehicles obtained under the Siemens Structured Plan – whether sourced through Lex or
sourced independently, and for the approved private vehicle of employees in receipt of the
Siemens Cash Alternative3.

You are able to nominate up to 2 co-drivers (in addition to yourself) to be included under this
insurance cover. Co-drivers must be aged 21 or over; must hold a valid full UK or EU driving
licence and must have held this for a minimum of 12 months. In certain exceptional
circumstances it may be possible for co-drivers to be under 21, this would need to be
specifically authorised by the Division Head and Human Resources.

Once a year, in order to validate your insurance cover and to satisfy Health and Safety
requirements, you will be required to provide evidence that you hold a valid UK or EU driving
licence. The original document – i.e. photocard and supplementary document – must be
provided; a photocopy will not suffice. Where you have nominated co-drivers, you will also be
required to provide this information in relation to your co-drivers.

Where you do not hold a valid UK or EU driving licence, you must obtain one either by
exchanging your foreign driving licence or passing the UK driving licence tests. Information
relating to exchanging foreign driving licences can be obtained from the Driver and Vehicle
Licensing Agency website (http://www.dvla.gov.uk/). Any costs associated with this are for
your own account.

The Company has the right to withhold the provision of Car Benefit to you until you are able
to provide evidence that you hold a valid UK or EU driving licence. In such circumstances,
the Company will not be obliged to recompense you for withholding Car Benefits.

6.2   Exclusions
The Company insurance provides fully comprehensive insurance, but specifically excludes:

              Personal effects or belongings, whether visible or not
              Vehicles left unsecured (e.g. leaving a car unlocked at the petrol pump when you go
               to pay).

6.3   Insurance Documentation
Insurance certificates are available on request through the online driver request form or via
the driver help line: 08702 – 20 21 24.

6.4   Travelling Abroad
A number of additional documents are required if you take a vehicle out of the country.
Typically this will include:

             Insurance certificate
             ‘Green Card’ insurance document (the required information for this is on the reverse
              of the Siemens Insurance policy certificate)
             Letter authorising you to take the vehicle outside the country (where you do not hold
              the registration document).
             European breakdown cover and vehicle repatriation insurance

These documents can be obtained online through the Car Benefit Scheme portal or via the
OneCall driver help line. You are personally responsible for ensuring that you have the
necessary documentation and any costs arising from a failure to obtain such documents will
be charged to you. You should also ensure that you have any equipment or fittings (such as
spare bulbs, warning triangle, headlight beam deflector) required by the regulations of the
country you are visiting.

7     Breakdown & Accidents

Other than with the Independently Sourced vehicles and Company Car Cash Allowance, the
Car Benefit Schemes operated by the Company make provision for roadside recovery and
break down cover. The contact details are provided in your Car Benefit Scheme
documentation.

If you are involved in an accident you are required by law to provide your contact details and
your insurance details. Unless you have been provided with different information by your
business, your insurance details are as follows:

They can also be found on the Lex laminated contact details card you should retain in your
glove compartment.

Like all drivers in the UK, you have a legal obligation to remain at the site of an accident in the
event of damage to a vehicle or an individual until the police arrive. You should notify your
Car Benefit Scheme administrator as soon as possible following an accident so that they can
deal with the consequences of an accident.

Under no circumstances should you admit liability for an accident. You must not enter into
any discussion or correspondence with other parties involved in an accident. Any
correspondence should be immediately sent to the Car Benefit Scheme Administrator.

You may be required by the Company to undertake a medical examination by a doctor
nominated by the Company or the Company’s insurer following an accident.

Accident rates are monitored within the Company and where you have a significantly higher
than average accident rate, you may be required to attend a meeting with your management
to discuss this and to undertake a driver training programme.

8        General

8.1      Business Mileage
The Company will reimburse you for the cost of fuel incurred whilst travelling on Company
business. The reimbursement rates which apply at the present time are as follows:

You should note that these mileage rates are intended to compensate you only for the cost of
fuel. They are therefore subject to change and may go down as well as up.
As a recipient of a Car Benefit, you will be required, on a monthly basis, to provide
information relating to your business mileage and your total mileage to your Car Benefit
Scheme administrator, irrespective of the Car Benefit Scheme applicable to you. As the
Company must consolidate this data and provide it to the Inland Revenue, you must provide
your information in full and within the specified timeframe. The Company will be entitled to

suspend your Car Benefit without recompense where you fail to provide the mileage
information having been given due warning.

8.2   Pending Prosecutions and Driving Disqualifications
As a condition of the provision of a Car Benefit, you are required to notify your Personnel
Department in writing of any driving related pending prosecutions. Such a notification must be
made within 5 working days from the date when you are informed of a pending prosecution.

You must notify the Company immediately in the event that you are disqualified from driving
for any reason whatsoever. The Company has the right to suspend your entitlement to a Car
Benefit without recompense during any period of disqualification from driving.

Where you have been provided with a Job Related Car, it is a condition of your employment
that you are legally able to drive. In the event that you are disqualified from driving, the
Company will investigate whether reasonable alternatives are available, including transfer to
a role not requiring driving. Where such alternatives are not available, your employment with
the Company will be terminated by reason of capability, as you will be unable to fulfil a core
requirement of your role.

8.3   Driving Penalties
You are personally liable for the payment of any fixed penalty notices, car parking fines,
speeding penalties and other fines that may arise as a result of breaches of the Highway
Code, Local Authority by-laws or other traffic regulations. The Company will not recompense
you for such payments, even where these were incurred whilst travelling on Company
business. Where the Car Benefit Scheme Administrator, Lex – as the registered keeper of the
vehicle – receives a payment notice, they will pay this on your behalf. The charge and the
associated administration fee will be deducted from your next salary. No separate
notification will be given for this. As a condition of receiving a Car Benefit, you authorise
the Company to deduct such charges from your salary or other monies owed to you by the
Company.

8.4   Personalised Number Plates
Where the applicable Car Benefit Scheme requires the Company’s authorisation, we will
normally allow you to transfer personalised number plates to a Car Benefit Scheme vehicle,
subject to this not presenting an inappropriate image for the business. The cost of such a
transfer and subsequent transfer to a different vehicle upon the disposal of the car will be fully
at your expense. Such a transfer is also fully at your own risk and the Company will not
accept any liability for procedural errors, delays or mistakes that result in you losing
ownership of the personalised number plates.

8.5   Promotions and Demotions
In the event that you become eligible for a vehicle in a different band (higher or lower), you
will be expected to retain your current vehicle until it is due for renewal at the end of the
normal contract term.

Under the Siemens Structured Plan, following a promotion to a higher eligibility band, your
contributions will be recalculated to take account of your new eligibility band.

9     Absences from Work

9.1   Maternity Leave and Long Term Sickness

The Company will ensure that processes are established that allow you to retain the full use
of your Car Benefit during a period of absence from work due to maternity or long term
sickness, not exceeding 52 weeks. These arrangements will take account of the specific Car
Benefit Scheme applicable to you and may require you to make a contribution where you
have upgraded your Car Benefit. These arrangements may also result in you having a
personal tax liability.

9.2   Unpaid Leave of Absence
You will be personally responsible for any payments under a Car Benefit Scheme during
unpaid leaves of absence or sabbaticals exceeding one calendar month. Where the Car
Benefit Scheme consists of a Company Car or Company Car Allowance, this will be
suspended during the period of your unpaid leave.

10    Returning your Vehicle

10.1 Transfers
Your eligibility for a Car Benefit will cease where you have been provided with a Job Related
Car and you transfer to a new position that does not require a Job Related Car. In such
circumstances, transitional arrangements will be determined on a case by case basis by your
management in consultation with your local Personnel Department.

10.2 End of Contract Term and End of Employment
The arrangements relating to the return of vehicles at the end of their contract term or if your
employment should end will vary depending on the applicable Car Benefit Scheme. However,
in all circumstances you are required to return the vehicle in a clean and tidy state and
provide all car documentation, manuals, security codes, remote unlocking devices and sets of
keys. Any costs resulting from your failure to comply with this requirement will be your
personal responsibility and the Company will be entitled to offset such costs against any
monies owed to you.

11    Health & Safety Whilst Driving

As part of your work activity, the Company requires you to drive to and from work locations.
SBT’s Health and Safety guidelines and procedures contain important information about the
safe use of vehicles. You should ensure that you are fully familiar with these guidelines and
that you comply with them at all times. Underpinning this guidance is the basic principle that
your health and safety, and the health and safety of your passengers and the people around
you is of paramount importance. Therefore, no driving activity should be undertaken that
places you or others at risk. This guidance applies to all drivers who drive as part of their work
activity, regardless of whether the company supplies the car, a cash allowance is taken or a
hire car is provided.

11.1 Line Managers’ Responsibilities
As a line manager with employees who drive for business purposes, you are responsible for
ensuring that they are fully aware of their obligations, particularly those relating to health and

safety, and for ensuring that you do not issue instructions that contradict these obligations.
Specifically, you should:
       Only assign individuals to driving duties after checking the validity of their driving
        licence and sending a certified copy of this to the Personnel department;
       Ensure that the driver has completed the health declaration and confirmed that no
        health or medical condition or medication prevents them from or impairs their driving
        ability;
       Ensure that employees driving vehicles for business reasons have been provided
        with and abide by all company policies.


12 Fuel cards
Employees in the car benefit scheme are entitled to the use of a fuel card, for both personal
and business use. The arrangements for personal use of the fuel card are as follows:
   the individual pays a contribution to the Company, via salary deduction, of the equivalent
    amount they would pay in tax if they had a Company car with a fuel card
   this amount is paid irrespective of the amount of personal fuel used
   these arrangements may apply equally to employees receiving car benefit and sourcing
    their vehicle via Lex, or independently sourcing.


Use of fuel cards
   The card is registration-based and must therefore transfer with the car at all times.
   The fuel card cannot be used to fill non-Company vehicles (e.g. hire cars); such
    expenditure should be settled by other means (e.g.) credit card/cheque and claimed
    back via the expense procedure
   Before filling up, you should ascertain:
        a)      Acceptability of fuel cards

        b)      Current mileage reading

        You must ensure that the filling station receipt shows:

        a)      Vehicle registration number

        b)      Accurate current mileage

        c)      Accurate transaction details (quantities & values)

        d)      Cardholder's signature

        The Company will hold the employee liable for deliberate misuse/ consistently
        incorrect receipts.

        You must retain the top copy of the receipt, which must be attached to the Expense Form and
        submitted to the Finance Department

13     Transitional Arrangements to the Car Benefit scheme

13.1   Transition from previous Company Car scheme

       You will retain your existing car until its lease terminates. At the point the lease terminates
       you will join the Car Benefit Scheme. In advance of the lease terminating you will be
       contacted and sent the current rate book and details so that you can either choose a vehicle via
       Lex, or to independently source a vehicle under the Car Benefit Scheme arrangements.

13.2   Transition from previous cash allowance scheme

       Staff in the previous cash allowance scheme may elect to join the new Car Benefit Scheme at
       any point (ie you do not have to wait).

       You may retain your existing cash allowance (and associated mileage rate for business
       mileage) until the earlier of the following:
        You choose to change vehicle
        Your vehicle is no longer meets the requirements of the previous car scheme. This
           means, for example, that for staff in the previous BAU scheme can continue under that
           scheme until their existing vehicle is 7 years old.

       Once either of these circumstances arises, there will be no choice other than to join the Car
       Benefit Scheme.

Requirements for Fittings

  Where this is not part of the standard fittings, your vehicle is required to be equipped with the
  following items:

       alarm system or immobiliser
       driver and front passenger airbags
       ABS

       floor mats
       locking wheel nuts for all vehicles with alloy wheels
       eye level rear stop light

  Where your business unit requires a towbar to be fitted, or where you require one for your personal
  use, these must be dealer fitted.

                                Appendix 2 – Driver’s Declaration


I hereby confirm that I have received, read, understood and will abide by the Car Benefit
Policy and the Procedures documents relating to my Car Benefit Scheme

In particular, I confirm that with regard section 11, Health and Safety Whilst Driving, I
understand my obligations to myself and to others and accept my responsibilities under this
section

Where the Car Benefit is provided through the Siemens Structured Plan, I hereby authorise
the Company’s external service provider to carry out any relevant credit checks or vetting
procedures with their approved agencies.

Where the Car Benefit Policy or associated processes entitle the Company to deduct monies
from my wages or other monies owed by me to the Company, I hereby authorise the
Company to make such deductions in accordance with the Wages Act 1986.

I hereby confirm that my personal details and those of my nominated co-driver(s) provided in
the attached Driver Record Form(s) are comprehensive and correct.

I understand that I must notify the Company if either I or a nominated driver:

       is disqualified from driving for any period;
       develop a health / medical condition or have to take medication that prevents (them)
        from driving or impairs their ability to drive in any way;
       have been advised by a health or other professional to restrict, limit or refrain from
        driving.


I also agree to present the original of my driving licence, or that of my nominated co-drivers,
within 24 hours of this being requested by the Company for inspection .

                        Appendix 3 – Annual Drivers Record Form


This form is to be completed once each year by all employees eligible for Car Benefits. You
must complete a separate form for each of your nominated co-drivers.

The form(s) must be returned to your local Personnel Department together with a
certified copy of each person’s driving licence. Your line manager will certify the
driving licence copy, by confirming on the copy that he/she has seen the original, and
that the copy corresponds with the original. The certified copy must be signed and
dated, with the signatory’s name written in block capitals. Where the driving licence is
the new issue credit card style, the copy must include the accompanying Counterpart
Driving Licence Form.
