Note 2: Offerors and Agencies are advised that the Group 70 – Information Technology Schedule is not to be used as a
means to procure services which properly fall under the Brooks Act. These services include, but are not limited to,
architectural, engineering, mapping, cartographic production, remote sensing, geographic information systems, and related
services. FAR 36.6 distinguishes between mapping services of an A/E nature and mapping services which are not connected
nor incidental to the traditionally accepted A/E Services.
Note 3: This solicitation is not intended to solicit for the reselling of IT Professional Services, except for the provision of
implementation, maintenance, integration, or training services in direct support of a product. Under such circumstances
the services must be performance by the publisher or manufacturer or one of their authorized agents.

SPECIAL NOTICE TO AGENCIES: Small Business Participation
SBA strongly supports the participation of small business concerns in the Federal Acquisition Service. To enhance Small
Business Participation SBA policy allows agencies to include in their procurement base and goals, the dollar value of orders
expected to be placed against the Federal Supply Schedules, and to report accomplishments against these goals.
For orders exceeding the micropurchase threshold, FAR 8.404 requires agencies to consider the catalogs/pricelists of at least
three schedule contractors or consider reasonably available information by using the GSA Advantage! on-line shopping service

(www.fss.gsa.gov) contain information on a broad array of products and services offered by small business concerns.
This information should be used as a tool to assist ordering activities in meeting or exceeding established small business
goals. It should also be used as a tool to assist in including small, small disadvantaged, and women-owned small businesses
among those considered when selecting pricelists for a best value determination.
For orders exceeding the micropurchase threshold, customers are to give preference to small business concerns when two
or more items at the same delivered price will satisfy their requirement.

3.        LIABILITY FOR INJURY OR DAMAGE
The Contractor shall not be liable for any injury to ordering activity personnel or damage to ordering activity property arising
from the use of equipment maintained by the Contractor, unless such injury or damage is due to the fault or negligence of the
Contractor.

  b.        URGENT REQUIREMENTS: When the Federal Supply Schedule contract delivery period does not meet the bona
fide urgent delivery requirements of an ordering activity, ordering activities are encouraged, if time permits, to contact the
Contractor for the purpose of obtaining accelerated delivery. The Contractor shall reply to the inquiry within 3 workdays after
receipt. (Telephonic replies shall be confirmed by the Contractor in writing.) If the Contractor offers an accelerated delivery time
acceptable to the ordering activity, any order(s) placed pursuant to the agreed upon accelerated delivery time frame shall be
delivered within this shorter delivery time and in accordance with all other terms and conditions of the contract.

All items are U.S. made end products, designated country end products, Caribbean Basin country end products, Canadian

12.       ORDERING PROCEEDURES FOR FEDERAL SUPPLY SCHEDULE CONTRACTS
Ordering activities shall use the ordering procedures of Federal Acquisition Regulation (FAR) 8.405 when placing an order
or establishing a BPA for supplies or services. These procedures apply to all schedules.

13.          FEDERAL INFORMATION TECHNOLOGY/TELECOMMUNICATION STANDARDS REQUIREMENTS: ordering
activities acquiring products from this Schedule must comply with the provisions of the Federal Standards Program, as
appropriate (reference: NIST Federal Standards Index). Inquiries to determine whether or not specific products listed herein
comply with Federal Information Processing Standards (FIPS) or Federal Telecommunication Standards (FED-STDS), which
are cited by ordering activities, shall be responded to promptly by the Contractor.
13.1       FEDERAL INFORMATION PROCESSING STANDARDS PUBLICATIONS (FIPS PUBS): Information Technology
products under this Schedule that do not conform to Federal Information Processing Standards (FIPS) should not be acquired
unless a waiver has been granted in accordance with the applicable "FIPS Publication." Federal Information Processing
Standards Publications (FIPS PUBS) are issued by the U.S. Department of Commerce, National Institute of Standards and
Technology
(N IST), pursuant to National Security Act. Information concerning their availability and applicability should be obtained from
the National Technical Information Service (NTIS), 5285 Port Royal Road, Springfield, Virginia 22161. FIPS PUBS include
voluntary standards when these are adopted for Federal use. Individual orders for FIPS PUBS should be referred to the NTIS
Sales Office, and orders for subscription service should be referred to the NTIS Subscription Officer, both at the above
address, or telephone number (703) 487-4650.
13.2         FEDERAL TELECOMMUNICATION STANDARDS (FED-STDS): Telecommunication products under this Schedule
that do not conform to Federal Telecommunication Standards (FED-STDS) should not be acquired unless a waiver has been
granted in accordance with the applicable "FED-STD." Federal Telecommunication Standards are issued by the U.S.
Department of Commerce, National Institute of Standards and Technology (N IST), pursuant to National Security Act. Ordering
information and information concerning the availability of FED-STDS should be obtained from the GSA, Federal Acquisition
Service, Specification Section, 470 East L’Enfant Plaza, Suite 8100, SW, Washington, DC 20407, telephone number (202)619-
8925. Please include a self-addressed mailing label when requesting information by mail. Information concerning their
applicability can be obtained by writing or calling the U.S. Department of Commerce, National Institute of Standards and
Technology, Gaithersburg, MD 20899, telephone number (301)975-2833.
14. CONTRACTOR TASKS / SPECIAL REQUIREMENTS (C-FSS-370) (NOV 2003)
 (a)   Security Clearances: The Contractor may be required to obtain/possess varying levels of security clearances in the
       performance of orders issued under this contract. All costs associated with obtaining/possessing such security
       clearances should be factored into the price offered under the Multiple Award Schedule.

 (b)   Travel: The Contractor may be required to travel in performance of orders issued under this contract. Allowable travel
       and per diem charges are governed by Pub .L. 99-234 and FAR Part 31, and are reimbursable by the ordering agency
       or can be priced as a fixed price item on orders placed under the Multiple Award Schedule. Travel in performance of a
       task order will only be reimbursable to the extent authorized by the ordering agency. The Industrial Funding Fee does
       NOT apply to travel and per diem charges.

 (c)   Certifications, Licenses and Accreditations: As a commercial practice, the Contractor may be required to obtain/possess
       any variety of certifications, licenses and accreditations for specific FSC/service code classifications offered. All costs
       associated with obtaining/ possessing such certifications, licenses and accreditations should be factored into the price
       offered under the Multiple Award Schedule program.

 (d)   Insurance: As a commercial practice, the Contractor may be required to obtain/possess insurance coverage for specific
       FSC/service code classifications offered. All costs associated with obtaining/possessing such insurance should be
       factored into the price offered under the Multiple Award Schedule program.

 (e)   Personnel: The Contractor may be required to provide key personnel, resumes or skill category descriptions in
       the performance of orders issued under this contract. Ordering activities may require agency approval of
       additions or replacements to key personnel.

 (f)   Organizational Conflicts of Interest: Where there may be an organizational conflict of interest as determined by the
       ordering agency, the Contractor’s participation in such order may be restricted in accordance with FAR Part 9.5.

 (g)   Documentation/Standards: The Contractor may be requested to provide products or services in accordance with
       rules, regulations, OMB orders, standards and documentation as specified by the agency’s order.

 (h)   Data/Deliverable Requirements: Any required data/deliverables at the ordering level will be as specified or negotiated in
       the agency’s order.

 (i)   Government-Furnished Property: As specified by the agency’s order, the Government may provide property,
       equipment, materials or resources as necessary.

 (j)   Availability of Funds: Many Government agencies’ operating funds are appropriated for a specific fiscal year. Funds
       may not be presently available for any orders placed under the contract or any option year. The Government’s
       obligation on orders placed under this contract is contingent upon the availability of appropriated funds from which
       payment for ordering purposes can be made. No legal liability on the part of the Government for any payment may
       arise until funds are available to the ordering Contracting Officer.

 (k)   Overtime: For professional services, the labor rates in the Schedule should not vary by virtue of the Contractor having
       worked overtime. For services applicable to the Service Contract Act (as identified in the Schedule), the labor rates in
       the Schedule will vary as governed by labor laws (usually assessed a time and a half of the labor rate).
15.         CONTRACT ADMINISTRATION FOR ORDERING ACTIVITIES: Any ordering activity, with respect to any one or more
delivery orders placed by it under this contract, may exercise the same rights of termination as might the GSA Contracting
Officer under provisions of FAR 52.212-4, paragraphs (l) Termination for the ordering activity’s convenience, and (m)
Termination for Cause (See 52.21 2-4)
16.       GSA ADVANTAGE!
GSA Advantage! is an on-line, interactive electronic information and ordering system that provides on-line access to
vendors' schedule prices with ordering information. GSA Advantage! will allow the user to perform various searches across
all contracts including, but not limited to:
           (1)       Manufacturer;
           (2)       Manufacturer's Part Number; and
           (3)       Product categories.
Agencies can browse GSA Advantage! by accessing the Internet World Wide Web utilizing a browser (ex.: NetScape).
The Internet address is http://www.fss.gsa.gov/.
17.       PURCHASE OF OPEN MARKET ITEMS
NOTE: Open Market Items are also known as incidental items, noncontract items, non-Schedule items, and items not on a
Federal Supply Schedule contract. ODCs (Other Direct Costs) are not part of this contract and should be treated as open
market purchases. Ordering Activities procuring open market items must follow FAR 8.402(f).
For administrative convenience, an ordering activity contracting officer may add items not on the Federal Supply Multiple
Award Schedule (MAS) -- referred to as open market items -- to a Federal Supply Schedule blanket purchase agreement
(BPA) or an individual task or delivery order, only if-
           (1)      All applicable acquisition regulations pertaining to the purchase of the items not on the Federal Supply
          Schedule have been followed (e.g., publicizing (Part 5), competition requirements (Part 6), acquisition of
          commercial items (Part 12), contracting methods (Parts 13, 14, and 15), and small business programs (Part 19));
           (2)      The ordering activity contracting officer has determined the price for the items not on the Federal
          Supply Schedule is fair and reasonable;
           (3)       The items are clearly labeled on the order as items not on the Federal Supply Schedule; and
           (4)       All clauses applicable to items not on the Federal Supply Schedule are included in the order.
18.       CONTRACTOR COMMITMENTS, WARRANTIES AND REPRESENTATIONS
a.         For the purpose of this contract, commitments, warranties and representations include, in addition to those agreed to for
the entire schedule contract:

           (1)        Time of delivery/installation quotations for individual orders;
           (2)       Technical representations and/or warranties of products concerning performance, total system
          performance and/or configuration, physical, design and/or functional characteristics and capabilities of a
          product/equipment/ service/software package submitted in response to requirements which result in orders under
          this schedule contract.
           (3)      Any representations and/or warranties concerning the products made in any literature, description,
          drawings and/or specifications furnished by the Contractor.
b.        The above is not intended to encompass items not currently covered by the GSA Schedule contract.
19.       OVERSEAS ACTIVITIES
The terms and conditions of this contract shall apply to all orders for installation, maintenance and repair of equipment in
areas listed in the pricelist outside the 48 contiguous states and the District of Columbia.
Upon request of the Contractor, the ordering activity may provide the Contractor with logistics support, as available, in
accordance with all applicable ordering activity regulations. Such ordering activity support will be provided on a reimbursable
basis, and will only be provided to the Contractor's technical personnel whose services are exclusively required for the
fulfillment of the terms and conditions of this contract.
 20.       BLANKET PURCHASE AGREEMENTS (BPAs)
The use of BPAs under any schedule contract to fill repetitive needs for supplies or services is allowable. BPAs may be
established with one or more schedule contractors. The number of BPAs to be established is within the discretion of the
ordering activity establishing the BPA and should be based on a strategy that is expected to maximize the effectiveness of the
BPA(s). Ordering activities shall follow FAR 8.405-3 when creating and implementing BPA(s).
 21.       CONTRACTOR TEAM ARRANGEMENTS
Contractors participating in contractor team arrangements must abide by all terms and conditions of their respective
contracts. This includes compliance with Clauses 552.238-74, Industrial Funding Fee and Sales Reporting, i.e., each
contractor (team member) must report sales and remit the IFF for all products and services provided under its individual
contract.
 22.       INSTALLATION, DEINSTALLATION, REINSTALLATION
The Davis-Bacon Act (40 U.S.C. 276a-276a-7) provides that contracts in excess of $2,000 to which the United States or the
District of Columbia is a party for construction, alteration, or repair (including painting and decorating) of public buildings or
public works with the United States, shall contain a clause that no laborer or mechanic employed directly upon the site of the
work shall received less than the prevailing wage rates as determined by the Secretary of Labor. The requirements of the Davis-
Bacon Act do not apply if the construction work is incidental to the furnishing of supplies, equipment, or services. For example,
the requirements do not apply to simple installation or alteration of a public building or public work that is incidental to furnishing
supplies or equipment under a supply contract. However, if the construction, alteration or repair is segregable and exceeds
$2,000, then the requirements of the Davis-Bacon Act applies.
The ordering activity issuing the task order against this contract will be responsible for proper administration and enforcement
of the Federal labor standards covered by the Davis-Bacon Act. The proper Davis-Bacon wage determination will be issued
by the ordering activity at the time a request for quotations is made for applicable construction classified installation,
deinstallation, and reinstallation services under SIN 132-8.
23.        SECTION 508 COMPLIANCE.

24.        PRIME CONTRACTOR ORDERING FROM FEDERAL SUPPLY SCHEDULES.
Prime Contractors (on cost reimbursement contracts) placing orders under Federal Supply Schedules, on behalf of an

ordering activity, shall follow the terms of the applicable schedule and authorization and include with each order –
           (a)       A copy of the authorization from the ordering activity with whom the contractor has the prime contract
          (unless a copy was previously furnished to the Federal Supply Schedule contractor); and
           (b)       The following statement:
                    This order is placed under written authorization from _______ dated _______. In the event of any
                    inconsistency between the terms and conditions of this order and those of your Federal Supply
                    Schedule contract, the latter will govern.
25.       INSURANCE—WORK ON A GOVERNMENT INSTALLATION (JAN 1997)(FAR 52.228-5)
(a)       The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the
kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.
(b)        Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the
required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect
that any cancellation or any material change adversely affecting the Government's interest shall not be effective—
           (1)       For such period as the laws of the State in which this contract is to be performed prescribe; or
           (2)        Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever
          period is longer.
(c)        The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract
that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required
in the Schedule or elsewhere in the contract. The Contractor shall maintain a copy of all subcontractors' proofs of required
insurance, and shall make copies available to the Contracting Officer upon request.
26.       SOFTWARE INTEROPERABILITY.
Offerors are encouraged to identify within their software items any component interfaces that support open standard
interoperability. An item’s interface may be identified as interoperable on the basis of participation in a Government
agency- sponsored program or in an independent organization program. Interfaces may be identified by reference to an
interface registered in the component registry located at http://www.core.gov.
27.       ADVANCE PAYMENTS
A payment under this contract to provide a service or deliver an article for the United States Government may not be more than
the value of the service already provided or the article already delivered. Advance or pre-payment is not authorized or allowed
under this contract. (31 U.S.C. 3324)

                  PROFESSIONAL SERVICES (SPECIAL ITEM NUMBER 132-51)


1.        SCOPE
 a.       The prices, terms and conditions stated under Special Item Number 132-51 Information Technology
Professional Services apply exclusively to IT Services within the scope of this Information Technology Schedule.
 b.        The Contractor shall provide services at the Contractor’s facility and/or at the ordering activity location, as agreed
to by the Contractor and the ordering activity.
2.        PERFORMANCE INCENTIVES
  a.        Performance incentives may be agreed upon between the Contractor and the ordering activity on individual
fixed price orders or Blanket Purchase Agreements under this contract in accordance with this clause.
 b.        The ordering activity must establish a maximum performance incentive price for these services and/or total
solutions on individual orders or Blanket Purchase Agreements.
 c.         Incentives should be designed to relate results achieved by the contractor to specified targets. To the maximum
extent practicable, ordering activities shall consider establishing incentives where performance is critical to the ordering
activity’s mission and incentives are likely to motivate the contractor. Incentives shall be based on objectively measurable
tasks.
3.         ORDER
 a.          Agencies may use written orders, EDI orders, blanket purchase agreements, individual purchase orders, or task
orders for ordering services under this contract. Blanket Purchase Agreements shall not extend beyond the end of the
contract period; all services and delivery shall be made and the contract terms and conditions shall continue in effect until the
completion of the order. Orders for tasks which extend beyond the fiscal year for which funds are available shall include FAR
52.232-19 (Deviation – May 2003) Availability of Funds for the Next Fiscal Year. The purchase order shall specify the
availability of funds and the period for which funds are available.
 b.        All task orders are subject to the terms and conditions of the contract. In the event of conflict between a task
order and the contract, the contract will take precedence.
4.        PERFORMANCE OF SERVICES
 a.        The Contractor shall commence performance of services on the date agreed to by the Contractor and the
ordering activity.
 b.       The Contractor agrees to render services only during normal working hours, unless otherwise agreed to
by the Contractor and the ordering activity.
c.        The ordering activity should include the criteria for satisfactory completion for each task in the Statement of
Work or Delivery Order. Services shall be completed in a good and workmanlike manner.
 d.        Any Contractor travel required in the performance of IT Services must comply with the Federal Travel Regulation or
Joint Travel Regulations, as applicable, in effect on the date(s) the travel is performed. Established Federal Government per
diem rates will apply to all Contractor travel. Contractors cannot use GSA city pair contracts.
5.         STOP-WORK ORDER (FAR 52.242-15) (AUG 1989)
(a)         The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any
part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any
further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this
clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to
minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a
period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties
shall have agreed, the Contracting Officer shall either-

           (1)        Cancel the stop-work order; or

           (2)      Terminate the work covered by the order as provided in the Default, or the Termination for Convenience
          of the Government, clause of this contract.

(b)        If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the
Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or
contract price, or both, and the contract shall be modified, in writing, accordingly, if-
           (1)        The stop-work order results in an increase in the time required for, or in the Contractor's cost properly
          allocable to, the performance of any part of this contract; and

           (2)      The Contractor asserts its right to the adjustment within 30 days after the end of the period of work
          stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may
          receive and act upon the claim submitted at any time before final payment under this contract.

(c)        If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the
Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the
termination settlement.
(d)        If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer
shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.
6.         INSPECTION OF SERVICES
The Inspection of Services–Fixed Price (AUG 1996) (Deviation – May 2003) clause at FAR 52.246-4 applies to firm-fixed
price orders placed under this contract. The Inspection–Time-and-Materials and Labor-Hour (JAN 1986) (Deviation – May
2003) clause at FAR 52.246-6 applies to time-and-materials and labor-hour orders placed under this contract.
7.         RESPONSIBILITIES OF THE CONTRACTOR
The Contractor shall comply with all laws, ordinances, and regulations (Federal, State, City, or otherwise) covering work of
this character. If the end product of a task order is software, then FAR 52.227-14 (Deviation – May 2003) Rights in Data –
General, may apply.
8.         RESPONSIBILITIES OF THE ORDERING ACTIVITY
Subject to security regulations, the ordering activity shall permit Contractor access to all facilities necessary to perform the
requisite IT Services.
9.         INDEPENDENT CONTRACTOR
All IT Services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not
as an agent or employee of the ordering activity.
10.        ORGANIZATIONAL CONFLICTS OF INTEREST
 a.        Definitions.
“Contractor” means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party
to this contract.
“Contractor and its affiliates” and “Contractor or its affiliates” refers to the Contractor, its chief executives, directors, officers,
subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity
into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.
An “Organizational conflict of interest” exists when the nature of the work to be performed under a proposed ordering
activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either (i) result
in an unfair competitive advantage to the Contractor or its affiliates or (ii) impair the Contractor’s or its affiliates’
objectivity in performing contract work.
 b.        To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the

ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors,
subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be
consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that
might otherwise exist in situations related to individual orders placed against the schedule contract. Examples of situations,
which may require restrictions, are provided at FAR 9.508.
11.       INVOICES
The Contractor, upon completion of the work ordered, shall submit invoices for IT services. Progress payments may be
authorized by the ordering activity on individual orders if appropriate. Progress payments shall be based upon completion of
defined milestones or interim products. Invoices shall be submitted monthly for recurring services performed during the
preceding month.
12.        PAYMENTS
 For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission of proper invoices or vouchers, the
prices stipulated in this contract for service rendered and accepted. Progress payments shall be made only when authorized
by the order. For time-and-materials orders, the Payments under Time-and-Materials and Labor-Hour Contracts at FAR
52.232-7 (DEC 2002), (Alternate II – Feb 2002) (Deviation – May 2003) applies to time-and-materials orders placed under this
contract. For labor-hour orders, the Payment under Time-and-Materials and Labor-Hour Contracts at FAR 52.232-7 (DEC
2002), (Alternate II – Feb 2002) (Deviation – May 2003)) applies to labor-hour orders placed under this contract. 52.216-31
(Feb 2007) Time-andMaterials/Labor-Hour Proposal Requirements—Commercial Item Acquisition As prescribed in 16.601
(e)(3), insert the following provision:
 (a) The Government contemplates award of a Time-and-Materials or Labor-Hour type of contract resulting from this
 solicitation.
 (b) The offeror must specify fixed hourly rates in its offer that include wages, overhead, general and administrative expenses,
 and
profit. The offeror must specify whether the fixed hourly rate for each labor category applies to labor performed by—
         (1)        The offeror;
         (2)        Subcontractors; and/or
        (3)        Divisions, subsidiaries, or affiliates of the offeror under a common control.
13.        RESUMES
Resumes shall be provided to the GSA Contracting Officer or the user ordering activity upon request.
14.        INCIDENTAL SUPPORT COSTS
Incidental support costs are available outside the scope of this contract. The costs will be negotiated separately with the
ordering activity in accordance with the guidelines set forth in the FAR.
15.        APPROVAL OF SUBCONTRACTS
The ordering activity may require that the Contractor receive, from the ordering activity's Contracting Officer, written consent
before placing any subcontract for furnishing any of the work called for in a task order.
16.        DESCRIPTION OF IT SERVICES AND PRICING
 a.         The Contractor shall provide a description of each type of IT Service offered under Special Item Numbers 132-
51. IT Services should be presented in the same manner as the Contractor sells to its commercial and other ordering
activity customers. If the Contractor is proposing hourly rates, a description of all corresponding commercial job titles (labor
categories) for those individuals who will perform the service should be provided.
 b.       Pricing for all IT Services shall be in accordance with the Contractor’s customary commercial practices; e.g., hourly
rates, monthly rates, term rates, and/or fixed prices.
The following is an example of the manner in which the description of a commercial job title should be
presented: EXAMPLE: Commercial Job Title: System Engineer
Minimum/General Experience: Three (3) years of technical experience which applies to systems analysis and design
techniques for complex computer systems. Requires competence in all phases of systems analysis techniques, concepts

                                                BASIC GUIDELINES FOR USING
                                             “CONTRACTOR TEAM ARRANGEMENTS”
Federal Supply Schedule Contractors may use “Contractor Team Arrangements” (see FAR 9.6) to provide solutions

These Team Arrangements can be included under a Blanket Purchase Agreement (BPA). BPAs are permitted under all

   Direct technical support activities to program(s) that are generally not defined or characterized as
   “Engineering” in nature. Included in Technical support are a broad range of services that include but are
   not limited to System Programmers that create, maintain and/or modify operating systems and software;
   System Administrators responsible for analyzing, troubleshooting and managing computer operating
   systems; Acquisition Support Specialists who analyze acquisition documents to ascertain requirements,
   track performance and required deliverables; Logistics Specialists responsible for implementing

Service: Compute – Elastic Compute Cloud (EC2)

Status        PRODUCTION

Description   Enterprise Compute Cloud (EC2) is a web service that provides resizable,
              secure, on-demand compute power in the cloud similar to a virtual server in the
              customer’s existing data center. The system can use a Microsoft, Linux, or
              OpenSolaris operating system which is included with the system and can be
              procured in one of eight (8) pre-configured systems which vary in memory,
              processor and disk size. System images can be modified and saved to be used
              as templates for future EC2 use. The systems can also be instantiated in various
              physical locations or in logically separated network segments to account for
              security or high-availability requirements.
Standard      Elastic Compute Cloud (EC2)- a true virtual computing environment, allowing
Service       you to use web service interfaces to launch server instances with a variety of
Features      operating systems, load them with your custom application environment,
              manage your network’s access permissions, and run your image using as many
              or few systems as you need. Once systems are started, remote access is
              securely provided through either Remote Desktop Protocol (RDP) or Secure
              Shell (SSH). The systems are available either on-demand for an hourly rate, or
              reserved for a set period of time for an annual fee plus a lower hourly rate.
                      On-Demand Instances – On-Demand Instances let you pay for compute
                      capacity by the hour with no long-term commitments. This frees you
                      from the costs and complexities of planning, purchasing, and
                      maintaining hardware and transforms what are commonly large fixed
                      costs into much smaller variable costs. On-Demand Instances also
                      remove the need to buy “safety net” capacity to handle periodic traffic
                      spikes.
                      Reserved Instances – Reserved Instances give you the option to make a
                      low, one-time payment for each instance you want to reserve and in turn
                      receive a significant discount on the hourly usage charge for that
                      instance. After the one-time payment for an instance, that instance is
                      reserved for you, and you have no further obligation; you may choose to
                      run that instance for the discounted usage rate for the duration of your

                  term, or when you do not use the instance, you will not pay usage
                  charges on it.

           Multiple Locations – EC2 provides the ability to place instances in multiple
           physical locations. EC2 locations are composed of Regions and Availability
           Zones. Availability Zones are distinct locations that are engineered to be
           insulated from failures in other Availability Zones and provide inexpensive, low
           latency network connectivity to other Availability Zones in the same Region.
           By launching instances in separate Availability Zones, you can protect your
           applications from failure of a single location. Regions consist of one or more
           Availability Zones, are geographically dispersed, and will be in separate
           geographic areas or countries.

           Security –EC2 includes web service interfaces to configure firewall settings
           (Security groups) that control network access to and between groups of
           instances.

           Guaranteed Service Levels for Availability – Amazon will make commercially
           reasonable efforts to make EC2 available with an Annual Uptime Percentage
           (defined in the Service Level Agreement) of at least 99.95% during the Service
           Year.


Optional   Elastic Block Store - Elastic Block Store (EBS) offers persistent storage for
Service    EC2 instances. EBS volumes provide off-instance storage that persists
Features   independently from the life of an instance. When an instance is stopped, data
           stored on the ephemeral storage is cleared, but data stored on an EBS volume
           remains intact. EBS volumes are highly available, highly reliable volumes that
           can be leveraged as an EC2 instance’s boot partition or attached to a running
           EC2 instance as a standard block device. When used as a boot partition, EC2
           instances can be stopped and subsequently restarted, enabling you to only pay
           for the storage resources used while maintaining your instance’s state.
           EBS volumes offer greatly improved durability over local EC2 instance stores,
           as EBS volumes are automatically replicated on the backend (in a single
           Availability Zone). For those wanting even more durability, EBS provides the
           ability to create point-in-time consistent snapshots of your volumes that are then
           stored in the Simple Storage Service (S3), and automatically replicated across
           multiple Availability Zones. These snapshots can be used as the starting point
           for new EBS volumes, and can protect your data for long term durability. You
           can also easily share these snapshots with co-workers and other AWS
           developers.

           Added Value Amazon Machine Images (AMIs) – While EC2 offers many
           choices in regards to operating systems and software packages available at no
           additional charge, there are some software packages available at an additional
           charge, such as Microsoft SQL Server 2005 Standard and Microsoft SQL

Server 2008 Standard.

Elastic IP Addresses - Elastic IP addresses are static IP addresses designed for
dynamic cloud computing. An Elastic IP address is associated with your
account not a particular instance, and you control that address until you choose
to explicitly release it. Unlike traditional static IP addresses, however, Elastic IP
addresses allow you to mask instance or Availability Zone failures by
programmatically remapping your public IP addresses to any instance in your
account. Rather than waiting on a data technician to reconfigure or replace your
host, or waiting for DNS to propagate to all of your customers, EC2 enables you
to engineer around problems with your instance or software by quickly
remapping your Elastic IP address to a replacement instance. In addition, you
can optionally configure the reverse DNS record of any of your Elastic IP
addresses

CloudWatch - CloudWatch is a web service that provides monitoring for AWS
cloud resources, starting with EC2. It provides you with visibility into resource
utilization, operational performance, and overall demand patterns—including
metrics such as CPU utilization, disk reads and writes, and network traffic. To
use CloudWatch, simply select the EC2 instances that you’d like to monitor;
within minutes, CloudWatch will begin aggregating and storing monitoring data
that can be accessed using web service APIs or Command Line Tools.

Auto Scaling - Auto Scaling allows you to automatically scale your EC2
capacity up or down according to conditions you define. With Auto Scaling,
you can ensure that the number of EC2 instances you’re using scales up
seamlessly during demand spikes to maintain performance, and scales down
automatically during demand lulls to minimize costs. Auto Scaling is
particularly well suited for applications that experience hourly, daily, or weekly
variability in usage. Auto Scaling is enabled by CloudWatch and available at no
additional charge beyond CloudWatch fees.

Elastic Load Balancing Elastic Load Balancing automatically distributes
incoming application traffic across multiple EC2 instances. It enables you to
achieve even greater fault tolerance in your applications, seamlessly providing
the amount of load balancing capacity needed in response to incoming
application traffic. Elastic Load Balancing detects unhealthy instances within a
pool and automatically reroutes traffic to healthy instances until the unhealthy
instances have been restored. You can enable Elastic Load Balancing within a
single Availability Zone or across multiple zones for even more consistent
application performance. CloudWatch can be used to capture a specific Elastic
Load Balancer’s operational metrics, such as request count and request latency,
at no additional cost beyond Elastic Load Balancing fees.

Virtual Private Cloud – In order to add security features requested by some
customers, we offer a Virtual Private Cloud option. This option allows you to

                securely and seamlessly bridge between existing IT infrastructure and the AWS
                cloud. VPC enables enterprises to connect their existing infrastructure to a set
                of isolated AWS compute resources via an IPSec Virtual Private Network
                (VPN) connection, and to extend their existing management capabilities such as
                security services, firewalls, and intrusion detection systems to include their
                AWS resources as if they were running in your own infrastructure.

                Elastic MapReduce – This web service enables agencies, researchers, data
                analysts, and developers to easily and cost-effectively process vast amounts of
                data. It utilizes a hosted Hadoop framework running on the web-scale
                infrastructure of EC2 and S3.
                Using Elastic MapReduce, you can instantly provision as much or as little
                capacity as you like to perform data-intensive tasks for applications such as web
                indexing, data mining, log file analysis, machine learning, financial analysis,
                scientific simulation, and bioinformatics research. Elastic MapReduce lets you
                focus on crunching or analyzing your data without having to worry about time-
                consuming set-up, management or tuning of Hadoop clusters or the compute
                capacity upon which they sit.
                To use Elastic MapReduce, a client would develop a data processing application
                using a SQL-like language, such as Hive or Pig, making it easy to write data
                analytical scripts without in-depth knowledge of the MapReduce development
                paradigm. If desired, more sophisticated applications can be authored in your
                choice of Cascading, Java, Ruby, Perl, Python, PHP, R, or C++. Data and the
                processing application are then uploaded to S3. Start the number and size
                instances required and start the workflow. Monitor the progress and retrieve
                your output from S3 when complete.

                     Add subscribers to a topic: Subscribers are clients interested in receiving
                      notifications from topics of interest; they can directly subscribe to a topic or

                      and end-point (URL, email address, etc.) for notifications to be delivered.
                      Upon receiving a subscription request, SNS will send a confirmation

Service: Compute – Enhanced Elastic Compute Cloud (EC2)

Status        PRODUCTION

Description   Enhanced Enterprise Compute Cloud (EC2) is a web service that provides
              resizable, secure, on-demand compute power in the cloud similar to a virtual
              server in the customer’s existing data center that has undergone a
              Certification and Accreditation for FISMA Moderate Impact Level up to the
              hypervisor. The system can use a Microsoft, Linux, or OpenSolaris operating
              system which is included with the system and can be procured in one of eight
              (8) pre-configured systems which vary in memory, processor and disk size.
              System images can be modified and saved to be used as templates for future
              Enhanced EC2 use. The systems can also be instantiated in various physical
              locations or in logically separated network segments to account for security or
              high-availability requirements. The use of VPC is required to meet the
              security requirements for Moderate FISMA Impact level. The portal used to
              procure Enhanced EC2 services provides the necessary restrictions to
              maintain the Moderate FISMA impact level, such as restricting deployment to
              within the United States.
Standard      Enhanced Elastic Compute Cloud (EC2)- a true virtual computing
Service       environment, allowing you to use web service interfaces to launch server
Features      instances with a variety of operating systems, load them with your custom
              application environment, manage your network’s access permissions, and run
              your image using as many or few systems as you need. Once systems are

                      On-Demand Instances – On-Demand Instances let you pay for

                      fixed costs into much smaller variable costs. On-Demand Instances
                      also remove the need to buy “safety net” capacity to handle periodic
                      traffic spikes.

              Virtual Private Cloud – In order to offer Enhanced EC2 at a level consistent
              with the FISMA Moderate Impact level, the use of Virtual Private Cloud is
              required. This feature allows you to securely and seamlessly bridge between
              existing IT infrastructure and the AWS cloud. VPC enables enterprises to
              connect their existing infrastructure to a set of isolated AWS compute
              resources via an IPSec Virtual Private Network (VPN) connection, and to
              extend their existing management capabilities such as security services,
              firewalls, and intrusion detection systems to include their AWS resources as

              Multiple Locations – Enhanced EC2 provides the ability to place instances in
              multiple physical locations. Enhanced EC2 locations are composed of
              Regions and Availability Zones. Availability Zones are distinct locations that
              are engineered to be insulated from failures in other Availability Zones and
              provide inexpensive, low latency network connectivity to other Availability
              Zones in the same Region. By launching instances in separate Availability
              Zones, you can protect your applications from failure of a single location.
              Regions consist of one or more Availability Zones, are geographically
              dispersed, and will be in separate geographic areas or countries. The
              Enhanced EC2 offering is only available currently in the US East Region.

              Security –Enhanced EC2 includes web service interfaces to configure firewall
              settings (Security groups) that control network access to and between groups
              of instances.

              Guaranteed Service Levels for Availability – Amazon will make
              commercially reasonable efforts to make Enhanced EC2 available with an
              Annual Uptime Percentage (defined in the Service Level Agreement) of at
              least 99.95% during the Service Year.


Optional      Elastic Block Store - Elastic Block Store (EBS) offers persistent storage for
Service       EC2 instances. EBS volumes provide off-instance storage that persists
Features      independently from the life of an instance. When an instance is stopped, data
              stored on the ephemeral storage is cleared, but data stored on an EBS volume
              remains intact. EBS volumes are highly available, highly reliable volumes
              that can be leveraged as an EC2 instance’s boot partition or attached to a
              running EC2 instance as a standard block device. When used as a boot
              partition, Enhanced EC2 instances can be stopped and subsequently restarted,
              enabling you to only pay for the storage resources used while maintaining
              your instance’s state.
              EBS volumes offer greatly improved durability over local EC2 instance
              stores, as EBS volumes are automatically replicated on the backend (in a
              single Availability Zone). For those wanting even more durability, EBS
              provides the ability to create point-in-time consistent snapshots of your
              volumes that are then stored in the Simple Storage Service (S3), and
              automatically replicated across multiple Availability Zones. These snapshots
              can be used as the starting point for new EBS volumes, and can protect your
              data for long term durability. You can also easily share these snapshots with
              co-workers and other AWS developers.

              Added Value Amazon Machine Images (AMIs) – While EC2 offers many

              charge. These machine images have not been certified and are not part of the

              Elastic IP Addresses - Elastic IP addresses are static IP addresses designed for
              dynamic cloud computing. An Elastic IP address is associated with your
              account not a particular instance, and you control that address until you
              choose to explicitly release it. Unlike traditional static IP addresses, however,
              Elastic IP addresses allow you to mask instance or Availability Zone failures
              by programmatically remapping your public IP addresses to any instance in
              your account. Rather than waiting on a data technician to reconfigure or
              replace your host, or waiting for DNS to propagate to all of your customers,
              EC2 enables you to engineer around problems with your instance or software
              by quickly remapping your Elastic IP address to a replacement instance. In
              addition, you can optionally configure the reverse DNS record of any of your
              Elastic IP addresses

              CloudWatch - CloudWatch is a web service that provides monitoring for
              AWS cloud resources, starting with EC2. It provides you with visibility into
              resource utilization, operational performance, and overall demand patterns—
              including metrics such as CPU utilization, disk reads and writes, and network
              traffic. To use CloudWatch, simply select the EC2 instances that you’d like to
              monitor; within minutes, CloudWatch will begin aggregating and storing
              monitoring data that can be accessed using web service APIs or Command
              Line Tools.

              Auto Scaling - Auto Scaling allows you to automatically scale your EC2
              capacity up or down according to conditions you define. With Auto Scaling,
              you can ensure that the number of EC2 instances you’re using scales up
              seamlessly during demand spikes to maintain performance, and scales down
              automatically during demand lulls to minimize costs. Auto Scaling is
              particularly well suited for applications that experience hourly, daily, or
              weekly variability in usage. Auto Scaling is enabled by CloudWatch and
              available at no additional charge beyond CloudWatch fees.

              Elastic Load Balancing Elastic Load Balancing automatically distributes
              incoming application traffic across multiple EC2 instances. It enables you to
              achieve even greater fault tolerance in your applications, seamlessly
              providing the amount of load balancing capacity needed in response to
              incoming application traffic. Elastic Load Balancing detects unhealthy
              instances within a pool and automatically reroutes traffic to healthy instances
              until the unhealthy instances have been restored. You can enable Elastic Load
              Balancing within a single Availability Zone or across multiple zones for even

Description    Enhanced Simple Storage Service (S3) is object-based storage for the
               Internet. It is designed to make web-scale computing easier for developers.

               Enhanced S3 provides a simple web services interface that can be used to
               store and retrieve any amount of data, at any time, from anywhere on the web.
               It gives any developer access to a highly scalable, reliable, fast, inexpensive
               data storage infrastructure. The service aims to maximize benefits of scale
               and to pass those benefits on to developers. The Enhanced S3 offering has
               gone through the Certification and Accreditation process for a FISMA
               Moderate Impact level. By using the portal to procure these services, the
               Moderate level is enforced by restricting certain services that might
               compromise the C&A, such as the use of the Cloudfront Content Distribution
               Network which could potentially allow data to reside outside the United
               States.


Standard       Enhanced Simple Storage Service – Enhanced S3 is intentionally built with a

Features             Write, read, and delete objects containing from 1 byte to 5 gigabytes of data
                      each. The number of objects you can store is virtually unlimited.
                     Each object is stored in a bucket and retrieved via a unique, developer-

1   End Users shall enter into and be bound by the Customer Agreement, attached, prior to an End User’s
     use of any Apptis FedCloud Service. The sign-up process shall require that the End User obtain its
     own, unique Account Identifier to allow tracking of use or access of the End User Content, including
     any End User Amazon Machine Image (AMI). In such instances, the End User’s use of the Services
     will be governed by the terms and conditions of the Customer Agreement.

2   Apptis may change, discontinue, deprecate or republish its Application Programming Interface (APIs)
    for the Services, or features or functionality of the Services; however, Apptis will communicate prior
    to any change or discontinuance of an API in order for End User to modify the API interface or
    develop an alternative means to engage the Service. End Users are responsible for ensuring that
    calls made to the Services are compatible with then-current APIs for the Services.

3   Apptis may suspend End User’s right and license to use all or any portion of the Services for cause
    upon Apptis’ written notice to End User to the extent: (a) the use of Services by End User or its End
    Users (including its Applications) disrupts or threatens the Services; (b) Apptis determines there is
    evidence of fraud with respect to End User’s account; (c) Apptis receives notice or Apptis otherwise
    determines that End Users may be using the Services for any illegal purpose; or (d) End User uses
    any of the Apptis Properties in breach of this Agreement. Such suspension may continue until the
    basis of the suspension is cured as determined by Apptis.

4   Apptis may terminate the End User Agreement and End User’s right to use all Services for cause
    upon Apptis’ written notice to End User that Apptis has determined that its continued provision of
    any of the Services to End Users is prohibited by applicable law, or has become impractical or
    unfeasible for any legal or regulatory reason.

5   Apptis’ GSA FedCloud Service Price offering shall be included by reference to include all the pricing
    notes for any GSA modification to the GS-35F-0586V IT 70 Schedule.

which do not include those web services for which we or any of our suppliers specifically provide a separate
agreement.

2.   Modifications to this Agreement

     You agree that we may modify this Agreement or any policy or other terms referenced in this Agreement

     (collectively, “Additional Policies”) at any time by posting a revised version of the Agreement or such
     Additional Policy on the FedCloud Website page accessible at http://www.fedcloud.com. The revised terms
     shall be effective as follows:

             if the revised terms are for (a) any Services which we are adding at the time of the revision, (b) any
              AUP (as defined in Section 4.1.2), or (c) for any other general terms and conditions applicable to our
              services, web sites or other properties, then the revised terms shall be effective upon posting (unless we
              expressly state otherwise at the time of posting); and

             if the revised terms are otherwise for any then-existing Services, then the revised terms shall be
              effective upon the earlier to occur of (a) fifteen (15) days after posting and (b) if we provide a
              mechanism for your immediate acceptance of the revised terms, such as a click-through confirmation
              or acceptance button.

     By continuing to use or receive the Services after the effective date of any revisions to this Agreement or any
     Additional Policies, you agree to be bound by the revised Agreement or any revised Additional Policies. It is
     your responsibility to check the FedCloud Website page regularly for changes to this Agreement or the
     Additional Policies, as applicable. We last modified this Agreement on the date set forth at the top of this
     Agreement.

3.   Term, Termination and Suspension

     3.1. Term. The term of this Agreement (“Term”) will commence, and you may begin using the Services, once
           you agree to the terms and conditions of this Agreement by clicking the “Accept” button below and
           complete the registration process for your FedCloud account. The Agreement will remain in effect until
           terminated by you or us in accordance with this Section 3.

     3.2. Termination by You for Convenience. You may terminate this Agreement for any reason or no reason at
           all, at your convenience, by (i) providing us written notice of termination in accordance with Section 14
           and (ii) closing your account for any Service for which we or our suppliers provide an account closing
           mechanism.

     3.3. Termination or Suspension by Us Other Than for Cause. We may suspend your right and license to use any
           or all Services or terminate this Agreement in its entirety (and, accordingly, cease providing all Services to
           you), for any reason or for no reason, at our discretion at any time by providing you sixty (60) days’
           advance notice in accordance with the notice provisions set forth in Section 14 below.

     3.4. Termination or Suspension by Us for Cause. We may suspend your right and license to use any individual
           Service or any set of Services, or terminate this Agreement in its entirety (and, accordingly, your right to
           use all Services), for cause effective as set forth below:

         3.4.1. Immediately upon our notice to you in accordance with the notice provisions set forth in Section 14
                below if: (i) you attempt a denial of service attack on any of the Services; (ii) you seek to hack or
                break any security mechanism on any of the Services or we otherwise determine that your use of the
                Services poses a security or service risk to us or our suppliers, to any user of services offered by us or
                our suppliers, or to any of our or their respective customers or may subject us or any third party to
                liability, damages or danger; (iii) you otherwise use the Services in a way that disrupts or threatens
                the Services; (iv) you are in default of your payment obligations hereunder and there is an unusual
                spike or increase in your use of the Services; (v) we determine, in our sole discretion, there is
                evidence of fraud with respect to your account; (vi) we receive notice or we otherwise determine, in
                our sole discretion, that you may be using the Services for any illegal purpose or in a way that
                violates the law or violates, infringes, or misappropriates the rights of any third party; (viii) we
                determine, in our sole discretion, that our provision of any of the Services to you is prohibited by
                applicable law, or has become impractical or unfeasible for any legal or regulatory reason; or (ix)
                subject to applicable law, upon your liquidation, commencement of dissolution proceedings, disposal

           of your assets, failure to continue your business, assignment for the benefit of creditors, or if you
           become the subject of a voluntary or involuntary bankruptcy or similar proceeding.

    3.4.2. Fifteen (15) days following our provision of notice to you in accordance with the notice provisions
           set forth in Section 14 below if you are in default of any payment obligation with respect to any of
           the Services or if any payment mechanism you have provided to us is invalid or charges are refused
           for such payment mechanism, and you fail to cure such payment obligation default or correct such
           payment mechanism problem within such 15 day period.

    3.4.3. Five (5) days following our provision of notice to you in accordance with the notice provisions set
           forth in Section 14 below if you breach any other provision of this Agreement and fail, as determined
           by us, in our sole discretion, to cure such breach within such 5 day period.

3.5. Effect of Suspension or Termination.

    3.5.1. Suspension. Upon our suspension of your use of any Services, in whole or in part, for any reason, (i)
           fees will continue to accrue for any Services that are still in use by you, notwithstanding the
           suspension (including your continued storage of data on the Services during the period of
           suspension); (ii) you remain liable for all fees, charges and any other obligations you have incurred
           through the date of suspension with respect to the Services; and (iii) all of your rights with respect to
           the applicable Services shall be terminated during the period of the suspension.

    3.5.2. Termination. Upon termination of this Agreement for any reason: (i) you remain liable for all fees,
           charges and any other obligations you have incurred through the date of termination with respect to
           the Services; (ii) all of your rights under this Agreement shall immediately terminate; and (iii) you
           shall immediately return, or if instructed by us, destroy all Confidential Information (as defined in
           Section 8 below).

3.6. Survival. In the event this Agreement is terminated for any reason, Sections 3.5, 3.6, 3.7, 3.8, 4.2, 7 (with
      respect to payments that are accrued but unpaid at the time of termination), and 8 through 15 will survive
      any such termination.

3.7. Data Preservation in the Event of Suspension or Termination.

    3.7.1. In the Event of Suspension Other Than for Cause. In the event of a suspension by us of your access
           to any Service for any reason other than a for cause suspension under Section 3.4.1, during the period
           of suspension, (i) we will not take any action to intentionally erase any of your data stored on the
           Services and (ii) applicable Service data storage charges will continue to accrue.

    3.7.2. In the Event of Termination Other Than for Cause. In the event of any termination by us of any
           Service or any set of Services, or termination of this Agreement in its entirety, other than a for cause
           termination under Section 3.4.1, (i) we will not take any action to intentionally erase any of your data
           stored on the Services for a period of thirty (30) days after the effective date of termination; and (ii)
           your post termination retrieval of data stored on the Services will be conditioned on your payment of
           Service data storage charges for the period following termination, payment in full of any other
           amounts due us, and your compliance with terms and conditions we may establish with respect to
           such data retrieval.

    3.7.3. In the Event of Other Suspension or Termination. Except as provided in Sections 3.7.1 and 3.7.2
           above, we shall have no obligation to continue to store your data during any period of suspension or
           termination or to permit you to retrieve the same.

3.8. Post-Termination Assistance. Following the suspension or termination of your right to use the Services by
      us or by you for any reason other than a for cause termination (i.e., a termination under Section 3.2 or
      under Section 3.3), you shall be entitled to take advantage of any post-termination assistance we may
      generally make available with respect to the Services, such as data retrieval arrangements we may elect to

          make available. We may also endeavor to provide you unique post-suspension or post-termination
          assistance, but we shall be under no obligation to do so. Your right to take advantage of any such
          assistance, whether generally made available with respect to the Services or made available uniquely to
          you, shall be conditioned upon your acceptance of and compliance with any fees and terms we specify for
          such assistance.

4.   Authorization and License to Use the Services. Subject to your acceptance of and compliance with this
     Agreement and with the payment requirements for the Services that are set forth on the Apptis GSA Schedule
     (as such payment terms may be updated from time to time), we hereby grant you a limited, non-exclusive, non-
     transferable, non-sublicenseable right and license, in and under our intellectual property rights, to access and
     use the Services, solely in accordance with the terms and conditions of this Agreement.

     4.1. Permitted Uses Generally.

         4.1.1. You may write or develop software, web sites, or other online services or technology that you store
                in, or that interface with, the Services (collectively, “Applications”). Applications include machine
                images containing software applications, libraries, data and associated configuration settings. You
                acknowledge that application program interfaces (“APIs”) may be changed, deprecated or
                republished for any Service or feature of a Service from time to time, and that it is your responsibility
                to ensure that calls you make to any Service are compatible with then-current APIs for the Service.
                You further acknowledge that features or functionality of the Services may be changed or removed at
                any time.

         4.1.2. You may enable access and use of Your Content by your end users in accordance with the terms of
                this Agreement. “Your Content” means any Application, data or other content that you may (a)
                provide to us pursuant to this Agreement, (b) make available to any end users in conjunction with the
                Services, or (c) develops, or uses in connection with the Services. You are responsible for all terms
                and conditions applicable to Your Content.

         4.1.3. You may make network calls or requests to the Services at any time that the Services are available,
                provided that, unless otherwise set forth in the Service Terms (as defined below) applicable any
                Service, you (or if you build and release an Application, each installed copy of your Application)
                may not exceed the maximum file size or maximum calls per second limit (if any) set forth in the
                Service Terms for any particular Service (or, in the event the Service Terms for a Service do not
                indicate a maximum file size, greater than 40K).

     4.2. Restricted Uses Generally.

         4.2.1. You may not interfere or attempt to interfere in any manner with the functionality or proper working
                of the Services.

         4.2.2. You may not compile or use any other information obtained through the Services for the purpose of
                direct marketing, spamming, unsolicited contacting of sellers or customers, or other impermissible
                advertising, marketing or other activities, including, without limitation, any activities that violate
                anti-spamming laws and regulations.

         4.2.3. You may not remove, obscure, or alter any notice of any Mark, or other intellectual property or
                proprietary right designation appearing on or contained within the Services.

         4.2.4. Subject to the terms and conditions of this Agreement, you may generally publicize your use of the
                Services; however, you may not issue any press release with respect to the Services or this
                Agreement without our prior written consent.

     4.3. Accounts and Keys. Unless otherwise stated in the applicable Service Terms, you may only create one
           account per email address. FedCloud accounts are associated with one or more public key/private key
           pairs, which are used to access the service. Examples include an Access Key ID string (as a public key)

            and a Secret Access Key string (as a private key), or an X.509 certificate (as a public key) and its
            corresponding private key all of which may be issued to you by Apptis or its suppliers. When you
            complete the account creation process, you will be issued unique account identifiers (“Account
            Identifiers”), and may add a public key to your account. Account Identifiers (i) identify your account and
            (ii) allow you to make requests to Services. The Account Identifier is immutable and will always uniquely
            identify your FedCloud account. Public key/private key pairs are unique to your account and are subject to
            change. Private keys are for your personal use only, and you may not sell, transfer, sublicense or otherwise
            disclose your private key to any other party. You may use your public key in the open in requests to the
            Services; your public key is therefore not secret. However, you are responsible for maintaining the secrecy
            and security of your private key. You are fully responsible for all activities that occur under your Account
            Identifiers, regardless of whether such activities are undertaken by you or a third party. Therefore, you
            should contact us immediately if you believe a third party may be using your private key, or if your private
            key is otherwise lost or stolen. You are responsible for maintaining up-to-date and accurate information
            (including contact information) for your FedCloud account. We are not responsible for any unauthorized
            access to, alteration of, or the deletion, destruction, damage, loss or failure to store any of, Your Content,
            your Applications, or other data which you submit or use in connection with your account or the Services.

5.   Acceptable Use Policy and Service Terms. You may only use the Services in accordance with the Acceptable
     Use Policy available at http://aws.amazon.com/aup (the “AUP”) and the applicable Service Terms available at
     http://aws.amazon.com/service terms (the “Service Terms”).

6.   Downtime and Service Suspensions; Security

     6.1. Downtime and Service Suspensions. In addition to our rights to terminate or suspend Services to you as
           described in Section 3 above, you acknowledge that: (i) your access to and use of the Services may be
           suspended for the duration of any unanticipated or unscheduled downtime or unavailability of any portion
           or all of the Services for any reason, including as a result of power outages, system failures or other
           interruptions; and (ii) we shall also be entitled, without any liability to you, to suspend access to any
           portion or all of the Services at any time, on a Service-wide basis: (a) for scheduled downtime to permit us
           or our suppliers to conduct maintenance or make modifications to any Service; (b) in the event of a denial
           of service attack or other attack on the Service or other event that we determine, in our sole discretion,
           may create a risk to the applicable Service, to you or to any of our other customers if the Service were not
           suspended; or (c) in the event that we determine that any Service is prohibited by law or we otherwise
           determine that it is necessary or prudent to do so for legal or regulatory reasons (collectively, “Service
           Suspensions”). Without limitation to Section 10.5, we and our suppliers shall have no liability whatsoever
           for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that you
           may incur as a result of any Service Suspension. To the extent we are able, we will endeavor to provide
           you email notice of any Service Suspension in accordance with the notice provisions set forth in Section
           14 below and to post updates on the FedCloud Websites regarding resumption of Services following any
           such suspension, but shall have no liability for the manner in which we may do so or if we fail to do so.

     6.2. Security. We strive to keep Your Content secure, but cannot guarantee that we will be successful at doing
           so, given the nature of the Internet. Accordingly, without limitation to Section 4.3 above and Section 10.5
           below, you acknowledge that you bear sole responsibility for adequate security, protection and backup of
           Your Content and Applications. We strongly encourage you, where available and appropriate, to (a) use
           encryption technology to protect Your Content from unauthorized access, (b) routinely archive Your
           Content, and (c) keep your Applications or any software that you use or run with our Services current with
           the latest security patches or updates. We and our suppliers will have no liability to you for any
           unauthorized access or use, corruption, deletion, destruction or loss of any of Your Content or
           Applications.

7.   Fees

     7.1. Service Fees. In consideration of your use of any of the Services, you agree to pay applicable fees for the
           Services in the amounts set forth on the respective Service detail pages on the GSA Schedule 70 Website
           (including any minimum subscription fees). Fees for any new Service or new Service feature will be

          effective upon posting by us on the GSA Schedule 70 and FedCloud Website for the applicable Service.
          All fees will be in accordance with the GSA Schedule offering. All fees payable by you are exclusive of
          applicable taxes and duties, including, without limitation, VAT and applicable sales tax. You will provide
          such information to us as reasonably required to determine whether we are obligated to collect VAT from
          you, including without limitation your VAT identification number.

     7.2. Payment. We may specify the manner in which you will pay any fees, and any such payment shall be
           subject to our general accounts receivable policies from time to time in effect. All amounts payable by you
           under this Agreement will be made without setoff or counterclaim and without deduction or withholding.
           If any deduction or withholding is required by applicable law, you shall notify us and shall pay such
           additional amounts to us as necessary to ensure that the net amount that we receive, after such deduction
           and withholding, equals the amount we would have received if no such deduction or withholding had been
           required. Additionally, you shall provide us with documentation that the withholding and deducted
           amounts have been paid to the relevant taxing authority.

8.   Confidentiality

     8.1. Use and Disclosure. You shall not disclose Confidential Information during the Term or at any time during
           the three (3) year period following the end of the Term. As used in this Agreement, “Confidential
           Information” means all nonpublic information disclosed by us, our business partners and suppliers or our
           or their respective agents or contractors that is designated as confidential or that, given the nature of the
           information or circumstances surrounding its disclosure, reasonably should be understood to be
           confidential. Confidential Information includes, without limitation, (i) nonpublic information relating to
           our or our business partners’ technology, customers, business plans, promotional and marketing activities,
           finances and other business affairs (including, but not limited to, any information about or involving one
           of our or our suppliers’ so-called beta tests or a beta test product that you obtain as a result of your
           participation in such beta test), (ii) third-party information that we or our suppliers are obligated to keep
           confidential, and (iii) the nature, content and existence of any discussions or negotiations between you and
           us. Confidential Information does not include any information described in Section 8.2 or any information
           that you are required to disclose by law.

     8.2. Excluded Information. Notwithstanding any other provision in this Agreement, you shall not have any
           confidentiality obligation to us under Section 8.1 above, with respect to any information provided or made
           available by us hereunder, and we shall not have any confidentiality or non-use obligation to you
           hereunder with respect to any information, software application, data or content provided or made
           available by you hereunder that: (i) is or becomes publicly available without breach of this Agreement; (ii)
           can be shown by documentation to have been known to the receiving party at the time of its receipt from
           the disclosing party; (iii) is received from a third party who did not acquire or disclose the same by a
           wrongful or tortious act; or (iv) can be shown by documentation to have been independently developed by
           the receiving party.

     8.3. Conflict with Separate Non-Disclosure Agreement. If you and we are parties to a separate non-disclosure
           agreement (“Stand-Alone NDA”) and there is a conflict between the terms of the Stand-Alone NDA and
           the terms of this Section 8, the terms of the Stand-Alone NDA shall control with respect to any
           Confidential Information owned by us; and, the terms above shall control upon such a conflict with respect
           to any Confidential Information provided or owned by our suppliers or their affiliates.

9.   Intellectual Property

     9.1. Our Services. Other than the limited use and access rights and licenses expressly set forth in this
          Agreement, we and our suppliers, as applicable, reserve all right, title and interest (including all
          intellectual property and proprietary rights) in and to the Services and any other technology and software
          that we provide or use to provide the Services. You do not, by virtue of this Agreement or otherwise,
          acquire any ownership interest or rights in the Services or other technology and software (including third
          party technology and software), except for the limited use and access rights described in this Agreement.

    9.2. Your Applications, Data and Content. Other than the rights and interests expressly set forth in this
         Agreement, you reserve all right, title and interest (including all intellectual property and proprietary
         rights) in and to Your Content. We will not disclose Your Content, except: (i) if you expressly authorize
         us to do in connection with your use of the Services; or (ii) as necessary to provide the Services to you, or
         to comply with the Agreement or the request of a governmental or regulatory body, subpoenas or court
         orders..

    9.3. Feedback. In the event you elect, in connection with any of the Services, to communicate to us or our
         suppliers suggestions for improvements to the Services (collectively, “Feedback”), we shall own all right,
         title, and interest in and to the same, even if you have designated the Feedback as confidential, and we or
         our assignees or licensees shall be entitled to use the Feedback without restriction. You hereby irrevocably
         assign all right, title and interest in and to the Feedback to us and agree to provide such assistance as may
         be required to document, perfect, and maintain the assigned or to be assigned rights to the Feedback.

    9.4. Non-Assertion. During and after the term of the Agreement, with respect to any of the Services that you
         elect to use, you will not assert, nor will you authorize, assist, or encourage any third party to assert,
         against us or any of our customers, end users, vendors, business partners, licensors, suppliers, sublicensees
         or transferees, or any affiliates of the foregoing, any patent infringement or other intellectual property
         infringement claim with respect to such Services.

10. Representations and Warranties; Disclaimers; Limitations of Liability

    10.1. Use of the Services. You represent and warrant that you will not use the Services and/or your Application
          and Your Content: (i) in a manner that infringes, violates or misappropriates any rights of us or any third
          party; (ii) to engage in spamming or other impermissible advertising, marketing or other activities,
          including, without limitation, any activities that violate anti-spamming laws and regulations, including,
          without limitation, the CAN SPAM Act of 2003; (iii) in any manner that constitutes or facilitates the
          illegal export of any controlled or otherwise restricted items, including, without limitation, software,
          algorithms or other data that is subject to export laws; and/or (iv) in a way that is otherwise illegal or
          promotes illegal activities, including, without limitation, in a manner that might be libelous or defamatory
          or otherwise malicious or harmful to any person or entity, or discriminatory based on race, sex, religion,
          nationality, disability, sexual orientation, or age.

    10.2. Applications and Content. You represent and warrant: (i) that you are solely responsible for the
          development, operation, and maintenance of Your Content, including without limitation, the accuracy,
          security, appropriateness and completeness of Your Content and all product-related materials and
          descriptions; (ii) that you have the necessary rights and licenses, consents, permissions, waivers and
          releases to use and display Your Content; (iii) that Your Content (a) does not violate, misappropriate or
          infringe any rights of us or any third party, (b) constitutes defamation, invasion of privacy or publicity, or
          otherwise violates any rights of any third party, or (c) is designed for use in any illegal activity or
          promotes illegal activities, including, without limitation, use in a manner that might be libelous or
          defamatory or otherwise malicious, illegal or harmful to any person or entity, or discriminatory based on
          race, sex, religion, nationality, disability, sexual orientation, or age; and (iv) that Your Content does not
          contain any unauthorized data, malware, viruses, Trojan horses, spyware, worms, or other malicious or
          harmful code (collectively “Harmful Components”).

    10.3. Public Software and Feedback. You represent and warrant that you will not use, and will not authorize any
          third party to use, any Public Software in connection with the Services in any manner that requires,
          pursuant to the license applicable to such Public Software, that any Services be (a) disclosed or distributed
          in source code form, (b) made available free of charge to recipients, or (c) modifiable without restriction
          by recipients. With respect to any Feedback, you represent and warrant that such Feedback, in whole or in
          part, contributed by or through you, (i) contains no third party software or any software that may be
          considered Public Software and (ii) does not violate, misappropriate or infringe any intellectual property
          rights of any third party. “Public Software” means any software, documentation or other material that
          contains, or is derived (in whole or in part) from, any software, documentation or other material that is
          distributed as free software, open source software (e.g., Linux) or similar licensing or distribution models,

     including, but not limited to software, documentation or other material licensed or distributed under any of
     the following licenses or distribution models, or licenses or distribution models similar to any of the
     following: (i) GNU’s General Public License (GPL), Lesser/Library GPL (LGPL), or Free Documentation
     License, (ii) The Artistic License (e.g., PERL), (iii) the Mozilla Public License, (iv) the Netscape Public
     License, (v) the Sun Community Source License (SCSL), (vi) the Sun Industry Standards License (SISL),
     (vii) the BSD License and (viii) the Apache License.

10.4. Authorization and Account Information. You represent and warrant that: (i) the information you provide
      in connection with your registration for the Services is accurate and complete; (ii) if you are registering for
      the Services as an individual, that you are at least 18 years of age and have the legal capacity to enter into
      this Agreement; and (iii) if you are registering for the Services as an entity or organization, (a) you are
      duly authorized to do business in the country or countries where you operate, (b) the individual clicking
      “Accept” on this Agreement and completing the registration for the Services meets the requirements of
      subsection (ii) above and is an authorized representative of your entity, and (c) your employees, officers,
      representatives and other agents accessing the Services are duly authorized to access the Services and to
      legally bind you to this Agreement and all transactions conducted under your account.

10.5. Disclaimers. THE SERVICES AND ALL TECHNOLOGY, SOFTWARE, FUNCTIONS, CONTENT,
      IMAGES, MATERIALS AND OTHER DATA OR INFORMATION PROVIDED BY US OR OUR
      SUPPLIERS IN CONNECTION THEREWITH (COLLECTIVELY THE “SERVICE OFFERINGS”)
      ARE PROVIDED “AS IS”. WE AND OUR SUPPLIERS MAKE NO REPRESENTATIONS OR
      WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE
      WITH RESPECT TO THE SERVICE OFFERINGS. EXCEPT TO THE EXTENT PROHIBITED BY
      APPLICABLE LAW, WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES, INCLUDING,
      WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
      SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT,
      QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING
      OR USAGE OF TRADE. WE AND OUR SUPPLIERS DO NOT WARRANT THAT THE SERVICE
      OFFERINGS WILL FUNCTION AS DESCRIBED, WILL BE UNINTERRUPTED OR ERROR FREE,
      OR FREE OF HARMFUL COMPONENTS, OR THAT THE DATA YOU STORE WITHIN THE
      SERVICE OFFERINGS WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED. WE AND
      OUR SUPPLIERS SHALL NOT BE RESPONSIBLE FOR ANY SERVICE INTERRUPTIONS,
      INCLUDING, WITHOUT LIMITATION, POWER OUTAGES, SYSTEM FAILURES OR OTHER
      INTERRUPTIONS, INCLUDING THOSE THAT AFFECT THE RECEIPT, PROCESSING,
      ACCEPTANCE, COMPLETION OR SETTLEMENT OF ANY PAYMENT SERVICES. NO ADVICE
      OR INFORMATION OBTAINED BY YOU FROM US OR FROM ANY THIRD PARTY OR
      THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN
      THIS AGREEMENT.

10.6. Your Applications are Your Responsibility. In addition to the foregoing, we and our suppliers specifically
      disclaim all liability, and you shall be solely responsible for the development, operation, and maintenance
      of your Application and for all materials that appear on or within your Application and you agree that you
      shall, without limitation, be solely responsible for:

    10.6.1. the technical operation of your Application and all related equipment;

    10.6.2. the accuracy and appropriateness of any materials posted on or within your Application (including,
          among other things, any product-related materials);

    10.6.3. ensuring that any materials posted on your site or within your Application are not illegal and do
          not promote illegal activities, including without limitation any activities that might be libelous or
          defamatory or otherwise malicious, illegal or harmful to any person or entity, or discriminatory based
          on race, sex, religion, nationality, disability, sexual orientation, or age;

    10.6.4. ensuring that your Application accurately and adequately discloses, either through a privacy policy
          or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where

                 applicable, that third parties (including advertisers) may serve content and/or advertisements and
                 collect information directly from visitors and may place or recognize cookies on visitors’ browsers;

          10.6.5. any of your users’ or customers’ claims relating to your Application or any Services utilized in
                connection with your Application; and

          10.6.6. your election to utilize machine images, sample code and libraries that may be made available by
                Apptis or its suppliers, many of which may be provided by third parties and many of which we have
                not tested or screened in any way.

      10.7. Links. The FedCloud Website and/or the Services may contain links to websites that are not under our
            control (“Third Party Sites”). Neither we nor our suppliers are responsible for the contents or functionality
            of any Third Party Sites or any website that can be accessed via links on any Third Party Site. We provide
            these links to you as a convenience and the inclusion of any such links does not constitute or imply our
            endorsement or validation of any Third Party Site.

      10.8. Limitations of Liability. NEITHER WE NOR ANY OF OUR SUPPLIERS SHALL BE LIABLE TO
            YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR
            EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF
            PROFITS, GOODWILL, USE, DATA OR OTHER LOSSES (EVEN IF WE OR OUR SUPPLIERS
            HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) IN CONNECTION WITH
            THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, ANY SUCH DAMAGES RESULTING
            FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICES; (ii) THE COST OF
            PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; OR (iii) UNAUTHORIZED ACCESS
            TO OR ALTERATION OF YOUR CONTENT. IN ANY CASE, OUR AND OUR SUPPLIERS’
            AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT
            ACTUALLY PAID BY YOU TO US HEREUNDER FOR THE SERVICES. SOME JURISDICTIONS
            DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR
            EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.
            ACCORDINGLY, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT
            APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11.        Indemnification

      11.1. General. You agree to indemnify, defend and hold us, our suppliers, our affiliates and the affiliates of our
            suppliers, each of our and their business partners (including third party sellers on websites operated by or
            on behalf of us) and each of our and their respective employees, officers, directors and representatives,
            harmless from and against any and all claims, losses, damages, liabilities, judgments, penalties, fines, costs
            and expenses (including reasonable attorneys fees), arising out of or in connection with any claim arising
            out of (i) your use of the Services in a manner not authorized by this Agreement, and/or in violation of the
            applicable restrictions, the AUP, the Service Terms and/or applicable law, (ii) Your Content, or the
            combination of either with other applications, content or processes, including but not limited to any claim
            involving infringement or misappropriation of third-party rights and/or the use, development, design,
            manufacture, production, advertising, promotion and/or marketing of Your Content, (iii) your violation of
            any term or condition of this Agreement or any applicable Additional Policies, including without
            limitation, your representations and warranties, or (iv) you or your employees’ or personnel’s negligence
            or willful misconduct.

      11.2. Notification. We agree to promptly notify you of any claim subject to indemnification; provided that our
            failure to promptly notify you shall not affect your obligations hereunder except to the extent that our
            failure to promptly notify you delays or prejudices your ability to defend the claim. At our option, you will
            have the right to defend against any such claim with counsel of your own choosing (subject to our written
            consent) and to settle such claim as you deem appropriate, provided that you shall not enter into any
            settlement without our prior written consent and provided that we may, at any time, elect to take over
            control of the defense and settlement of the claim.

12.        US Government License Rights and Export Controls

      12.1. U.S. Government License Rights. By using the Services and Properties, You acknowledge and agree that
            the Services and Properties constitute “Commercial Items” and “Commercial Computer Software,” as
            defined in the Federal Acquisition Regulation (“FAR”) and the Defense Federal Acquisition Regulation
            Supplement (“DFARS”). In accordance with FAR Sections 12.211 and 12.212, and DFARS Sections
            227.7202-1 and 227.7202-3, the Services and Amazon Properties are provided with the same rights and
            restrictions customarily provided to the public, as set forth in this Agreement. Accordingly, any use of the
            Services or Amazon Properties by Company or by the U.S. Federal Government or End Users shall be
            governed by, and subject to, all of the terms, conditions, restrictions and limitations set forth in this
            Agreement. If this Agreement fails to meet the U.S. Federal Government’s needs or is inconsistent in any
            respect with Federal law, You agree to discontinue use of the Services and return all Amazon Properties to
            AWS.

      12.2. Export Compliance and Restrictions. You shall, in connection with your use of the Services, comply with
            all applicable export and re-export control laws and regulations, including the Export Administration
            Regulations, the International Traffic in Arms Regulations, and country-specific economic sanctions
            programs implemented by the Office of Foreign Assets Control in connection with your use of the
            Services.

13.        Disputes

      13.1. Notwithstanding anything to the contrary, we may seek injunctive or other relief in any state, federal, or
            national court of competent jurisdiction for any actual or alleged infringement of Apptis’ or any third
            party’s intellectual property and/or proprietary rights. Any dispute relating in any way to your visit to the
            FedCloud Website or to products or services sold or distributed by Apptis or its affiliates in which the
            aggregate total claim for relief sought on behalf of one or more parties exceeds $7,500 shall be adjudicated
            in any state or federal court in Loundon County, Virginia, and you consent to exclusive jurisdiction and
            venue in such courts.

      13.2. Governing Law. By using the Services, you agree that the laws of the State of Washington, without regard
            to principles of conflicts of laws, will govern this Agreement and any dispute of any sort that might arise
            between you and us. The parties expressly exclude application of the United Nations Convention for the
            International Sale of Goods to this Agreement.

14.        Notices

      14.1. To You. Except as otherwise set forth herein, notices made by us to you under this Agreement that affect
            our customers generally (e.g., notices of amendments to the Agreement, etc.) will be posted on the
            FedCloud Website. Notices made by us under this Agreement for you or your account specifically (e.g.,
            notices of breach and/or suspension) will be provided to you via the email address provided to us in your
            registration for the Services or in any updated email address you provide to us in accordance with standard
            account information update procedures we may provide from time to time. It is your responsibility to keep
            your email address current and you will be deemed to have received any email sent to any such email
            address, upon our sending of the email, whether or not you actually receive the email.

      14.2. To Us. For notices made by you to us under this Agreement and for questions regarding this Agreement or

    14.3. Language. All communications and notices to be made or given pursuant to this Agreement shall be in the
          English language.

15. Miscellaneous Provisions

    15.1. Third Party Activities. If you authorize, assist, encourage or facilitate another person or entity to take any
          action related to the subject matter of this Agreement, you shall be deemed to have taken the action
          yourself.

    15.2. Severability. If any portion of this Agreement is held by a court of competent jurisdiction to be invalid or
          unenforceable, the remaining portions of this Agreement will remain in full force and effect, and any
          invalid or unenforceable portions shall be construed in a manner that most closely reflects the effect and
          intent of the original language. If such construction is not possible, the provision will be severed from this
          Agreement, and the rest of the Agreement shall remain in full force and effect.

    15.3. Waivers. The failure by us to enforce any provision of this Agreement shall in no way be construed to be a
          present or future waiver of such provision nor in any way affect our right to enforce such provision
          thereafter. All waivers by us must be in writing to be effective.

    15.4. Successors and Assigns. This Agreement will be binding upon, and inure to the benefit of the parties and
          their respective successors and assigns.

    15.5. Entire Agreement. This Agreement incorporates by reference all policies and guidelines posted on the
          FedCloud Website, including all Additional Policies, and constitutes the entire agreement between you
          and us regarding the subject matter hereof and supersedes any and all prior or contemporaneous
          representation, understanding, agreement, or communication between you and us, whether written or oral,
          regarding such subject matter.

    15.6. No Endorsement. You understand and acknowledge that we are not certifying nor endorsing, and have no
          obligation to certify or endorse, any of your Applications or Your Content.

    15.7. Relationship. Nothing in this Agreement is intended to or does create any type of joint venture, creditor-
          debtor, escrow, partnership or any employer/employee or fiduciary or franchise relationship between you
          and us (or any of our affiliates).

    S3 is currently available in the US Standard, EU West(Ireland), and US West (Northern California) Regions. The US Standard
    Region automatically routes requests to facilities in Northern Virginia or the Pacific Northwest using network maps. Data transfer
    “in” and “out” refers to transfer into and out of an S3 Region. There is no Data Transfer charge for data transferred within an S3
    Region via a COPY request. Data transferred via a COPY request between Regions is charged at regular rates. There is no Data
2   Transfer charge for data transferred between EC2 and S3 within the same Region or for data transferred between the EC2
    Northern Virginia Region and the S3 US Standard Region. Data transferred between EC2 and S3 across all other Regions (i.e.
    between the EC2 Northern California and S3 US Standard Regions) will be charged at Internet Data Transfer rates on both sides
    of the transfer. Storage and bandwidth size includes all file overhead.

    Standard S3 Request and Storage pricing applies. There is no Data Transfer charge for data transferred between Import/Export

    If you have specified a return address within the US, Apptis will pay reasonable return shipping charges. If you have specified a

    return address outside of the US, shipping charges based on your shipment destination and weight will apply.
