                            MINOR CONSTRUCTION PROJECT CONTRACT

The Owner and Contractor agree as follows:

1. The Contract Sum to furnish all labor, equipment, materials and incidentals necessary for the
construction of the work described above and in "Attachment A" shall be the fixed amount of
      .

2. The work to be performed under this Agreement shall be completed on or before             .

3. The Contractor is an independent contractor and shall at no time be considered an agent or
representative of the Owner or the State.

4. The Contractor shall carry insurance in sufficient amounts to protect the Contractor and the
Owner from any claims arising out of the Contractor's performance of the work under this
Agreement. Such insurance shall include, but not be limited to, workers' compensation, general
liability, automobile liability, and property damage.

5. The Contractor shall indemnify and hold harmless the Owner, its officers, agents, and
employees from and against any and all claims, liabilities and costs, including reasonable
attorney's fees, for any or all injuries to persons, property or claims for money damages arising
from the negligent acts or omissions of the Contractor, its employees or agents, officers or
subcontractors in the performance of work under this Agreement.

6. The Contractor shall comply with all applicable state and local laws, ordinances, rules and
regulations.

7. The Contractor shall be responsible for obtaining all required permits.

8. This Agreement may be terminated by either party upon seven days written notice to the other
party should such other party fail to perform in accordance with the terms of this Agreement.
This Agreement may be terminated by the Owner upon seven days written notice to the
Contractor for the convenience of the Owner.

9. For projects funded with American Recovery and Reinvestment Act (ARRA) monies, the
parties to this Agreement shall abide by and fulfill the applicable requirements of the ARRA,
including, but not limited to, the Buy American criteria, federal wage rates, and ARRA specific
reporting requirements.
