                                                       RECITALS

The Dancer employs the Agency to secure her with employment contract as Exotic Dancer with The Platinum Room, a
gentlemen’s club located at Maho Bay, Saint Martin, Netherlands Antilles, and under the terms and conditions set forth
with the employment contract and the work permit. The Agency has the exclusive rights to secure exotic dancers for
The Platinum Room. The Dancer declares her professional skills, experience and willingness to provide exotic nude
stage show performances and nude lap dances performances. The Dancer will pay the Agency the levy agreed for the
agency’s services, on the terms and conditions set forth herein.

      NOW, THEREFORE, on the basis of the foregoing and in consideration of the mutual covenants and agreements
                              contained herein, the parties hereto agree as follows:


                                                PART 1 – DEFINITIONS

1.    “Exotic Dancer” is an individual who is hired by a gentlemen’s club to perform choreographed stage show and lap
      dances.
2.    “Stage show performance” may include cabaret style dance, pole dancing or personal choreographed dancing,
      and shall include partial (topless) or full nudity.
3.    “Lap dance” is a dance which lasts 1 song, includes partial or full nudity, and is performed by the Dancer in
      person for a single customer at his table side or at particularly designated area.


                                                PART 2 – THE DANCER

4.    The Dancer unconditionally agrees to pay the Agency a one-time commission of Five Hundred US Dollars ($500),
      payable upon delivery of the work permit. The Dancer shall pay the commission by Western Union or transfer the
      money to the Agency’s bank account in Bank of America. The Agency reserves the right, upon its own discretion,
      to require advance payment of the commission in whole or in part. In case the commission is not paid in advance,
      the Dancer shall guarantee its payment with promissory note.
5.    The Dancer acknowledges that the Platinum Room will pay the Agency a commission of $ 15 per shift, in addition
      to the commission set forth at p. 4 above.
6.    If the Dancer’s visa and/or work permit is extended or renewed, or if the Dancer enters into a new agreement
      with the club, Platinum Room shall continue to pay the agency the commission indicated above.
7.    The Dancer works exclusively with the Agency for the period of the contract and cannot accept employment
      contracts or any other activities offered by other agencies or companies or individuals for the period of this
      present contract.
8.    The Dancer should strictly fulfill all her duties by the employment contract and obey all the rules and regulations
      of the employer and the laws of Saint Martin.


              PART 4 – TERM AND CONDITIONS OF EMPLOYMENT WITH CLUB PLATINUM ROOM

9.    The Platinum Room shall provide the Dancer with work permit and work visa valid for 6 months. The work permit
      and work visa may not be extended, and the Dancer shall leave Saint Martin upon expiration of her visa.
10.   The Dancer is eligible to apply for new work permit 90 days after the expiration of her previous work permit.
11.   The Platinum Room shall not credit the Dancer for the cost of the airfares. The Dancer is responsible to pay for
      the airfares herself. Upon successful completion of 3 months of employment, The Platinum Room shall pay to the
      dancer $500 for airfares.
12.   The Platinum Room shall provide the Dancer with housing at no cost for the Dancer for the whole period of the
      contract. The accommodation shall be in a fully furnished residential property or hotel, 2 persons per bedroom,
      and shall provide kitchen, bathroom, laundry, and other facilities. The Dancer is not bound to stay at the housing
      provided by Platinum Room but is free to rent/lease housing of her own, and at her own expense.
13.   The Dancer shall wear at least 2 different outfits per shifts, and shall perform in exotic dancer’s costumes or sexy
      lingerie.
14.   The Dancer shall perform 3-4 stage show per shift on rotation basis upon the schedule set forth by The Platinum
      Room. Each stage show shall consist of 2 dances, 1 song per dance. The first dance shall be performed in
      costume, and the second dance shall be striptease (full nudity). The stage show shall be pole dancing.

15. The Dancer shall hustle the customers to buy lap dances and shall perform table and lap dances for the
    customers. The lap dances are fully nude. Light touching between the customer and the Dancer is allowed. The
    Dancer shall charge the Customer USD 20 per topless lap dance and USD 30 per nude lap dance. Each lap dance
    lasts 1 song, but not more than 3 min.
16. The Dancer shall keep all the monies received by customers as tips for stage and lap dancing.
17. The Dancer shall pay The Platinum Room a house fee of $50 per day.
18. The Dancer shall pay The Platinum Room a charge of $5 per each lap dance purchased by customer.
19. The Dancer shall work at least 5 days per week, from 10.30 p.m. to 05 a.m. Additional rules that apply will be set
    forth with the work permit.


                                          PART 4 - ENTIRE AGREEMENT

20. This Agreement and the other agreements expressly referred to herein constitute the entire understanding and
    agreement of the parties hereto regarding the subject matter hereof. The Dancer fully understands her legal
    obligations under this Agreement.
21. In case of problem between the parties they will attempt to solve it between themselves. If the problem cannot
    be solved, the Civil Law of the country of origin of the Dancer shall apply.


                                 PART 5 - TERM AND VALIDITY OF CONTRACT

22. This Agreement is executed in English. Both parties declare that they fully understand all written above. The
    parties agree that the contract is valid in Netherlands Antilles.
