Agents Non-Circumvent Agreement
Throughout the application process, AGENT(S) ___________________________ may learn the names, telephone numbers and contact information of investors, borrowers, lenders, agents, brokers, banks, lending corporations, individuals and/or trusts, herein after called CONTACTS. The AGENT(S) with this knowledge, accept and agree that the identities of the CONTACTS will be recognized by AGENTS(S) as exclusive and valuable contacts and the exclusive property of Phoenix Financial Group and will remain so for a period of 60 months. CONTACTS are limited to those that have the purpose of assisting APPLICANT in furthering his or her business endeavors and/or using the proprietary system developed by Phoenix Financial Group The AGENT(S) agree(s) to keep confidential the names of any CONTACTS introduced or revealed to the AGENT(S), and that their firm, company, associates, corporations, joint ventures, partnerships, divisions, subsidiaries, employees, agents, heirs, assigns, designees, co-brokers, or consultants will not contact, deal with, negotiate or participate in any transactions with any of the CONTACTS with out first entering into a written agreement with Phoenix Financial Group and/or an officer of Phoenix Financial Group gives express written permission. Such confidentiality will include any names, addresses, telephone, telex, facsimile numbers, and/or other pertinent information disclosed or revealed by the ConsultAllied.com. In case of circumvention, the AGENT(S) agrees and guarantees they will pay a legal monetary penalty in the amount of $10,000.00 per incidence. If Phoenix Financial Group must commence legal proceedings interpret or enforce the terms of the "non-circumvent agreement", AGENT(S) are aware Phoenix Financial Group will be entitled to recover court costs and reasonable attorney fees. This Agreement shall be deemed to have been made in the City and County of Dallas, Texas, despite the place of actual execution. The parties agree that any dispute arising out of the Agreement shall be determined exclusively by the courts in and for the City and County of Dallas, Texas. Both parties expressly agree to venue and/or jurisdiction in said courts and by signing this agreement agree to submit themselves to the personal jurisdiction of said courts. AGENT(S) and Phoenix Financial Group will construe this "noncircumvent agreement" to be in accordance with the laws of the State of Texas. If any provision of this agreement is found to be void by any court of competent jurisdiction, the remaining provisions will remain in force and effect. This agreement contains the entire understanding between the AGENT(S) and Phoenix Financial Group and any waiver, amendment or modification to this agreement will be subject to the above conditions and must be attached hereto. A facsimile copy of this "non circumvent agreement shall constitute a legal and binding instrument. By setting forth my hand below I warrant that I have complete authority to enter into this agreement.
