TERMS AND CONDITIONS "the premises" shall mean Plot 185 Doornkloof, 1665. 1. All amounts payable to the Lessor shall be made without deduction or set off for any reason to the Lessor at such bank account as stipulated by the Lessor. All rentals are payable monthly in advance on or before the first day of each month. The tenant shall pay the Lessor R100,00 (one hundred rand) for each overdue payment due in terms of this agreement as a contribution towards the Lessor's administration costs incurred in recovering the said overdue payments. The rental payable in terms of this agreement may be increased by the Lessor and the Lessor undertakes to deliver to the Tenant written notice of the said increase one month prior to such increase being payable. A deposit and all rentals are to be deposited into the Lessor's following bank account and the Tenant's account number must be stated for reference purposes. If this account number is not stated by the Tenant it will be taken that the rental has not been paid:- Account Name: QUALITY STORAGE Bank FNB Branch code 251445 (Church Square/ Pretoria) Account No. 62106129085 Deposit slips must be faxed to 0866 952 079 or emailed to - info@qualitystorage.co.za - Attention: Accounts Department A deposit (being the amount of one month's rental) and the first month's rental shall be payable by the Tenant upon signature of this agreement. VAT INVOICE: A copy of this agreement, together with the Tenant's proof of payment, will for the purposes of this agreement be deemed to be a proper VAT invoice and the Lessor will be under no obligation to issue any further VAT invoices. 2. The storage unit shall be used for the sole purpose of storage and for no other purpose whatsoever. 3. The Tenant undertakes not to store, without the prior written approval of the Lessor, any goods likely to cause damage, including, but not limited to any dangerous, noxious, corrosive, flammable or explosive article or substance, or any article or substance likely to cause injury, damage or infection or to encourage vermin, or which will result in the Lessor's insurance policies being increased. 4. The Tenant undertakes not to store any unlawful and illegal goods and indemnifies the Lessor from any criminal/civil or other proceedings that may ensue as a result of such unlawfully and illegal goods being stored on the premises. 5. If the Tenant:5.1 fails to pay any rental due to the Lessor by the due date; or 5.2 commits a breach of any of the other terms of this agreement and fails to remedy the said breach within 7 (seven) days after Lessor has dispatched written notice requiring that it be remedied; or 5.3 consistently breaches the terms of this agreement so as to justify the Lessor in holding that the Tenant's conduct is inconsistent with an intention to carry out the terms of this agreement; or 5.4 fails to collect its goods after the final date of this agreement; Then and in that event the lessor shall be entitled to cancel this agreement and to resume occupation of the premises without prejudice to its rights to claim arrear rental and/or damages. It is a specific term of this agreement that the Lessor shall be entitled to sell the tenant's goods in lieu of outstanding rentals and/or damages. The cost of the sale or disposal will be charged to the tenant. The net proceeds will be credited to the tenant's account and any eventual surplus will be paid to the tenant without interest. 6. the Tenant shall provide its own padlock to his leased unit. 7. 7.1 Lessor shall not be liable for any claim of whatsoever nature (whether in contract or in delict) and whether for damages or otherwise, howsoever arising, including but without limiting the generality of the aforesaid:7.1.1 any act or omission of the tenant or agent of the tenant; and/or 7.1.2 any loss, damage or expense arising from or in any way connected with any circumstance, cause or event beyond the reasonable control of the Lessor, inter alia, strike, lock-out, stoppage or restraint of labour; and/or 7.1.3 damage or injury suffered by the tenant arising out of any cause whatsoever as a result of the Lessor's execution or attempted execution of its obligations to the Tenant and/or the Tenant's requirements or mandate; 7.2 Notwithstanding anything to the contrary contained herein the Lessor shall not be liable for any act (s) perpetrated by the Lessor, its agent, servants, whether negligent or otherwise; 8. The tenant undertakes to ensure that the goods are properly and comprehensively insured at all times against any loss of any nature, inter alia, damage or loss from burglary, theft, robbery, breakage, accounts of vis major (fire, storm, flood, earthquake), riots, strikes and to cover public liability of any kind, by an insurance company. 9. The Tenant undertakes that it shall at all times adhere to the rules laid down by the Lessor pertaining to the use of the premises, security and access to the premises. Access to the premises shall be everyday (including public holidays) during 06h00 to 18h00. 10. In the event of VAT or any other form of taxation imposed by statute or law, or any regional, local or competent authority being or becoming payable by the Lessor on the rental, the tenant shall pay the Lessor on demand such VAT or other tax payable. 11. The signatory by his/her signature, agrees to bin himself/herself as surety for and co-principal debtor in solidium together with the tenant for all amounts that may be due or may become due, owing and payable by the tenant to the Lessor from time-to-time and during the duration of the agreement. The signatory further waives the benefit of excussion. 12. Advices, recommendations, or opinions by the Lessor's representatives are given and expressed in good faith and shall not constitute representations of any description and shall not give rise to any claim against the Lessor or such representative. 13. For the purposes of this agreement, including the giving of notice and the serving of legal processes, the parties respectively choose their domicilium citandi et executandi as follows:Lessor: Plot 185 Dornkloof, 1665 (P.O Box 383 Olifantsfontein, 1665) Fax: 0866 952 079 Tenant: Details as provided for by tenant set out above 13.1 Either party may at any time, by notice in writing to the other, change their aforementioned address on condition that the new address is in South Africa. The new address shall be effective only 10 (ten) after receipt of the said notice. 13.2 Any notice given in terms of this agreement shall be delivered by hand or shall be sent by prepaid registered post to the party's domicilium citandi et executandi and such notice shall be deemed to be received 4 (four) days after dispatchment. 14. The Tenant shall not be entitled to sublet the storage unit to a third party without the prior written consent of the Lessor, which consent shall not be unreasonably withheld. 15. The Tenant shall maintain the storage unit in good order and condition, fair wear and tear expected.
