Amending Agreement
Dated for reference the 30thday of September, 2006 Between HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF BRITISH COLUMBIA, represented the Minister of Energy Mines and Petroleum Resources and the Oil and Gas Commission (the "Province"), and the DOIG RIVER FIRST NATION (the "DRFN"), as represented by its Chief and Council. WHEREAS: A) The parties entered into an agreement (the "Agreement") dated March 20, 2002. The original term of the Agreement expired March 31, 2006. By way of amending agreement, the parties extended the term of the Agreement to September 30, 2006. The parties wish to further extend the term of the Agreement to November 30, 2006.

NOW THEREFORE, the parties agree as follows: 1. Section 5.1 of the Agreement is amended to read as follows: "5.1 The term of this Agreement (the "Term") shall be for the period commencing October 1, 2001 and ending on the amendment or replacement thereof, or November 30, 2006, or upon termination by the Parties, whichever is earlier." 2. Except as modified by this Amending Agreement, the Agreement remains in full force and effect. 3. This Amending Agreement will come into effect upon signing by all Parties.
