A. PROFESSIONAL SERVICES/PROJECT SCOPE

B. FEES AND PAYMENT PROVISIONS The client agrees to pay a fee of $___________ to the designer for the services outlined above. In addition, expenses by or on behalf of the designer for this project will be paid by the client at the designer’s cost. These expenses include, but are not limited to, the following: blueprint, reproduction, copying and printing costs, project supplies, renderings, long distance telephone calls, travel expenses or any other costs that are needed to procure the scope of Professional Services.

Payment of the fee will be as follows: 1. Initial retainer of 50% of the fee as authorization to proceed. 2. 35% of Fee upon completion of Construction Documents. 3. Balance of fee and other expenses upon completion of project. Invoices are payable within 10 days of receipt. Balances unpaid after 30 days are subject to an interest charge of 1.25% per month. Interest will continue to be charged on unpaid balances after 30 days even though a partial payment has been received. C. TERMS AND CONDITIONS 1. If any additional consultants (client approved) need to be brought in, the client will handle the invoiced fee directly with third party selected for the consultation. This includes, but is not limited to, consultants for Site Work, Structural Engineering, Architectural CAD drawings, etc. 2. Periodic inspections and observations of work on a project will be made as we consider appropriate. We do not have responsibility for the failure of contractors to comply with drawings or specifications prepared by us, nor for latent defects in their work. 3. If travel is deemed necessary the client agrees to pay STUDIO HFA $___/hour for travel time. STUDIO HFA will provide the client with a detailed and itemized invoice after each trip is completed. The client will also be responsible for any expenses related to the travel such as hotel and airfare. 4. This contract specifies the scope of the project in its entirety. Should STUDIO HFA, under the direction of the client, perform any design services not described in the scope, such “Additional Services” will be invoiced to the client at an hourly rate of $___/hour. 5. If the client makes a decision which, for its proper execution, involves extra services or expenses for changes in or additions to the studies, drawings, specifications, etc., the client will pay the STUDIO HFA for such services on a design time fee basis of $___/hour. 6. Should a representative of any third party involved with the project cause STUDIO HFA to make changes in or additions to the studies, drawings, specifications, etc., due to deficiencies in their work, miscommunication, poor planning, or any such situation requiring additional services and/or the unnecessary duplication of work not otherwise required on behalf of STUDIO HFA, such “Additional Services” will be billed to the client at an hourly rate of $___/hour. 7. This contract provides for 231 billable hours by STUDIO HFA, allotted to the procurement and completion of the project under the current scope. Should the total billable hours exceed 231, the client agrees to pay for such “Additional Services” on a design time fee basis of $___/hour.
