Description: A contract can be terminated or cancelled on several grounds. Below are examples of such grounds. Breach: If one or both of the parties refuses to carry out the terms of the contract, or does something which the contract explicitly prohibits, then the contract has been breached and may be terminated. Impossibility of Performance: If it turns out that a party cannot perform the specified in the contract due to an unforeseen circumstance, the contract may be terminated on the grounds of impossibility of performance. Rescission: Rescission of a contract means to put the parties back in the same circumstances they were in before making the agreement. If the agreement involved the sale of goods, the goods would be returned to the seller and the money for the goods would be returned to the buyer. Fraud can be grounds for rescission.
