INSTRUCTIONS TO TENDERERS

1.     The Tender Form and accompanying documents, completed as directed, must be:

              (a)    Enclosed in plain sealed envelope with no marking on the envelope to
                     indicate the identity of the sender

              (b)    marked “Tender for Design and Supply of Marketing Materials for Arts
                     and Events ”

              (c)    Lodged with the Chief Executive, Banbridge District Council, Civic
                     Building, Downshire Road, Banbridge, not later than 12 Noon on
                     Friday xxxx April 2010

              (d)    An official receipt must be obtained for the Tender if delivered by
                     hand. If the Tender is sent by post, it should be registered or sent by
                     recorded delivery.

2.     (i)    The Tender Form must be completed in full and signed and all
              requisite samples submitted, otherwise it may not be considered.

       (ii)   Any alteration or erasure made in the price columns of the Price Schedule
              must be initialled by the person who signs the Tender Form.


3.     Banbridge District Council shall not necessarily accept the lowest, or any Tender and
       reserves the right to accept all, or any parts of a Tender.

4.     If estimated quantities are shown in the Schedule annexed to the Tender, they shall
       be regarded only as a guide to Tenderers and shall not be binding on Banbridge
       District Council.

5.     The prices quoted by the Tenderer shall include and shall be deemed to include:-
       (i)    delivery, at the Tenderer’s own risk and expense, at such place or places as
              may be required by the Head of the appropriate Service;

       (ii)   all royalties and charges for patent rights (if any) and the Tenderer shall
              indemnify Banbridge District Council, Servants or Agents and save them
              harmless against all claims for infringement of such rights.

6.     The prices quoted by the Tenderer shall exclude Value Added Tax and shall take into
       consideration any allowance made for trade discount. Any settlement discounts to
       be allowed shall be specifically stated.

7.     Where materials are quoted by weight, such quotations shall refer to the “net” and
       not the “gross” weight.

                         BANBRIDGE DISTRICT COUNCIL CONDITIONS

(In these conditions, the word “materials” shall include “goods”, “machines”, “vehicles” or
other commodities and in any Contract involving the execution of work shall, where the
context so admits or requires, be deemed to include “execution of work”)

       1.     The materials shall be supplied, accepted and paid for in pursuance of a
              written order or orders signed by the Head of the appropriate department or
              his/her duly authorised representative and not otherwise.

       2.     The said materials shall:-

              (i)     Be supplied in such quantity or quantities as shall, from time to time,
                      be ordered as aforesaid;
              (ii)    Be delivered within the time set out in the said Schedule, or, if no time
                      is set out therein, within a reasonable time after the receipt of the
                      order;
              (iii)   agree in all respects with the respective patterns, samples, specimens
                      and specific descriptions (if any) referred to in the said Schedule and
                      subject thereto, shall be the best of their respective kinds;
              (iv)    Be subject, in all respects, to the approval of the Head of the
                      Department or duly authorised representative whose decision thereon
                      shall be final;
              (v)     Unless otherwise specified, comply with the European Standard or, in
                      its absence, the British standard which is applicable. Where no British
                      Standard exists, the materials shall be of quality consistent with the
                      performance required.

(“European Standard” shall mean a standard approved by the European Committee for
Standardisation. “British Standard” shall mean the British standard Specification as issued
by the British Standard Institution and current at the date of submission of Tender).

3.     No allowance will be made by Banbridge District Council for the use of its containers,
       crates, casks, boxes or other packages, unless otherwise stated.

4.     Any quantity of materials supplied in excess of that ordered and all empties shall be
       returned at the Contractors’ risk and expense unless otherwise stated.

5.     A Delivery Note, giving the number of each order and the particulars of the materials
       supplied shall accompany each delivery of the said materials.

6.     An Invoice giving the number of each order and the particulars and prices of the
       materials supplied shall be furnished to the appropriate Department at the time of
       delivery of the said materials.

7.     Accounts, when checked and certified to be in order, are passed monthly for
       payment by Banbridge District Council on fixed days (excepting the Holiday weeks of
       Christmas, Easter and July). Payments will normally be made to the Contractor
       within a period of two weeks after being passed for payment.
8.    If the Contractor shall supply to Banbridge District Council any materials which, in the
      opinion of the appropriate Head of Service, shall not be of the quality and description
      contracted for, the same shall be rejected and shall be at the risk of the Contractor
      until removed by him.

9.    If the Contractor shall, after being ordered, fail to supply any Materials:-
              (i)    Of the Quality and description contracted for; or
              (ii)   Within the time referred to in Clause 2(ii);
      Banbridge District Council may, without terminating the said Contract purchase such
      materials elsewhere.

10.   If, in the opinion of Banbridge District Council, the Contractor is not satisfactorily
      fulfilling the said Contract, Banbridge District Council may terminate the said contract
      by notice in writing to that effect and purchase such materials elsewhere during the
      remainder of the Contract period.

11.   In the event of Banbridge District Council:-

      (a)    Purchasing materials in substitution for materials ordered and not supplied,
             as aforesaid; or
      (b)    Purchasing materials after terminating the said Contract during the remainder
             of the contract period; Banbridge District Council may deduct the difference
             (if any) between the cost of the said materials and the price for the same
             under the said Schedule from any monies which may then be or may
             thereafter become due to the Contractor, or may recover the same from the
             Contractor as a debt on demand.

12.   The Contractor shall not be an unqualified person for the purposes of Section 64 to
      66 of the Fair Employment & Treatment (NI) Order 1998 and shall sign the
      Declaration and Undertaking annexed hereto.

13.   The Contract shall, in all respects, be construed and operate as a Northern Ireland
      Contract and shall be interpreted in accordance with Northern Ireland law.

14.   The Contract is on a fixed price basis.

15.   Banbridge District Council may cancel the Contract and recover any resulting losses if
      the Contractor or his/her employees or agents, with or without his/her knowledge:-

      (a)   Does anything improper to influence the Council to award him/her the
            contract, or
      (b)   Commits an offence under the Prevention of Corruption Acts 1889 to 1916 or
            sections 46 to 47 of the Local Government Act (NI) 1972.

16.   If so requested, suppliers will quarterly produce a record of all transactions with
      Banbridge District Council.

             MARKETING AND PROMOTIONAL MATERIALS FOR EVENTS

                           1ST APRIL 2010 – 31ST DECEMBER 2011


                                 TERMS OF REFERENCE

INTRODUCTION

The arts and events service provided by Banbridge District Council aims to
promote a vibrant local arts sector as well as improving opportunities for
everyone to participate in local arts and events. This is achieved through the
organisation of a full programme of arts activities and events throughout the
year.

Banbridge District Council is seeking quotations from competent design agencies to
undertake a design commission to re-brand Banbridge District Council Arts and Events
literature and to design and oversee the production and delivery of all marketing materials
for each individual event in Banbridge District Council area. The materials will promote the
distinctive qualities of the arts and events throughout Banbridge and must be innovative,
modern and present a ‘cutting edge’ image of the District.

The main aims of marketing events are:

      To re-brand Banbridge District Council Arts and Events ‘under one corporate
       umbrella’
      To raise awareness for arts and events in the district
      To publicise events using effective and innovative methods
      To increase the numbers of local people and visitors attending events and activities
      Develop the economic benefits of arts and events throughout the District


SPECIFICATION

The successful agency will be required to provide a full design service for the creation of a
design concept / branding for Banbridge District Council Arts and Events which will be used
for all printed materials including leaflets, posters, signage, banners, press advertising etc.

In addition the successful company will be responsible for overseeing the production and
delivery of all of the printed elements in each campaign and thus be responsible for the
quality of all materials produced.

The final materials should also be available in high resolution PDF format; EPS and Jpeg
If photographs are required, images will be supplied by Banbridge District Council where
possible however there may be a need for the design agency to source additional stock
images.

All relevant logos will be supplied by Banbridge District Council



ADDITIONAL INFORMATION

The following should be taken into consideration when preparing to tender;

       A major element of this project is the re-branding of Banbridge District Council Arts and
        Events, it is therefore important that your tender includes simple draft visuals.

       The appointed consultant will have to demonstrate expertise and previous experience in
        similar projects and examples should be enclosed with your tender

       The successful company will be required to carry out all aspects of the project from design to
        production and delivery.

       Copy for all aspects of the project will be provided by Banbridge District Council.

       The copyright of all text, photography and other materials produced by the successful
        company shall be with Banbridge District Council.

            Dependant on the number of tenders, a short list of consultants will be prepared based on
            tender proposals and the final selection may be made following interviews and
            presentations.

                  Draft visuals of the proposed branding for this project
                  Illustrative examples of similar projects
                  An outline of the approach to the commission
                  Details of the project team, including previous experience of similar projects
                  Detailed cost structure for each part of the project. All prices should be fully inclusive.
                   Any additional charges must be clearly stated and a rate provided for these. No
                   additional funding will be made available once the tender has been agreed.
                  All costs should include delivery to Banbridge District Council, Civic Building,

DECLARATION AND UNDERTAKING TO BE SIGNED BY ALL MAIN CONTRACTORS AND
NOMINATED SUB-CONTRACTORS TENDERING FOR THE EXECUTION OF WORKS OR THE
SUPPLY OF GOODS OR SERVICES

BANBRIDGE DISTRICT COUNCIL
FAIR EMPLOYMENT & TREATMENT (NORTHERN IRELAND) ORDER 1998

1.     Section 64 of the Fair employment & Treatment (NI) Order 1998 (“The Act”)
       provides inter alia that a public authority shall not accept an offer to execute any
       work or supply any goods or services where the offer is made by an unqualified
       person in response to an invitation by a public authority to submit offers. Section 64
       also provides that the public authority shall take all such steps as are reasonable to
       secure that no work is executed or goods or services supplied for the purposes of
       such contracts as are mentioned above by an unqualified person.

2.     An unqualified person is either an employer who, having been in default in
       thecircumstances specified in Section 38 (1) of the Act, has been served with a notice
       by
       the Fair Employment commission stating that he is not qualified for the
      purposes of Section 64 to 66 of the Order or an employer who, by
      reason of connection with an employer on whom has been served a
      notice to that effect, has also been served with such a notice.

3.     Mindful of its obligations under the Act, Banbridge District Council has decided that it
       shall be a condition of tendering that a contractor shall not be an unqualified person
       for the purposes of Sections 64 to 66 of the Order.

4.    Contractors are, therefore, asked to complete this Declaration/Undertaking to
      confirm that they are not unqualified persons and to undertake that no work shall be
      executed or goods or services supplied by an unqualified person for the purposes of

                 Freedom of information – Tendering Procedures

INTRODUCTION
Banbridge District Council (the Council) is subject to the terms of the Freedom of
Information Act 2000. Any information which comes into the possession of the Council, will
be subject to disclosure under the provisions of that act, unless an excemption applies. Only
the Council can make a decision regarding whether information is disclosable or not. In
arriving at the decision, the Council will take account of the nature of the information,
exemptions provided for in the act, and the public interest. If the information is disclosable
the Council has no discretion to prevent its disclosure.

TENDERS AND CONTRACTUAL INFORMATION
Up to and including the evaluation process, all the information provided by the tenderers to
the Council will be considered to be of a confidential nature. Beyond the evaluation process,
the provisions of the act will govern what the Council is obliged to disclose. The evaluation
process will be deemed to have been completed when the Council has made its decision.

Tenderers should be aware that the information provided in the completed tender and
contractual documents could be disclosed in response to a request under the Freedom of
Information Act. The Council will proceed on the basis of disclosure unless an appropriate
exemption applies. No information provided by tenderers will be accepted ‘in confidence’
and the Council accepts no liability for loss as a result of any information disclosed in
response to a request under the Freedom of Information Act.

The Council has no discretion whether or not to disclose information in response to a
request under the Freedom of Information Act, unless an exemption applies.
Disclosuredecisions will be taken by appropriate individuals in the Council having due regard
to the exemptions available and the public interest. Tenderers should be aware that despite
the availability of some exemptions, information may still be disclosed if the public interest
in its disclosure outweighs the public interest in maintaining its exemption. Tenderers are
required to highlight information that they include in the tender documents which they
consider to be commercially sensitive or confidential in nature and should state the precise
reasons why that view is taken. In particular, issues concerning trades secrets and
commercial sensitivity should be highlighted. Tenderers are advised against recording
unnecessary information.

The Council will not accept any contractual term that purports to restrict the disclosure of
information held by the Council in respect of the contract or tender exercise save as
permitted by the Freedom of Information Act. The decision whether to disclose information
rests solely with the Council.

The Council will consult with tenderers, where it is considered appropriate in relation to the
release of controversial information. Tenderers will be notified by the Council of any
disclosure of information relating to them.

This is the Banbridge District Council’s aims and policy with respect to ISO 14001. We aim to
be an Environmental Leader for the District and will actively strive to enhance our local
environment, improve the health and well being of our local community and reduce the
negative impact that we have on our environment year on year.

Environmental Performance
Banbridge District Council is committed to continual improvement and prevention of
pollution by reducing the environmental impacts that arise from its business activities and
delivery of its services.

Through the implementation of an Environmental Management System we will:

      Set realistic and measurable objectives and targets together with an Environmental
       Management Programme to ensure continual improvement in environmental
       performance.
      Regularly review the policy through management review to ensure it continues to be
       effective and representative of the Departments activities and services.
      Endeavour to:

           o Minimise the amount of waste generated internally and disposed of to
             landfill. Where reduction is not practical, seek to reuse or recycle waste and
             ensure the safe disposal of all waste.
           o Introduce measures to ensure best practice and the responsible use of natural

           o Investigate and introduce measures to minimise the release of pollutants
             which cause damage to land, air and water due to the departments’ activities
             where possible.
           o Reduce the environmental impact of goods purchased at the same time
             encouraging suppliers and contracted services to improve their
             environmental performance.



Legal Requirements
All of Banbridge District Council’s Departments’ make the commitment to comply fully and
where possible exceed the requirements of applicable legislation and regulations and any
other environmental requirements through the application of Best Practice Techniques.

Communication
This policy shall be communicated, understood and practiced by all our staff. We shall raise
awareness of the EMS Policy and sustainability issues among all those working for or on
behalf of the department through appropriate training and dissemination of information.
We will strive to consult with and educate local people on the principles of Sustainable
Development, so that the quality of life in the District can be maintained and enhanced
where possible.

The Departments will address environmental issues in an open manner and maintain close
links with relevant authorities, regulatory agencies, research institutes and the local
community to improve and protect our local and global environment.

We will ensure the Civic Building, Environmental Health and Technical Services Departments’
are readily available to the public.
