       Agreement made on the (date), between (Name of Stockholder) of (street
address, city, state, zip code), referred to herein as Stockholder, and (Name of
Corporation), a corporation organized and existing under the laws of the state of (name
of state), with its principal office located at (street address, city, state, zip code), referred
to herein as Corporation.

       WHEREAS, the Corporation was lawfully formed by Articles of Incorporation filed
with the Secretary of State of (name of state); and

      WHEREAS, certain assets must be lawfully transferred to the Corporation so the
Corporation may be capitalized; and

       WHEREAS, Stockholder wishes to transfer to the Corporation assets, as
specified on Exhibit A, attached hereto and made a part hereof; and

      WHEREAS, the Corporation wishes to acquire certain assets, as specified on
