NOTICE INVITING APPLICATIONS FOR SELECTION OF ARCHITECTS FOR
FAÇADE TREATMENT WORKS COMPRISING STRUCTURAL GLAZING &
ALUMINIUM COMPOSITE PANEL (ACP) AT CANARA BANK, HEAD OFFICE, NO.
112, J C ROAD, BANGALORE.
Applications are invited in two bid formats from reputed Architects, who are having
their establishment in Bangalore City & who are experienced in providing
Architectural & structural consultancy services for Façade Treatment works consisting
of Aluminium composite panels (ACP) and Structural Glazing.

Bank has finalised the type / scheme of façade treatment for its building units
located at No. 112, J C road, Bangalore, using in-house Architectural / Engineering
services. Now Bank intends to engage the            services of an Architect who are
experienced in this field. The scope of work is mainly to fine tune the design to suit site
conditions & its smooth implementation by preparing working drawings, structural
designing of M S supports system & Aluminium extruded sections frame work,
Estimating of the various works, assisting the Bank in shortlisting of agencies and in
calling of competitive sealed tenders from shortlisted contractors, supervision of the
façade treatment works, certification of bills etc.
Eligible and interested Architectural firms may obtain the Offer document from our
office on payment of a non-refundable fee of Rs 500/- by Demand Draft favouring
Canara Bank on or before 05.02.2011 during working hours. The document can also be
down loaded from our web site “www.canarabank.com” in which case, a Demand
Draft for Rs 500/-, favouring Canara Bank has to be enclosed with the duly filled in
prequalification document towards application fee. The duly filled in offer document
along with client certificates / work completion certificates kept in one envelope and
financial bid alone in a separate sealed envelope, both kept in a bigger envelope shall
be submitted to the above office on or before 07.02.2011 up to 5.00 P.M.

The Canara Bank will not be responsible for any postal delays and shall not accept
application by way of e-mail, FAX. The Bank reserves the right to independently verify
the particulars furnished by the applicant, to reject any application without assigning
any reason, to shortlist such agencies depending upon the number of applications
received. Bank's decision in the selection will be final and Bank reserves the right to
cancel, extend or modify the process. All future communication related to the subject will
be posted in the Bank's web-site and intending applicants are advised to keep referring
the same.

                TECHNICAL BID: GENERAL TERMS & CONDITIONS

1. DEFINITIONS; For the purpose of the agreement, the following words and
expression shall have the meaning hereby assigned to them except where the context
otherwise requires:-

(i)    `Approved'    means approved by Bank's representative in writing including
      subsequent confirmation of previous approval and 'Approval' means approval by
      Bank's representative in writing as above said.

(ii) `Bank' means the CANARA BANK which expression shall unless excluded by                or
      repugnant to the context include its representative.

(iii)`Bank's representative' means the Asst. General Manager, Canara Bank, Head
office, NO.29, III rd floor, Dwarakanath Bahvan, K R ROAD, Basavanagudi, Bangalore
or any person authorised by him as would be in charge of the work and would sign
the agreement on behalf of the CANARA BANK.

(iv) ‘Architect’ means M/s.__________________________ or their                 assigns or
     successors in office and authorised representative.

(v) ‘Contractor’ / ‘agency’ / ‘vendor’ means the person, firm and / or Company
    whose         tender/tenders                                             for
    ___________________________________________________________ is/ are
    accepted by the Bank and includes the contractor’s                  personal
    representative, successors and assigns.

(v). ‘ Building' shall mean the existing building units at No.112, J C Road, Bangalore for
      which façade treatment is proposed.

(vi). `Site' means "Corporate office building" units located at No.112, J C Road,
      Bangalore for which façade treatment is proposed.

2. ELIGIBILITY: The appointment of the Architect will be based on the following eligibility
criteria.
a> should be a registered Architect with minimum of 5 years experience in the
    consultancy field.
 b> should have experience in providing Architectural & structural consultancy
    services for Façade Treatment works consisting of Aluminium composite panels
    (ACP) and Structural Glazing and should have completed during the last 5 years
    ending 31.12.2010 at least one similar building work (G+3 or more) involving
    façade works of 20000 sft or more OR costing 100 lakhs or more (cost of
    structural glazing, structural steel and aluminium supports and ACP but not
    cost of RCC/steel structure).
Those who satisfy the above criteria's shall submit the work completion certificate
issued by the Client duly indicating the year of completion, area of the façade treatment
and its cost. Bank reserves its right to relax the criteria if considered necessary.

3. Detailed Scope of Works: The scope of works is divided into two stages. Stage I is
upto tendering activity and stage II is post tendering involving supervision of works,
certification of bills. The details are as follows;

   3 a. STAGE I WORKS:

    i-     Developing further the facade treatment scheme prepared by the Bank and
           submission of a detailed report on the final proposed scheme indicating the
           availability of various types of structural glazing & ACP materials, their
           merits & demerits and recommending the most appropriate and cost
           effective combination after due consultation with the bank authorities.

    ii-    Preparation of the exact dimension details & drawings duly taking the actual
           measurements of the buildings at site. Study the location of existing signage
           boards & their relocation, study the sanitary pipes, water pipes, rain water
           lines and external electrification circuits, fire exit / rescue routes and making
           necessary provisions in the proposed façade treatment to have
           uninterrupted maintenance of these service pipes/ lines. Adopting the theme
           of the finalised scheme to the various building blocks without disturbing the
           basic structure and configuration of the building units.

    iii-   Assessing the loads of structural glazing, ACP cladding and their supporting
           frames and studying the careful removal of the existing portico at the main
           entrance and introduction of the new canopy at higher level with proper
           support systems. Study & Design a safe load transferring mechanism to the
           building structure, structural analysis & designing of the supporting frame
           work, preparing the structural drawings, anchoring system etc.

    iv-    Preparation of Layout plans, elevation & cross sectional drawings, working
           drawings/ plans as required for smooth execution of the intended works.
           Assisting the bank in submission of the drawings to BBMP and such other
           authorities to obtain their clearance for the intended works, if any.

    v-     Preparation of detailed bill of quantities of works by adopting most
           economical supporting structure and cost effective material specifications.
           Preparation of tender document so as to enable the Bank to call competitive
           tenders from shortlisted agencies. Assisting the bank in shortlisting the
           eligible agencies and making enquiries about the credentials of the agencies
           with their clients as a part of due diligence & submitting the views &
           recommendations to the bank on call of tenders, tenders comparative
           analysis and award of works.

    3 b. STAGE II WORKS

    vi-    Supervision of the works, coordinating with the executing agency and Bank
           officials, ensuring execution as per tender specifications & safe execution of
           the works by ensuring that the agency employs all the safety measures
           while executing the works at various heights.

     vii-     Taking field measurements of the works actually executed at site at the
              appropriate time (i.e. before concealing, removal of scaffolding and related
              aspects) and cross verifying the measurements of works claimed by the
              executing agency and certifying the bills for payment with due
              recommendations on the quality of the works and compliance to tender
              terms.

     viii-    Assisting the Bank in any inspections, audits, examination / verification by
              any 3rd party and or investigating agencies and in answering to the queries
              raised by such verification agencies.

     ix-      Issue of Completion Certificate.

4. Details of buildings to be treated: There are 4 major building units with following
details to be treated.

Though it is proposed to treat all the above areas, the same is subject to obtaining
approvals / budgetary sanctions. Hence Bank reserves its right to either decrease the
areas to be treated partially or fully and to alter / modify the scope of works depending
on the administrative exigencies.

5. TIME LINES: The Façade Treatment works need to be carried out in the working
office & hence it is envisaged that the works are strictly undertaken in a time bound
manner. The following time lines are proposed for various activities

6. PAYMENT TERMS: The fee payable will be based on the estimated cost or tendered
cost or actual cost of works, whichever is less. For initial stages of payments, the
estimated cost of works will be considered, which will be adjusted in later stage
payments. The fee to be quoted in the financial bid shall be on percentage basis to the
cost of works excluding service taxes. In case the works are partially undertaken, to that
extent only, the payable fee will be worked out & paid. Applicable service tax amount
will be paid by the Bank on the payable fee amount. Applicable Income tax will be
deducted at source and certificate to that effect will be issued by bank. The consultancy
fee as quoted in financial bid for two stages services will be paid in installments as
specified below.

6 a. STAGE I FEE : FOR PRE-TENDER STAGE WORKS

(i) On submission & finalisation of preliminary/ sketch drawings and preliminary cost

7. RESTRICTION / SUSPENSION: The Bank reserves the right of restricting the
   Architect’s services to the preparation of architectural and structural detailed
   drawings specifications and estimates and to make alternate arrangements for
   inviting tenders and supervision of works after with-drawing such work from
   Architect or suspend the work in case of any administrative exigencies. The

   Architect shall, in that case, will be entitled to payment of fees on pro rata basis only
   for the services entrusted to him.

8. ABANDONMENT OF WORK: If the Architect abandons the work for any reasons
   whatsoever or becomes incapacitated from acting as aforesaid, the Bank may
   make full use of all or any of the drawings prepared by the Architect and that the
   Architect shall be liable to refund all the fees paid to him up to that date plus such
   damages as may be assessed by the Bank subject to a maximum of 10% of the
   total fees payable to the Architect under this agreement.
   Provided, however that in the event of the termination of the agreement being
   under proper notice as provided in the clause hereinafter, the Architect shall be
   liable only to refund any excess payment made to him over and above which is
   due to him in accordance with the terms of this agreement, for the services
   performed by him till the date of termination of agreement.
9. TERMINATION: This agreement may be terminated at any time by either party
   upon giving three weeks’ notice normally and in exigent circumstances with one
   week’s notice to the other and in the event of such termination the Architect
   shall be liable to refund the excess payment if any made to him over and above
   what is due in terms of this agreement on the date of termination. The Bank shall
   make payment of fees for the services already rendered by the Architect and the
   Bank may make full use of all or any of the drawings and details prepared by the
   Architect.

10. ARBITRATION : If any dispute, difference or question shall at any time arise
    between the parties in respect of the meaning or construction of this agreement, or
    covering anything therein contained or arising out of this agreement, or the validity
    of the enforcement thereof which cannot be settled mutually, shall within 30 days (
    or such longer period as may be mutually, agreed upon) from the date one party
    informs the other in writing that such dispute or disputes or disagreement exists,
    be referred to sole arbitration by a person selected by the Architect out of the
    panel of three names supplied by the Bank and appointed by THE GENERAL
    MANAGER, GENERAL ADMINISTRATION WING within 30 days from such
    selection by the Architect.
    The arbitration proceedings will be conducted in accordance with and be subject
    to the Indian Arbitration Act 1992 as amended from time to time and the decision
    of the arbitrator shall be final and binding on the parties.
   The Arbitrator will have his seat at BANGALORE or at such places in India as
   decided by the appointing authority. The Arbitrator may, with the written consent of
   the parties, extend time for making and publishing the award.
   The Architect shall continue to perform his duties with diligence notwithstanding the
   fact that the dispute has been referred to Arbitration or any dispute or difference has
   arisen.
   It is also the term of the agreement that if the Architect does not make any
   demand for arbitration in respect of any item in writing within 30 days of receiving
   intimation from the Bank that the final bill is ready for payment, the claim of the
   Architect will be deemed to have been waived and absolutely barred and the Bank
   shall be discharged and released of all liabilities under the agreement in respect of
   these claims.

11. NUMBER OF DRAWINGS SETS ETC. AND COPY RIGHT: All the estimates,
    details of quantities, detailed design, reports and any other details envisaged
    under this agreement including drawings-architectural, structural, electrical, A/c
    or other services (Internal and External) should be supplied both by the Architect
    without any extra cost. Apart from submitting the hard copies, soft copies of all the
    drawings, details and design calculations shall also be submitted to the Bank for
    bank’s record & future reference at no extra cost.

   i) All such drawings and copies as required to be submitted to bank for approval of
        drawings and for execution of all works including all drawings required for
        resubmissions incorporating any changes or amendments required by such
        authorities.
   ii) Two sets of all drawings for executing agency
   iii) Two sets of all drawings for clerk of works/Site Engineer
   iv) One set of drawings for all consultants, whether employed by the Architect or the
        Bank.
   v) Two sets of all drawings to the Bank
   vi) Two sets of original drawings approved by the local authorities with their seal 9if
        applicable) and two sets of final completion drawings including structural and
        services drawings with all amendments, services identification marks and
        layouts of all services to the Bank, along with one complete set of final structural
        and services design with calculation. One complete set out of this shall be
        reproducible copy on A 1 size. Cost of supplying copies of drawings over and
        above the above sets shall be reimbursed by the Bank. All these drawings will
        become the property of the Bank and the Bank will have the right to use the
        same anywhere else. In that event, the Bank will pay a royalty to the Architect on
        mutually acceptable basis. The drawings cannot be issued to any other persons,
        firm or authority or used by the Architect for any other project. No copies of any
        drawings or documents shall be issued to any one except the Bank and its
        authorised representative.
   (vii)If any changes are made in the drawings already issued, whether by the
        Architect or as required by the Bank, additional copies of drawings as mentioned
        in (ii) to (v) above, shall be issued.
12. GUARANTEE : The architect shall agree to redesign at his cost any portion of
    his engineering and design work, which due to his failure to use a reasonable
    degree of design skill shall be found to be defective within one year from the date of
    completion of the work. The Bank shall grant right of access to the Architect to these
    portions of the work claimed to be defective, for inspection.
    The Bank may make good the loss by recovery from the dues/security deposits of
    the Architect in case of failure to comply with the above clause.
13. DETERMINATION OR RESCISSION OF AGREEMENT: The Bank without any
    prejudices to its right against the Architect in respect of any delay by notice in
    writing absolutely determine the contract in any of the following cases;
    1. If the Architect being a company shall pass a resolution or the court shall make
        an order that the company shall be wound up or if a receiver or a (Manager on
        behalf of the creditor shall be appointed or if circumstances shall arises
        which entitle the court or the creditor to appoint a receiver or Manager or which
        entitles the court to make up a winding order.

   2. If the Architect is not pursuing the project with due diligence within the time lines
      committed or commits breach of any of the terms of the agreement and when
      the Architect has made himself liable for action under any of the cases aforesaid
      the Bank shall have powers:

   a. To determine or rescind the agreement
   b. To engage another Architect to carryout the balance work debiting the Architect
      the excess amount if any so spent.

14. INSPECTION BY BANK OR EXTERNAL AGENCY
i) The Bank may have the work inspected at any time by any officer nominated by
    the Bank who shall be at liberty to examine the records check estimates, structural
    designs and verify measurements and the quality of work.
ii) The appointment of Banks own supervisory staff if any, does not absolve the
    Architect of his responsibility of supervision. The Architect shall remain solely
    responsible for the quality of material, workmanship, structural soundness designs
    and construction and for all provisions of the contract so as to satisfy the particular
    requirement of the specifications.

15. TECHNICAL SOUNDNESS: The Architect shall be fully responsible for the
technical soundness of the work and furnish a certificate to that effect including the work
of consultants and specialist engaged, if any, by him and also ensure and give a
certificate at every bill stage that the work is carried out strictly in accordance with
drawings and specification. The Architect shall supply to the supervising staff, if so
engaged by the Bank, copies of all documents, instructions issued to contractors
relating to the work drawings, specifications, bills of quantities and also other
documents as may be required for proper supervision, free cost.

16. All instructions to the contractor affecting the rules and provisions of contract shall
    be issued by the Architect in writing after obtaining proper approval in writing of
    the Bank and copies of such instructions shall simultaneously be supplied to the
    Bank.

17. The Architect shall be required to maintain his own accounts for certifying the
    contractor's bill and progress of work etc. These shall be properly handed over to
    the Bank before final payment under this contract.
18. The Architect hereby agrees that the fees to be paid as provided herein (clause 6)
    will be in full discharge of function to be performed by him and no claim whatsoever
    shall be against the Bank in respect of any proprietary rights or copy rights on the
    part of any other party relating to the plans, models and drawings, except as
    provided for in clause 15(vi) above.
    The Architect shall indemnify and keep indemnified the Bank against any such
    claims and against all cost and expenses paid by the Bank in defending itself against
    such claims.
19. Notwithstanding the completion of the work as per Agreement entered hereto, the
    Architect agrees and undertakes the responsibility to suitably reply to the Bank’s

   queries that may be raised by any authorised inspection agency of the Bank or
   the Government..

20. OTHER MEASURES
(a) In case it is established that due to fault of the Architect or external agencies /
    consultant appointed by the Architect, if the Bank has to pay any extra amount due
    to over-run of the Project, over measurements - faulty description of tender item or
    any other lapse on the part of project architect necessary recovery may be effected
    from the Architect/Consultant’s fees as per provision of Section 73 of Indian
    Contract Act 1872 under section 30 of Architects Act 1972 (Central Act No.20 of
    1972) and/or Architect/Consultant may be debarred from employment for
    specified period and/or black listed depending on gravity of the lapses on the
    Architect.
(b) If work carried out by the Architect or consultants appointed by Architect is found
    to be sub-standard or un-duly delayed on his account, the bank may report to
    IBA, misbehavior of the Architect and IBA, in turn, may take further appropriate
    action as considered necessary.

FAÇADE TREATMENT WORKS at its Corporate office located at No.112, J C Road,
Bangalore in accordance with the general requirements; And whereas the Architect
have agreed to perform the services as set out and subject to the terms and
conditions set forth in the said `conditions' herein under.

NOW, these present witnesseth and it is hereby agreed and delivered by between the
parties hereto as follows:

THE Bank appoints the Architect and the Architect accepts the work on a clear
understanding that the Architect shall not be an employee of Bank for any reason
whatsoever including for the reason of his appointment by virtue of this agreement and
on the terms and conditions set-forth as stated in the foregoing, which shall form part
and parcel of the agreement.

      The following is the fee structure in Percentage to the cost of works (Estimated
      cost or tendered cost or Actual cost whichever is less), to render the services
      as detailed in the scope of works and as per the terms & conditions detailed
