					                External Secondment Agreement


This agreement made on............

Between:

   a) The Royal Agricultural College (“The College”)

   b) (Host)

(Together the “Parties”, and each a “Party”)


1. Obligations

1.1 The College shall second <<name>> to <<host>> for the period
    <<duration>> until <<end date>>, on a <<full/part>> time basis to act as
    <<job title>>, subject to:

1.2 The terms of this agreement

1.3 The terms and conditions of their employment contract with the College,
    copy attached (Appendix A).

If there is a conflict between 1.2 and 1.3, then 1.2 (including any terms
incorporated into this document) shall prevail.

1.4 <<Name>> shall work at <<host>> or at any other site prescribes by the
    <<host>> during the period of secondment shown in 1.1. <<Name>> shall
    observe all local site rules, health and safety, and emergency procedures
    while working at <<host>> or at any other sites prescribed by <<host>>.

1.5 <<Name>> will be required to carry out the duties and functions attached
   to the post (Appendix B) and as amended from time to time by agreement
   with <<host>> and will report to <<line manager>>, who will provide day
   to day supervision in relation to their role as << job title>>. Line
   management and appraisals will be conducted by senior staff at
   <<workbase>> (appraisals through an agreed appraisal mechanism).
1.6 In the event of grievance or disciplinary matters arising, these shall be
    dealt with under the College’s procedures. However, <<host>> may bring
    such issues to the attention of the College and may be required to attend
    any interview or meeting arranged under these provisions.

1.7 Any agreement to change the terms and duration of this Agreement in any
    way shall be valid only if the change is made in writing and approved by
    mutual agreement of authorised representatives of the Parties.


2. Hours and place of work

2.1 <<Name>> shall be located at <<host>> unless working off-site as
    appropriate. During the period of secondment, his/her terms and
    conditions will remain as in Appendix A.

2.2 For the purpose of this secondment, <<name>> will be provided with the
    customary offices of <<workbase>>, and access to the use of technical
    facilities as are necessary for the purpose of enabling him/her to perform
    his/her duties under this agreement.


3. Payments

3.1 In consideration of the services provided by the College through their
    employee, <<name>>, the College will continue to pay his/her salary plus
    overhead costs including employer’s National Insurance and other costs
    met by the College. <<Host>> will pay the College <<£>> plus VAT on a
    monthly basis on production of an invoice from the College.

(NB - You make a supply of staff for VAT purposes if you provide to another person the use
of an individual who is contractually employed by you. If you supply services to another
person but your staff continue to operate under your own direction, this is not a supply of staff,
but is a supply of those services. This distinction is significant where the services may be
zero-rated or exempt).


3.2 Travel and expense claims will be reimbursed by <<name>> in
    accordance with established practices and authorised by the line manager
    of the host company.


4. Arbitration

4.1 Both parties agree to implement and abide by its terms and conditions. It
    will be the aim of the parties to work together to resolve any difficulties and
    define a solution to problems that may arise. In instances where
    agreement cannot be reached a mutually acceptable third party may be
    asked to arbitrate.
5. Data Protection

5.1 <<Name>> shall at all times comply with the Data Protection Act 1998
    covering any individual personal data processing to be performed in
    connection with this secondment. He/she will, at all times, act in
    accordance with <<host>> data protection policies and procedures.


6. Termination

6.1 Either party may at any time prior to the termination of the secondment in
    accordance with the period of service agreement above terminate the
    secondment with one/three month’s written notice to the other party.

6.2 The secondment may terminate if:

   •   The secondee is unable to perform the duties under this agreement by
       reason of sickness or other capacity.
   •   The secondee fails or neglects efficiency and diligently to discharge
       his/her duties or is guilty of any serious or repeated breach of his/her
       obligations under the terms of this Agreement.
   •   The secondee is guilty of serious misconduct or any other conduct
       which affects or is likely to affect prejudicially the interest or reputation
       of <<host>>.
   •   The secondee’s employment with the College under the contract of
       employment is terminated for any reason.

6.3 On termination of the secondee’s secondment to <<host>>, the secondee
    will immediately:

   •   Resume duties as an employee of the College
   •   Surrender to <<host>> all original and copy documents relating to the
       affairs of <<host>> and return all other property belonging to
       <<host>>.

6.4 Termination of the secondment will not prejudice any other rights that
    <<host>>, the College or the secondee may have under the contract of
    employment or this agreement.
