The undersigned, as Tenant under the Lease of the above-referenced premises (“Premises”)
between ABC PROPERTIES LLP, a North Carolina limited liability limited partnership
(“Landlord”), as landlord (or successor in interest to landlord), and Tenant, made as of the
above-referenced date, does hereby represent, certify and covenant to Landlord and to the
prospective buyer of the property of which the Premises are a part, XYZ INVESTORS, Inc.
(“Buyer”), and its lenders and each of their respective successors and assigns, as follows:
1. Leases. The Lease is in full force and effect has not been amended,
supplemented or changed by letter agreement or otherwise, except as noted above. All of the
information recited above is true and correct.
2. Completion of Premises / No Disputes. Tenant has accepted all of the
Premises, and all conditions to be satisfied by Landlord under the Lease have been satisfied
pursuant to the terms of the Lease, including completion of construction of any required
improvements to the Premises.
3. No Defaults / Claims / Concessions. Neither Tenant nor Landlord is in
default under any terms of the Lease nor has any event occurred which with the passage of time
(after notice, if any, required by the Lease) would become an event of default under the Lease.
