CONDOMINIUM MANAGEMENT AGREEMENT THIS AGREEMENT made and entered into this ___ day of __________ 20__, by and between ___________________________ CONDOMINIUM UNIT OWNERS ASSOCIATION, INC., a(n) ______________ non-profit corporation, hereinafter called "Association" and _________________________, hereinafter called "Manager". WITNESSETH: WHEREAS, the Association is an association of Condominium Unit Owners of _________________________ Condominium (hereinafter called "Condominium"), and WHEREAS, a Declaration of Condominium pertaining to all of the property contained in said Condominium has been filed with the Recorder of ________County, __________ and shall hereinafter be referred to as "Declaration"; and WHEREAS, pursuant to the By-Laws of the Association, the Association is vested with certain powers and charged with certain duties relative to the operation of the Condominium including the common areas and facilities as well as portions of the individual Units contained thereon; and WHEREAS, all of the Condominium Property described on Exhibit A, which is attached to the Declaration, as amended from time to time, shall hereinafter be referred to as "Properties"; and WHEREAS, the employment of a manager will facilitate the orderly and uniform administration, maintenance, appearance, upkeep and management of all the Properties as an entity which is necessary and essential for the promotion and preservation of the communal nature of the Condominium and the protection of the property values therein including the value of the Units. NOW, THEREFORE, in consideration of the promises and agreements of the parties and for other good and valuable consideration, the receipt of which is hereby acknowledged, the parties hereto agree as follows: 1. Definitions. The terms used herein shall have the meaning set forth in the Declaration unless the context otherwise requires, and the terms and conditions set forth in the preamble clauses are incorporated herein. 2. Employment and Term. The Association does hereby employ the Manager as the exclusive Manager of ________________ Condominium, located in ___________ County, ______________, upon the terms herein set forth, for a term of ___ months, commencing on the date of the closing of the first sale of a Unit by the Declarant, ____________, and terminating at the election of either party or by vote of a majority of Unit Owners of the Association other than Declarant, on no less than thirty (30) days' prior written notice. This Agreement shall be automatically renewed for three (3) successive 12-month terms, unless either party notifies the other party in writing within sixty (60) days of the termination of the original term or any additional 12-month term thereafter, of its intention not to renew this Agreement.
