NOTIFICATION OF INTENT
All recipients of this solicitation notice must indicate intent to submit a response. Those vendors submitting a
Notification of Intent will be sent a complete copy of any related addendum, answers to inquiries, etc. pertaining to this
ITB. Notification of intent must be faxed to (205) 214-4034 or e-mailed to Melinda Cunningham at

Submissions may be withdrawn, modified, and resubmitted prior to the formal bid opening due date. Any submission
modification(s) submitted after the “Bid Opening Due Date” will not be considered.

The County reserves the right to accept or reject any or all bids, or any part of any bid, and to waive any informalities or
irregularities in the bid.

All costs incurred by the company to respond to this solicitation may be wholly the responsibility of the Bidder. All
copies and contents of the bid, attachments, and explanations thereto submitted in response to this ITB, except
copyrighted material, shall become the property of the Jefferson County Commission regardless of the Consultant
selected. Response to this solicitation does not constitute an agreement between the Bidder and the County.

The County is not responsible for delays occasioned by the U.S. Postal Service, the internal mail delivery system
of the County, or any other means of delivery employed by the Offeror. Similarly, the County is not responsible
for, and will not open, any proposal responses which are received later than the date and time indicated above.
Late bid responses will be retained unopened in the ITB file.

Sealed BIDS, one (1) original and (2) copies marked “ITB 141-11 IP TELECOMMUNICATIONS EQUIPMENT” will be
received by the Purchasing Manager, Room 830 * 716 Richard Arrington Jr. Blvd North, Birmingham, Alabama.

Bids will be accepted until 5:00 P.M. Central Time (standard or daylight savings time, as applicable) on JUNE 1, 2011. Bids
submitted after this date may be considered if determined to be in the best interest of Jefferson County.

Bids will be opened at 2:00 P.M. (CST) on JUNE 2, 2011.

TERMS OF CONTRACT

Any contract resulting from this ITB will become effective upon ITB award (or within 30 days of award notification, approval by the
County Commission). The term of this contract shall be for one year with an option of two (2) consecutive, additional one-year
periods.

TELEGRAPHIC/ELECTRONIC RFP RESPONSES
Bid responses sent by electronic devices (i.e., facsimile machines and email) are not acceptable and will be rejected upon receipt.
Vendors will be expected to allow adequate time for delivery of their ITB responses either by airfreight, postal services, or by other
means.

NOTIFICATION OF INTENT
All recipients of this ITB are required to return a letter of Notification of Intent indicating that they intend to submit a response. Only
those vendors submitting the Notification of Intent will be advised of any clarifications, addendum, answers to inquiries, etc.
pertaining to this ITB. Notification of intent must be faxed or e-mailed no later than MAY 27, 2011 to cunninghamm@jccal.org

INTERPRETATIONS AND ADDENDA
No interpretation or modification made to any respondent as to the meaning of the ITB shall be binding on the Jefferson County
Commission unless submitted in writing and distributed as an addendum by the Jefferson County Purchasing Department.
Interpretations and/or clarifications shall be requested in writing and directed to Melinda Cunningham, Jefferson County
Purchasing Division, 830 Courthouse, 716 Richard Arrington Jr. Blvd. North, Birmingham, AL 35203, (Fax 205 214-4034) or
(email: cunninghamm@jccal.org). Verbal information obtained otherwise will not be considered in awarding of contract. All
addenda shall become part of the ITB.

STATEMENT OF PURPOSE
This ITB provides interested parties with sufficient information to enable them to prepare and submit a response for consideration by
the County. By submitting a response, you are affirming that you (in the case of individuals) and/or your organization are interested in
contracting with the County to provide services covered herein. This document serves a two-fold purpose in that it is the County’s
document of record showing our specifications, terms and conditions, besides the purchase order, that will be executed with
regard to the purchase of the services requested herein.

PRICING
The County reserves the right to purchase none; one or several units. Pricing must include all applicable charges.

Software Support Services by Vendor
Each bidder shall provide the following minimum information regarding support services:
A. The solution is to be configured installed and tested and made operational within 45 (forty-five days) of professional services
    contract execution.
B. Awarded company must provide system and services support (technical support desk, remote diagnostics, on-site technical visits).
C. Awarded company must provide training and written documentation.
D. Awarded company must have a local support representative (within 50 mile radius) that is available to deal with any issues or
    emergencies.

AWARD OF SERVICES
The final award will be made to the most qualified, responsive, and responsible Bidder as determined in accordance with the
specifications. The determination of equipment/services to be provided by the selected bidder shall be at the sole discretion of
Jefferson County.

BUSINESS LICENSE
Currently, Jefferson County does not have a business license requirement; however, in the event you receive a notification of intent to
award letter, you will be required to provide your Jefferson County business account number within 7 days of receipt of notice of
intent to award. If you are not currently registered with Jefferson County Revenue Department, and do not have a business account
number, applications may be obtained by logging on to http://jeffconline.jccal.org/revenue. Once you have logged on, click on
Business License and then **New Applicants. Failure to submit the requested information may result in the notice of intent to award
being revoked.

LICENSES/CERTIFICATES
Jefferson County reserves the right to require documentation that each Bidder is an established business and is abiding by the
Ordinances, Regulation, and Laws of their community and the State of Alabama.

If you are required by any regulatory agency to maintain professional license or certification to provide any product and/or service
solicited under this ITB, the County reserves the right to require you to provide documentation of your current license and/or
certification before considering your response and/or before awarding a contract.

THIRD-PARTY “REMIT-TO”
If Offeror’s has a third-party “remit-to” company, that information must appear on the Offeror’s response. Jefferson County will send
payment to the company designated by Bidders on its response, but will not be responsible for resolving payment issues, should the
Bidder change payment processing companies after a payment has been mailed or without 45-day written notification to the
Purchasing and Accounting division of Jefferson County.

TAX
Jefferson County is exempt from all tax. Provided however, Offeror’s shall be responsible for payment of all sales, use, lease, ad
valorem and any other tax that may be levied or assessed by reason of this transaction.

GENERAL TERMS & CONDITIONS

PUBLIC DISCLOSURE
Subject to applicable State and Local law or regulations, the content of each Bidder’s response shall become public information upon
the effective date of any resulting contract. A Bidders disclosure or distribution of the response, other than to the County, will be
grounds for disqualification at the County’s option. All electronic files; audio and/or video recordings; and all papers pertaining to any
activity performed by the Successful Bidder for or on behalf of the County shall be the property of the County and shall be turned over
to the County upon request. Bids submitted are not publicly available until after awarded contract is signed by the Jefferson County
Commission. Jefferson County reserves the right to retain all responses submitted and to use any ideas in a response regardless of
whether that response is selected.

EXAMINATION OF ITB DOCUMENTS
Failure of any Bidder to receive or examine any form, instrument, addendum or other document shall in no way relieve any Bidder
from any obligation with respect to their response or to any contract resulting from their response. The submission of a response shall
be taken as conclusive evidence of compliance with this condition. Failure to meet this condition may result in rejection of any
response on this ITB.

SOLE CONTRACTOR/IMPLEMENTER
The Jefferson County Commission intends to award the contract to a sole contractor. The successful Bidder shall assume total
responsibility for all Deliverables whether a sub-contractor or third-party produces them in whole or in part. Further, the County will
consider the successful Bidder to be the sole point of contact with regard to contractual matters, including payment of all charges
resulting from the Contract. The successful Bidder will be fully responsible for any default by a sub-contractor, just as if the
successful Bidder itself had defaulted. No sub-contractor will be paid directly by Jefferson County. The successful Bidder will be
solely responsible for the success of the entire Project.

GUARANTEE
Bidder certifies by response, that he is fully aware of the conditions of service and purpose for which services included in this ITB are
to be purchased, and that his offering will meet the requirements of service and purpose to the satisfaction of the Jefferson County
Commission and its Agent.

PROPERTY OF JEFFERSON COUNTY
All copies and contents thereof of any response, attachment, and explanation thereto submitted in response to this ITB, except
copyrighted material, shall become the property of the Jefferson County Commission regardless of the Bidder selected. All
copyrighted material must be clearly marked in indication of its copyrighted status. The County shall be held harmless from any
claims arising from the release of proprietary information not clearly designated as such by the responding firm.

CANCELLATION
Failure to deliver as specified and in accordance with the ITB submitted, including promised delivery will constitute sufficient
grounds for cancellation of the order at the option of the County Commission.

TERMINATION OF CONTRACT
This contract may be terminated by the County with a thirty (30) day written notice to the other party regardless of reason. Any
violation of this agreement shall constitute a breach and default of this agreement. Upon such breach, the County shall have the right
to immediately terminate the contract and withhold further payments. Such termination shall not relieve the Contractor of any liability
to the County for damages sustained by virtue of a breach by the Contractor.

ADDITIONS TO CONTRACT AND/OR ADDITIONAL CONTRACTS
Jefferson County, without invalidating any resulting Contract, may order changes in the items within the general scope of this ITB
consisting of additions, deletions, or other revisions. The contract price and time being adjusted accordingly, providing pricing for
such additions/changes is included in Bidders Response. All such changes in the contract shall be authorized by a written change order
to the contract, and shall be executed under the applicable terms and conditions of Jefferson County Commission. No claim for
additional work or change in price will be considered valid unless submitted in writing to the Purchasing Department and approved via
change order by Jefferson County Commission.

MODIFICATION OF AGREEMENT/CONTRACT CHANGES
All changes/modifications to the original agreement must be submitted to the Purchasing Department for review. These submissions
(and if applicable, the costs associated with the changes) will be reviewed with the Information Technology Department designee.
Changes that are reviewed by the Purchasing Department are determined to be necessary are at no cost to Jefferson County must be
approved by Jefferson County Commission. Any changes/modification that involves ADDITIONAL MONEY shall not be binding
unless approved Jefferson County Commission.

LAWS AND REGULATIONS
All applicable State of Alabama and federal laws, ordinances, licenses and regulations of a governmental body having jurisdiction
shall apply to the award throughout as the case may be, and are incorporated here by reference. The Jefferson County Commission
currently does not have a business license. Vendors must register with the Jefferson County Commission Department of Revenue. Any
contract executed based on award of this ITB must stipulate that governing law will be the State of Alabama.

INCURRING COSTS
All costs incurred in preparing the bid, or costs incurred in any other manner by the respondent in responding to this ITB will be
wholly the responsibility of the respondent. All materials, supporting materials, correspondence and documents submitted in response
to this ITB shall become the property of Jefferson County and will not be returned.

SUBCONTRACTING
The intention to subcontract any portion of the project to a named entity must be part of the Bidders response.. No portion of the
response or resulting project may subsequently be subcontracted without the prior written approval of both Jefferson County
Purchasing and Jefferson County Information Technology Department.

NEGOTIATIONS
Jefferson County reserves the right to negotiate the terms and conditions of the contract with any of the evaluated Bidders. Should the
successful Bidder and Jefferson County fail to come to an agreement, Jefferson County may at its sole discretion award services to any
of the remaining Offerors. The Offeror to whom the contract is awarded shall be required to enter into a written contract with
Jefferson County in a form approved by legal counsel for Jefferson County. This ITB, the response, or any part thereof, shall be
incorporated into and made a part of the final contract.

CLARIFICATION
Respondent may be requested to provide additional information and/or clarify contents of their proposal package. Other than
information requested by the County, no bidder will be allowed to alter the response or add new information after the final filing date.

HOLD HARMLESS AND INDEMNIFICATION
Contracting party agrees to indemnify, hold harmless and defend Jefferson County, Alabama, its elected officers and employees
(hereinafter referred to in this paragraph collectively as “County”), from and against any and all loss expense or damage, including
court cost and attorney’s fees, for liability claimed against or imposed upon County because of bodily injury, death or property
damage, real or personal, including loss of use thereof arising out of or as a consequence of the breach of any duty or obligations of
the contracting party included in this agreement, negligent acts, errors or omissions, including engineering and/or professional error,
fault, mistake or negligence of, its employees, agents, representatives, or subcontractors, their employees, agents or representatives in
connections with or incident to the performance of this agreement, or arising out of Worker’s Compensation claims, Unemployment
Compensation claims, or Unemployment Disability compensation claims of employees of company and/or its subcontractors or claims
under similar such laws or obligations. Company obligation under this Section shall not extend to any liability caused by the sole
negligence of the County, or its employees. Before beginning work, contract party shall file with the County a certificate from his
insurer showing the amounts of insurance carried and the risk covered thereby. Liability insurance coverage must be no less than
$1,000,000. During performance the company must effect and maintain insurance from a company licensed to do business in the
State of Alabama. Coverage required includes 1) Comprehensive General Liability; 2) Comprehensive Automobile Liability; 3)
Worker’s Compensation and Employer’s Liability.

PROPRIETARY INFORMATION
Any proprietary information contained in the Response shall be so indicated with the notation in BOLD letters at the top and bottom
of the page, THIS PAGE CONTAINS PROPRIETARY INFORMATION. A general indication that the entire content or major
portion, of the Response is proprietary will not be honored.

GENERAL
Jefferson County expressly reserves the right to reject any or all I TB’s, or parts of ITB response and to make the award on merit
and/or features of design and quality, delivery, and availability of parts and service as the best interest of the County appears.

DISCLAIMER OF LIABILITY
The County will NOT hold harmless or indemnify any successful Offeror for any liability whatsoever.

ASSIGNMENT
No portion of the response or resulting project contract may be sold, assigned, transferred or conveyed to a third party without the
express written consent of Jefferson County. Should Jefferson County authorize the Successful Bidder to subcontract (assign) any
portion of this contract, the Successful Bidder will maintain the ultimate legal responsibility for all services according to contract
specifications. In the event of a subcontract, the Successful Offeror must maintain a continuous effective business relationship with
the sub-contractor(s) including, but not limited to, regular payment of all monies owed to any sub-contractor. Failure to comply with
these requirements, in whole or part, will result in termination of the contract and/or legal ramifications, due to nonperformance.

SINGLE Response
If a single bid response is received for this ITB, the response will be rejected in accordance with Title 41-16-50-a-1 of the Alabama
Code. The response will be opened, but will not be read publicly. We will proceed with negotiations for a lower price with the
rejected Bidder and other Bidder’s by means of sealed quotes. The rejected Bidder’s initial offer will not be disclosed to other
Bidders, prior to the awarding of a contract. The award will be made to the company offering the lowest negotiated quotation,
provided that all conditions and specifications required by the County are met.

GOVERNING LAW/DISPUTE RESOLUTION
The parties agree that this contract is made and entered into in Jefferson County, Alabama and that all services, materials and
equipment to be rendered pursuant to said Agreement are to be delivered in Jefferson County, Alabama. The interpretation and
enforcement of this Agreement will be governed by the laws of the State of Alabama, without giving effect to the conflict of laws
rules thereof. The parties agree that jurisdiction and venue over all disputes arising under this Agreement shall be in the Circuit Court
of Jefferson County Alabama, Birmingham Division.

INSURANCE
The successful Offeror will maintain such insurance as will protect him and the County from claim under Workmen's Compensation
Acts, and from claims for damage and/or personal injury, including death, which may arise from operations under this contract.
Insurance will be written by companies authorized to do business in Jefferson County, Alabama and shall include Jefferson County,
Alabama as Added Additional Insured By Endorsement including a thirty (30) day(s) written cancellation notice. Evidence of
insurance will be furnished to the Purchasing agent not later than seven (7) day(s) after Purchase Order/contract date. Successful
Offeror is also required to include the proposal number on the evidence of insurance.

Insurance Minimum Coverage
Contracting party shall file the following insurance coverage and limits of liability with the County's Human Resource Department
and Purchasing Department before beginning work with the County.
         General Liability:
         $1,000,000 - Bodily injury and property damage combined occurrence
         $1,000,000 - Bodily injury and property damage combined aggregate
         $1,000,000 - Personal injury aggregate
         Comprehensive Form including Premises/Operation, Products/Completed Operations, Contractual, Independent contractors,
         Broad Form property damage and personal injury.
         Automobile Liability:
         $1,000,000 - Bodily injury and property damage combined coverage
         Any automobile including hired and non-owned vehicles
         Workers Compensation and Employers Liability:
         $100,000 - Limit each occurrence
         Umbrella Coverage:
         $1,000,000 - Each occurrence
         $1,000,000 – Aggregate

RECORDS RETENTION and ACCESS REQUIREMENTS
The Successful Bidder and any of its sub-contractors shall maintain books, records, documents and other evidence of account
procedures and practices, which properly and sufficiently reflect all direct and indirect costs invoiced in the performance of the
Contract. The Successful Offeror and its sub-contractors shall retain all such records for five (5) years after the expiration or
termination of the Contract. Records relating to any litigation matters regarding the Contract shall be kept for one year following the
termination of litigation, including all appeals if the litigation does not terminate within six (6) years from the date of expiration or
termination of the Contract. Upon prior notice and subject to reasonable time frames, all such records shall be subject to inspection,
examination, audit and copying by personnel so authorized by the County and state or federal officials so authorized by law, rule,
regulation or contract, as applicable. The records shall be maintained in accordance with generally accepted accounting principles.

During the term of this Contract, access to these items will be provided within Jefferson County of the State of Alabama, unless
otherwise agreed by the County. Delivery of and access to such records will be at no cost to the County during the six (6) year period
after the Contract term or six (6) year term following litigation. The Successful Offeror shall include the records retention and review
requirements of this section in any of its subcontracts.

AUDITS
For all the work being performed under this contract, Jefferson County or a designated 3 rd party auditor has the right to inspect,
examine, and make copies of any and all books, accounts, records and other writing relating to the performance of the work. Audits
shall take place at times and locations mutually agreed upon by both parties, although the successful Offeror shall make the materials
to be audited available within one (1) week of the request for them.

PUBLIC DISCLOSURE
Subject to applicable law or regulations, the content of each Bidder shall become public information upon the effective date of any
resulting contract.

NON-DISCRIMINATION POLICY

If a Bidder’s response contains material noted or marked as confidential and/or proprietary that, in the County’s sole opinion, meets
the disclosure exemption requirements of the Alabama Public Records Law, then that information will not be disclosed pursuant to a
request for public documents. If the County does not consider such material to be exempt from disclosure under the Alabama Public
Records Law, the material will be made available to the public, regardless of the notations or markings. If a Bidder is unsure if its
confidential and/or proprietary material meets the disclosure exemption requirements of the Alabama Public Records Law, then it
should not include such information in the proposal.

COUNTY FUNDS PAID
Successful Bidder must certify by the execution of Purchase Order Agreement that no part of the funds paid by the County pursuant to
this agreement nor any part of the services, products or any item or thing of value whatsoever purchased or acquired with said funds
shall be paid to, used by or used in any way whatsoever for the personal benefit of any member or employee of any government
whatsoever or family member of any of them, including federal, state, county and municipal and any agency or subsidiary of any such
government; and further certify that neither the Offeror nor any of its officers, partners, owners, agents, representatives, employees or
parties in interest has in any way colluded, conspired, connived, with any member of the governing body or employee of the
governing body of the County or any other public official or public employee, in any manner whatsoever, to secure or obtain this
Agreement and further certify that, except as expressly set out in the scope of work or services of this Agreement, no promise or
commitment of any nature whatsoever of any thing of value whatsoever has been made or communicated to any such governing body
member or employee or official as inducement or consideration for this Agreement.

Any violation of this certification shall constitute a breach and default of this Agreement, which shall be cause for termination. Upon
such termination, Offeror shall immediately refund to the County all amounts paid by the County pursuant to this Agreement.
