STATEMENT OF INDEMNIFICATION The Contractor hereby acknowledges and confirms that the contract

any other obligation to indemnify the CITY and to the fullest extent permitted by law protect defend indemnify
and hold harmless the CITY its elected officials employees agents and volunteers from and against all
claims actions liabilities losses including costs including attorney fees and all costs of
economic losses
litigation and judgments of every description arising out of or incidental to the performance of this

contract unless caused by the sole negligence of the CITY its elected officials employees agents or
volunteers Any cost or expenses including attorney fees including appellate bankruptcy or patent council
fees incurred by the CITY to enforce this agreement shall be borne by the contractor This indemnification
shall also cover all claims brought against the CITY its elected officials employees agents or volunteers by
any employee of the contractor any subcontractor or anyone directly or indirectly employed by any of them
The contractor s obligation under this article shall be limited to 10 000 000 and shall not be limited in any way

RIGHT TO TERMINATE Should Contractor violate any provision of this document City may notify Contractor
in writing stating the City s intention to terminate the contract and stating the reasons thereof Unless
Contractor remedies such default or has made satisfactory arrangements with the City for such remedy with in
five 5 business days after service of said notice upon Contractor this Contractor May be terminated by the
City
SUBCONTRACTOR The Contractor has the authority to monitor all subcontractors to make sure all conditions
of this document are being executed Furthermore the City has the right to refuse subcontractors work on the
project

2 0 INTENT OF PROJECT
The City of Sebring proposes to have an Integrated Pest Management program to cover all buildings listed within this
invitation to bid To this end the City of Sebring is seeking quotes for pest control services as outlined in this document
3 0 CONTRACT TERMS
3 1 The Vendor agrees to provide services for the control of invading pests such as roaches ants spiders
silverfish and etc Rodent control is required at those facilities identified and may be required at other facilities
at a later date Ie bee wasp contained inside or attached to a contracted facility will be treated and removed
as part of the basic contract without additional costs Services shall include a lawn maintenance program
where applicable
3 2 Flea control is an excluded service and if required will be dealt with separately
33 Unless otherwise noted the schedule for provided services is at the discretion of thevendor and can be
monthly quarterly or yearly but cannot exceed more than one year between services Note Rodent services
are to be performed monthly at a minimum
34 The first treatment for all listed buildings must be within 60 days of purchase order
35 The Vendor agrees to make return call visits without charge to eliminate any infestation that occurs between
scheduled services provide the City a contact person s name and telephone number for

local laws and regulations All chemicals shall be used in accordance with manufacturer s guidelines and with
all due precautions to prevent contamination of humans domestic animals and or pets
3 7 Material Data Safety Sheets MSDS must be on file in the department s Office prior to any chemical being
utilized by the vendor on City facilities All contractors and subcontractors performing services for the City are
required and shall comply with all Occupational Safety and Health Administration OSHA State and County
Safety and Occupational Health Standards and any other applicable rules and regulations Also all contractors
and subcontractors shall be held responsible for the safety of their employees and any unsafe acts or conditions
that may cause injury or damage to
any persons or property within and around the work site area under this
contract
3 8 The Vendor while performing any service on City owned or leased property shall wear a uniform

3 9 The failure or omission of the Vendor to receive or examine any instruction or document or any part of the

thereof and their obligations there under and will not make any claim for or have any right to damages resulting
from any misunderstanding or misinterpretation of this agreement or because of any lack of information

A The Vendor shall visit all sites and be fully acquainted and familiar with conditions as they exist and
the operations to be carried out The Vendor shall make such investigations to fully understand the
facilities difficulties and restrictions including facilities operating hours and accessibility
B Site visit appointments can be made by contacting theJloint of contact Appointments will be
scheduled Monday thru Friday between the hours of 8 AM and 5 PM It should be noted that it might
require a full day to measure and gather all site information Therefore it is important that
appointments be made as soon as possible and with advance notice Facilities Management will try
