                             DURABLE POWER OF ATTORNEY

        I, [      ], of [ADDRESS], do hereby make constitute and appoint [NAME OF
ATTORNEY-IN-FACT] my true and lawful attorney for the purposes hereinafter set forth,

       References in this power of attorney to:

        (a)    “My Attorney” are to the person named above and to the person or persons
substituted hereunder pursuant to the power of substitution granted herein; and.

       (b)      “My property” are to all my property, both real and personal, wherever located
and whether now owned by me or at any time hereafter acquired by me, including all forms of
pension and retirement plans of which I am the owner or in which I am a participant, including
individual retirement accounts (all of which plans and accounts are hereinafter referred to as
“pension plans”).

       Pronouns contained herein shall be construed in the singular or the plural as the context
requires.

       I hereby grant to my Attorney, for me and in my name, place and stead, the power:

       1.     To take full care and management of all my property, and to keep the same
insured against fire and other risks in such amounts and with such companies as my Attorney
may deem best; to cancel and surrender any policy of insurance; to receive any dividend, return
premium or deposit due on any such policy; and to adjust any loss arising under the same.

       2.     To sell, transfer and convey, exchange and grant options with respect to any or all
of my property from time to time in my Attorney’s discretion for such prices and upon such
terms and conditions, including sales upon credit, as my Attorney may deem best.

       3.      To lease any and all of my property for such length of time and upon such terms
and conditions as my Attorney may deem best.

       4.     To vote any shares of stock or other securities for any purpose whatsoever and in
connection therewith to give proxies, with or without discretionary powers.

       5.      To consent to the reorganization, consolidation, merger, dissolution or liquidation
of any corporation in which I may own shares of stock, bonds, or other securities.

       6.     To invest and reinvest all funds belonging to me or held in pension plans and to
purchase any real or personal property, including common stock, shares of investment trusts or

investment companies and interests in common trust funds, even though the same may be non-
productive.

       7.      To borrow funds in my name from any lender in such amounts and upon such
terms and conditions as my Attorney may deem best and to secure the repayment of the same by
pledging, mortgaging or granting a security interest in any of my property upon such terms and
conditions as my Attorney may deem best.

        8.     To deposit any funds received by my Attorney on my behalf with any bank or
trust company and to withdraw such funds or any other funds belonging to me or standing in my
name (whether in my name alone or in a joint account with another person or persons and
whether in a checking, a savings or some other account).

       9.      To demand, sue for, recover, collect and receive from any and all persons, firms
or corporations any and all sums of money or other property that are due, payable, or belong or
accrue to me.

        10.   To pay from any funds of mine received or controlled by my Attorney acting
hereunder, whether income or principal, any debts from time to time owed by me, any bills or
charges for my care or support, any taxes or assessments whether ordinary or extraordinary that
may be levied or assessed against me or otherwise payable by me, and the expenses of any
repairs, renewals, replacements, alterations or improvements to or on any of my property, and
any other expenses incidental to the care, management and investment of my property.

       11.     To enter, open, have access to, use, examine and dispose of the contents of any
safe deposit box or boxes in my name.

        12.    To prepare, execute and file any income tax return or other return or report with
respect to any taxes or assessments of any kind or nature accrued by me and to represent me in
connection with the assessment or adjustment of any such taxes or assessments, with full power
and authority to compromise or otherwise agree with respect to the payment of such taxes or
assessments.

        13.    To transfer funds or other property to any inter vivos trust or trusts I may have
established.

        14.    To make statutory elections and disclaimers, including the power to disclaim or
refuse to accept an inheritance or life insurance proceeds.

        15.    To collect amounts due me from, and to qualify me for, various government
entitlements such as Medicaid or supplemental Social Security.

       16.    To waive client and other similar privileges to facilitate consultation among my
Attorney hereunder and my lawyer and other advisors.

       17.   To make withdrawals for my benefit at such times and in such amounts as my
Attorney may deem appropriate from any pension plans of which I am the owner, participant, or

beneficiary and to make such elections relating to timing and amounts of withdrawals as my
Attorney shall deem appropriate.

        18.     To employ agents, attorneys, accountants, appraisers, investment advisors and
others to act for my Attorney, and to pay from accounts owned by me reasonable compensation
for their services.

       19.     To make payments of any charitable pledges I may have made and to make gifts
to any charitable organizations to which I have made gifts in the past in such amounts as my
Attorney shall determine.

         20.    To make gifts, grants and other transfers without consideration either outright or
in trust (including the forgiveness of indebtedness) to my spouse, any descendant of mine or the
spouse of any descendant of mine (including specifically gifts to my Attorney if my Attorney is
my spouse, a descendant of mine or the spouse of a descendant of mine); to make payment for
the private school, college and/or post graduate tuition of any descendant of mine or the spouse
of any descendant of mine and for the medical care of my spouse, any descendant of mine and
the spouse of any descendant of mine; such gifts may be unlimited in amount.

       For the better execution of any and all of the powers hereof, my Attorney is hereby
authorized to execute and deliver any and all receipts, releases, agreements, deeds (with or
without covenants), mortgage deeds, leases, promissory notes and other evidences of
indebtedness, checks, withdrawal orders, pledge or security agreements and other instruments, in
my name or in my Attorney’s name as attorney-in-fact hereunder, and containing such terms and
conditions as my Attorney may deem best.

        I hereby give and grant to my Attorney full power and authority to do and perform any
and all acts needed to be done, as fully to all intents and purposes as I might or could do if
personally present, with full power to make and substitute for the purposes aforesaid or any of
them one or more attorneys for my Attorney, and to revoke the appointment of any such
substitute or substitutes, hereby ratifying and confirming all that my Attorney shall lawfully do
or cause to be done by virtue hereof.

        I hereby declare that, to the extent permitted by law, this power of attorney shall not be
affected by my disability or incapacity and the powers granted to my Attorney hereunder shall be
exercisable notwithstanding my disability or incapacity.

         I specifically do not give my Attorney the power to change beneficiaries of my will, any
trust I have created, any insurance or annuity contract, any pension plans or any other contracts
of which I am the owner or participant.

       I hereby declare that in case of my death, this power of attorney as to all acts which may
after my death be done by my Attorney acting hereunder shall be binding upon my heirs,
executors and administrators as the same would have been upon me if living, unless my Attorney
has actual knowledge of my death before doing such acts.

       I hereby declare that no person paying any money or transferring any property to my
Attorney by virtue hereof shall be obligated to see to the application or be responsible for the

misapplication thereof; and that the receipt of my Attorney for any money paid or property
transferred by virtue hereof shall be a sufficient discharge to the person paying or transferring the
same. I hereby declare that any person may at any time rely on this power of attorney unless
such person has actual knowledge that I have revoked it or that my death has occurred.

        Pursuant to the provisions of [CITE STATE LAW], the authority conferred by this power
of attorney shall remain exercisable notwithstanding the lapse of time since the execution of this
instrument.

        If any person, organization, corporation, association or other entity (hereinafter referred
to in the aggregate as “person”) shall fail to act in accordance with the instructions of my
Attorney, I specifically authorize my Attorney to commence suit to recover any losses or
expenses sustained as a result of the failure by such person so to act.

                   REVOCATION OF DURABLE POWER OF ATTORNEY

       Reference is made to that certain Durable Power of Attorney, dated [ ], 20[ ],
granted by me to [NAME OF ATTORNEY-IN-FACT], a copy of which is attached hereto as
Exhibit A.

       This Revocation of Durable Power of Attorney constitutes notice that I hereby revoke,
rescind and terminate such Durable Power of Attorney and all authority, rights and power
