BPCL RESERVES THE RIGHT TO ACCEPT OR REJECT THE BIDS WITH LONGER THAN REQUIRED DELIVERY. DELIVERY IS THE ESSENCE OF THE ORDER. THOSE BIDS NOT MEETING OUR DELIVERY SCHEDULE MAY NOT BE CONSIDERED FOR PRICE BID OPENING. 13.4 TERMS OF DELIVERY: FOR INDIAN VENDORS: THE ABOVE MATERIAL IS TO BE DELIVERED TO OUR REFINERY WAREHOUSE AT MAHUL, CHEMBUR, MUMBAI 400 074. SUPPLY OF PART QUANTITIES WILL BE ACCEPTABLE ONLY AT THE DISCRETION OF BPCL. IN ALL OTHER CASES VENDOR SHALL SUPPLY THE ENTIRE QUANTITY AT A TIME. FOR GLOBAL VENDORS: F.O.B NEAREST AIRPORT/SEAPORT. 13.5 SHIPPING INSTRUCTIONS FOR GLOBAL VENDOR: THE CONSIGNMENT IS TO BE FORWARDED THROUGH ASSOCIATES OF OUR FREIGHT FORWADER. THE DETAILS OF WHICH WILL BE GIVEN LATER. 13.6 TERMS OF PAYMENT: AS PER SPECIFIED IN TENDER ENQUIRY THE 13.7 PENALTY FOR BREACH OF CONTRACT: Page 6 of 10 DELIVERY SHALL BE GUARANTEED AGAINST THE FOLLOWING LIQUIDATED DAMAGES CLAUSE: "THE CONTRACT PRICE SHALL BE REDUCED @ 1/2 % PER WEEK OF DELAY OR PART THEREOF SUBJECT TO A MAXIMUM OF 5 % OF THE TOTAL VALUE OF EACH DELAYED COMPLETE UNIT". THE ABOVE CLAUSE WILL BE APPLICABLE SUBJECT TO OUR STANDARD "FORCE MAJEURE" CONDITIONS. 13.8 GURANTEES: THE EQUIPMENT SHALL BE GUARANTEED FOR ITS DESIGN, GOOD WORKMANSHIP, SIZE, CAPACITY AND OPERATION AND SATISFACTORY PERFORMANCE FOR A MINIMUM PERIOD OF 12 MONTHS FROM THE DATE OF COMMISSIONING OR 18 MONTHS FROM THE DATE OF DESPATCH WHICHEVER IS EARLIER. 13.9 CONTRACT RIDERS (CLAUSES): 13.9.1 PRE-QUALIFICATION BID WILL BE OPENED ON THE FOLLOWING WORKING DAY ON DUE DATE. 13.9.2 ONE OF YOUR REPRESENTATIVE CAN WITNESS THE TECHNICAL BID OPENING OF YOUR OFFER ON THE FOLLOWING WORKING DAY ON DUE DATE AT 2.00 PM AT P&CS CONFERENCE ROOM, 2ND FLOOR, SOUTH BOCK, ADMIN.BLDG. PLEASE LET US KNOW THE NAME OF THE PERSON WHO WILL BE ATTENDING THE SAME, TO ENABLE US TO PREPARE A WELCOME SLIP. 13.10 OTHER CONTRACTUAL STIPULATIONS: 13.10.1 THE BIDDER IS REQUESTED TO ADHERE TO SPECIFICATIONS AS WELL AS COMMERCIAL TERMS. TECHNICAL DEVIATION : YOU ARE REQUESTED TO HAVE ALL YOUR QUERIES CLARIFIED BEFORE BIDDING. HOWEVER, IF YOU STILL HAVE DEVIATIONS FROM OUR RFQ AND THE ATTACHMENTS (SPECIFICATIONS / SCOPE OF WORK), PLEASE INDICATE DEVIATIONS IN YOUR OFFER UNDER A SEPARATE TITLE 'DEVIATIONS' GIVING REFERENCE TO RFQ CLAUSE NO. DEVIATIONS APPEARING UNDER CLAUSE 'DEVIATIONS' SHALL BE CONSIDERED WHILE EVALUATING THE OFFER. IN CASE YOUR OFFER DOES NOT CONTAIN A SEPARATE TITLE "DEVIATIONS", IT WILL BE CONSIDERED THAT YOU ARE ACCEPTING ALL THE CLAUSES AND SPECIFICATION IN TOTO. 13.10.2 YOUR OFFER SHOULD BE VALID FOR A PERIOD OF 90 DAYS. Page 7 of 10 13.10.3 YOUR QUOTATION MUST BE FIRM, INCLUSIVE OF ALL PACKING & FORWARDING CHARGES, TAXES, DUTIES, LEVIES, TRANSPORTATION UPTO BPCL WAREHOUSE. HOWEVER, BASIC MATERIAL COST, PACKING & FORWARDING CHARGES, DUTIES, TAXES, TRANSPORTATION CHARGES SHALL BE INDICATED IN THE QUOTATION. VENDOR SHALL INDICATE THE EXCISE TARIFF NO. UNDER WHICH THE GOODS ARE BEING CLEARED. A) PARTY SHALL BE BOUND TO SUPPLY THE MATERIAL ACCORDING TO THE SPECIFICATIONS GIVEN BY BPCL. IN THE EVENT OF THE PARTY FAILING TO SUPPLY, BPCL SHALL BE AT LIBERTY TO MAKE THE PURCHASES FROM THE MARKET AT THE RATES AVAILABLE IN THE MARKET AT THAT PARTICULAR TIME IN RESPECT OF THOSE ITEMS AT THE RISK AND EXPENSES OF THE PARTY. THE AMOUNT IF ANY SPENT IN EXCESS OF THE CONTRACT RATES AS ALSO THE EXPENDITURE OF TRANSPORT, LABOUR & PACKING MATERIALS INCURRED IN RESPECT OF SUCH PURCHASES WILL BE DEBITED TO PARTY ACCOUNT AND SHALL BE LIABLE TO REIMBURSE THE SAME TO BPCL. B) SUPPLY OF THE MATERIAL SHALL BE EFFECTED AT THE PREMISES OF BPCL (REFINERY) MAHUL, AS SPECIFIED BY THE COMPANY. IN CASE THE PARTY SUPPLY IS REJECTED AND NOT REPLACED WITHIN STIPULATED TIME, BPCL SHALL BE AT LIBERTY TO PURCHASE OR PROCURE THE SAME FROM OTHER SOURCES AT THE RISK AND COST OF THE PARTY. 13.10.4 13.10.5 IT IS THE SOLE DISCRETION OF BPCL TO INCREASE/DECREASE THE TENDERED QUANTITY/ITEMS AND TO AWARD ALL OR SOME OF THE QUANTITIES/ITEMS TENDERED WHILE PLACING PURCHASE ORDER. CERTIFICATES: ALL SUPPLIES SHALL CARRY A CERTIFICATE DECLARING THAT "MATERIAL SUPPLIED IS EXACTLY AS PER BPCL REQUIREMENT". ORIGINAL MATERIAL TEST CERTIFICATE AND THIRD PARTY INSPECTION CERTIFICATE SHOULD ACCOMPANY THE SUPPLIES WHEN REQUIRED. WITHOUT THIS YOUR MATERIAL MAY NOT BE ACCEPTED AT OUR WAREHOUSE.
