Sealed bids relative to the above will be received in the Purchasing Department for the Orleans Parish School Board
(OPSB) at 3520 General De Gaulle Drive, Fifth Floor, Room 5055, New Orleans, Louisiana 70114 until 2:00 P.M. on
Wednesday, October 15, 2008.

1.   Bids must be submitted in a sealed envelope as original and one (1) conformed copy, clearly marked: BID NO.
     09-0014 - SPECIFICATIONS FOR A TERMITE CONTROL PROGRAM FOR THE ORLEANS
     PARISH SCHOOL BOARD TO BE OPENED ON WEDNESDAY, OCTOBER 15, 2008 AT 2:00 P.M.
     and addressed to the Purchasing Department, Orleans Parish School Board, 3520 General DeGaulle Drive,
     Room 5055, New Orleans, Louisiana 70114. The name and address of the company submitting the bid must
     appear on the top left corner of the envelope containing the bid documents.

2.   It shall be the responsibility of the bidder to deliver his or her sealed bid at the appointed place and prior to the
     announced time of bid opening. Late delivery of a bid for any reason, including later delivery by United States
     Mail or delivery to the wrong address, shall disqualify the bid. Oral, telephonic, facsimile, or telegraphic bids
     are invalid and will be disqualified.

3.   In order for your company to be provided proof of delivery time, bids should be hand delivered or sent by
     registered mail only to the Purchasing Department, Orleans Parish School Board, 3520 General DeGaulle Drive,
     Room 5055, New Orleans, Louisiana 70114.

4.   The form furnished as part of the specifications must be used for filing of bid and must be signed by the bidder.
     Bid forms must not be detached from the specifications of which it is a part.

5.   All inquiries must be addressed in writing to Mr. Leslie J. Rey, Purchasing/Ancillary Services Director at 3520
     General DeGaulle Drive, Room 5078, New Orleans, Louisiana 70114 or fax to (504) 309-2879 or E-mail
     leslie_rey@nops.k12.la.us. No contact in any form or manner is to be made with any employee of the District
     except through Mr. Leslie J. Rey. Violation of this provision shall be considered grounds for disqualification of
     the violator employer's proposal.

6.   The name of a certain brand, make, model number, and manufacturer, is to denote the quality standard of the
     article desired, but does not restrict bidders to the specified brand, make manufacturer, or specification
     manufacturer named. It is to convey to prospective bidders the general style, type, character and quality of
     articles desired. However, it is the intent of any performance specification that the criteria, standards, and
     requirements of and for performance to be met.

7.   A Notice to Proceed will be provided the Contractor to start work or deliver materials after the Contractor
     advises the Executive Director of Operations that the Contractor has signed the contractual agreement and/or has
     received the OPSB purchase order, whichever is required.

8.   Discounts and terms for prompt payment will not be considered in the evaluation of bids. However, any offered
     discount will form a part of the award and will be taken if payment is made within the discount period indicated
     in the bid by the Bidder. As an alternative to offering a prompt payment discount in conjunction with the bid,
     Bidders awarded contracts may include prompt payment discounts on individual invoices.

9.   Louisiana State Revised Statutes Title 38:2221 requires that, "NO CONTRACT SHALL BE LET ON A COST-
     PLUS BASIS".

10.   In the event of failure of the Bidder to meet the above requirements or failure to complete the Work and/or
      deliver articles within the time specified elsewhere in these specifications, the OPSB reserves the right,
      without notice of putting in default, but by mere lapse of time, to obtain another contractor to complete the
      Work, or the Owner may elect to complete the Work at such price as may be charged without competitive


      bids. The difference between the price paid and the contract price shall be deducted from the following or
      any subsequent payment to the Contractor, or from any payments due on other contracts that Contractor
      currently has with the Owner.

11.   All blanks within the Bidding Document shall be filled in by typewriter or manually written in ink. Do not erase,
      correct or write over any prices or figures necessary for the completion of the bid. Corrections should be made by
      drawing a line through the unwanted text(s) or number(s) and rewriting the correct text(s) or number(s). If a
      correction is necessary, each correction shall be initialed by the bidder. Failure to comply with the requirements
      may cause your bid to be deemed non-responsive. No bid shall be altered or amended after the specified time for
      opening.

12.   Contractors are cautioned to insure that all prices are correct as manually written or typed. A careless error in the
      bid preparation or in quoting prices will not relieve the bidders of responsibility.

13.   Bid Security shall be made payable to Orleans Parish School Board in the form of a certified or cashier's check
      drawn upon a bank insured by an agency of the Federal Government, or a Bid Bond (on the form provided in
      Section 00310) naming the Bidder as Principal and executed by surety (ies) currently licensed in the State that
      Qualify to write Bonds of the character and amount provided under LSA-R.S. 38:2218. Attorneys-in-Fact who
      sign Bid Bonds shall meet the Requirement of LSA-R.S. 38:2218(B), and shall attach to the Bonds a certified
      copy of their power of attorney to sign Bid Bonds.

14.   The Bid Security of the Successful Bidder will be retained until that Bidder a) has executed the Agreement and
      furnished the required Performance Bond (or otherwise complied with LSA-R.S. 38:2216(E)) and the required
      Labor and Material Payment Bonds, and, b) has delivered evidence of insurance. If the Successful Bidder fails
      to do so, within the corresponding specified deadlines, the Owner may annul the Notice of Award, and Bid
      Security of that Bidder will be forfeited to the Owner. If the Owner incurs any collection costs in the
      enforcement of the Bid Security requirement, the Successful Bidder and the Bidder's surety, if any, agree jointly
      and severally to reimburse all of the Owner's cost of collecting, including reasonable fees and charges of
      attorneys, architects, engineers and others, court of hearing cost incurred with or without suit and interest.

15.   If a Bidder submits a certified or cashier's check as Bid Security, that Bidder also shall submit with its Bid a
      written certification by an acceptable surety stating that the Bidder will furnish the Labor and Material Payment
      Bond and the Performance Bond, unless LSA-R.S. 38:2216(E) applies.

16.   The Bid Security of the Apparent Low Bidder (and of the other Bidder in contention of the award) will be
      retained by the Owner until the end of the period for holding Bids stated in the Advertisement, or seven (7) days
      after the Owner and Contractor execute the Agreement, whichever last occurs.

17.   A bid may be withdrawn after the time and date designated for receiving bids if the bidder furnished the Director
      of Purchasing clear and convincing sworn, written evidence of obvious mechanical, clerical or mathematical
      error within 48 hours of bid opening.

18.   SUPPLIER PERFORMANCE AND EVALUATION: The contractor, vendor, service provider and/or
      supplier performance process will involve evaluating the contractor, vendor, service provider and/or supplier’s
      overall quality status, as well as evaluating the quality of each material or service the Orleans Parish School
      Board wishes to purchase from the said contractor, vendor, service provider and/or supplier. Prior to the invoice
      submission, the contractor, vendor, service provider and/or supplier’, shall meet with a purchasing representative
      to discuss and review deliverables and timeline events for said services. Contract with automatic renewals will
      be based upon the Orleans Parish School Board evaluating and analyzing contractor, vendor, service provider
      and/or supplier performance.

19.   DEBARMENT AND SUSPENSION

      To ensure that the Orleans Parish School Board does not enter into a contract with a contract with a debarred or
      suspended company or individual, each responsive proposer must include a certification statement with each
      proposal on each contract. By signing the certification statement, the proposer certifies that neither it nor any of
      its principals (e.g., key employees) have been proposed for debarment, debarred or suspended by a Federal
      Agency. It is the responsibility of each proposer to sign the attached certification statement and submit it with
      the proposal. Failure to comply with this requirement will cause your proposal to be disqualified, declared non
      responsive.

20.   CONTRACTS OVER $100,000:

      The Contractor must comply with the applicable standards, orders or requirements issued under Section 306 of
      the Clean Air Act [(42 USC 1837 (h)], Section 508 of the Clean Water Act (32 USC 1368), Executive Order
      11738, and Environmental Protection Agency Regulations (40 CFR, Part 15), which prohibit the use under non-
      exempt federal contracts, grants or loans of facilities included in the EPA list of violating facilities. Contractor
      shall report any violations to the Orleans Parish School Board, the Department of Agriculture and to the
      Environmental Protection Agency Assistant Administrator for enforcement.


21.   LAWS AND REQUIREMENTS AFFECTING LABOR:

      All contractors and subcontractors shall comply and conform to all applicable federal, state, and municipal labor
      laws and various acts mandatory and supplementary thereto, as well as, all other applicable laws, ordinances and
      legal requirements reqarding the employment of labor to include, if applicable, to contracts which exceed
      $2,500.00 and which involve the employment of mechanics or laborers, the Contract Work Hours and Safety
      Standards Act (40 USC 327-330) as supplemented by the Department of Labor Regulations (29 CFR, Part 5).
      The latter requirements do not apply to the purchase of supplies or materials or articles ordinarily available on
      the open market.

     CERTIFICATION FOR CONTRACTS, GRANTS, LOANS, AND COOPERATIVE AGREEMENTS
                        EXCEEDING $100,000 IN FEDERAL FUNDS

The undersigned certifies, to the best of his or her knowledge and belief, that:

1.      No Federal appropriated funds have been paid or will be paid, by or on behalf of the undersigned, to any person
        for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer
        or employee of Congress, or an employee of a Member of Congress in connection with the awarding of any
        Federal contract, the making of any Federal grant, the making of any Federal loan, the entering into of any
        cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any Federal
        contract, grant, loan, or cooperative agreement.

2.      If any funds other than Federal appropriated funds have been paid or will be paid to any person for influencing or
        attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of
        Congress, or an employee of a Member of Congress in connection with this Federal contract, grant, loan, or
        cooperative agreement, the undersigned shall complete and submit Standard Form - LLL, "Disclosure of
        Lobbying Activities," in accordance with its instructions.

3.      The undersigned shall require that the language of this certification be included in the award documents for all
        subawards (exceeding $100,000 in Federal funds) at all tiers (including subcontracts, subgrants, and contracts
        under grants, loans, and cooperative agreements) and that all subrecipients shall certify and disclose accordingly.

This certification is a material representation of fact which reliance was placed when this transaction was made or entered
into. Submission of this certification is a prerequisite for making or entering into this transaction imposed by section
1352, title 31, U.S. Code. Any person who fails to file the required certification shall be subject to a civil penalty of not
less than $10,000 and not more than $100,000 for each such failure.

 Certification Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion-Lower Tier Covered
                                             Transactions

This certification is required by the regulations implementing Executive Order 12549, Debarment and Suspension, 7
CFR Part 3017, Section 3017.510, Participants' responsibilities. The regulations were published as Part IV of the
January 30, 1989, Federal Register (pages 4722-4733). Copies of the regulations may be obtained by contacting the
Department of Agriculture agency with which this transaction originated.

          Instructions for Completing Certification Regarding Debarment, Suspension, Ineligibility and
                    Voluntary Exclusion - Lower Tier Covered Transactions (Form AD-1048)


NOTE: A School Food Authority must require that each responsive bidder include this certification statement with each bid on each
contract equaling or exceeding $100,000, or any contract for audit services regardless of amount. By signing and submitting this form, the
prospective lower tier participant providing the certification set out on the above in accordance with these instructions.
1.       The certification in this clause is a material representation of fact upon which reliance was placed when this transaction was entered
         into. If it is later determined that the prospective lower tier participant knowingly rendered an erroneous certification, in addition to
         other remedies âvailable to the Federal Government, the department or agency with which this transaction originated may pursue
         available remedies, including suspension and/or debarment.

1.01   THIS BID IS SUBMITTED TO THE ORLEANS PARISH SCHOOL BOARD ("the Owner", or "the
       OPSB")

       A.   The undersigned Bidder proposes and agrees, if this Bid is accepted, to enter into an Agreement with
            the Owner and to perform and furnish all Work as specified or indicated in the Bidding Documents
            for the Bid prices in the "Bid Schedule" on the Bid Form, within the Contract Times specified in the
            Agreement, and in accordance with all the provisions and terms and conditions of the Bidding
            Documents, including, without limitation, those dealing with disposition of the Bid Security.

       B.   This Bid will remain open as specified in the Advertisement. Submission of this Bid constitutes a
            binding representation by the Bidder that the Bidder will perform the following obligations within
            the times and in the manner specified in the Bidding Documents: (a) the Bidder will deliver to the
            Owner acceptable evidence of insurance, and (b) the Bidder and its surety will appear before the
            Owner and sign the Agreement, Performance Bond, or evidence of alternate security if LSA-R.S.
            38:2216(E) applies, and Labor and Material Payment Bond, as specified in the Instructions to
            Bidders.

         4.     Renewal Fee: At the end of the contract year, the Contractor agrees to provide an annual
                option to renew for an annual fee of $______________.

    B.   CONTRACT TIME - The contract shall start on the date of signing and be in effect until all bait
         installation work is completed and for one (1) year thereafter. The Contractor shall furnish and
         deliver F.O.B. New Orleans, LA, the specified Work at the prices indicated within the following time
         frame: 1) all initial bait station placements must be installed within thirty (30) calendar days after
         receipt of the Notice to Proceed with Construction; 2) monthly bait station inspection and monitoring
         must begin no later than forty –five (45) calendar days after the initial bait station placement is
         completed.

    C.   TERMS OF CONTRACT RENEWAL – Renewal may occur ONLY after a favorable
         Review by the OPSB of both the Contractor’s performance and the Control Method’s performance.

         1.     CONTRACTOR’S PERFORMANCE

                a.      Initial bait station installation shall take place in accordance with the contract
                        specifications unless the Executive Director of Operations grants a specific
                        written approval, requested by the Contractor.

                b.      All required Contractor inspections must be made in the time frame required.

                c.      The Owner will issue Service Requests (Call Backs) when termite activity is
                        found. The Contractor must respond to each Service Request within two (2)
                        working days by making, at least, an inspection o the site. The results of the
                        Service Request Inspection must be reported to the Executive Director of
                        Operations within two (2) working days after the day of the inspection.

                d.      After the Executive Director of Operations and the Contractor agree on a course
                        of action, the Contractor has five (5) working days to initiate treatment. Once the
                        job has started, it must be worked daily to completion.

                e.      The Executive Director of Operations, upon written request by the Contractor,
                        may extend any or all of the above referenced time frames.

    2.   CONTROL METHOD’S PERFORMANCE

                a.      The Executive Director of Operations will make an Assessment annually. The
                        following factors will be examined in performing the Assessment:

                                         GENERAL CONDITIONS

1.01   REQUIREMENTS INCLUDED

       A.   PROJECT - These specifications are intended to cover maintenance service for the items listed. The
            Contractor shall provide all service applicable to the items contracted for. All services to be rendered
            under this bid will be in strict accordance with these specifications.

       B.   TERMS - Wherever in this invitation to bid the term "Owner" or "OPSB" is used, it shall be interpreted
            as denoting the "Orleans Parish School Board, New Orleans, Louisiana. Wherever in this invitation to
            bid the term "Contractor" is used, it shall be interpreted as the individual firm, partnership or
            corporation whose bid to provide the services specified herein has been accepted by the Owner.

       C.   BIDS - Bids must be in accordance with these instructions in order to receive consideration.

       D.   DOCUMENTS - Documents include the Bidding Requirements: General, Supplementary Conditions,
            Technical Section, plus addenda which may be issued by the Executive Director of Operations during
            the bidding period. Bidding documents may be viewed and/or obtained under the terms set forth in the
            Advertisement for Bid.

       E.   EXAMINATION OF DOCUMENTS AND SITE - Bidders shall carefully examine the Bidding
            Documents and the sites to obtain first hand knowledge of the scope and the conditions of the Work.
            Each Contractor and Sub-Contractor, by submitting a bid to perform any portion of the Work,
            represents and warrants that he has examined Specifications and Site of the Work, and from his own
            investigation, has satisfied himself as to the scope, accessibility, nature and location of the Work;
            character of the equipment and other facilities needed for, the performance of the Work; the character
            and extent of other work to be performed; the local conditions; labor availability, practices and
            jurisdictions and other circumstances that may affect the performance of the Work. No additional
            compensation will be allowed by the Owner for failure of such Contractor or Sub-Contractor to inform
            himself as to the conditions affecting the Work.

       F.   INTERPRETATION OF DOCUMENTS - If any person contemplating submitting a bid for the
            proposed contract is in doubt as to the meaning of any part of the Specifications, or other Contract
            Documents, he must submit to the Purchasing/Ancillary Services Director, not later than seven (7)
            working days prior to the date set for opening of bids, a written request for an interpretation or
            clarification. Bidders should act promptly and allow sufficient time for a reply to reach them before
            preparing their bids. Any interpretation or clarification will be in the form of an addendum duly
            issued. No alleged verbal interpretation or ruling will be held binding upon the Owner.

       G.   SUBSTITUTIONS - Conditions governing the submission of substitution for specific materials,
            products, equipment, and processors are in the General Conditions. Requests for substitutions must be
            received by the Executive Director of Operations seven (7) working days prior to the established bid
            date.

     H.   ADDENDA - Interpretations, clarifications, additions, deletions and modifications to the documents
          during the Bidding period will be issued in the form of Addenda and a copy of such Addenda will be
          mailed or delivered to each person who has been issued a set of the Bidding Documents. Addenda will
          be a part of the Bidding Documents and Contract documents, and receipt of them shall be acknowledged
          in the Bid Form. Addenda will not be issued within three (3) working days of the established bid date.

    I.    CONTRACT TIME - The Contractor shall furnish and deliver F.O.B. New Orleans, LA, the specified
          Work at the prices indicated as noted in Section 1.03B (CONTRACT TIME) on the BID FORM.

    J.    PREPARATION OF BIDS - Bids quoted shall include all items of cost expense, fees and charges
          incurred or arising out of the performance of the Work to be performed under the Contract. Bids shall be
          submitted in triplicate and shall be signed in ink. Any bid on other than the required form will be
          considered informal and may be rejected. Erasures or changes in the bid must be explained or noted over
          the initials of the bidder. Bids containing any conditions, omissions, unexplained erasures, alterations, or
          irregularities of any kind may be rejected as informal. The prices should be expressed in words and
          figures or they may be deemed informal and may be rejected. In the case of discrepancy between the
          prices written in the bid and the figures, the price in writing will be considered the bid. Failure to submit
          all requested information will make the bid irregular and subject to rejection. Bids shall be signed with
          the name typed below the signature. Where bidder is a corporation, bids must be signed with the legal
          name of the incorporation and the legal signature of an officer authorized to bind the corporation to a
          contract.

    K.    SUBMITTAL OF BIDS - Sealed bids will be received at the time, date, and place stated in the
          invitation to Bid. Bids shall be made on unaltered bid forms furnished by the Purchasing Department.
          Fill in the blank spaces and submit one original and two conformed copies. Bids shall be signed with
          name typed below signature and if a partnership, give full names of all partners. Where bidder is a
          corporation, bids must be signed with the name of the corporation followed by the name of state of
          incorporation and the legal signature of an officer authorized to bind the corporation to a contract.
          Submit bid in a sealed envelope addressed to the Director of Purchasing and plainly mark on the outside
          of the envelope the project name and number and the name and address of the bidder. No bidder shall
          modify, withdraw, or cancel his bid or any part thereof for thirty (30) days after the time agreed upon for
          the receipt of bids. The "Non-Collusion Affidavit" and a Bid Bond must be completed and signed by
          each bidder and submitted with the bid. The Bid Bond in the amount of five (5) percent of one year's
          billing must be submitted with the bid. Should the bidder to whom the work is awarded fail to accept an
          order within the allotted time, the amount of bid bond is forfeited. Submit bids by mail or in person
          prior to the time for receiving bids set forth in the Invitation to Bid issued by the Purchasing/Ancillary
          Services Department of the Orleans Parish School Board.

    L.    INVOICING - All original invoices will be submitted to the OPSB accounts payable department and a
          copy to the Executive Director of Operations for the Orleans Parish School Board. Each invoice
          submitted shall have the service tickets attached for each facility indicating the services that were
          provided, the date that the work was performed, and a signature from a facility representative
          acknowledging the service ticket. Invoices shall show the cash discount (if any), and shall be submitted
          on the Contractor's own invoice form. Receipts shall be required for all materials and supplies
          provided by the Contractor for emergency services.

    M.   PAYMENT - Seventy-five percent (75%) of the total contract price will become payable at the
         completion of the initial bait station placements. The remaining twenty-five percent (25%) will be
         payable in monthly installments, each payment following successful completion of the monthly bait
         station monitoring. Payments will be made on the basis of unit prices as listed on the Blanket Order;
         such price and payment will constitute full compensation of furnishing and delivering materials/services
         rendered. PAYMENTS WILL BE MADE TO VENDOR IN ACCORDANCE WITH SECTION 1.03
         BID SCHEDULE, AND ADDRESSED AS SHOWN ON THE BLANKET ORDER. ADVANCE
         PAYMENTS WILL NOT BE ALLOWED.

    N.   TAXES - Effective September 11, 1983, pursuant to Act 612 of the 1982 Regular Session of the
         Legislature, the State and any of its agencies, boards or commissions are exempt from the Louisiana
         State Sales and use Taxes.

    O.   WARRANTY - The Contractor warrants that the supplies or equipment or materials and workmanship
         delivered are free from defects in design and construction and are the manufacturer's standard design
         in construction and that no changes or substitutions have been made in the items listed in this Blanket
         Order.

    P.   INDEMNITY - The Contractor agrees, upon receipt of written notice of a claim or action, to defend
         the claim or action, or take other appropriate measures, to indemnify, and hold harmless, the OPSB, its
         officers, its agents and its employees from and against all claims and actions for bodily injury, death or
         property damages caused by the fault of the contractor, its officers, its agents or its employees.
         Contractor is obligated to indemnify only to the extent of the fault of the contractor, its officers, its
         agents, or employees.

         However, the Contractor shall have no obligation as set forth above with respect to any claim or action
         for bodily injury, death or property damages arising out of the fault of the OPSB, its officers, its agents
         or its employees.

    Q.   VENDOR CONTACT - Bidders MUST PROVIDE NAME, TELEPHONE NUMBER, AND E-MAIL
         ADDRESS of respective contact person within the firm through whom orders and/or information will be
         handled. This information is to be indicated on the last page of the bid form as indicated.

    R.   CANCELLATION: THE ORLEANS PARISH SCHOOL BOARD RESERVES THE RIGHT TO
         CANCEL THE CONTRACT WITH VENDOR UPON THIRTY (30) DAYS WRITTEN NOTICE.

       S.   DEFAULT AND TERMINATION - The OPSB may, subject to paragraphs below, by written notice of
            default to the Contractor, terminate this contract in whole or in part if the Contractor fails to:

            1)      Deliver supplies or materials, or to perform the services within the time specified in this contract
                    or any extension;

            2)      Furnish supplies or materials, or to perform the services in accordance with the specifications. If
                    the Contractor fails to deliver supplies or materials or perform the services within the time
                    specified in the contract, or an extension thereof, the contractor shall, in place of actual damages,
                    pay to the OPSB as fixed and agreed liquidated damages for each calendar day of delay, the sum
                    of $225.00 per day. The contractor shall not be charged with liquidated damages when the delay
                    in delivery or performance arises out of causes beyond the control and without the fault or
                    negligence of the contractor; and,

            3)      All items that were bid and the contractor fails to deliver supplies or materials he is responsible
                    for the difference in the amount that he bid and the next apparent low bid.

1.02   INDEMNITY AND INSURANCE

       A.   The Contractor shall indemnify and hold harmless the OPSB, its Board Members, Officers, Staff
            Directors, etc. for and against any and all losses, damages, and liabilities whatsoever for injury to or
            death of persons, or loss of or damage to property, including Government property of any kind or nature
            caused by or arising out of the performance of the work or services required hereunder by the contractor
            or the officers, employees, or agents of the Contractor.

       B.   The Contractor shall, as a minimum, obtain and maintain during the entire period of performance of this
            contract insurance provided by insurers authorized to transact business in the State of Louisiana, has and
            maintains a minimum of a “A” rating or better financial size category as shown in the most current AM
            Best Company ratings the following coverage placements:

             1. Workmen's Compensation and Employees Liability Insurance – Worker’s Compensation insurance
            limits as required by the Labor Code of the State of Louisiana meeting minimum statutory requirements
            and Employer’s Liability coverage with a minimum of $500,000. The policy shall include a waiver of
            subrogation in favor of the District (OPSB).

            2. Comprehensive General Liability/ Professional Liability Insurance – For Standard Contracts,
            minimum limits of $1,000,000 per occurrence. The policy shall include a waiver of subrogation in favor
            of the OPSB with an additional insured endorsement. For Architectural & Engineering (A&E)
            projects, the Contractor shall provide evidence of coverage for Professional Liability and or E&O
            Liability subject to limits of not less than $1,000,000 with additional insured and/or a waiver of
            subrogation endorsement in favor of the District (OPSB). The liability insurance shall remain in effect
            until the end of the Correction Period and at all times after that when the Contractor may be correcting or
            removing and replacing, defective work.

         3. Motor Vehicle Liability Insurance - Minimum limits of $250,000 per person and $500,000 per
         occurrence for bodily injury liability and $100,000 for property damage liability is required on each
         vehicle owned, non owned or hired to be used in conjunction with the contract. The policy shall include a
         waiver of subrogation in favor of the District (OPSB).

         4. Property, Builder’s Risk Insurance – The Contractor (for repair, construction, fabrication, etc.
         projects) shall purchase and maintain property insurance, including earth movement and flood, covering
         work at the site in the full amount of the respective contract and/or changes in contract values due to
         change orders. The property insurance shall be “All Risk Builder’s Risk Completed Value Form
         Insurance or equivalent manuscript policy and shall include the interests of the OSPB, Contractor,
         Subcontractors and Suppliers, Architect and the Owners and Architect’s consultants as their interest may
         appear, all of whom shall be named as additional insured’s. The corresponding deductibles, shall be
         borne by the Contractor & the policy shall also be endorsed to comply with the waiver of subrogation
         rights in favor of or applicable to the OPSB.

          5. Bonding – The Contractor (other than A&E and Demolition projects) shall furnish a Performance
         Bond in the full amount of the contract price. The Labor and Material Payment Bond shall also be in the
         full amount of the contract price. The Performance Bond shall remain in effect until the end of the
         “correction period” and at all times after that when the contractor may be correcting or removing and
         replacing defective work. The Contractor shall also furnish any maintenance bonds and manufacturer
         performance bonds, each in the amount and for specified that are required in the Supplementary
         conditions or technical Specifications. Attorney-in-Fact who sigh bonds shall attach a certified copy of
         their Power of Attorney to sign bonds and conduct business in the respective State.

          6. Excess Liability Insurance – The OPSB reserves the right to require this coverage subject to the value
         of the contract or scope of work required in the contract. If required, the excess liability insurance shall
         follow the same form and offer the same protections as employer’s liability, general liability and auto
         liability. It shall also be as broad as the underlying policies of liability. Limits of Excess Liability
         coverage will be established based on the size and scope of the contract project. Additional insured
         and/or waiver of subrogation endorsements will be required.

    C.   The minimum insurance amounts specified in paragraph B shall not include a deductible.
         Notwithstanding, if there is a deductible incorporated into the terms of the insurance policy, then OPSB
         shall not be liable for the deductible, nor shall it be an allowable cost if paid by the CONTRACTOR.
         Insurance issued on a claims-made basis and completed operations insurance shall be maintained for 2
         years after acceptance and evidence of coverage shall be furnished to the OPSB yearly.

    D.   The insurer’s cost of providing the insured’s a defense and appeal, including attorney fees, shall be
          supplementary and shall not be included as part of the policy limits, but shall remain the insurer’s
          separate responsibility. If any of the Contractor’s sureties or insurers is declared bankrupt or placed into
          receivership, ceases to meet any of the requirements of the Contract Documents or its license to do
          business in the State of Louisiana is revoked or expires, the Contractor shall meet the requirements of the
          contract documents.

       E.    Certificates of insurance evidencing that the requirements of paragraph B have been met shall be furnished
             to OPSB before work is commenced with respect to performance under this Contract. In addition to the
            certificate of insurance, a copy of all required endorsements will be required as proof of the coverage
            placement. The insurance required pursuant to the provisions of this clause shall be in such form and for
            such periods of time as OPSB may require or approve, and with insurers approved by OPSB. Provisions
            shall be made for 30 days advance written notice by mail to OPSB of change in or cancellation of such
            insurance.

       F.    In the event the CONTRACTOR fails to furnish such certificates prior to the commencing of work or to
            continue to maintain such insurance during the performance of the Contract OPSB shall have the right to
            withhold any payments or partial payments required to be made under this Contract; and shall have the right
            to continue withholding any or all of said payments so long as the CONTRACTOR has not
            complied with the requirements of this clause.


1.03   BOND REQUIREMENTS

       A.      The Contractor shall furnish a Performance Bond, using Form 00610, in the full amount of the
               Contract Price or in one-half the amount of the Contract Price if LSA-R.S.38:2216 8 applies, or
               otherwise comply with LSA-R.S.38:2216 (E). The Labor and Material Bond, Form 00620, if required,
               shall be in full amount of the Contract Price. The Performance Bond shall remain in effect until the end
               of the Correction Period and at all times after that when the Contractor may be correcting, or removing
               and replacing, defective Work. The Contractor also shall furnish any maintenance Bonds and
               manufacturer performance Bonds, each in the amount and form specified (if any). Attorneys-in-Fact
               who sign Bonds shall attach a certified copy of their Power of Attorney to sign Bonds and conduct
               business in the State of Louisiana.

                    SPECIFICATIONS FOR A TERMITE CONTROL PROGRAM
                         FOR THE ORLEANS PARISH SCHOOL BOARD

1.0    GENERAL

      1.1   SPECIFICATIONS FOR THE CONTROL OF SUBTERRANEAN TERMITES USING A
            CHITIN SYNTHESIS INHIBITING BAIT SYSTEM ASSISTED BY THE USE OF NON-
            REPELLENT TERMITICIDES

            The successful bidder will provide a termite baiting system using a chitin synthesis inhibitor
            containing either hexaflumuron or diflubenzuron. Additionally, non-repellent termiticides
            containing either fipronil or imidacloprid will be used to control above ground infestations when the
            use of above ground bait stations either have not obtained control or are not the best treatment choice
            for the situation.

      1.2   COMPANY AND PERSONNEL REQUIREMENTS

            1.     The company and its employees must comply, where applicable, with Act 237 of the 1995
                   Louisiana Legislative Sessions as relevant to school pesticide safety.

            2.     The company and its employees must comply with Louisiana Department of Agriculture and
                   Forestry, Structural Pest Control Law and abide by Structural Pest Control Rules and
                   Regulations.

            3.     The company and its employees must comply with all Federal, State and Local laws dealing
                   with storage, handling, transporting, and the use of the bait material in a manner consistent
                   with its labeling.

            4.     The company must furnish a written, State approved contract with warranty that will continue
                   through the first year of the contract and provide the Owner with the option to renew the
                   contract for an extended period of time.

      1.3   TERMITE CONTROL SPECIFICATIONS

            1.     The termite baiting system’s active ingredient must be hexaflumuron, diflubenzuron or an
                   equivalent chitin synthesis inhibitor. The Owner will be the sole judge of equivalency. In
                   order for any system to be used or for any equivalent chitin synthesis inhibitor to be
                   considered, there must be written documentation available from actual field studies clearly
                   showing its success in controlling formosan subterranean termites. The baiting product must
                   be registered by the U. S. Environmental Protection Agency and the Louisiana Department of
                   Agriculture and Forestry.

         2.   The non-repellent termiticides must contain either fipronil only or imidacloprid only or an
              equivalent. Any requests to consider an equivalent chitin synthesis inhibiting bait must be
              accompanied with written documentation from actual field study results clearly showing that
              the product is successful in controlling formasan subterranean termites.

         3.   The termite baiting system must have a computerized tracking system that will provide
              written proof to the Owner of the following on a monthly basis: 1) date each station was
              inspected; and 2) the status of each station (i.e. not active, active termites present, station
              baited with toxicant, etc.)

         4.   Tamper resistant bait containers must be used to limit access to authorized personnel only.

         5.   All bait containers that are not located under concrete/black top surfaces shall be hidden in
              order to reduce the likelihood of vandalism/tampering. Any method developed for locating
              the hidden baits must not adversely affect the building’s appearance and must be approved by
              the Executive Director of Operations prior to its use. Spray paint marks will no longer be
              allowed.

         6.   Core drilling through concrete or asphalt shall be done in a manner that does not interfere
              with the teaching and learning processes ongoing at the school. The school principal will
              have the sole discretion to stop any activity that he/she determines is causing such
              interference.

   1.4   BAIT STATION PLACEMENT AND TERMITICIDE APPLICATION

         1.   Bait station placement should be done in accordance with label directions and manufacturer’s
              recommendations. Spacing must be at no more than twelve (12) foot intervals around the
              entire perimeter of the building. Walkways, driveways, parking areas and other cement or
              asphalt covering adjacent to the structure will be cored and capped with tamper resistant
              covers.

         2.   All stations must be inspected at least once a month. If activity is present, bait placement
              must be performed in accordance with the product label. During the monthly bait station
              inspection, the technician must perform a visual inspection of the building and take all
              necessary actions to control any live termite infestations.

         3.   All active above ground infestation sites shall be treated as follows:

              a. Install above ground bait stations and monitor monthly or

              b. Spot treat using a non-repellent termiticide

              c. Baiting is the preferred approach. Should chemical treatment be deemed necessary, the
                 Executive Director of Operations must approve prior to the treatment.

            4.      All infested trees shall be drilled and treated with termiticide foam.

            1.      The contractor shall provide an initial graph showing each station(s) location and a written
                    report showing the status of each termite bait station.

            2.      An updated status report and graph will be provided to the school after each monitoring
                    and/or baiting.

            3.      An updated graph will be provided to the school and the OPSB Executive Director of
                    Operations after each application of termiticide. The graph must include the name of the
                    termiticide, the dilution rate, the location of the treatment and the amount of chemical
                    applied.

            4.      Copies of these reports will be retained on file at the Operator’s place of business. These
                    records will be subject to inspection by the Orleans Parish School Board.
