1.     PANNON-HŐ ENERGETIKAI TERMELŐ KORLÁTOLT FELELŐSSÉGŰ
       TÁRSASÁG (PANNON-HŐ HEAT ENERGY PRODUCING LTD.) (7630. Pécs,
       Edison út 1.), a 100 % owned subsidiary of PANNONPOWER HOLDING
       VAGYONKEZELŐ ZÁRTKÖRŰEN MŰKÖDŐ RÉSZVÉNYTÁRSASÁG
       (PANNONPOWER ESTATE MANAGING HOLDING LIMITED JOINT-
       STOCK COMPANY) (hereinafter referred to as the Tender Issuer), hereby invites
       the Bidders meeting the eligibility criteria specified in the Bidding Documents
       (hereinafter referred to as the Bidders) to submit their Bids for the

             „Implementation of a Bio-mass Firing Power Plant Project planned by
                             PANNONPOWER Group”

       to be evaluated in the course of a one-stage bidding procedure.

       Having gained favourable experience and knowledge in operation of bio-mass firing
       power plants, PANNONPOWER Group has decided to implement a new bio-mass
       firing small scale power plant (hereinafter: Facilities) for the purpose of electricity and
       heat energy production from renewable energy resources. The project is supported by
       the owner, the Dalkia Group.

       The PANNONPOWER Group has decided to construct a state-of-art grate-type steam
       boiler with min. 150 t/h and max. 164 t/h steam output suitable for the firing of baled
       agricultural products and by-products to be implemented by Pannon-Hő Energetikai
       Termelő Korlátolt Felelősségű Társaság (Pannon-Hő Heat Energy Producing Ltd.)
       assigned for this task, a 100 % owned subsidiary of the PANNONPOWER ESTATE
       MANAGING HOLDING JOINT-STOCK COMPANY, a member of the
       PANNONOPOWER Group. In addition to the implementation of the steam boiler and
       the fuel feeding system, the flue gas desulphurisation plant, the bag-type dust filter (or
       equivalent technical solution), the slag and ash removal system, the connections to the
       existing technological systems, as well as the tariff metering system shall also be
       included in the scope of this Invitation for Bids (hereinafter referred to as Package 1),
       together with the fuel reception, storage and forwarding systems (hereinafter referred
       to as Package 2). The new boiler shall be connected to the turbo sets Nos. 3 and 4
       being in service in the existing power plant and to the 10/120 kV main transformer No.
       3. The formerly upgraded gas fired boilers Nos. 5 and 7 are also connected to this
       turbo set.

       Hereby, the Tender Issuer invites the potential Bidders to submit their Bids for the
       implementation of Package 1 and/or Package 2 mentioned in Clause 2 herein the


       content of which is detailed in the Technical Specification to the Bidding Documents
       titled “Implementation of a Bio-mass Firing Power Plant Project planned by
       PANNONPOWER Group”.

       The Bidders are entitled to submit their Bids as per the following:
           o      As an EPC Bid (hereinafter: EPC Bid) for the complete scope of Packages
                  1 and 2; and/or
           o      As a separate Bid submitted for any of the Packages.

2.     Tasks to be performed in the course of implementation of the Facilities; content of the
       Packages

2.1.   Complete implementation of Package 1 and/or Package 2, including the design,
       manufacture, procurement, delivery, civil works as applicable, assembly of all
       technological systems, adaptation thereof to the existing power plant systems,
       commissioning, successful trial run, performance of the tasks required during the
       guarantee measurements, data supply, obtaining of permits for the implementation,
       providing all the documents and certificates as per the prescriptions of the Bidding
       Documents, as well as provision of spare parts for the period of 24 months following
       the date of the Operational Acceptance of the Facilities.

2.2.   Description and technical content of the Packages

       For the detailed technical content, the description and requirements of the Packages
       see the Technical Specification of the Bidding Documents.

       Package 1: Boiler No. 2 and the associated equipment

       Implementation of the specially designed, new grate-type Boiler No. 2 utilising mainly
       (up to 100%) baled straw-like agricultural products (energy reed (miscanthus), straw,
       corn-stalk, energy grass, etc.), minimum 20 % wood chips and various bio-masses in
       bulk (e.g. residuals of pressed rape, etc.). The rated steam output of the boiler shall be
       150 t/h, but it shall be suitable for increased steam output of 164 t/h.

       Further, the scope of the Package shall include the following:

       -     Demolition and construction works that become necessary for the installation, fail-
             safe operation and maintenance of the equipment;
       -     Installation of a boiler baled fuel-feed system and construction of a bale transport
             line;
       -     Implementation of the complete feed system for wood chips and various bio-
             masses in bulk, together with the branches of the existing conveyor lines;
       -     Installation of the connections to the existing systems (feed water, steam, natural
             gas, fuel oil, auxiliary coolers, electrical and I/C systems, etc.) required for the
             boiler operation;

       -     Installation of the complete flue gas cleaning system and implementation of the
             flue gas conducting system (via an additional flue gas duct to be installed in the
             existing stack), together with the associated auxiliary material and the produced
             residual material treatment systems and the temporary waste material storage
             tanks;
       -     Installation of the instruments required for the tariff metering, immission
             monitoring and water chemical measurements.
       -     Implementation of the mechanical, electrical and I/C engineering connections for
             the purpose of connection of the steam turbines Nos. III and IV.

       The scope of supply shall include the implementation of the complete mechanical
       engineering, electrical engineering, I/C engineering systems, architectural and civil
       works serving the purposes of the above project, together with the installation of the
       associated equipment for environment protection, safety engineering, labour and health
       protection, fire prevention, property protection, etc. within the boundaries of the
       assigned area. The scope of supply shall also include the connections to and/or the
       integration in the existing power plant systems.

       Additional (option) items:

       Mandatory additional (optional) items:

       Option 1/1
       De-erection of Boiler 1 reserved so far for “industry historical” reasons.
       (The potential Bidders may get information about the data of the existing Boiler No. 1
       in the so-called “data room” (anticipated quantity of the demolition material, design
       documents, etc.)

       Option 1/2
       Upgrading the complete roof insulation between the pillars “CF” 110 of the Boiler
       House; replacement of the rooflight windows, as well as the doors and windows on the
       northern and western facades, in addition replacement of the entry gate(s) (suitable for
       personal entry and load transport) required for the normal operation of Boiler 2.

       Option 1/3
       Collection of the slag of Boiler 2 and the used reagent materials in Big-Bags including
       the associated complete technical scope (implementation of vehicle loading facilities).

       Non-Mandatory additional (optional) items:

       Option 1/4
       Burning of the selected light wastes together with the baled straw-like agricultural
       products and the required complete technological systems.

       Option 1/5
       Supplying frequency converter control equipment for the combustion air and flue gas
       ventilators designed for Boiler No. 2.

       Package 2: Fuel Supply System (receiving, storage and feeding system)

       The scope of the Package shall include fuel reception, storage and feeding systems to
       continuously provide the boiler with baled bio-mass fuel of the quality and in the
       quantity required by the boiler. This fuel receiving, storage and feeding system shall
       have the following functions:

       -     Reception, weighing, quality control and unloading of the bio-mass fuel
             transported by public road vehicles; internal fuel manipulations, together with the
             design of the complete logistics system for the activities, delivery of the required
             equipment/transport vehicles. (Unloading of the fuel from the transport vehicles,
             feeding it toward the boiler and the internal fuel manipulation shall be performed
             by such loading machines/transport vehicles, the capacity and quantity of which
             comply with the requirements. .);
       -     Provision of internal operative and external safety storage areas required for the
             reserve quantity of fuel;
       -     Feeding of the actually required fuel into the boiler conveyor line ;
       -     Modification and transformation of the internal road network, as required,
             construction of new traffic surfaces;
       -     Construction of an internal parking area for trucks and a rest house for the truck
             drivers.

       The scope of supply shall include the implementation of the complete mechanical
       engineering, electrical engineering, I/C engineering systems, architectural and civil
       works serving the purposes of the above project, together with the installation of the
       associated equipment for environment protection, safety engineering, labour and health
       protection, fire prevention, property protection, etc. within the boundaries of the
       assigned area. The scope of supply shall also include the connections to and/or the
       integration in the existing power plant systems.

       Mandatory Additional (Optional) Items:

       Option 2/1:
       The baled straw-like fuel transported by the trucks shall be unloaded and forwarded to
       the internal operative bale storage room and to the fuel conveyor lines of the boiler
       (up to the limit of supply at the boiler wall) by an automated indoor crane system
       adapted to the process control system of Boiler 2.

       Option 2/2:
       Demolition of the southern end of the maintenance workshop to the extent required for
       the implementation of the daily bale storage area. The remaining part of the building
       shall be closed and completed.

3.     Eligible Bidder
         According to the Invitation for Bids, only those firms (hereinafter referred to as the
        Bidders) may be involved in the present bidding procedure independently or as
        members of a consortium (according to the Civil Code of the Republic of Hungary: a
        civil law association, hereinafter referred to as the „Consortium”) which comply with
        the requirements of the Bidding Documents and have purchased the Bidding
        Documents.
        In case of a consortium, only one member of the consortium shall have to purchase the
        Bidding Documents.
4.     The most important requirements for the qualification

4.1. The Bidder shall have reference of at least one project the scope or technical content of
which is similar to those of the Facilities or the offered Package and which was successfully
implemented by the Bidder as independent contractor or as a member of consortium within
the previous five years.
       In case of a Bid submitted by a consortium, the members of the consortium shall
       jointly comply with the above conditions.

4.2.    The Bidder, the members of the consortium and the sub-contractors manufacturing the
        main equipment (in case these are not manufactured by the Bidder itself or by any of
        the consortium members) shall operate a documented and certified quality assurance
        system (EN ISO 9001:2000).

4.3.    The Bidder, the members of the consortium or the sub-contractors to be employed to
        the extent exceeding 10 % shall in each case prove that there is no final settlement in
        progress and no bankruptcy or liquidation proceedings have been initiated against
        them; no final condemnatory judgement has been brought by the court for any
        infringement of law by them in their power of business or profession.

 4.4. The Bidders, the members of the consortium and the sub-contractors manufacturing
the main equipment shall certify that, by the deadline of the implementation undertaken, they
will have the liquid financial assets and other financing possibilities including the unutilised
credit limits made available by the informing bank required for the continuous financing of
the bidded project.

4.5. The Bidders shall certify the compliance with the above requirements prescribed by the
     Tender Issuer pursuant to Section II of the Bidding Documents.

5.     The Tender Issuer intends to cover 25 % of the costs of the Facilities from its own
       financial resources and 75 % from a loan.

7.    The Bidding Documents in English and Hungarian languages may be purchased against
      payment of a non-refundable price of HUF 400,000.00 (four hundred thousand HUF) +
      20 % VAT or EUR 1,600.00 (one thousand six hundred EUR) + 20 % VAT to the
      account number 12072507-00146754-00100008 of Pannon-Hő Energetikai Termelő
      Kft. (Pannon-Hő Heat Energy Producing Ltd.) at the Raiffeisen Bank Zrt, as follows:

      A complete set of the Bidding Documents (both packages in English and Hungarian)
      may be purchased, only.

      In the event of any discrepancy between the English and Hungarian versions of the
      Bidding Documents, the Hungarian version shall prevail. The English version of the
      Bidding Documents shall be considered as a document for information only.

      In addition to the provision of a certificate about the effected payment of the above-
      mentioned price, the following data shall be provided during the purchase of the
      Bidding Documents in form of a duly signed document:

             -   The Bidder’s data (full name, address, invoice address, company register
                 number, tax registry number, EU tax registry number, name of the principal
                 banker, bank account number),
             -   Name, position, phone and fax number and e-mail address of the Bidder’s
                 contact person,
             -   In case the Bidding Documents are taken over in person, the name of the
                 proceeding person.

     Such document shall be submitted in person together with a certificate of payment (bank
     certificate or receipt) at the takeover of the Bidding Documents or it shall be sent
     previously by fax to each contact person named in Clause 6.

     The Bidding Documents on CD (Acrobat Reader Format) may be taken over personally
     between 21 November 2007 and 19 December 2007 at ERBE ENERGETIKA Kft. (H-

     1117 Budapest, Budafoki út 95.) Room No. 103 from 9:00 AM to 12:00 AM and from
     13:00 to 15:00 on each working day, against presentation of the above documents.

     The Bidders may request in writing the Tender Issuer to send them the Bidding
     Documents. In addition to the above listed documents, the Bidder’s statement about
     undertaking the postage charges shall be enclosed. Upon receipt of such request and
     statement in the proper form, ERBE ENERGETIKA Kft. will send the Bidding
     Documents to the Bidder by cash on delivery service.

     The Tender Issuer will send the invoice made out on the basis of the data submitted by
     the Bidder by mail within 15 days from the receipt of payment.

     The Bidding Documents are non-assignable to any third person.

8.   Prior to the Bid submission date, the Tender Issuer will organise a site inspection and a
     pre-bid conference for the Bidders (maximum 3 persons on behalf of each Bidder) having
     purchased the Bidding Documents.

      The Tender Issuer will draw minutes on the site inspection and the pre-bid conference
      and forward it to all Bidders.

      The Bidder shall bear the costs of his participation at the site inspection and the pre-bid
      conference.

      In order to facilitate the elaboration of the Bids, the Tender Issuer will furnish a “data
      room” where the existing plans of the boiler house will be available (statistical, civil
      engineering plans, longitudinal and cross section drawings), as-built documents, set-up
      and mechanical engineering plans, section drawings for boiler 1, etc. including the tasks
      and quantities of materials in connection with the boiler de-erection works as well as the
      lay-out of the new boiler and auxiliary systems within the remaining building. The
      Bidders may request the Tender Issuer in writing to provide further documents in the
      “data room” that are available for him and are necessary for the Bid elaboration. The
      Tender Issuer shall provide written information to all prospective Bidders having
      purchased the Bidding Documents about the availability of such further documents.

      The “data room” may be attended on the basis of a preliminary notification at a
      previously agreed date from 06 December 2007 to 21 December 2007 and from 08
      January 2008 to 24 January 2008 between 8:00 AM and 2:00 PM on working days.

       Permit for entry

       The Bidders shall send a preliminary written notification addressed to the Tender Issuer
       indicating their intention to enter the site of Pécs at least 2 (two) working days prior to
       the date thereof. Such notifications shall include the personal data (name, place and date
       of birth, nationality, identity card number or passport number, car registry number) of
       the participating representatives (maximum 3 persons for each Bidder) in order to
       provide for the acquisition of the necessary entry permits.

 9.    Submission date of the Bids:           31 January 2008

       The Bids shall be furnished to the following address either personally or by mail on or
       before the specified deadline:

       The Bids may be submitted in person at the above indicated address

              in Room No. 401 on 31 January 2008 between 10:00 AM and 3:00 PM.

       The Bids shall be submitted in sealed, undamaged packages provided with the
       inscription „Implementation of a biomass firing power plant project planned by
       the PANNPNPOWER Group, Package(s) No. ……”, Number of the Bidding
       Documents and: „Do not open before 10:00 AM on 01 February 2008.”

       The Bids will be opened under a limited bid opening procedure in the presence of the
       representatives of the Tender Issuer and the Engineer.

10.    The Bidders shall attach a bank guarantee (Bid Security) to their Bid in the following
       amount in favour of the Tender Issuer (sealed in a separate envelope) in compliance
       with the form included in the Bidding Documents:

          -       In case of Package 1: HUF 40,000.000.00 or EUR 160,000.00;

          -       In case of Package 2: HUF 15,000,000.00 or EUR 60,000.00;

          -        In case of EPC Bids and/or Bids submitted simultaneously for one or both
                   Packages: HUF 50,000,000.00 or EUR 200,000.00.

 11.    The Bids shall remain binding for a period of 180 (one hundred eighty) days from the
        Bid submission date pursuant to Clause 9 of the Invitation for Bids.

12.    The estimated time schedule of the implementation is as follows:

       - Initialling  and        signing    the
         Contract(s):                                       April, 2008

       - Technical acceptance of Package 2                  30 April, 2008
       - Start of Trial Run of the Facility:                30 July, 2010

       - Start of the commercial operation
         (Operational Acceptance)                           15 September, 2010

13.    Upon purchasing the Bidding Documents the Bidder acknowledges and expressly and
       irrevocably accepts that

             (a) the Tender Issuer shall not be obliged to publish the result of the bidding
                 procedure, and may withdraw from the project at any time and without giving
                 reason thereof, or may modify any part of the project (e.g.: technical content,
                 implementation time schedule, etc.) prior to the contract signing.

             (b) The Bidder shall not be entitled to claim any redemption of his costs, loss of
                 profit or any damages whatsoever.
