     Responses to Written Questions

     Q1)        On page 6 of the RFP, it states professional EAP counselors shall provide live, immediate
                crisis telephone counseling 24-hours per day, seven days a week. A toll-free number shall be
                provided. Are there any exceptions to the 24-hour per day, seven days a week crisis
                telephone counseling requirement of this RFP?
     A1)        No. There are no exceptions. (Please see question & answer number 68)

     Q2)        How long has the County had an Employee Assistance Program (EAP)?
     A2)        More than 15 years.

     Q3)        How long has the County used the current vendor that provides your Employee Assistance
                Program?
     A3)        The current contract has been in place for approximately 5 years.

     Q4)        What is the utilization rate of EAP services?
     A4)        Our projected annual utilization rate at 6/30/07 is 10%.

     Q5)        What is the current price per employee per month (PEPM)?
     A5)        The current PEPM is $1.74.

     Q6)        Is the County happy with your current vendor?
     A6)        Yes, the County is satisfied with the current vendor.

     Q7)        Why is the County going out to bid on EAP?
     A7)        The County is going out to bid for an EAP because our current contract is expiring this
                year. To promote competition and quality of services purchased the County routinely
                re-bids contracts after 3 to 5 years.

     Q8)        Will the County require Department of Transportation (DOT) services or Substance Abuse
                Program (SAP) services?
     A8)        DOT services are not required. The availability of SAP services is desirable for a
                separate charge. Please quote hourly rate.

     Q9)        With regard to the 300 special purpose counseling sessions, is onsite assistance for acute
                traumatic events or critical incidents included in these 300 hours?
     A9)        No.

     Q10) Onsite EAP orientations are requested. Are these in addition to the 30 hours of educational
          seminars per year or are they included in this number?
     A10) The educational seminars are Brown Bags. Employee and manager orientations are a
          separate service.

     Q11) In what capacity does the County of Alameda work with Edward Pieczenik, one of the
          certified SLEB‟s currently on the County‟s list?
     A11) Edward Pieczenik is listed on the County’s database of certified SLEB vendors. Being
          certified as a SLEB does not necessarily mean that a vendor has done business with the
          County. You should contact the vendor directly if you have questions regarding the
          vendor’s history with the County.

     Q12) Will the County be providing a current census? The census should show the split between
          the public safety officers and regular employees with zip codes.
     A12) An employee census will not be provided to bidders. It will be provided to the winning
          contractor on a regular basis during the course of the contract.

                Employee zip codes will not be provided to bidders. A list of all County worksites
                including zip codes has been provided with this addendum. See Exhibit O.

     Q13) Will the County provide any current utilization data (should contain demographic
          information)? If so, please provide.
     A13) Please see question & answer number 20.

     Q14) Is the County being assisted by an outside consultant/broker during this proposal process?
     A14) No.

     Q15) What medical plans does the County currently offer to its employees?
     A15) The plans are the following:

     Q16) Are the managed behavioral health plan benefits for the County carved out of the medical
          plans?
     A16) No.

     Q17) How strictly will the County enforce the SLEB requirements?
     A17) Our current EAP provider is a certified SLEB. Our past experience has shown that
          there are local Alameda County vendors who can provide these types of services. You
          should also consider vendors listed in our database who are local to Alameda County
          and might meet certification requirements as a SLEB. Often these vendors can be
          certified as SLEBS. You should assume that the County SLEB provisions will be
          strictly enforced. Failure to meet these provisions can result in disqualification.

     Q18) Please provide clarification for the exception to contracting with SLEB‟s as stated in the RFP
          (page 24 of 28 of pertinent section): “The County reserves the right to waive these
          small/emerging local business participation requirements in this RFP, if the additional
          estimated cost to the County, which may result from inclusion of these requirements,
          exceeds five percent (5%) of the total estimated contract amount or Ten Thousand Dollars
          ($10,000), whichever is less.”
     A18) The County reserves the right to waive the SLEB requirements, however, vendors may
          be disqualified for not meeting the SLEB provisions and there is no guarantee the
          County will waive the requirements even if the aforementioned conditions are met.

     Q19) What services does the County‟s current EAP provide?
     A19) We are seeking the services identified in the Request for Proposal (RFP).

     Q20) What is the 2005, 2006 and year-to-date 2007 utilization rate for both non-safety and safety
          employees and their family members?
     A20) See below rates for 2006 and 2007. (2005 rates are not currently available)

     Q21) What is the County‟s utilization goal?
     A21) The projected annual utilization rate at 6/30/07 is 10%.

     Q22) Does the County want Work/Life Services (i.e. Child and eldercare resource and referral
          services) built into the per employee per month (PEPM) EAP fee or provided as a separate
          line item?

     A22) Built into the PEPM rate.

     Q23) How many Critical Incident Stress Debriefing (CISD) hours does the County want built into
          the per employee per month fee?
     A23) Twenty (20) hours.

     Q24) If the EAP bidder will need to contract with local businesses to provide direct counseling,
          will those providers need to be SLEB certified prior to submitting the RFP?
     A24) It is strongly encouraged that any vendor to be used as a SLEB subcontractor be
          certified as soon as possible. Ideally they should at least be in the process of becoming
          certified as SLEB prior to submitting the RFP.

     Q25) Does the County provision, First Source Program, apply to this EAP RFP?
     A25) Yes, the First Source Program is applicable to this RFP.

     Q26) Are the legal and financial seminars part of the 30 one-hour educational seminars requested
          by the County per year? If not, approximately how many additional legal and financial
          seminars will the County request per year?
     A26) The 30 one-hour seminars are brown bags; legal and financial seminars can be
          included in a menu of possible brown bag topics.

     Q27) How many manager and supervisor trainings does the County expect the bidder to provide
          each year?
     A27) The bidder is expected to provide employee and manager orientations as needed.

     Q28) On page 9 of 28, Section II, Letter E (Annual reports): please further explain the difference
          between (a) and (b) versus (c) in reporting expectations.
     A28) At a minimum, reporting should include, on a monthly and quarterly basis:
             1. Activity (requests for service and type of service provided) by County
                department and safety vs. non-safety.
             2. Utilization.
             3. Customer satisfaction.
                (Please see question & answer 44.)

     Q29) Would the County please provide the street address and zip code of each County work
          location/building?
     A29) Please see Exhibit O for a list of County building locations.

     Q30) Regarding Exhibit M, should the cover letter list the address/location of each EAP counselor
          who will be working with the bidder to provide services.
     A30) No.

     Q31) Of the 30 hours for the educational seminars, are they part of the 300 hours?
     A31) No. The educational seminars are Brown Bags.


     Responses to Verbal Questions

     Q32) Does the current contract that is in place meet the RFP bid requirements for SLEB?
     A32) The current contractor/incumbent is a SLEB and therefore meets the requirements.

     Q33) If I were to look at the SLEB database, and couldn‟t find the number of SLEBs needed to
          meet the 20% requirement, would that make a difference?
     A33) The County requirement is for a Non-local or Non-SLEB vendor to meet the minimum
          20% sub-contracting provision of the SLEB program. If necessary Bidders should
          contact and work with the Business Outreach and Compliance Office, to meet this
          requirement.

     Q34) Initially I thought the SLEB requirement was just a 5% or 10% preference. But now it just
          seems really unlikely to get this contract without being a SLEB. Is that correct?
     A34) A Bidder who is certified by the County as either a small local or an emerging local
          business will receive a total bid preference of ten percent (10%), five percent (5%) for
          being a local Alameda County vendor and five percent (5%) for a certified SLEB.

                A vendor who does not qualify as a SLEB and who is not an entity exempted from the
                from the Small and Emerging Local Business (SLEB) requirements i.e. non-profit
                community based organizations, church or religious based organization, public schools
                and governmental agencies will be required to subcontract with a certified SLEB for 20
                percent or more of the value of the contract.

     Q35) Does the Board of Supervisors only look at those vendors that are SLEB certified when
          considering an award?
     A35) A recommendation to award will be to the highest ranked vendor who meets the
          requirements of this RFP including the SLEB program requirements.

     Q36) So when you say 20%, how is that quantified?
     A36) The Business Outreach and Compliance Office (BOCO) prefers you satisfy the 20% by
          subcontracting for services directly related to the bid.

     Q37) Would that 20% be based on the amount awarded to the Contractor.
     A37) Yes, it’s 20% of the amount awarded to the Contractor.

     Q38) One of the things we‟re really picky about is the tenure and quality of the providers that are
          on our panel. If we try to source SLEBs but they don‟t meet our criteria we would not
          normally ask them to be on our panel, what would we do? Would that be an exception?
     A38) Vendors should contact BOCO for assistance in meeting the SLEB requirement.

     Q39) If we are a non-profit does that exempt us from the County SLEB provisions?
     A39) If you are a non-profit organization, then you may be exempt from having to satisfy the
          20% sub-contracting requirement. Page 25 of the RFP details what entities are exempt
          from meeting the SLEB requirements. You should also contact Linda Moore to verify
          your exemption. You will not be eligible for the 5 percent small or emerging business
          preference though unless you become a certified SLEB.

     Q40) We have 60,000 employees across the world. Does the First Source Agreement only pertain
          to positions related to the bid?
     A40) Yes, it only pertains to positions related to the bid. However, it can be any local
          position that you need filled.

     Q41) So not just therapists? It could be clerical, landscaping, etc.?
     A41) Yes.

     Q42) One of the requirements was for referrals to be conveniently located (within 5 miles of home
          or work in urban and suburban areas and within 25 miles in rural areas) throughout Alameda
          County. To evaluate the quality of the network, can you include the zip codes in the census?
     Q43) The above aforementioned requirement has been replaced with the following:
                      “Referrals shall be conveniently located (within 10 miles of work in urban and suburban
                      areas and within 25 miles of work in rural areas) throughout Alameda County.”
                An employee census will not be provided to bidders. It will be provided to the winning
                contractor on a regular basis during the course of the contract.

                Employee zip codes will not be provided to bidders. A list of all County worksites
                including zip codes has been provided with this addendum. See Exhibit O.

     Q44) Regarding the reporting requirements for therapists and what they might need to report about
          the client could you elaborate on what is required?
     A44) Reports provided to the Risk Management Department should include aggregate data
          only, not specific client data. The reporting requirements are as described in Section
          II. E. 1. a), b), and c) of the RFP. On both a monthly and an annual basis the County
          wants to know what activity occurred during that particular time frame, including all
          services provided, broken down by department. And on at least a quarterly basis, the
          County would like customer satisfaction data and any useful statistical information you
          can provide. We would also like to see a sample of what you are capable of providing.

     Q45) You mentioned Health and Wellness administration within the scope of the project. Could
          you elaborate on that? Is that something you currently provide internally?
     A45) We currently have an Employee Wellness program that functions side-by-side with the
          EAP program. To a certain extent there may be some cross-resourcing. For example,
          the brown bags that are provided often address Employee Wellness issues.

     Q46) Page 28, Section Y, I was wondering why the bid does not call for a Knox-Keene licensed
          EAP plan provider? It‟s a State of CA requirement for delivering counseling services for
          more than 3 counseling sessions at a time.
     Q47) In light of the fact that any County EAP provider must be able to “deliver mental
          health services on a prepaid basis for more than three counseling sessions within any
          six-month period,” bidders for this contract must adhere to the regulations of the
          Knox-Keene Act by (1) holding a state-issued license or (2) showing proof of
          compliance from the State Department of Managed Health Care.

     Q48) Your bid form has two options, as well as a section for additional services. Does the
          County‟s current contract for EAP services fit one of these models?
     A48) The current contract is a hybrid of the first and second model.

     Q49) I want to know the dollar value of this opportunity. It‟s not just the PEPM alone correct?
          How much has been paid to the current vendor for EAP services provided.
     A49) During the last fiscal year, approximately $185,504 was paid to the current vendor for
          EAP services provided.

     Q50) So you‟re currently spending more than the $1.74 PEPM?
     A50) Yes.

     Q51) I assume the $1.74 includes public safety 10 visits and the other 3 visits in one composite
          rate?
     A51) Yes.

     Q52) The County Retirement Association is listed as a department covered by the EAP. Does that
          mean retired employees are also covered under the EAP, or just the employees who work in
          that department?
     A52) The employees that work in that department.

     Q53) I understand that you are happy with your current provider. But are there any areas that you
          are looking to improve upon?
     A53) The County is always seeking better ways to do things. We just want to have a good
          strong program in place.

     Q54) Are you looking for innovation or things that are above and beyond what you have today?
     A54) We are looking for what is required in the RFP. But the RFP format allows the vendor
          some flexibility to come up with innovations and different approaches. If there’s
          something new that we don’t know about, please feel free to include it in your response.

     Q55) You describe the annual utilization as 10%. Could you provide us with the breakdown of
          that 10%?
     A55) The breakdown for a 10.1% projected annual utilization as of June 30, 2007 is:
          Clinical Visits – 5.3% (safety-badge employees 36%; non-safety badge 64%);

                Life Management Cases – 4.8% (safety badge employees 24%; non-safety badge 76%).

     Q56) The 300 hours for special purpose counseling sessions, those are considered clinical visits
          above and beyond the 3 or the 10?
     A56) The 300 hours include formal and informal manager referrals and laid-off employee
          benefits over and above the standard 3 and 10 counseling sessions.

     Q57) The management referrals are in addition to the three counseling sessions per incident,
          however many deemed necessary
     A57) Yes.

     Q58) Is there a time limit for referrals given to employees who have been laid-off? Is it within 30-
          days following layoff? 60 days?
     A58) Right now, it’s 3 counseling visits with receipt of the layoff notice without regard to
          prior use of the services during the year of layoff. We have not specified a time frame
          to use those 3 visits.

     Q59) You said the current contract has been in place for 5 years. Do you like to bid it every 5
          years?
     A59) A 5-year maximum term is preferred on Alameda County contracts to stimulate the
          County’s economy. Contracts are usually for a 3-year term with the option of two 1-
          year renewals, for year 4th and 5th extensions. It also provides more opportunity for
          our local small and emerging businesses to participate in County contracts.

     Q60) The County has had the EAP program for 15 years. Prior to this most recent 5-year period,
          did you have a different vendor in place or the same one?
     A60) We had a different vendor in place.

     Q61) Do you have accounts that provide on-site counseling services to any of your offices?
     A61) No.

     Q62) How does the oral presentation work?
     A62) That will depend on how many responses we receive. If we receive a lot of responses,
          we may have a short-list and the vendors with the highest preliminary scores will be
          invited to the oral interview and presentation. The oral interview and presentation
          could include questions regarding a bidder’s proposal or new questions that the County
          Selection Committee would like to ask the bidder(s).

     Q63) The RFP mentioned a possible total of 550 points; it also mentions that there are weighted
          categories. Is there a section that describes those categories and how they are weighted?
     A63) The categories and their weights, found under Section L, page 15-18, add up to 100
          points, plus 5% for being a local vendor and 5% for being SLEB certified. The
          evaluation committee will score each Evaluation Criteria category from 0-5, which is
          then multiplied against the weight for each category and added together for the

                vendor’s total score. If the members of the evaluation committee give a proposal a
                score of 5 in each of the designated categories and the vendor qualifies for local and
                small or emerging local preference points, the vendor’s proposal would attain the
                maximum 550 points.

     Q64) For example, Category D - Technical Criteria is weighted at 20 points. The maximum score
          attainable for this category is 100 (20 points x 5 = 100 points)?
     A64) Yes.

     Q65) Who is the current EAP provider for Alameda County?
     A65) Claremont Behavioral Services, Inc.

     Q66) Our company does bill for reasonable travel charges. Will that be acceptable?
     A66) No. You must follow the pricing structure on Exhibit B and Exhibit B-1 Bid Form.

     Q67) Your RFP included a draft Standard Agreement (Exhibit J). My question is in regard to
          Section 20 – Termination. Is that absolutely set in stone? That either party can terminate
          within the 60-days without being able to cure the situation?
     A67) That language is provided by County Counsel and Risk Management; and represents
          the County’s official stance. You can, however, use Exhibit I (Exceptions and
          Clarifications) in your bid response to note any exceptions you’d like to make to the
          documents and/or the Exhibits.

     Q68) Regarding 24-hour phone availability, is that required to be provided by an on-site staff
          member, or can we use a crisis hotline that isn‟t actually on-site? For instance, can we have
          a message that says to call a crisis hotline?
     A68) It is important that the services be both accessible and integrated. A crisis hotline
          would need to communicate closely with the EAP provider to facilitate follow-up. You
          can describe your proposed service in your response to the RFP.

     Q69) When are bid responses due?
     A69) They are due by 2:00 PM on September 10, 2007.

     Q70) Do you recommend hand delivery versus courier?
     A70) The County makes no recommendation. It is the vendor’s responsibility that the bid
          arrive before the deadline.

         COUNTY OF ALAMEDA, GENERAL SERVICES AGENCY-PURCHASING EXHIBIT A – BID ACKNOWLEDGEMENT


                                                           RFP No. 900314, Addendum No. 1

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the
above referenced RFP number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the
bid response. Obligations assumed by such signature must be fulfilled.
1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and
      corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFP. No
      alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total.
2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid
      Acknowledgement and state the reason you are not bidding.
3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFP, the prices quoted herein do not include Sales, Use or other
      taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any
      other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c)
      Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is
      not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the
      exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will
      furnish an exemption certificate.
4. Award: (a) Unless otherwise specified by the bidder or the RFP gives notice of an all-or-none award, the County may accept any item or
      group of items of any bid. (b) Bids are subject to acceptance at any time within thirty (30) days of opening, unless otherwise specified in the
      RFP. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance specified
      results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects
      according to the laws of the State of California.
5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless
      from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret
      process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.
6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request
      (made when the sample is furnished), be returned at the bidder‟s expense.
7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase
      order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same,
      and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to
      replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to
      do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to
      deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase
      order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same
      conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery
      is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do
      not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are
      in addition to any other rights and remedies provided by law or under the contract.
8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will
      be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFP, or from date correct
      invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be
      made, for the purpose of earning the discount, on the date of mailing the County warrant check.
9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is
      accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the
      Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the
      Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to
      the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.
10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any
      material or equipment that may be traded in on this order.
