CONDITIONS AND UNDERTAKINGS BY TENDERER IN RESPECT OF THIS PROPOSAL

1.    Proprietary Information:
        Industrial Development Corporation of SA Ltd (IDC) considers this proposal and all
        related information, either written or verbal, which is provided to the respondent, to
        be proprietary to IDC. It shall be kept confidential by the respondent and its officers,
        employees, agents and representatives. The respondent shall not disclose, publish,
        or advertise this specification or related information to any third party without the prior
        written consent of IDC.


2.    Enquiries

3.      All the documentation submitted in response to this tender must be in English.


4.      Vendor should check the numbers of the pages to satisfy themselves that none are
        missing or duplicated. No liability will be accepted by IDC in regard to anything arising
        from the fact that pages are missing or duplicated.

5.    Validity Period

        Responses to this proposal received from vendors will be valid for a period of 120
        days counted from the closing date of the tender.


6.      Submission of Proposals
6.1     Proposals should be submitted in duplicate all bound in a sealed envelope
        endorsed, “TENDER T30/1009/09 REQUEST FOR PROPOSAL TO INVESTIGATE
        THE VIABILITY OF ESTABLISHING A POLYSILICON PLANT IN SOUTH AFRICA
        (“the study”)”. The sealed envelope must be placed in the tender box at the Main
        Reception area of the IDC Building, 19 Fredman Drive Sandton by no later than
        12h00 noon on 22nd January 2010.

6.2       The closing date, company name and the return address must also be endorsed on
        then envelope

6.3    If a courier service company is being used for delivery of the tender document, the
       tender description must be endorsed on the delivery note/courier packaging to ensure
       that documents are delivered into the tender box.


6.4    No proposal received by telegram, telex, email, facsimile or similar medium will be
       considered


6.5    Where a proposal document is not in the tender box at the time of the tender closing,
      such a tender document will be regarded as a late tender. Late proposals will not be
      considered.

6.6   Amended proposals may be sent in an envelope marked “Amendment to proposal”
      and should be placed in the tender box before the closing time.

6.7   The tenderer is responsible for all the cost that they shall incur related to the
      preparation and submission of the tender document.

6.8   A list of all references (minimum of 3) must be included in the tender document.

6.9   A valid tax clearance certificate must be included in the tender document (i.e.
      RFP will not be considered if there is no valid tax clearance certificate)

6.10 A copy/s of any affiliations that you are affiliated to.

6.11 Kindly note that the IDC is entitled to amend any tender conditions, validity period,
      specifications, or extend the closing date of tenders before the closing date. All
      tenderers, to whom the tender documents have been issued, will be advised in writing
      of such amendments in good time.


6.12 The IDC reserves the right not to accept the lowest proposal or any proposal in part or
      in whole. It normally awards the contract to the tenderer who proves to be fully capable
      of handling the contract and whose proposal is technically acceptable and/or
      financially advantageous to the IDC.


6.13 The IDC also reserves the right to award this proposal to a purely empowerment
      company or may award this tender on condition that a joint venture with an
      empowerment company is formed. This will be added to the criteria when evaluating
      the proposals.


6.14 The IDC also reserves the right to award this proposal as a whole or in part without
      furnishing reasons

6.15 The tenderer hereby offer to render all or any of the services described in the attached
      documents to the IDC on the terms and conditions and in accordance with the
      specifications stipulated in this Tender documents (and which shall be taken as part of,
      and incorporated into, this Proposal at the prices inserted therein).


6.16 Tenders submitted by Companies must be signed by a person or persons duly authorised
      thereto by a resolution of a Board of Directors, a copy of which Resolution, duly certified
      be submitted with the Tender.


6.17 The tenderer shall prepare for a possible presentation should IDC require such and the
      tenderer shall be notified thereof no later than 4 (four) days before the actual
      presentation date.


6.18 The tenderer hereby agree that the offer herein shall remain binding upon him/her and
      receptive for acceptance by the IDC during the validity period indicated and calculated
      from the closing hour and date of the Tender;
      This Proposal and its acceptance shall be subject to the terms and conditions
      contained in this tender document.


6.19 The tenderer furthermore confirm that he/she has satisfied himself/herself as to the
      correctness and validity of his/her Proposal response that the price(s) and rate(s)
      quoted cover all the work/item(s) specified in the Proposal response documents and
      that the price(s) and rate(s) cover all his/her obligations under a resulting contract and
      that he/she accept that any mistakes regarding price(s) and calculations will be at
      his/her risk.


6.20 The tenderer hereby accept full responsibility for the proper execution and fulfilment of
      all obligations and conditions devolving on him/her under this agreement as the
      Principal(s) liable for the due fulfilment of this contract.

7.       EVALUATION CRITERIA
Tenders shall to be evaluated in terms of the following parameters:
Evaluation Criteria

1.1.1.1.     Technical
           This will be evaluated with regards to your response to Section 2 Statement of
           Compliance and any other related information provided.

1.1.1.2.  Price
        To be quoted in ZAR and must be exclusive of VAT.
         The tenderer must provide an all inclusive detailed tender indicating the envisaged
           scope of activities, and the costs associated with the same.
         Fees must be quoted in South African Rands and must be VAT exclusive,
           indicating any escalation or any other potential future alteration required. Prices
           are to remain fixed and valid for the entire contract period. All figures to be
           entered without alteration.
         The tenderer is responsible for any costs associated with this tender.
         Specify any exclusion from the tender.
         Describe the required payment terms and schedules, and your proposed
           conditions associated with these.

1.1.1.3.      Empowerment
           This will be evaluated with regards to the information to be provided with your
           response in relation to Section 3 which entails the extent to which previously
           disadvantaged people are to be involved.

           SCOPING STUDY: INVESTIGATE THE VIABILITY OF ESTABLISHING
           A POLYSILICON PLANT IN SOUTH AFRICA (“the Study”).


8.      Purpose

        The purpose of this document is to provide the background requirements for a study
        to investigate the viability of establishing a polysilicon plant in South Africa (“the
        Project”). The Study should be done to scoping level of confidence, on all the
        technical, marketing, financial and strategic aspects needed to facilitate the
        establishment of a polysilicon plant, at an appropriate site, in South Africa.


9.      Background

        As concerns around climate change continue to grow worldwide, the solar energy
        industry is beginning attract increasing interest. The global solar photovoltaic market,
        which earned revenues of $6.49 billion in 2005, is expected to reach more than $16
        billion by 2012. For South Africa however, the solar photovoltaic market in particular
        has been facing a significant challenge due to shortages and allocations of
        polysilicon over the last few years. The shortage of feedstock between 2004 and
        2007, reached a critical point, which in turn affected the production of solar panels
        and consequently, the industry growth. With demand from the semiconductor and
        solar energy industries expected to grow by between 5% and 9%, demand for solar-
        grade polysilicon is expected to reach over 40% of the total demand in 2009-2010.


        The White Paper on renewable energy (Nov 2003) by the Department of Minerals
        and Energy, has set a target that 4% of South Africa’s power demand should be
        provided by renewable energy sources, of which solar power is expected to play a
        key role. In order to fulfill this mandate, the establishment of a vibrant local
        photovoltaic manufacturing and related industries will be needed to ensure a
        competitive solar industry. Access to sufficient quantities of solar grade polysilicon
        feedstock is a key component in the manufacturing of solar panels.


        It is within this framework, and together with its mandate to facilitate industrial
        development in South Africa, that the IDC wants to initiate the Study. Subject to the

        outcomes and recommendations of the Study, the IDC will engage with appropriate
        role players/partners to facilitate the implementation of the Project.


10.     Confidentiality

        The Consultant will be required to sign a confidentiality agreement prior to start of
        work.


11.     Scope of work


        It is not expected that the report will have to follow the exact structure below;
        however, the following study areas need to be addressed in the report:


           Background on polysilicon and its applications


           Market analysis and five year outlook for polysilicon
                Market status
                Supply and demand
                Price forecast
                Threat of substitutions
           Technology review
            Detail analysis of all polysilicon manufacturing technologies:
                Siemens process
                Fluidised bed process
                Metallurgical process
                Any other potential technology


            These technologies need to be review on:


                Technical maturity/status of technology
                Technical complexity
                Commercial availability of technology
                Licence, patents, royalty issues related to a specific technology
                Raw material requirements and specifications
                Energy requirements
                Specific site requirements (industrial zoning requirements)
                Funding requirement

                         Short list of potential operating and/or technical partners
                         Implementation planning
                         High level business plan


12.     Deliverables
        Detailed report

        High level business case


13.     Duration of study


        Consultant to indicate estimated timeline to complete the report. The estimated
        timeline must provide a clear and detailed work breakdown structure and time
        estimates associated with the individual tasks needed for the project.
