Expressions.corn Executive Summary Expressions (the "Company") is the first Internet e-commerce company using its unique, proprietary interactive system to empower customers to custom-design products at a price determined by the materials and components they select. Customized product lines will be launched in phases beginning in fourth quarter 1999, and will include customizable jewelry, accessories, homeware and home furnishings. The Company's unique value proposition enabling user-designed consumer products at "adaptive price points" permits_a unique and highly personalized user experience in each product category. Using Expressions's robust, userfrieendl "Design-Your-Own at Your Own Price TM,,(DYO@YOP TM)system, customers can conveniently design, personalize and purchase a wide array of customized consumer goods over the Internet. Expressions' webslte is designed to provide users with a convenient, engaging and value-driven design customization experience by enabhng them to choose from an array of specifications and options that meet their unique individual tastes and budget. The Company has built the back-end capability to enable real-time assembly of customer-designed products for immediate delivery. With the attendant launch of its jewelry and accessories lines, the Company seeks to establish itself as the premiere online custom-design workshop, where customers can, for the first time, custom-design their own jewelry and accessories over the Intemet. Jewelry customers choose the type of jewelry that they are interested in designing and are then guided through three or four easy steps offering a simple set of options. As the customer designs and modifies the 3ewelry piece, the site should allow the various mock-ups of the item to appear on the customer's screen for real-time view. The Company's value proposition enables users to design their own unique products at user-selected price points. Several unique site features, including the DYO@YOP system, mass customization and adaptive pricing, enable the Company's unique value proposition. Customers who wish to select from existing inventory can use the site's mass customization and personal assistant engines to easily find the appropriate product through intuitive product search methods. Furthermore, adaptive pricing allows users to design their own unique product, and then select from several price points for that same design, based on the differing quality of the material used and other price-sensitive factors. In addition to its unique value proposition, the Company's strengths include its established relationships with suppliers, marketing parmers and vendors; its methodical approach to identififing and entering new product areas; its experienced management and marketing team and its multi-revenue stream business model. Revenue sources include product sales to consumers, online financing, data sales, business to business sales and revenue generated through the Company's multi-category Preferred Supplier Program. Jeffrey Wolf serves as the Company's Chairman. Jeff is the Managing Partner at Seed-One Ventures, LLC, a New York-based venture capital firm and the founder of several private and public technology-based companies, including E-Site Therapeutics, Advanced Material Design, and Avigen. Jeff received his BA from the University of Chicago, his JD from New York University School of Law and his MBA from Stanford Business School. The Company's senior management team hails from Magnet Interactive, a DC-based Intemet strategy and development agency. David Wolf serves as the Company's President. Prior to Expressions, David was founder and president of the interactive marketing firm X-Site Solutions, a New York-based Intemet consultancy. Before founding X-Site, David was head of the consumer products practice group at Magnet Interactive. He has developed and implemented interactive strategies for clients, including Kelloggs, Crayola, Royal Caribbean Lines, Pillsbury, and the American Cancer Society. He received his BA in Philosophy from Harvard University and began his career as a consultant in the Strategic Consulting Group of Price Waterhouse. The Company's Executive Vice Presidents are Chris Wuhrer and Melissa Sebok, who possess twelve aggregate years of leadership experience in new media agencies, having worked with clients such as Kelloggs, First USA, American Greetings, and Bell South. Chris was Director of Interactive Marketing at Magnet, and more recently, served in the same position at iXL. Melissa was Vice President of Business Development at Magnet prior to joining Expressions.o w Management Team Jeffrey Wolf C6a_nnan Jeff has substanual experience in creating, financing, nurturing and growing new ventures based upon breakthrough research and technology. He co-founded and served as a director or chairman of several successful public and private technology and service-based companies. Jeff received his M.B.A. from Stanford Business School, his J.D. from New York University School of Law and his B.A. with Honors in Economics from the University of Chicago. David Wolf Presdent David is a co-founder of the company and serves as its President. He has six years in the New Media industry including four years as an Internet consultant for fortune 500 companies where he developed and executed Internet strategy for clients including the Kellogg Company, Crayola, Royal Caribbean Cruise Lines, Pillsbury, and the American Cancer Society. Prior to this, David served as Online Marketing Director for Netlive Communications, a publicly traded Internet startup company. David began his career in Los Angeles as a consultant in the Strategic Consulting Group of Price Waterhouse. He received his B.A. in Philosophy from Harvard University. While at Intuit, Chris had the opportumty to work on Quicken 98and integratingthe personal finance softwarepackage to work seamlesslyvath Internet applications. At Magnet, she also served as the account lead for electronic commerce clients including PC Flowers & Gifts and American Greetings. Mehssa began her career in consulting, first as an Associate with Mercer Management Consulting in Washington, DC, and then with KPMG Peat Marwick, where she was responsible for creating the business plans for two high-technology start-ups. She received her M.B.A. from Carnegie Mellon University and her B.S. in Finance from the Pennsylvania State University.v-_ • * -4 Jim Humphries ¢ Jim serves as the Company's Director of Technology. He has extensive experience in software development, high performance computing, and management and system deployment. Jim is a founding member of Quateams, a Washington D.C based Internet development group specialized in enterprise wide technology solutions. Prior to founding Quateams, jim served as a Senior Software Engineer at Magnet Interactive, a Washington D.C.-based interactive agency. He received his B.S. in Computer Science from the University of Maryland. Over the past six years Chris has produced award winning advertising campaigns for AT&T, Blockbuster Video, Citibank, Lincoln, American Home Products and the United Negro College Fund. Chris holds a B.S. Degree in Marketing and a minor in English from Boston University. Simon Yaghoubi Dz_tor of BusinessD_ Simon has extensive experience in developing business strategies for small companies as well as conducting financial analyses. His previous employment experiences include Athena Ventures, a New York City-based venture capital firm, Fala International Consultants, a Beijing-based consultancy, and Deuteron GmbH, one of Germany's largest real estate investment houses. Simon co-founded Blue Media Ventures, a New York based media company and publisher of Blue Magazine.He holds a B.A. degree in International Relations from the University of Pennsylvania.
