1.0   INTRODUCTION AND PURPOSE:

      PURPOSE
      The State of Wisconsin Educational Communications Board, hereinafter referred to as “ECB" and
      “Owner”, through Department of Administration, Consolidated Agency Purchasing Services, hereinafter
      referred to as "CAPS," requests bids for analog plus HD broadcast radio transmitter and associated
      equipment for station WLBL AM in Auburndale, WI.

      The contract resulting from this RFB will be administered by ECB.

      SCOPE
      ECB seeks to acquire a high power analog plus HD radio broadcast transmitter and associated
      equipment for station WLBL AM in Auburndale, Wisconsin.

      This purchase is made possible by a partial grant from the Corporation for Public Broadcasting (CPB) and
      as such, all prices supplied by bidders must reflect discounts negotiated between manufacturers and the
      CPB.

       From the date of release of this RFB, until an award letter is issued, all contacts regarding
       this RFB shall be made through designated contact person. Violation of this condition may
       be considered sufficient cause for rejection of a bid, irrespective of any other
       considerations.



       Work and Delivery Sites:

      REASONABLE ACCOMMODATIONS
      The Department will provide reasonable accommodations, including the provision of informational
      material in an alternative format, for qualified individuals with disabilities upon request. If you think you

      CONTRACT LENGTH
      The initial contract will be for a one-year period. The State reserves the right to extend beyond the
      contract term if deemed to be in the best interest of the State.
METHOD OF BID
Bidder must submit a price per unit for each line item on Attachment A.
Bidder must submit a total dollar amount for each line item on Attachment A.
Bidder must indicate the Make and Model of each item bid on Attachment A.
Bidder must indicate compliance to the bid requirements with a YES or NO response on Attachment A.
All prices will be in U.S. dollars.

Bidders are required to bid on all line items.   Prices are firm throughout the contract. ECB is
considered an IRC 501(c) organization.

All costs for furnishing the product(s) and/or service(s) included in the bid in accordance with the terms
and conditions in this RFB must be included.

METHOD OF AWARD
Award will be made on the basis of the lowest total price on the complete package. There will be only one
vendor awarded.

The State of Wisconsin DOA shall be the sole judge of awarding this bid. Award will be made on the basis
of the lowest responsible bidder which is judged to be in the best interest of the State. Bids must meet all
bid specifications and standard terms and conditions. DOA reserves the right to reject bids that do not
meet the bid specifications and standard terms and conditions.

CANCELLATION AND TERMINATION
The State reserves the right to cancel the resulting contract/agreement, for any reason, by giving written
notice to Contractor of such cancellation and specifying the effective date thereof, at least 30 days before
the effective date of such cancellation. Contractor shall, in the event of such cancellation, be entitled to
receive compensation for any work accepted hereunder in accordance with the State's order(s).
Contractor may also be compensated for partially completed work in the event of such cancellation. The
compensation for such partially completed work shall be no more than the percentage of completion of
each work effort, as determined in the sole discretion of the State, times the corresponding payment for
completion of such work as set forth in the State's order(s).

In addition, the State reserves the right to terminate the resulting contract/agreement, for reasons of
breach of contract, by giving written notice to Contractor of such termination and specifying the effective
date thereof, at least 10 days before the effective date of such termination. Contractor shall, in the event
of such termination, be entitled to receive compensation for any work accepted hereunder in accordance
with the State's order(s). Contractor shall also be compensated for partially completed work in the event
of such termination. The compensation for such partially completed work shall be no more than the
percentage of completion of each work effort, as determined in the sole discretion of the State, times the
corresponding payment for completion of such work as set forth in the State's order(s).

Upon cancellation, termination or other expiration of the resulting contract/agreement, each party shall
forthwith return to the other all papers, materials, and other properties of the other held by each for
purposes of execution of the contract/agreement. In addition, each party will assist the other party in the
orderly termination of this contract/agreement and the transfer of all aspects hereof, tangible or intangible,
as may be necessary for the orderly, non-disruptive business continuation of each party.

WISCONSIN‟S COOPERATIVE PURCHASING SERVICES
Equipment and services shall be made available to authorized users per the form DOA-3333, Vendor
Agreement. Authorized users must be able to obtain the equipment and services procured under this
contract at the same rates agreed to by the State and the vendor. The successful vendor shall be
responsible for determining the status of potential authorized users and supplying the State with
documentation and support.


VENDORNET REGISTRATION
The State of Wisconsin‟s purchasing information and vendor notification service is available to all
businesses and organizations that want to sell to the state. Anyone may access VendorNet on the
Internet at http://vendornet.state.wi.us to get information on state purchasing practices and policies,
      goods and services that the state buys, and tips on selling to the state. Vendors may use the same
      website address for inclusion on the bidders list for goods and services that the organization wants to sell
      to the state. A subscription with notification guarantees the organization will receive an e-mail message
      each time a state agency, including any campus of the University of Wisconsin System, posts a request
      for bid or a request for proposal in their designated commodity/service area(s) with an estimated value
      over $25,000. Organizations without Internet access receive paper copies in the mail. Increasingly, state
      agencies also are using VendorNet to post simplified bids valued at $25,000 or less. Vendors also may
      receive e-mail notices of these simplified bid opportunities.

      DEBARMENT
      Federal Executive Order (E.O.) 12549 “Debarment” requires that all contractors receiving individual
      awards, using federal funds, and all sub recipients certify that the organization and its principals are not
      debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded by any Federal
      department or agency from doing business with the Federal Government. Information on debarment is
      available at the following websites: www.epls.gov and www.arnet.gov/far/.

      PROPRIETARY INFORMATION
      Any restrictions on the use of data contained within a request must be clearly stated in the bid itself.
      Proprietary information submitted in response to a request will be handled in accordance with applicable
      State of Wisconsin procurement regulations and the Wisconsin public records law. Proprietary
      restrictions normally are not accepted. However, when accepted, it is the vendor's responsibility to
      defend the determination in the event of an appeal or litigation.

      Data contained in a bid/proposal, all documentation provided therein, and innovations developed as a
      result of the contracted commodities or services cannot be copyrighted or patented. All data, docu-
      mentation, and innovations become the property of the State of Wisconsin, DOA.

      Any material submitted by the vendor in response to this request that the vendor considers confidential
      and proprietary information and which qualifies as a trade secret, as provided in s. 19.36(5), Wis. Stats.,
      or material which can be kept confidential under the Wisconsin public records law, must be identified on a
      Designation of Confidential and Proprietary Information form (DOA-3027), which is attached.
      Confidential information must be labeled as such.

      Cost (pricing) always becomes public information, and therefore cannot be kept confidential. Any other
      requests for confidentiality MUST be justified in writing on the form provided and included in the bid
      submitted.

      TAX EXEMPTIONS AND CERTIFICATION FOR COLLECTION FOR SALES AND USE TAX
      The State of Wisconsin shall not enter into a contract with a vendor, and reserves the right to cancel any
      existing contract, if the vendor or contractor has not met or complied with the requirements of s. 77.66,
      Wis. Stats., and related statutes regarding certification for collection of sales and use tax. The State of
      Wisconsin is exempt from payment of all federal tax and Wisconsin state and local taxes on its purchase
      except Wisconsin excise taxes as defined in 12.0 of the Standard Terms and Conditions. Minnesota
      allows sales tax exemption for IRC 501(c) organizations, which includes the Wisconsin Educational
      Communications Board. Therefore, the Owner does not pay Minnesota tax.

      SUBCONTRACTING PLAN OF ACTION
      Upon request the awarded vendor shall furnish a subcontracting plan of action indicating appropriate
      information about its effort to achieve this goal, including identities of such enterprises certified by the
      Wisconsin Department of Commerce and their subcontract amount. DOA will require from the successful
      contractor a quarterly report of amounts spent with certified minority business enterprises.

2.0   BID PROCEDURES AND INSTRUCTIONS:
      Vendors must submit 1 original, marked as such, and 1 copy of all materials required for acceptance of
      their bid by the deadline shown on the Request for Bid form (DOA-3070) to:

Bids must be received by the receptionist in the above office. Office hours are 8:00 a.m. to 4:30p.m.,
Monday through Friday, except State Holidays. All bids must be time-stamped in by the State
Purchasing Office prior to the stated opening time. Bids not so stamped will be considered late. Receipt
of a bid by the State mail system does not constitute receipt of a bid by the State Purchasing Office, for
purposes of this request for bids.

FORMAT OF BID: Vendors responding to this RFB must comply with the following format requirements:

        TAB 1: Signed Request for Bid Form (DOA-3070)
        Bids submitted in response to this RFB must be signed by the person in the vendor's
        organization who is responsible for the decision as to the prices being offered in the bid or by a
        person who has been authorized in writing to act as agent for the person responsible for the
        decision on prices. By submitting a signed bid, the vendor's signatories certify that in connection
        with this procurement: the vendor's organization or an agent of the vendor's organization has
        arrived at the prices in its bid without consultation, communication or agreement with any other
        respondent or with any competitor for the purpose of restricting competition; the prices quoted in
        the bid have not been knowingly disclosed by the vendor's organization or by any agent of the
        vendor's organization and will not be knowingly disclosed by same, directly or indirectly, to any
        other respondent or to any competitor; and no attempt has been made or will be made by the
        vendor's organization or by any agent of the vendor's organization to induce any other person or
        firm to submit or not to submit a bid for the purpose of restricting competition.

        Omission of any of the above forms may be cause for rejection of the bid.

        TAB 3: State of Wisconsin Terms and Conditions
        The State reserves the right to incorporate standard State contract provisions into any contract
        negotiated with any proposal submitted responding to this RFB (Standard Terms and Conditions,
        DOA-3054.) Failure of the successful proposer to accept these obligations in a contractual
        agreement may result in cancellation of the award.

        TAB 4: Special Terms and Conditions
        The prime contractor will be responsible for contract performance when subcontractors are used.
        However, when subcontractors are used, they must abide by all terms and conditions of the
        contract. If subcontractors are to be used, the proposer must clearly explain their participation.

        The State of Wisconsin is committed to the promotion of minority business in the state‟s
        purchasing program and a goal of placing 5% of its total purchasing dollars with certified minority
        businesses. Authority for this program is found in Wisconsin Statutes 15.107(2), 16.75(4), and
        16.75(5) and 560.036(2). DOA is committed to the promotion of minority business in the
        department‟s purchasing program.

        The State of Wisconsin‟s policy provides that minority owned business enterprises certified by the
        Wisconsin Department of Commerce, Bureau of Minority Development should have the maximum
        opportunity to participate in the performance of its contracts. The awarded vendor is strongly
        urged to use due diligence to further this policy by awarding subcontracts to minority owned
        business enterprises, or by using such enterprises to provide goods and services incidental to
        this requested service or contract, with a goal of awarding at least 5% of the award amount of this
        request for bid/proposal to such enterprises.

        TAB 5: Any additional vendor materials

MULTIPLE BIDS: Multiple bids from a vendor will be permissible; however each bid must conform fully
to the requirements for bid submission. Each such bid must be separately submitted and labeled as Bid
#1, Bid #2, etc. on each page included in the response. Alternate acquisition plans do not constitute
multiple bids.

INCURRING COSTS: The State of Wisconsin is not liable for any cost incurred by a vendor in the
process of responding to this RFB.

QUESTIONS: Any questions concerning this RFB must be submitted in writing on or before
November 1, 2007, 2:00 PM CT to Jan Zimmerman via e-mail: jan.zimmerman@wisconsin.gov.

Vendors are expected to raise any questions, exceptions, or additions they have concerning the RFB
document or the attached State of Wisconsin Contract at this point in the RFB process. If a vendor
discovers any significant ambiguity, error, conflict, discrepancy, omission, or other deficiency in this RFB,
the vendor should immediately notify CAPS person of such error and request modification or clarification
of the RFB document. Notification of errors or modification of the bid document will be done a minimum of
5 business days prior to the RFB due date. If a Bidder fails to notify the Purchasing Office of an error in
the RFB document which is known to the Bidder, or which must have reasonably been known to the
Bidder, then the Bidder shall submit a bid at the Bidder‟s risk and if awarded a contract, shall not be
entitled to additional compensation or time by reason of the error or its later correction.

In the event that it becomes necessary to provide additional clarifying data or information, or to revise any
part of this RFB, supplements or revisions will be posted on VendorNet.

From the date of release of this RFB, until an award letter is issued, all contacts regarding this RFB shall
be made through Jan Zimmerman. Violation of this condition may be considered sufficient cause for
rejection of a proposal, irrespective of any other considerations.
      Each bid shall stipulate that it is predicated upon the terms and conditions of this RFB and any
      supplements or revisions thereof.

      NEWS RELEASES: News releases pertaining to the RFB or to the acceptance, rejection, or evaluation
      of bids shall not be made without the prior written approval of the State.

3.0   BID ACCEPTANCE, EVALUATION AND AWARD:

      BID OPENING: Bids will be opened on the due date/time indicated in Section 2.0 (Calendar of Events) at
      the Department of Administration, 101 E. Wilson St, Madison, WI. Names of the bidders may be read
      aloud at that time. It is not mandatory to attend the bid opening.

      BID ACCEPTANCE: Bids which do not comply with instructions may be rejected by the State. Bids
      unable to comply with specifications contained in this RFB will be rejected by the State. Failure to meet a
      mandatory requirement of this RFB will disqualify your bid.

      The State may request reports on a vendor's financial stability and if financial stability is not substantiated
      may reject a vendor's bid. The State retains the right to accept or reject any or all bids, or accept or reject
      any part of a bid deemed to be in the best interest of the State. The State shall be the sole judge as to
      compliance with the instructions contained in this RFB.

      BID EVALUATION: Bids will be evaluated by the State to verify that the bid will meet all specified
      requirements in this RFB. This verification may include requesting reports on the vendor's financial
      stability, conducting demonstrations of the vendor's proposed products(s) and/or service(s), and
      reviewing results of past awards to the vendor by the State of Wisconsin.

      Bids from certified Minority Business Enterprises may be provided up to a five percent (5%) bid
      preference in accordance with Wis. Stats. s. 16.75(3m).

      Conditions of bid which include the word “must” or “shall” describe a mandatory requirement.
      Failure to meet a mandatory requirement will disqualify your bid. All specifications are defined as
      mandatory minimum requirements unless otherwise stated. If no bidder is able to comply with a given
      specification, condition of bid or provide a specific product on the Itemized Bid List, the State reserves the
      right to delete that specification, condition of bid or item.

      NOTIFICATION OF AWARD
      Any vendors who respond to this RFB with a bid will be notified in writing of the State's awarding of the
      contract(s) as a result of this RFB.

      After notification of an award is made, and under the supervision of agency staff, copies of bids will be
      available for public inspection 8:30 a.m. to 4:00 p.m. at Consolidated Agency Purchasing Services

      AFFIRMATIVE ACTION
      As a State agency, ECB requires contractors issued a purchase order exceeding $25,000 to provide an
      Affirmative Action Plan. Failure to comply appropriately with these requirements can lead to your
      company being banned from doing business with any agency of the State of Wisconsin. Additionally,
      failure to comply can result in termination of this contract or withholding of payment. Instructions on
      preparing the plan and technical assistance regarding this clause will be sent from the Department of
      Administration, CAPS after the award.

4.0   MANDATORY REQUIREMENTS:
      Bidder must note any exceptions to the specifications on Attachment A.
      Answers to the mandatory requirements must be made on Attachment B.
4.1 Technical Equipment System Requirements:
Specific equipment make and model are called out to demonstrate required functionality. Burden of proof
is with the Bidder if other makes and models are offered.

4.1.1 AM + HD Radio Broadcast Transmitter System
One (1) Solid state, modular AM and HD Radio broadcast transmitter.
        Must include the following details and features:
     Provide from 25 to 6,000 watts TPO with 145% positive peak modulation capability
     IBOC digital generator compliant with digital and hybrid analog/digital modes with audio input
        XLR connectors and PS/2 connectors for keyboard and mouse
     Dual exciters able to be set independently for monaural or HD Radio operation with automatic
        transfer in case of failure of the operating exciter
     Time alignment of the analog and HD Radio broadcasts and ability to be synchronized with a
        GPS clock reference

4.1.16 On-site Factory Visit (Option 1)
Provide cost to Owner for a site visit after installation as specified:
The complete Transmitter System (transmitter, exciter, signal generator, Exporter and Importer) shall
have configuration settings, software and hardware updates, certification, proof of performance testing,
tuning and mask compliance testing performed on-site by factory qualified service personnel after the
installation is complete. During this visit the factory technician shall also provide basic training on theory
and trouble shooting of the installed system to the Owner. Two (2) hard-copies of all test results shall be
delivered to the Owner. A CD copy of all test results shall be delivered to the Owner.

4.2 Quality Assurance
The Manufacturer(s) of the equipment requested in the Request for Bid shall specialize in the type, make
and model of equipment they propose with a minimum of 10 years documented experience in producing
and supplying the equipment and accessories similar to those specified in this document.

4.4 Shipping/Delivery Requirements
All shipping for freight delivery shall be arranged through the local Site Engineer with 48 hours prior to the
time that the equipment leaves the Contractor‟s premises. Early or “drop” shipments of equipment or
materials to the Owner‟s site that do not have prior coordination with the local Site Engineer shall not be
accepted and any resulting return, holding, or storage costs incurred until the Owner is able to accept
shipment shall be the responsibility of the Contractor.

All equipment, as specified in this Request for Bid, shall be shipped DESTINATION, FREIGHT PRE-PAID
INCLUDED (not billable to the Owner‟s site). The equipment and materials shall be considered in the
care and custody of the Contractor until inspected and accepted by the local Site Engineer.

Shippers, carriers, or other delivery operatives shall be considered agents of the Contractor and the
Contractor shall assume full liability for loss, damage, or theft of the equipment or materials during
shipment. Claims for loss, damage, or theft of any equipment or materials supplied by the Contractor
during shipment shall be made and satisfied by the Contractor.

The Contractor, through its designated shipper/carrier, shall be responsible for unloading and placement
of all equipment and materials at the Owner‟s delivery site and per the Owner‟s direction.

The Contractor shall provide a draft timetable for equipment and materials delivery. The timetable shall
define an estimated period of time from contract award date to successful system operation. Contractor
is responsible for providing this information to Owner within five (5) days following contract award.

Inside delivery to second floor is required. There are double outside doors on the second floor of the
transmitter room. There are no loading docks at the transmitter site. Lift gate truck delivery will be
necessary. Wisconsin county and/or town road weight restrictions may be in effect from late March
through April.

4.5 Duplicates and Over Shipments
Upon notification by the Owner, all duplicate shipments or over shipments must be removed at
Contractor‟s expense. If such goods are not removed within 30 days of written notification, the Owner
reserves the right to dispose of them as its own property and will not be held liable for the cost of either
the equipment or its disposal.

4.6 Material and Services Supplied by the Owner
No materials or services will be supplied by the Owner.

4.7 Installation of Equipment
Additional RF components determined by manufacturer will be installed by Owner in the WLBL AM ATU
facilities.

4.8 Manufacturer‟s Requirements
To be eligible for a contract award, bidders must verify that the equipment manufacturer is qualified and
able to provide the following or your bid may be disqualified. For each requirement provide a point by
point response. Responses must indicate that either the equipment manufacturer “does comply” or “does
not comply” with the requirement.
a. Owner shall be supplied 1 set of printed installation, operating and detailed service manuals per item
   listed on the following table. Manuals shall include installation instructions, set-up procedures and
   operating instructions. The detailed service manual shall include theory of operation, complete
   schematics, maintenance instructions and troubleshooting procedures. Multi-generation photo-copies
   or equivalent will not be acceptable. Each piece of equipment shall be supplied with a hard copy
   technical manual, refer to the following table for guidance on what is required.

     For example; if a quantity of two identical pieces of equipment is included, there shall be two hard
     copy technical manuals. Manuals shall also be provided on CD or DVD media.

b. The detailed service manuals shall also include parts lists that include the part number, circuit
   designator, description, and generic number wherever possible. The manuals shall include wiring
   diagrams with wire numbers and circuit schematics with component designators and values. All
   manuals and technical information shall be perfectly legible; multi-generation photo-copies (or
   equivalent) will not be acceptable.

c.   Critical Service bulletins for the equipment purchased shall be emailed to Owner. Non critical or
     informational type bulletins shall be available on the manufactures WEB site.

d. No cost software and firmware patches and fixes shall be provided to the Owner. Notifications of
   applicable updates shall be emailed to the Owner if they are of critical nature.

4.9 Equipment Proof of Performance and Testing
The complete Transmitter System (transmitter, exciter, signal generator) shall have configuration settings,
software and hardware updates, certification, proof of performance testing, tuning and mask compliance
testing performed at the factory, by factory qualified service personnel before the system is shipped to the
Owner. Manufacturer shall notify Owner of the date of factory testing of the system and permit the Owner
or the Owner‟s representative to witness the factory testing.
      Factory testing shall also include:
          Operate the complete system for at least 24 hours at fully-rated TPO
          Operate the complete system for at least 24 hours at Owner-specified TPO
          Interrupt AC power to the entire system while at Owner-specified TPO in analog + HD mode for
              one second at least three times, five seconds at least three times, ten seconds at least thee
              times, and 20 seconds at least three times. Document that the entire system returns to operation
              in the same mode(s) and power levels without operator intervention each time.

      The Contractor shall supply factory test data for all other (non-transmitter system) equipment and
      systems.

      4.10 Warranty
      Each piece of equipment is to be fully warranted against partial or complete failure for one (1) year,
      including 100% freight and labor on all claims.

      Start of Warranties: Manufacturer‟s warranty period shall commence at equipment delivery. A copy of
      the warranties (Hardware and Software) will be provided within seven (7) calendar days after equipment
      delivery for each site.

      The manufacturer shall warranty all included software and firmware during the warranty period. This shall
      include no-cost bug fixes, patches and version upgrades. Manufacturer shall provide the latest software
      releases at the time of delivery. There shall be no recurring costs for software or firmware licensing, bug
      fixes, patches, telephone tech support, and repairs for the duration of the warranty.

5.0   COST INFORMATION:
      Bidders must submit a completed Attachment A.

      All costs such as materials, delivery, training, and travel costs must be part of the final line item TOTAL
      provided. Specific equipment make and model are called out to demonstrate required functionality.
      Burden of proof is with the Bidder if other makes and models are offered. If bidding an „equivalent‟
      product, please list Make/Model within your bid response to Attachment A.

6.0   PAYMENT:
      10% upon Acceptance of Bid and Placement of Order
      80% upon Delivery (Drop shipments may be invoiced individually; however, in any case, the total
      amount invoiced shall not exceed 90% of the total contract)
      10% upon final acceptance by ECB project manager

      The State must meet a statutory mandate to pay or reject invoices within 30 days of receipt. Before
      payment is made, it also must verify that all invoiced charges are correct and financial conditions are in
      compliance with the contract and corresponding State purchase order. Only properly submitted invoices
      will be officially received for payment. Thus, prompt payment requires that invoices be clear, complete
      and in compliance with conditions of this Request for Bid and subsequent purchase orders.

      The Corporation for Public Broadcasting (CPB) requires a report listing the price of each item purchased.
      Therefore, an itemized invoice is required.

      ECB will pay invoices on a services rendered basis as phases of the project are delivered and/or
      completed. Each invoice shall be specific as to equipment or service provided. Payment for invoices that
      do not include detailed pricing information may be delayed until this information is received.

Wisconsin statutes (s. 16.73, Wis. Stats.) establish authority to allow Wisconsin municipalities to purchase from state contracts.
Participating in the service gives vendors opportunities for additional sales without additional bidding. Municipalities use the
service to expedite purchases. A "municipality" is defined as any county, city, village, town, school district, board of school
directors, sewer district, drainage district, vocational, technical and adult education district, or any other public body having the
authority to award public contracts (s. 16.70(8), Wis. Stats.). Federally recognized Indian tribes and bands in this state may
participate in cooperative purchasing with the state or any municipality under ss. 66.0301(1) and (2), Wis.Stats.
