To help PARTY A save in ocean/ air freight insurance, Party B recommends that Party A purchase
“extra” insurance in the specified destination country if needed or required by the bank if it is a
Letter of Credit transaction. This is because insurance directly purchase in the United States and
Europe is always much more expensive. Please note that the basic ocean/ air freight insurance is
covered in the freight charge already and no extra insurance needed to be purchased if the
payment method is done by T/T (direct international money wiring) or Paypal.

If Party A makes the payment with Letter of Credit (L/C), he or she should follow up the
requirements of the (L/C) banks of both parties signed in the contract. Based on the

   Car Craze North America International Inc. (CCNA Int’l Inc.) 

requirements, Party A should have the qualified insurance papers prepared for the bank’s review
so there would be no payment delay due to any insurance issue. If there is any delay resulting in
loss due to the delay on Party A’s side, Party A would be hold responsible for Party B’s loss in any
form. If Party A does need extra insurance and have no place to get it, Party B can help purchase
the extra insurance at Party A’s request.

Fees and Interest due to Letter of Credit transaction: N/A in T/T transaction.


Payment Methods & other related Issues:

    1. T/T (Tele-transfer/ International Direct Wiring)

        Please refer to other Official documents forwarded to your directly from the
        Account Payable department of CCNA International Inc.

    2. L/C (Letter of Credit)

        Letter of Credit for the transaction mentioned in this contract should be
        irrevocable and issued only by the bank approved to do the job with solid
        paying capability by Party B’s L/C Bank. CCNA International Inc. also reserves
        the right to reject L/C payment that is considered not secured enough to
        guarantee the payment or anything that potentially prevents a smooth,
        secured transaction from being capable of proceeding or the rights of either of
        both parties on the contract cannot be fully protected. The L/C amount should
        usually be the “Grand Total Amount” stated in this contract without insurance
        charge included.

        A. Time Frame for FOB, Letter of Credit L/C only:

        Delivered to the forwarder’s warehouse before the end of the 21st business
        day after L/C accepted by Party’s bank

        B. Letter of Credit Account Payable Info:

        Please refer to other Official documents forwarded to your directly from the
        Account Payable department of CCNA International Inc.

        C.Documents Presented for L/C payment:

        Party B should prepare the Bill of Lading in which loading date and vessel
        number are included, the sales contract in which quantity and price are
        included and the invoice to Party A in the form of e-mail attachment, FAX or
        original copy with company seal on it. All documents should then be
        immediately forwarded to Party A’s bank that might need those papers for all
        needed preparation before the shipment arrives.

    3. Credit Card (Visa/ Master Card or PAYPAL)

        Party A should in advance obtain the acknowledgement from Party B before
        the contract is signed if a credit card payment method would be used to
        complete the transaction involved in this contract. There would be extra fees

       applied as credit card companies does charge transaction fee for the
       convenience. Party B will cover it up by adding the fee, usually no more than
       2%, upon the previous quotes and charge the new total amount with Party A’s
       credit card.


Common Time Table involved in this contract:

   A. International (Global) Auto Search and Locating Service: (non-L/C transaction)

   1) Party A contacts Party B spontaneously in the forms of phone calls, e-mail, FAX, or our
      online service request form etc. for help. With the related info specified like Make, Year,
      Mileage, Category, Color preference, Options or anything that intend to narrow down the
      candidate selection in auto wholesale database. Party B would then review the submitted
      case, discuss with Party A and decide if the auto purchase request would be accepted.
   2) Party B then, if decides to accept the Party A’s auto purchase request, will start to check
      the company auto wholesale database network that is only shared among the biggest
      U.S. auto wholesalers and is not open to general end-user car buyers. Party B will be
      picking up candidates in the company’s database that it has at all time more than 1
      million cars currently for sale across the country of the United States as candidates that
      meet Party A’s preference. Party B will also use direct contact with friend wholesalers to
      locate the final qualified candidates to make this vehicle locating more efficient as to
      have a shorter turn-around time.
   3) Because there are so many potential buyers from all around the world, Party B
      sometimes runs short on the sales capability while taking care of all of them at the same
      time in some hot sale seasons. Party B is not willing to but have to evaluate customers’
      seriousness and focus its limited sales labor on those who are more seriously interested
      or more ready to place a purchase order anytime than other potential clients at the
      moment. Party B respects and appreciate all potential clients, treating everyone equally
      and will give out its service to the maximum stretch to help. Therefore, after a few
      formal company solid replies with auto purchase candidates that meet Party A’s
      preference have been delivered, Party B would ask Party A to show his or her serious
      intention by placing a deposit before both parties proceed to the next step.
   4) Sometimes not only the labor issue but also to launch a thorough domestic or global auto
      locating service for the interested vehicle(s) would cost money, Party B cannot just go
      ahead and launch the service alone without further commitment from Party A to be
      shown.
   5) The deposit left will be applied to the remaining balance of the purchase price if
      eventually Party A does purchase the vehicle and both parties signed a solid contract to
      have a deal. Therefore nothing will be lost by leaving a deposit if Party A really wants to
      do business with Party B. That is also why a deposit here would be considered as Party
      A’s intention of seriousness so Party B will not waste time, sales labor and business
      resources on a business deal that might not close at all. Party B also takes the deposit
      issue as a filter to drop those that are still hesitate to make a decision at the moment
      and would be able to move the occupied sales force to other potential clients. Party B
      hereby appreciate the understandings of Party A and other potential clients that are less
      ready when inquiring.
   6) If the deal cannot be close due to Party A’s reasons such as change of mind, sudden
      withdraw or insufficient fund etc., Party B will have all the rights to keep the deposit for
      all the efforts and time spent in assisting Party A with possible export candidates.
   7) While communicating back and forth with the vehicle(s) owning wholesalers, Party B
      would provide all available info of the vehicle(s) listed in the database like pictures,
      options, mileage and true condition etc. And only the listed info will be provided to Party

         A for purchase review. Party B will not and cannot ask vehicle(s) wholesale owners to
         provide more info. Party B would collect all available info of selected vehicle(s) and
         forward it to Party A within the next 72 business hours after receiving signed contract
         from Party A. Party A should base on the forwarded info to decide if the vehicle(s) is a
         keep or pass.
   8)    Party A has 48 hours to review the info forwarded. Please respond the Party B with your
         decision within the review period so there would be no delay in the whole auto purchase
         process. And Party A can feel free to ask questions regarding to the info forwarded.
   9)    If Party A endorses the selected candidate(s) to purchase, SELLER would immediately
         forward the deposit placed to hold the candidates and prepared the sales contract with
         confirmed vehicle ID number listed in the prepared contract for both parties to sign. It
         will be sent to Party A via e-mail attachment, FAX or original copy with company seal on
         it via FEDEX or UPS depending on Party B’s selection.
   10)   Upon receiving it, Party A is should read, sign and date the contract then return the
         signed copy back to Party B within 48 hours in the same delivery way. Contract will be
         legally effective immediately upon Party B’s reception of the returned copy. Both parties
         would then follow what is stated in the contract to finish the auto purchase process. If
         Party A has not been asked by Party B to place the deposit at this moment. Please
         immediately wire the deposit while returning the copy of the signed and dated contract
         to prevent any possible delay or the candidate(s) may be purchased before Party B has a
         chance to hold the car. Please note that Party B will hold the candidate car ONLY AFTER
         receiving Party A’s required database.
   11)   Within the 72 hours after receiving the signed and dated contract, Party A will be
         informed to be ready to pay off the balance in the export country by wiring the
         remaining CIF balance via T/T (tele-transfer or directly international wiring) or PAYPAL
         (the most secured online payment method as widely used and known on eBay) within
         the next 72 hours unless otherwise stated and agreed by Party B. Upon receiving the CIF
         pay-off fund from BUYER, SELLER will issue a copy of company invoice for Party A to
         keep. The CIF quote has ocean/ air freight charge and basic insurance covered but no
         extra ocean/ air freight insurance purchased as sometimes required by some L/C banks.
   12)   Upon receiving Party A’s CIF pay-off balance, Party B should, within 5 ~ 7 business days,
         purchase the specific vehicle(s) from the wholesaler that owns it. In the meanwhile,
         Party B would start processing all documents that need to be submitted to the custom
         and DMV for export approval and arrange truck schedule if domestic transportation
         would be needed to transport the vehicle(s) from where it is currently located to the
         nearest possible port or airport available to Party B’s forwarder for export loading. It
         would take up to 7 ~ 10 business days extra before the forwarder receives the vehicle(s)
         at the warehouse in the United States of continental Europe. Party B agrees if Party A
         prefers to use his or her own forwarder for ocean/ air shipping but Party B should be
         informed before the contract is signed so Party B won’t lose the deposit with forwarder
         by arranging all shipping issues in advance.
   13)   Within 72 hours upon receiving the car at the warehouse, the forwarder will locate
         vehicle(s) in the container, delivered the vehicle(s) to the port or airport of departure. In
         the meanwhile, all export papers would be ready and received with approval stamps on
         them for export.
   14)   The time for a container vessel to reach the shore of Party A’s destination country varies.
         For example, outgoing vessels departing from the west coast state California of the
         United States takes about 18 days to reach the shore of China, Taiwan, or Korea; 24
         days to reach countries like Malaysia, Thailand, Singapore or India; and about 30 days to
         reach the Middle East. As for outgoing air shipment, mostly takes about 24 hours to
         reach the destination country on the scheduled departure shipment day.
   15)   As for custom clearing in the destination country, it usually takes about 5 ~ 7 business
         days to get the vehicle(s) out of the custom. You are encouraged to use your own local

         custom broker to do the job. Or the local reference of custom brokers can be provided
         only if Party B is previously notified that the info would be needed by Party A. A local
         custom broker in Party A’s destination country is not part of Party B business but plays as
         a 3rd party company in the destination country providing the specified services. Party B
         will not in any way endorse the service provided by the 3rd party company. Party B will
         do the referring job based on previous customer’s feedbacks and experiences.
   16)   All FOB or CIF clients will be notified to be ready to pick up the vehicle(s) while the
         custom clearing job is in process. Party A should be ready to pay for all the custom
         clearing related fees upfront once they are listed such as the final tariff cost, custom fees,
         and the custom broker fee etc. to the custom broker directly or otherwise indicated.
   17)   As for legalization in the destination country, Party A has the full rights to choose his or
         her own legalization institution to do it. Party B, like the custom clearing issue, should be
         notified before the contract is signed if Party A has his or her own professionals to do the
         legalization job.
   18)   To find out about the procedures of custom clearing and legalization jobs beyond the
         shore of the destination country, please check Part C for more details.
   19)   During the whole process, both parties please understand time issue is very essential in
         this contract so please reply promptly without any delay that might cost loss in any form.
         Loss can be hold legally responsible on the party that causes it.
   20)   Sometimes after Party A shows the sincerity and seriousness about making a purchase
         by leaving a deposit, Party B does do the best to locate candidates for Party A to choose
         from. But because Party B is at the wholesale level in auto export business in the United
         States, vehicles(s) in the database as it is shared among the biggest auto wholesalers
         across the country in the United States move so fast that Party B does not even have a
         chance to leave the received deposit to place an hold before the vehicle(s) is gone. If
         that is the case, Party B will select another vehicle(s) as a replacement that also meets
         the requirements for Party A to take it before we proceed further. Party B would be sorry
         and hate to see the vehicle(s) gone as it means that all the works and efforts been put
         through with Party A in candidate search would be in vain and Party B just has to go
         ahead do the same search all over again. But scenarios like this do happen. If it has been
         more than 90 days and Party B is still not able to come up with the similar replacement
         to the original selected vehicle(s), Party B will then, return the original deposit to Party A
         in full except only paid irrevocable expenses during the process.
   21)   During the whole process of auto purchase involved in this contract, if for any reason due
         to Party A’s issue like change of mind, failing to meet the deadlines of payments, or
         insufficient fund etc. to keep the purchase process from being finished smoothly. Party B
         has all the right to keep the deposit, canceling the deal and close the case.
   22)   Party B guarantees that the vehicle(s) delivered to Party A will be the same as the
         vehicle(s) in the info provided to Party A at the time of candidate search period that
         meets Party A’s interests and preferences.
   23)   This contract is to protect both parties to the full stretch of the rights and obligations. It
         is also valid for legal issue against either party in both export and import countries if
         dispute occurs although disputes are always encourage to be settled down in way of
         discussion between both parties.
   24)   During the whole auto purchase process, everything should go according to what states
         in this sales contract. Both parties should sincerely do their best to keep the deal goes
         smoothly to the end in order to have a pleasant experience as well as a win-win potential
         future business relationship in the long run.


   B. Foreign Auction Assisting Package Service/ Domestic Transportation &
      International Shipping Services

   1) Party A should contact Party B spontaneously in the form of phone calls, e-mails, FAX or
       our online service request form to ask Party B to step in and help Party A to purchase
       auction vehicle(s) for export purposes. Party B would review the case and determine the
       intention to help or refuse the request.
   2) If Party B accepts the request from Party A, the procedures would go as follows.
   3) Party B can help Party A purchases auction vehicle(s) with the following services:
            a. Arrange transportation for vehicle(s) pick up.
            b. Send a professional technician for a thorough auto exam (extra charge applied).
            c. Prepared all needed documents for export purposes required by the custom,
                DMV (department of Motor Vehicles) and other institutions in the departure
                country.
   4) Party B CANNOT help Party A with the following services:
            a. Verify the auction’s real existence.
            b. Receive the fund from Party A then transfer it to auction vehicle(s) seller. Party A
                should be directly responsible with the funds and wire it at Party A’s own risk.
            c. Endorse the quality, history or anything stated by the seller of the auction
                vehicle(s).
   5) Auction is a time matter business transaction and Party A should be aware and follow up
       all Party B’s instructions by reacting promptly to make the whole process proceed
       smoothly and efficiently. If there is any delay in failing to meet the auction payment
       deadline due to Party A’s issue, Party A should be responsible for any possible loss of
       both parties in any form.
   6) Upon receiving the copy of this contract prepared by Party B in the form of e-mail
       attachment, FAX or the original copy with company seal on it, Party A should read, sign,
       date and return the signed and dated copy of the contract in the same previously
       delivered form to Party B within 48 hours.
   7) In addition to 6, Party A should wire or transfer the service charge via one of the
       accepted payment method to Party B to put the request through. The contract will be
       immediately legally valid after Party B receiving the returned signed copy from Party A.
       The rest of the whole auction assisting service process will then go as stated in this
       contract.
   8) Party B charges $1,800 USD for this package service and should be collected upfront
       before service is granted.
   9) Please note that at least 5 business days would be needed for Party B to send a licensed
       technician to check out the specified auction vehicle(s) at the request of Party A. Please
       note that the pre-purchase auto check payment should be received along with Party B’s
       service charge before Party B schedules the pre-purchase auto check.
   10) Once the auto auction ends and Party A does become the highest bidder or auction seller
       has promised to sell the vehicle(s) to Party A after a deal negotiation plus Party A is
       satisfied with the vehicle exam report and decide to make the purchase, fees of domestic
       truck transportation, ocean/ air freight charge and other needed fees required to export
       the specified vehicle(s) out of its home country would be collected to proceed to the next
       step which is to schedule truck service for domestic transportation if needed.
   11) After truck transport service has been scheduled, the average waiting time for an
       available truck to stop by and pick up vehicle(s) up could take all the way up from 5 to
       15 days depending on the location of the vehicle(s). There is similar waiting period in
       both U.S.A. and Europe. Once the truck picks up the vehicle(s), it will take about 5 ~ 10
       days to delivered the vehicle to the port or airport ready for export.
   12) If Party A intends to have no delay from domestic transportation, Please provide all
       needed documents to the specified forwarder and make the payment of domestic
       transportation and ocean/ air freight charge at the same time when wiring Party B’s
       service charge.

   13) The time for a container vessel to reach the shore of Party A’s destination country varies.
       For example, outgoing vessels departing from the west coast state California of the
       United States takes about 18 days to reach the shore of China, Taiwan, or Korea; 24
       days to reach countries like Malaysia, Thailand, Singapore or India; and about 30 days to
       reach the Middle East. As for outgoing air shipment, mostly takes about 24 hours to
       reach the destination country on the scheduled departure shipment day.
   14) Local custom clearing and legalization are at Party A’s side to determine how to do it.
       They are all outside this package service provided by Party B.
   15) If the services of custom clearing and legalization are needed, please notify Party B
       before the time the service contract is signed. After that, Party B might not be able to
       help and has all the rights to refuse giving assistance on the issues. Party A can check
       out what stated in Part C for more details about custom clearing and legalization services
       provided by Party B.
   16) Party A, please DO NOT in any possible way delay the process of Party B’s intention to
       help Party A bring the auction vehicle(s) to the destination country. Any loss due to the
       faults from Party A’s side, Party B will not be able to cover it and will hold Party A
       responsible for compensation of the loss if there is any.
   17) During the auction assisting package service period involved in this contract, if for any
       reason due to Party A’s issue like change of mind, failing to follow up auction payment
       deadlines or insufficient fund etc. to keep the whole process from being finished
       smoothly. Party B has all the rights to keep the service charge, canceling the deal and
       close the case. Only the unpaid fees will be refunded to Party A.
   18) During the auction assisting package service process, everything should go according to
       what states in this sales contract. Both parties should sincerely do their best to keep the
       deal goes smoothly to the end in order to have a pleasant experience as well as a win-
       win potential future business relationship in the long run.


   C. Global Auto Delivery/ Custom Clearing/ Legalization Service

   1) Party A should contact Party B spontaneously in the form of phone calls, e-mails, FAX or
      our online service request form to ask Party B to step in and help Party A with global
      auto custom clearing or legalization service in the destination country. Party B would
      review the case and determine the intention to help or refuse the request.
   2) Party B CANNOT help if the vehicle(s) that needs the services has already left the export
      country before Party B accepts the request.
   3) If Party B accepts the request from Party A, the procedures would go as follows.
   4) Party A should as soon as possible provide the Year, Make, Model, Mileage, Options,
      Pictures, and KBB values of the vehicle(s) if available. Party B needs the information
      stated to evaluate fees, possible scenario Party A might encounter in auto custom
      clearing, legalization and tariff estimate in the destination country.
   5) Upon receiving the copy of this contract prepared by Party B in the form of e-mail
      attachment, FAX or the original copy with company seal on it, Party A should read, sign,
      date and return the signed and dated copy of the contract in the same previously
      delivered form to Party B within 48 hours.
   6) In addition to 4, Party A should wire or transfer the service charge via one of the
      accepted payment method to Party B to put the request through. The contract will be
      immediately legally valid after Party B receiving the returned signed copy from Party A.
      The rest of the whole global auto custom clearing and legalization service process will
      then go as stated in this contract.
   7) Party B charges $1,800 USD for this package service and should be collected upfront
      before service is granted.

   8) For domestic transportation and international shipping services, please refer to Service B
       for more details if needed.
   9) The time frame for auto custom clearing and legalization job to be done vary from
       country to country. Most countries takes no more than 2 weeks to clear the custom but
       as for legalization issue, some countries would take up to 2 ~ 3 months to finish it.
   10) Please note that custom tariff cost in the destination country can ONLY be estimated
       according to the tariff law of the import country. Party B cannot guarantee that the final
       tariff cost would be exactly the same as what has been estimated in the beginning. This
       is a common sense in parallel auto import around the world in the industry. By signing
       the contract, Party A understand the common issue occurs in some high tariff countries
       when it comes to auto import on an agreement basis and will not hold Party B
       responsible for extra tariff cost paid if there is any.
   11) The institutions that are in charge of and responsible with the global auto delivery,
       custom clearing and legalization job of the vehicle(s) are all 3rd-party companies of
       forwarders in the export country, custom brokers and auto legalization companies in the
       destination import country. Party B. does not own, manage or run in any way that
       involves with those companies providing services in this contract. Those 3rd-party
       companies are fully independent from the business entity of Party B. The only reason
       that those companies are referred to Party A is based on the satisfied experiences and
       positive feedbacks of previous clients of Party B.
   12) All charges and fees for auto custom clearing and legalization services beyond the shore
       of the destination country are charged solely by the referred local custom brokers and
       auto legalization institutions. There are no commissions, rebates, or profit of any kind
       that might benefit Party B. Party B cannot guarantee or endorse the performance of their
       jobs under any circumstance.
   13) Party A, please DO NOT in any possible way delay the process of Party B’s intention to
       help Party A take care of the global auto delivery, custom clearing or legalization of the
       vehicle(s) in the destination country. Any loss due to the faults from Party A’s side, Party
       B will not be able to cover it and will hold Party A responsible for compensation of the
       loss if there is any.
   14) During the package service period involved in this contract, if for any reason due to Party
       A’s issue like change of mind, failing to follow up payment deadlines or insufficient fund
       etc. to keep the whole process from being finished smoothly. Party B has all the rights to
       keep the service charge, canceling the deal and close the case. Only the unpaid fees will
       be refunded to Party A.
   15) During the package service process, everything should go according to what states in
       this sales contract. Both parties should sincerely do their best to keep the deal goes
       smoothly to the end in order to have a pleasant experience as well as a win-win potential
       future business relationship in the long run.


Other Issues related:

       A. Shipping Declaration of Hazard Goods

           For any goods involved in this contract that might potentially be combustible,
           poisonous or in any way might be harmful to environment, human or legally
           restrictedly to be imported to the destination country, Party A has the legal obligation
           to spontaneously declare it to Party B as Hazard goods for safety reason. If Party A
           fails to do so and causes issues of any legal violation or charge against either party in
           the contract, Party A will be hold solely legally responsible for failing to file the
           declaration and acknowledge that Party B does not know anything about there are
           hazard goods involved for shipping without the declaration.

       B. Personal Belongings not listed on Bill of Lading:

          Only the vehicle(s) in the contract are allowed to be shipped and no personal
          belongings should be left inside the vehicle(s). Personal belongings in the vehicle(s)
          not listed on the Bill of Lading will be shipped under Party A’s own risk in any case of
          loss, damage or any violation against the law of both export and import countries.

       C. Natural or Irresistible Factors:

          If there is any delay due to commonly recognized natural or Irresistible reasons such
          as storm, war, or transportation failure etc. that prevent the deal from meeting the
          time schedule mentioned in this contract, or further more from being successfully
          accomplished, Party A agrees that Party B will not be hold legally responsible for any
          loss in any form of both parties. However, Party B shall notify Party A immediately in
          the beginning of the situation to help Party A eliminate any possible further loss from
          happening.
