Rivera, Sr. Associate General Counsel – Outside Counsel Management Moratorium on Across-the-Board Law Firm Rate Increases November 1, 2007 Re: Date: Starting salaries for junior associates in large and boutique law firms have increased dramatically over the last few years. As some of you may know, the fierce competition for top law school graduates recently pushed first-year associate salaries in some New York City firms to more than $160,000 per year. We have recently learned that this new salary benchmark for inexperienced New York City lawyers is now being used to establish first-year associate salaries in a number of other metro areas. Not surprisingly, the recent increases in first-year associate salaries have often been accompanied by corresponding increases in associate salaries for second-year associates, third-year associates, and so on. The salaries that law firms choose to pay their junior associates are none of our concern. We have every reason to be concerned, however, about the impact of salary hikes on law firm billing rates. Based on the size and frequency of the rate increase requests that we have seen over the past three years, it appears that many of the requested increases are largely attributable to the steady, nationwide increase in junior associate salaries. In turn, it appears that the steady climb in first-year associate salaries – and the effect those annual adjustments have on salaries for more senior associates – may also be contributing to the push in larger markets for partners to break what’s been described as the “$1,000 per hour barrier.”1 1 Wall Street Journal, August 22, 2007, p. B1. The Journal reports that some lawyers have been reluctant to move their rates across this symbolic line out of concern that $1,000 per hour may be the “vomit point for clients." However, the Journal also noted that law firms “derive comfort from running with the pack” and that a trend toward even higher rates may develop once a “critical mass develops around fees of $1,000 an hour.” Id. In an effort to address some of our concerns about hourly rates for legal services, we are today announcing a moratorium on across-the-board rate increases. Until further notice, we will only consider reasonable, individual requests for rate increases for those attorneys in your firm who are performing at an exceptional level and whose experience and knowledge is adding substantial value toward meeting Wal-Mart’s legal objectives. All requests for such individual rate increases must be submitted to my attention on or before December 15, 2007, and should include demonstrable evidence that addresses the criteria described above. We are currently evaluating various means for controlling rates for services provided by junior associates. We would appreciate your suggestions on this topic before we make any final decisions. Whether or not you wish to provide feedback on this topic, we request that your firm provide us with certain data on associate billing rates. Beginning with the class of 2004 and continuing through the class of 2007, please provide us with a spreadsheet showing the hourly rates you charged Wal-Mart for legal work performed by members of each class of associates. For each class year, please include the name of the billing associate, the office location, the subject matter of the engagement, the hourly rate charged to Wal-Mart for the associate’s work, and the number of hours billed to Wal-Mart at that rate for each calendar year. Please provide this information to me via e-mail by the close of business on November 30, 2007. If you have an objection to providing the requested information or need additional time to respond to this request, please send me an e-mail not later than November 12, 2007, describing the specific reasons for your objection or request for an extension of time. If you request an extension of time, your e-mail should also describe the steps your firm is taking to gather and provide the requested information in a timely fashion as well as a commitment to provide the information on a date certain.
