GENERAL INFORMATION

1.1 VRRRM Program Summary

The Foundation for California Community Colleges (“Foundation”) has received a grant to operate a vehicle
emissions reduction program entitled, “Vehicle Repair, Retirement, and Replacement for Motorists” (“VRRRM
Program”), that is designed to repair, retire and/or replace high-emitting vehicles to improve air quality and/or
provide a fuel efficiency benefit for California motorists.

Incorporated in 1998 as a 501(c)(3) tax-exempt nonprofit corporation, the Foundation is the official foundation
for the California Community College system. The Foundation’s clean air programs support and enhance
California Community College programs related to automotive smog check technologies and associated technical
training.

The VRRRM Program is made possible by a grant from the Reformulated Gasoline Settlement Fund (“RFG
Settlement Fund”). Created as a result of an antitrust class action, the purpose of the Fund is to achieve a clean air
or fuel efficiency benefit for California consumers.

Depending on various factors including consumer demand, the VRRRM Program is expected to extend until
February 28, 2013, or until grant funds run out, whichever comes first.

Four unique components make up the VRRRM Program. Three program components are approved for
implementation:

    a. VRRRM for CAP: A statewide assistance program that supplements the Bureau of Automotive Repair’s
       (BAR) Consumer Assistance Program (CAP) providing up to an additional $800 to repair high-emitting
       vehicles for which a Repair Cost Waiver would have been requested.

    b.   VRRRM for PASS: An initiative to add a vehicle repair component to the retirement and replacement
         incentive program known as Polluting Automobile Scrap and Salvage (PASS) in the San Joaquin Valley
         Unified Air Pollution Control District (SJVUAPCD) providing up to $800 to repair high-emitting
         vehicles.
    c. VRRRM Replacement Incentive: A funding mechanism designed to work in tandem with the California
       Air Resources Board (CARB) AB 118 Enhanced Fleet Modernization Program (EFMP) by offering a
       replacement incentive at certain locations throughout the state to stimulate the purchase of newer, more
       energy-efficient replacement vehicles.
A fourth component focusing on the South Coast Air Quality Management District (SCAQMD) is awaiting
further refinement and approval.
This VRRRM Gold Shield Operations Manual (“VRRRM GS Manual”) describes the VRRRM Program procedures
which the VRRRM eligible, licensed, certified Gold Shield Station (“Gold Shield Station”) must follow in order
to provide baseline smog tests, diagnosis, emission-related repair services, and/or after-repairs smog tests
(“VRRRM Services”) in order to comply with the VRRRM Master Gold Shield Agreement between Foundation
and Gold Shield Station (“VRRRM Master GS Agreement”). The VRRRM Master GS Agreement is hereby
incorporated by reference and made available to Gold Shield Station via the VRRRM website, www.VRRRM.org.
Foundation retains, in its sole discretion, the right to modify, revise and/or otherwise update this VRRRM GS
Manual, all eligibility criteria, and any other policy or procedure as Foundation deems necessary in order to
accomplish meaningful vehicle emissions reductions, to comply with the terms of the RFG Settlement Fund or for
any other reasons determined in Foundation’s sole discretion.

Laws and Regulations pertaining to automotive repair dealers, licensed Smog Check Stations, and Licensed Smog
Check Technicians may be referenced in this manual. These laws or Regulations are typically expressed in the
following manner: Business & Professions Code (“B&P”); Health & Safety Code (“H&S”); California Code of
Regulations (“CCR”).

1.2 VRRRM Program Hours of Operation and Contact Information

        VRRRM Program Website

         www.VRRRM.org contains important useful information regarding VRRRM Program rules and
        operating procedures. Gold Shield Station is required to visit www.VRRRM.org regularly to ensure that
        it reviews and makes available to its personnel the most recent information related to the VRRRM
        Program.

        but not limited to consumer applications, repair orders, repair authorizations, invoices, required
        supporting documentation, etc.

        The Program Call Center operates Monday through Friday from 8:00 a.m. to 5:00 p.m., excluding
        holidays. Consumers must contact the Program Call Center to determine eligibility and complete a
        VRRRM Program consumer application.

VRRRM Program Operations Personnel are responsible for overseeing all operational aspects of the VRRRM
Program. Questions regarding VRRRM Program operations, including questions regarding the VRRRM Master
GS Agreement and the VRRRM GS Manual, should be directed to the website at www.VRRRM.org or to
VRRRM Program Operations Personnel via e-mail at VRRRM@foundationccc.org. VRRRM Program
Operations Personnel may be reached Monday through Friday from 8:00 a.m. to 5:00 p.m., excluding holidays.
VRRRM Settlement Advisors (“Settlement Advisors”) are responsible for reviewing and pre-authorizing all
repair orders, and approving all invoices and payments for VRRRM Services rendered.

GOLD SHIELD STATION RESPONSIBILITIES

2.1 Gold Shield Station Responsibilities

The parties acknowledge that Gold Shield Station must, as material terms of the Agreement between Foundation
and Gold Shield Station, comply with all “Gold Shield Station Responsibilities” as fully described in VRRRM
Master GS Agreement, Section 5 “Gold Shield Station Responsibilities”.

GOLD SHIELD STATION OPERATIONS

3.1 Gold Shield Station Hours of Operation

Gold Shield Station shall offer VRRRM Services during all normal business hours.


3.2 Gold Shield Station Equipment and Automotive Industry Repair Guide Resource Materials

Gold Shield Station must have on-site and maintain in good working order:
   a. smog check and repair related equipment necessary to inspect, test, and repair vehicles consistent with the
       terms of this VRRRM GS Manual and applicable laws and regulations,
   b. current, nationally recognized labor estimated guides for automotive repair such as the Mitchell
       Professional Estimating and Repair Information guide,
   c. photocopy machine capable of producing photocopies of all VRRRM Program required documents,
   d. facsimile machine (fax) with a dedicated telephone line capable of sending and receiving all VRRRM
       Program required documents, and
   e. internet access capable of accessing www.VRRRM.org for important program information and updates.

The fax machine must have the following items accurately set and kept current:
   a. date,
   b. time,
   c. Gold Shield Station fax number,
   d. Gold Shield Station name,
   e. auto answering feature, set to answer on three rings or less,
   f. sufficient memory to allow reliable simultaneous fax transmissions and fax receipts, and
   g. ability to confirm fax transmission using automatic activity and confirmation reports.

Gold Shield Station should pre-program the VRRRM Program Fax Server number, 1 (877) 487-9559, and use the
“speed dial” function for faster dialing and to reduce the risk of contacting the incorrect number.


3.3 Smog Check Inspections

Gold Shield Station personnel shall perform a baseline smog test and/or after-repairs test in a manner consistent
with all laws and regulations that govern the operation of registered Automotive Repair Dealers (ARDs) and
licensed Smog Check stations. Accurate, reliable testing is essential to maintaining the quality and integrity of the
VRRRM Program. Inaccurate or fraudulent testing is grounds for termination of VRRRM Master GS Agreement.


3.4 Aborting a Test

Stations shall not abort any test sequence unless it is based on abort reason criteria as defined in Section 1.2.3 of
the California BAR Smog Check Inspection Procedures Manual (dated August 2009). Stations shall not abort a
test to circumvent a transmission of test results to the Vehicle Information Database (VID). Stations shall advise
the Settlement Advisor of the reason for an aborted test on the Vehicle Inspection Report (“VIR”).

3.5 Repair Data Entry

All VRRRM emissions-related repairs must be entered into the Emissions Inspection System (EIS). Accurate
repair data provides a valuable source of information that VRRRM uses for program evaluation. Failure to
accurately and properly enter repair data may result in disqualification from participation in the VRRRM
Program.


3.6 Smog Test Entry Errors

 If the smog technician makes a bona fide error when entering data into the EIS, (i.e., “tampered” instead of
“defective,”) another test, at no cost to VRRRM or the consumer, must be performed to accurately reflect the
vehicle information and test results.

If the data entry error results in the vehicle receiving a Certificate of Compliance, VRRRM will be unable
to pay for any repairs performed after the certification.


3.7 Sublet Repairs

No service shall be performed by someone other than the Gold Shield Station or its employees without consent of
the consumer. All current laws regulating the sublet of vehicles shall be followed (B & P §9884.7(a) (9) &
9884.9(b); CCR §3340.15 (i)).


3.8 Maintenance of Records

Gold Shield Station shall maintain and allow access to programmatic and financial records pertaining to the
VRRRM Program in a manner consistent with the requirements set forth in the VRRRM Master GS Agreement,
Section 7, “Records and Audits.” Following the Three Year Retention Period (as defined in the VRRRM Master
GS Agreement) when records are disposed of, it must be in a manner in which all information in the records is
destroyed, such as by shredding. The California Civil Code, section 1798.81 requires that records containing
consumer information be destroyed or modified to make them unreadable when discarded. Stations shall not
photocopy or retain copies of the VRRRM consumer’s photo identification.


3.9 False Records

California Code of Regulations section 3373 states: “No automotive repair dealer or individual in charge shall, in
filling out an estimate, invoice, or work order, or record required to be maintained by section 3340.15 (f) of the
CCR, withhold therefrom or insert therein any statement or information which will cause any such document to
be false or misleading, or whereby the tendency or effect thereby would be to mislead or deceive consumers,
prospective consumers, or the public.” Failure to adhere to this regulation is grounds for termination of VRRRM
Master GS Agreement.

VRRRM REPAIR PROCESS

4.1 Gold Shield Station Eligibility

Gold Shield Station may not perform any VRRRM Services until the Foundation authorizes Gold Shield Station
as a “VRRRM Eligible Gold Shield Station,” in writing. In order to become a “VRRRM Eligible Gold Shield
Station,” Gold Shield Station must complete, sign, date and return the VRRRM Master GS Agreement; obtain and
submit the required certificates of insurance; and receive written authorization from Foundation that it has met all
eligibility requirements to become a VRRRM Eligible Gold Shield Station. Once all eligibility requirements are
met, as determined by Foundation in its sole discretion, authorization will be acknowledged in writing by
Foundation as part of a “Welcome Packet” sent to Gold Shield Station.

4.2 Consumer Eligibility

Complete consumer eligibility guidelines may be found at www.VRRRM.org. Consumers (vehicle owners) must
visit www.VRRRM.org or call the Program Call Center (1-800-622-7733) to determine their eligibility and
complete a required consumer application (“VRRRM Repair Program Consumer Application”).

All VRRRM Repair Program Consumer Applications must be signed by the consumer and reviewed and verified
for accuracy by Gold Shield Station.

If the consumer (vehicle owner) arrives at Gold Shield Station with a completed and signed VRRRM Repair
Program Consumer Application, the Gold Shield Station must validate the information on the consumer
application (reference 4.3, Validate Consumer Application, below).

If the consumer (vehicle owner) indicates that he or she has completed a VRRRM Repair Program Consumer
Application over the phone, but has not received a printed copy, the Gold Shield Station should call the Program
Call Center (1-800-622-7733) and request a fax copy of the consumer application be sent to Gold Shield Station
for validation and consumer signature.

If the consumer (vehicle owner) indicates that he or she has not completed a VRRRM Repair Program Consumer
Application, but Gold Shield Station believes the vehicle owner may be eligible for participation in the VRRRM
Program, Gold Shield Station should refer the vehicle owner to www.VRRRM.org or the Program Call Center (1-
800-622-7733) to determine eligibility and complete a consumer application.

VRRRM Services must not be initiated or completed until the consumer has followed the above process.


4.3 Validation of Consumer Application

Gold Shield Station must validate all vehicle and consumer information included in the VRRRM Repair Program
Consumer Application, including the following:


    a. The vehicle is either (1) currently registered in California or (2) currently delinquent in the California
       registration renewal process and not in the process of registering in California for the first time.

    b. The vehicle has been registered in California to the same owner for the past continuous six-month period.

    c. The vehicle is gasoline powered and has a gross vehicle weight rating of less than 14,000 pounds.

    d. The vehicle owner’s name matches the name that appears on the DMV vehicle registration. If the name
       does not match the DMV vehicle registration, the application is not valid and the consumer should be
       directed to the Program Call Center (1-800-622-7733).

    e. The vehicle VIN and license plate number must match the vehicle and the DMV vehicle registration. If
       the VIN or license plate number on the VRRRM Program consumer application contains one or two
       characters that are recorded in error, but in all other ways the vehicle matches the consumer application,
       write the correct numbers on the consumer application and have the consumer initial the correction. If the
       VIN and license plate number do not match the vehicle and the DMV vehicle registration (except as
       stated in the prior sentence), the application is not valid and the consumer should be directed to the
       Program Call Center (1-800- 622-7733).

    f.   The odometer reading on the application is within a reasonable a reasonable range (up to 1,000 miles) of
         the odometer reading on the vehicle. If the odometer reading on the application is not within a reasonable
         range of the odometer reading on the vehicle, write in the correct reading and have the consumer initial
         the correction.


4.4 Baseline Smog Test and Diagnosis

Once the information on the consumer application is validated by the Gold Shield Station and the application is
signed by the consumer, Gold Shield Station is authorized to conduct a baseline smog test on the vehicle.

If the vehicle passes the emissions (tailpipe) portion of the baseline smog test, the consumer is not eligible to
participate in the VRRRM Program, and the consumer must pay for the cost of the smog test. The completed,
signed consumer application and the VIR must be submitted to the Settlement Advisor.
If the vehicle fails the emissions (tailpipe) portion of the baseline smog test, Gold Shield Station technician will
diagnose the cause(s) for failure using original equipment manufacturer (OEM) recommended procedures or
procedures found in industry standard reference manuals.
The Gold Shield Station technician shall document the diagnostic findings, repair recommendations, and cost
estimates in the Repair Order submitted to the Settlement Advisor.


4.5 Pre-Authorization for Repairs

All repair services must be pre-approved, in writing, by a Settlement Advisor.

Prior to providing repair services, Gold Shield Station must fax to Settlement Advisor (1-877-487-9559), the
following documents for review and pre-approval:

    1. Diagnosis, repair recommendations, and cost estimates (“Repair Order”);
    2. Baseline VIR; and
    3. Validated, signed VRRRM Program consumer application.

The Repair Order must include the following information:

    1. Repair recommendations
    2. Estimated costs of parts and labor to be funded by VRRRM, CAP and consumer, as applicable

Settlement Advisor will review the documents, assess the diagnosis, repair recommendations, and cost estimates,
and, in the Settlement Advisor’s sole discretion, make a determination to approve or deny the Repair Order.
Repair Orders will be reviewed utilizing the following criteria:

    1. Recommended repairs and cost estimates will be reviewed for reasonableness utilizing parameters set
       forth in Section 5 of the CAP Repair Assistance Operations Manual (Diagnosis and Repair, 7.09 version)
       and Mitchell Automotive Repair benchmark information.
    2. Recommended repairs must be reasonably estimated to achieve a durable reduction in tailpipe emissions.
    3. Recommended repairs must be reasonably estimated to result in the vehicle successfully passing an after-
       repair smog test.
    4. Recommended repairs and cost estimates must be reasonably estimated to achieve cost-effective
       emissions reductions as determined by the Settlement Advisor.
    5. Recommended repairs totaling greater than $500 must be reviewed and approved, in writing, by two
       Settlement Advisors. Repairs totaling greater than $800 will not be approved unless the consumer agrees
       to pay the amount in excess of $800. In no event will repairs in excess of $800 be funded by the VRRRM
       Program.

Upon review and assessment of the information submitted by Gold Shield Station, Settlement Advisor will fax the
written approval or denial notification to the Gold Shield Station. If the Repair Order is approved, Settlement
Advisor will prepare and fax an approval notification to Gold Shield Station. Gold Shield Station may proceed
with approved repairs once written approval is received from Settlement Advisor.

If the Repair Order is denied, Settlement Advisor will prepare and fax a denial notification that will indicate the
reason denied and may include additional comments describing the rationale for the denial. If the Repair Order is
denied due to insufficient information or concern that the recommended repairs will not result in cost-effective
and durable emissions reductions, Gold Shield Station may modify the recommendations and estimated cost and
resubmit the Repair Order. If the Repair Order continues to be denied, Gold Shield Station may submit an invoice
for services performed related to the baseline smog test and diagnosis in accordance with the rate schedule
provided herein (reference 5.1, Rate Schedule).


4.6 Performance of Approved Repair(s)

Gold Shield Station must perform approved repairs using OEM recommended procedures or procedures found in
industry–standard reference manuals. In addition, Gold Shield Station must perform approved repairs in a manner
designed to achieve the most cost-effective and durable emissions reductions possible. Actual repairs performed
shall be consistent with the approved Repair Order and shall not exceed the cost estimate quoted on the approved
Repair Order.


4.7 After-Repair Smog Test

Upon completion of the approved repairs, Gold Shield Station shall perform an after-repair smog test to determine
the amount of emissions reduction achieved and whether a Smog Check Certificate will be issued:

    a. If the vehicle passes the after-repairs test, the consumer will pay for the Certificate of Compliance (i.e.,
       Smog Check Certificate).

    b. If the vehicle fails the after-repair test, the Gold shield Station will inform the vehicle owner of their
       options in accordance with the BAR Consumer Assistance Program Operations Manual for Gold Shield
       Stations (reference Section 5.13, Repair Cost Waiver, dated July 2009):

    c. If the vehicle goes to the Referee following a VRRRM funded repair, the Referee will audit the repair
       prior to issuing a Repair Cost Waiver.

RATE SCHEDULE, INVOICING AND PAYMENT

5.1 Rate Schedule

Services provided to consumers with a completed VRRRM Program consumer application validated by Gold
Shield Station and signed by consumer will be reimbursed at the following rate schedule:

    a. Up to $500.00 per eligible consumer for pre-approved emissions-related repairs with the written pre-
       approval of one Settlement Advisor; or

    b. Up to $800.00 per eligible consumer for pre-approved emissions-related repairs with the written pre-
       approval of two Settlement Advisors.

    c. $50.00 for a baseline smog test

    d. $75.00 for diagnosis

    e. $50.00 for an after repair smog test


5.2 Invoicing

Invoices shall be submitted via fax (1-877-487-9559) to Settlement Advisor by Gold Shield Station once all
Services are performed. Invoices should reflect all charges for a single consumer (vehicle). Separate invoices
shall be submitted for each individual consumer (vehicle). Invoices shall detail each VRRRM Service
performed. For approved repairs, actual costs of parts and labor must be reflected. A copy of all receipts for parts
purchased, if available, shall be included with the invoice. The after-repair smog test VIR must be submitted with
the invoice.

Actual costs of repairs may not exceed the approved Repair Order.

If the consumer incurs additional costs that are not funded by the VRRRM Program (for example, repair costs in
excess of approved amount or costs funded by CAP), such costs shall be included on the invoice and itemized
separately so the consumer and Foundation can clearly ascertain what is charged to the consumer, what is charged
to another program or entity, and what is charged to Foundation for payment.

5.3 Payments to Gold Shield Station

No payment will be made to Gold Shield Station for the cost of a baseline smog test if the vehicle passes the
tailpipe portion of that test. If the vehicle passes the baseline smog test and no VRRRM Services are required,
Gold Shield Station will fax the signed consumer application and baseline VIR to Settlement Advisor.

Gold Shield Station must submit the following documents in order to receive payment:

For a baseline smog test (failed test) and diagnosis:

    a. Consumer application validated by Gold Shield Station and signed by consumer;
    b. Repair Order (including diagnosis, repair recommendation(s), and cost estimate);
    c. VIR for baseline smog test that does not pass the emissions (tailpipe) portion of the test;

    d. Copy of written notification of Repair Order denial from Settlement Advisor; and
    e. Invoice.

For a baseline smog test, diagnosis, repair, and after-repair smog test:

1. Submit upon completion of baseline test and diagnosis:
   a. Consumer application validated by Gold Shield Station and signed by consumer;
   b. VIR for baseline smog test that does not pass the emissions (tailpipe) portion of the test; and
   c. Repair Order (including diagnosis, repair recommendation(s), and cost estimate).
2. Submit with invoice:
   a. VIR for after-repair smog test;
   b. Copy of written notification of Repair Order approval from Settlement Advisor;
   c. Documents (receipts) supporting actual costs incurred for repairs; and
   d. Invoice.

Settlement Advisor will compile and review all required documents for completeness and consistency. Settlement
Advisor will not approve an invoice for payment until all required documents are submitted. Once approved by
Settlement Advisor, the invoice will be submitted for payment. Foundation will endeavor to pay invoices within
30 days following approval of Settlement Advisor.
