PAGE 1 OF RFP NO. 2007-029 RFP FOR REPORTING ON THE PROCESSING OF TRANSACTIONS BY THE TARRANT COUNTY TAX ASSESSOR/COLLECTOR I. INTRODUCTION, BACKGROUND, AND GENERAL CONDITIONS A. Tarrant County and Betsy Price, Tarrant County Tax Assessor/Collector, under separate agreements with various local taxing authorities provides assessment and collection services of Ad Valorem taxes. The services performed under these agreements include, but are not limited to; receiving information from the Tarrant Appraisal District for purposes of the Certified Appraisal Roll; providing mortgage companies, property owners, and tax representatives, tax roll and payment data; providing all necessary assessments of taxes and Truth in Taxation calculations as required; the transmittal of tax statements via the U.S. Mail or electronic transfer of data; and rapid deposit payment processing. The Tarrant County Tax Assessor-Collector is the Constitutional office directed to collect and assess County Ad Valorem taxes. This office collects the Ad Valorem taxes for 60 active taxing jurisdictions including 7 property improvement districts. The Tarrant County Tax Office maintaining more than 3,200,000 receivable accounts exceeding $2.78 billion dollars. In addition, it collects court costs, attorney fees, and abstractor fees to recover the costs associated with lawsuits to foreclose on tax liens and pursue litigation in bankruptcies. The Tax Assessor-Collector is required to collect beer, wine and liquor license fees, motor vehicle taxes, registration, and renewal fees. Over $270 million dollars, representing approximately 1.7 million transactions were processed through eight tax office locations, 70 motor vehicle dealers, and 65 retail locations selling motor vehicle renewals and title transfer fees in the preceding year. The Tax Assessor-Collector’s Office utilizes an application software package procured from an independent software company. The company is responsible for on-going maintenance and support of the system. The application software is based on the client/server model written in Microsoft Visual Basic and Microsoft TransactSQL. Solomon IV accounting software (General Ledger module) is used to record financial data provided by the application software package listed above. The computer system in the Tax Office consists of ten Microsoft Windows NT servers and 100 Microsoft Windows 2000 workstations. The network is based on 3Com’s SuperStack II switching technology configured as 10Mbps desktop/1Gbps backbone. Tarrant County and Betsy Price, Tarrant County Tax Assessor/Collector, request to engage an outside audit firm to report on the "policies and procedures placed in operation," of the Tax Assessor/Collector, in accordance with Statement on Auditing Standards #70, "Reports on the Processing of Transactions by Service Organizations." The Tax Assessor/Collector will require the scope of the engagement to include reporting on the "policies and procedures placed in operation and tests of operating effectiveness." The Tarrant County Auditor will provide an internal auditor to assist with the field work not to exceed 80 work hours. B. C. D. E. PAGE 2 OF RFP NO. 2007-029 RFP FOR REPORTING ON THE PROCESSING OF TRANSACTIONS BY THE TARRANT COUNTY TAX ASSESSOR/COLLECTOR F. The engagement should be performed in accordance with generally accepted auditing standards, as prescribed by the American Institute of Certified Public Accountants, and take into consideration any state and local regulations under which the Tax Assessor/Collector operates and determine if the Tax Assessor/Collector is in compliance with those guidelines. All documents relating to this RFP including but not limited to, the RFP document, questions, responses to questions, addenda and special notices will be posted under the RFP number on the Tarrant County web site. It is the bidders’/respondents’ sole responsibility to review this site and retrieve all related documents prior to the RFP due date. A pre-proposal conference is scheduled for November 8, 2006. The conference will be in the Purchasing Department Conference Room, Suite 303, Tarrant County Administration Building, 100 East Weatherford Street, Fort Worth, Texas 76102. Attendance at the pre-proposal conference is not mandatory. Anyone who submits a proposal without attending the pre-proposal conference does so at their own risk and waives any right to assert claims later because of undiscovered conditions. Any proposal received after the date and/or hour set for proposal opening will be returned unopened. If proposals are sent by mail to the Purchasing Department, the proposer shall be responsible for actual delivery of the proposal to the Purchasing Department before the advertised date and hour for opening of proposals. If mail is delayed either in the postal service or in the internal mail system of Tarrant County beyond the date and hour set for the opening, proposals thus delayed will not be considered and will be returned unopened. Proposal Response Forms must be fully completed and included in your response. Forms that have been retyped or altered may result in rejection of proposal. Officials of Tarrant County will evaluate proposals using an objective analysis of the information presented. The Tarrant County Commissioners Court will make final selection. Tarrant County reserves the right to accept or reject in part or in whole any proposals submitted, except time for submittal of proposals, and to waive any irregularities in order to award this contract in the best interest of Tarrant County. All proposals submitted must be valid for ninety (90) days following the Bid Opening Date. This RFP is issued in compliance with the County Purchasing Act, Section 262.030. Negotiations shall be conducted with responsible vendor(s) who submit proposals determined to be reasonably susceptible of being selected for award. CONFIDENTIALITY: Any material that is to be considered confidential in nature must be clearly marked as such and shall be treated as confidential to the extent allowable in the Open Records Act. Pricing information is not considered confidential. Trade secrets or confidential information MUST be placed in a separate envelope marked “CONFIDENTIAL INFORMATION” and EACH PAGE must be marked “CONFIDENTIAL INFORMATION.” Tarrant County will make every effort to protect these papers from public disclosure as outlined in LGC, Section 262.020(b) of the State of Texas County Purchasing Act. Proposals shall be opened so as to avoid disclosure of contents to competing offerors and kept secret during the process of negotiation. All proposals that have been submitted shall be open for public inspection after the contract is awarded, except for trade secrets and confidential information contained in the proposals and identified as such. The successful Contractor shall defend, indemnify, and hold harmless Tarrant Count from any and all liability or loss of any nature whatsoever arising out of or relating to the Contractor performing work on County premises, including, without limiting the generality of the foregoing coverage, any act or omission of the contractor, its agents, servants, employees, or invitees in the execution or performance of the contract. PAGE 4 OF RFP NO. 2007-029 O. P. Q. R. S. T. U. V. RFP FOR REPORTING ON THE PROCESSING OF TRANSACTIONS BY THE TARRANT COUNTY TAX ASSESSOR/COLLECTOR II. SPECIAL CONDITIONS A. Contract Terms: It is anticipated the audit firm selected will be awarded a twelve (12) month contract, effective from date of award or notice to proceed as determined by Tarrant County Purchasing. At Tarrant County’s option and approval by the vendor, the contract may be renewed for an additional one (1) year period, as further explained in Renewal Options. The County does not anticipate having this work performed annually. All proposals should include a brief outline of the methodology that will be used to accomplish the overall goals and objectives of the engagement Renewal Options: Tarrant County reserves the right to exercise an option to renew the contract of the vendor for an additional one (1) year period, provided such option is stipulated in the Special Conditions and agreed upon by both parties. If the County exercises the right in writing, the Bidder shall update and submit any legal documents required during the initial solicitation by no later than thirty (30) calendar days prior to the commencement of the option period. These documents, if applicable, will be specified in the Special Conditions and include, but are not limited to, Insurance Certificates and Performance Bonds and must be in force for the full period of the option. If the updated documents are not submitted by the Bidder in complete form within the time specified, the County will rescind its option and seek a new bid solicitation. Insurance Requirements: 1. The Contractor shall take out, pay for and maintain at all times during the prosecution of the work under the contract, the following forms of insurance, in carriers acceptable to and approved by Tarrant County, if applicable. a. b. c. Comprehensive Commercial General Liability: 1) Bodily Injury/Personal Injury — $1,000,000 per occurrence 2) Property Damage — $1,000,000 aggregate Automobile liability: 1) Bodily injury — 2) 3) $100,000 per accident or $500,000 aggregate Property damage — $100,000 each occurrence Contractual liability — same limits as above. d. 2. The County reserves the right to review the insurance requirements of this section during the effective period of the contract and to require adjustment of insurance coverage and their limits when deemed necessary and prudent by the County based upon changes in statutory law, court decisions, or the claims history of the industry as well as the Contractor. Proof of Carriage of Insurance - All certificates of insurance will be required in duplicate and filed with the Purchasing Agent and the Budget and Risk Management Department at 100 East Weatherford Street. All certificates shall provide Tarrant County will receive an unconditional thirty days written notice in case of cancellation or any major change. As to all applicable coverage, certificates shall name Tarrant County and its officers, employees, and elected representatives as an additional insured. All copies of the certificates of insurance shall reference the project name and bid number for which the insurance is being supplied. The Contractor agrees to waive subrogation against Tarrant County, its officers, employees, and elected representatives for injuries, including death, property damage, or any other loss to the extent same may be covered by the proceeds of insurance. b. c. d. e. III. OBJECTIVES OF ENGAGEMENT: A. Objectives of the engagement include, but are not limited to the following: 1. Evaluation of a description of the Tax Assessor/Collector policies and procedures placed in operation, and control objectives, as they pertain to the processing of transactions as a service organization. Perform procedures deemed necessary in accordance with generally accepted auditing standards, which will enable the auditor to express an opinion in accordance with guidelines as outlined in Statement of Auditing Standard #70, "Reporting on the Processing Transactions by Service Organizations.” Discuss findings with appropriate County officials which come to the auditors attention that in the auditors judgement, represent significant deficiencies in the design or operation of the Tax Assessor/Collector policies and procedures that preclude the auditor from obtaining reasonable assurance that specified control objectives would be achieved. The auditor should also consider whether any other information, irrespective of specified control objectives has come to their attention that causes the auditor to conclude: (a) that design deficiencies exist that could adversely affect the ability to record, process, summarize, or report financial data to user organizations without error, and (b) that user organizations would not generally be expected to have policies and procedures in place to mitigate such design deficiencies. 2. 3. PAGE 6 OF RFP NO. 2007-029 RFP FOR REPORTING ON THE PROCESSING OF TRANSACTIONS BY THE TARRANT COUNTY TAX ASSESSOR/COLLECTOR IV. SCOPE OF ENGAGEMENT: A. The scope of this engagement should include, but not necessarily be limited to the following: 1. Preparation and/or review of Tarrant County Tax Assessor/Collector description of policies and procedures placed in operation, and related control objectives, as they pertain to the processing of transactions as a service organization. The review period of the engagement should cover the six (6) month period from October 1, 2006 through March 31, 2007. Auditor report expressing an opinion on a description of policies and procedures placed in operation and a description of the controls and, in addition, include a description of the tests of operating effectiveness and the results of those tests. (Type II Report) 2. 3. V. PROPOSAL CONTENTS: A. The proposal must meet the above stated criteria, be presented in a concise form, and should address the following components in the following order: 1. 2. Transmittal letter summarizing the proposal in executive form; Name, qualifications, and home office of the audit firm and the name and address of the local or branch office responsible for this project if different from the home office; Identification of the audit firm's principal staff committed to this project, the proportion of their time to be committed to the project, and a resume of such principals and all other key individuals committed to this project; A description of the audit firm's proposed approach for undertaking the engagement which addresses all of the points discussed in the Objectives of Engagement and Scope of Engagement sections; A firm, fixed, not-to-exceed fee and an estimate of the work hours. Fees shall be inclusive of all work-hour costs, reimbursements, printing, and postage and should be stated as follows: $ Amount An audit report on a description of policies and procedures in operation and a description of the controls and, in addition, include a description of the tests of operating effectiveness and the results of those tests. A detailed description of the firm's experience in providing financial audits, SAS 70 audits, and other type engagement services for large public or private entities. Included in this description, must be a list of all projects completed within the last three (3) years including the company and/or governmental entity served, summary of the project, outcome, contact reference, address, and telephone number; Details on how the firm will address Tarrant County's Disadvantaged Business Enterprises (DBE) policy (Section 8 below). Other qualifications of the firm including: Number of personnel by type, financial strength (include balance sheet and most recent income statement), and history of firm (years of experience); Qualifications of all joint venture firms, if any (including the same information required above); Identification of the firm's present workload with a statement outlining the percentage of time available for this project and how the workload will affect the firm's capability to accomplish the study. 7. 8. 9. 10. A pre-proposal conference will be conducted to provide those firms interested in making proposals an opportunity to ask questions and receive additional information. DISADVANTAGED BUSINESS ENTERPRISES A. It is the policy of Tarrant County to encourage the full participation of Disadvantaged Business Enterprises (DBEs), in all phases of its procurement activities as consultants, service providers, contractors, and/or subcontractors. The proposal should include a description of the degree of DBE participation in the firm and/or the firm's policy toward using DBEs as subcontractors. The successful proposer is strongly encouraged to subcontract with DBEs. IX. STIPULATIONS A. Note that this is not an offer, but is rather a solicitation on the part of Tarrant County who reserves that right to refuse any and all proposals. The awarding of the contract for this Engagement, as defined by this Request for Proposal, does not, in any way, obligate Tarrant County to utilize the same firm for any subsequent work of a similar nature. In addition, the audit reports submitted to Tarrant County shall become the property of Tarrant County. X. PAYMENTS A. It is agreed that at the end of each month, the Independent Certified Public Accountants shall render bills for services performed and expenses incurred during such period, and the County will make payments of such bills as soon thereafter as practicable in compliance with Government Code Section 22551.021. XI. SELECTION CRITERIA A. Tarrant County office will evaluate proposals using an objective analysis of the information presented. The Tarrant County Commissioners Court will make the final selection.
