Before making a Contribution to the Work, each individual or entity must sign a Contributor License Agreement (“CLA”). The CLA is for Your protection as well as for the protection of the users of Your Contribution and the Work; it does not change Your rights to use all or part of Your Contribution for any other purpose. This version of the CLA allows an individual to submit Contributions and grants copyright and patent licenses thereto. You accept and agree to the following terms and conditions for Your Contribution(s) to the PHP Group hereunder. Except for the licenses granted herein, You reserve all right, title, and interest in and to Your Contribution.

1. Definitions. “Approved License” means the license agreement under which the PHP Group licenses the Work as set forth in Schedule A, or any subsequent version or modification under which the PHP Group licenses the Work. Any subsequent version or modification of the Approved License must contain terms no less protective of each PDO Participant’s rights and interests than those contained in the Approved License in Schedule A and not contain any provisions that would otherwise make it an “excluded license.” An “excluded license” means any license terms that would require, as a condition of use, modification, or distribution of the software licensed under such terms, that any other software distributed or used in connection with such software (a) be disclosed or distributed in source code form, (b) be licensed for the purpose of making derivative works or otherwise on terms that permit its modification, or (c) be distributed without charge. “Contribution” means the code, documentation, or other original works of authorship which may be expressly identified in Schedule B, as well as any original work of authorship, including any modifications or additions to an existing work, that is submitted by You and may be included in, or be part of documentation of, the Work. For the purposes of this definition, “submitted” means any form of electronic, oral, or written communication sent to the PHP Group, including, but not limited, to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, the PHP Group for the purpose of discussing and improving the Work. “PDO Participant” means You or any individual or legal entity that contributes to the Work by signing a CLA and then submitting a Contribution to the PHP Group. “PHP Group” means the group of individuals that has volunteered to serve the role of accepting CLAs and any corresponding Contribution. The PHP Group can be contacted at group@php.net. “Work” means the PHP Data Objects (“PDO”) software, including its associated test suite and test cases, whether in source code or binary format, and any associated user and developer documentation (e.g., specifications) made available by the PHP Group under an Approved License. The PDO software comprises a PHP extension for accessing relational and XML databases. For clarification and consistency with the scope of the PHP Data Objects project, as defined on the PHP website at [website TBD], the Work does not include any communication protocols used to transfer data between any client and a database server. “You” (or “Your”) means the individual identified on the cover sheet of this CLA. 2. Subject to the terms and conditions of this CLA, You hereby grant to (a) each PDO Participant, (b) the PHP Group, and (c) any individual or legal entity that accepts the Work from the PHP Group under an Approved License, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, create derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contribution and any derivative works thereof.

3. Subject to the terms and conditions of this CLA, You hereby grant to (a) each PDO Participant, (b) the PHP Group, and (c) any individual or legal entity that accepts the Work from the PHP Group under an Approved License, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution, provided that such license extends only to those patent claims licensable by You, without payment to any third party, that are necessarily infringed by all or part of Your Contribution, alone or in combination with the Work. If any individual or legal entity institutes patent litigation against You (including a crossclaim or counterclaim in a lawsuit) alleging that the use or distribution of Your Contribution or the Work, in whole or in part, constitutes direct or contributory patent infringement, then any patent licenses granted to that individual or legal entity under this CLA will terminate as of the date such litigation is filed. 4. You represent and warrant to each PDO Participant and the PHP Group that (i) Your Contribution is completely non-confidential, (ii) all of Your Contribution is Your original work of authorship, (iii) You are authorized to submit any or all of Your Contribution on Your behalf, and (iv) You have the authority to grant the above license. If Your Contribution includes any intellectual property to which Your employer(s) has rights, You represent that (a) You have received permission to make Your Contribution on behalf of Your employer(s), (b) Your employer(s) has waived its rights in and to Your Contribution, or (c) Your employer has executed a separate Corporate CLA. 5. You represent and warrant that the submission of Your Contribution will include complete and accurate details of any third-party license(s) or other restrictions relating to any part of Your Contribution (including, but not limited to, related patents and trademarks) of which You are aware.6. You are not expected to provide support for Your Contribution, except to the extent You desire to provide support. You may offer support for free, for a fee, or not at all. Except as provided in this CLA or required by applicable law, You provide Your Contribution on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NONINFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. 7. You agree to notify the PHP Group of any facts or circumstances of which You become aware that would make any of the above representations inaccurate in any respect.
