Contractor will not commence work and Client will not consume hours on the assignment until such instruction and/or description is received. Client agrees that any changes to the original instruction will require similar notice. In the event Client deems completed assignment incorrect or incomplete, Contractor will make corrections. • The time required to make corrections that are the result of Contractor error will not be billed to Client. • The time required to make corrections that are the result of the Client's miscommunication of instruction or failure to provide necessary or accurate base information will be billed to Client. Client will prepay monthly the sum of $___ for the retention of ___ hours of Contractor service during the month. This sum represents a Retainer rate of $40/hour less a ___% volume discount. This prepaid rate entitles Client to performance of any or all services listed above. Hours in excess of the contract will be itemized and invoiced to Client at the Project rate in quarter-hour increments and are not subject to discount. • Services will not begin until month's prepayment is received regardless of the previous month's accounting status. • Outstanding balances due to assignment hours in excess of Retainer agreement must paid no later than 15 business days after the date of invoice to avoid suspension of services, and balances not paid within this period will incur a 1.5% monthly late fee. • All assignment hours will be tracked in quarter-hour increments. • Unused hours do not carry over to the next month; if Client accumulates unused hours two or more months in a row, Contractor reserves the right to reduce Retainer contract to a lower monthly block and lower volume discount.

Additional Terms and Conditions • Normal notice for assignments shall be defined as not less than 48 hours, not including non-business days, from time of mutual Contract acceptance/signature. • Rush assignments shall be defined as those due in complete form in 24-48 hours, not including non-business days. Normal 30% rush fee will be waived for all Retainer clients. • Retainer contracts shall be presumed to automatically renew each month unless either party expressly notifies the other party of change in advance: • Prior to 15th of the current month, Client may request to increase, decrease, or discontinue Retained monthly hours beginning the next month. • Similarly, prior to the 15th of the current month (and prior to receipt of advance payment), Contractor may give Client notice that Retainer shall not be continued in the next month. • Contractor may occasionally engage subcontractors for overflow work in order to ensure the timely completion of Client assignments. Assignments completed by subcontractors shall be subject to all terms outlined above. • Contract shall not prevent either party from engaging in similar business relationships with other parties. Attorney's Fees: In the event of legal dispute, each party will be responsible for its own attorney's fees.
