Allows you to specify the detailed tasks to be performed, compensation, and other particulars. 1 of 9 Independent Contractor Agreement INDEPENDENT CONTRACTOR AGREEMENT THIS INDEPENDENT CONTRACTOR AGREEMENT on this ___ day of ______, 20__, by and between _______________ with principal place of __________________________________ (the “Contractor”), _____________ corporation, with its principal place __________________________ (the “Company”). Recitals WHEREAS, Company is in need of assistance in the area of ________________; WHEREAS, Contractor represents that he or she is qualified and possesses expertise in such area; WHEREAS, Company desires to contract with Contractor in the capacity of “independent contractor” to perform the services set forth in Section III herein; WHEREAS, Contractor desires to enter in this Agreement to perform such services in the capacity of “independent contractor” on the terms and conditions and for the compensation set forth herein; NOW THEREFORE, in consideration of the mutual promises, covenants, warranties, and other good and valuable consideration as set forth herein, Company and Contractor hereby agree as follows: Terms SECTION I. TERM. This Agreement shall become effective on _________________ (the “Effective Date”) and shall continue in effect until terminated at the completion of the Scope of Work (as set forth in Section III herein) or by either party pursuant to the terms of this Agreement. SECTION II. INDEPENDENT CONTRACTOR RELATIONSHIP. The relationship of the Parties is that of independent contractors. Nothing contained in this Agreement and no action by either party shall be deemed to constitute any party or any of such party’s employees or agents to be an employee or agent of the other party or shall be deemed to create any partnership, joint venture, association, syndicate among or between any of the Parties, or shall be deemed to confer on any Party any express or implied right, power or authority to enter into any agreement or commitment, express or implied, or to incur any obligation or liability on behalf of the other party. (this “Agreement”) is made ____________________, a business located at and _________________, a of business located at 2 of 9 Independent Contractor Agreement SECTION III. TASKS, DUTIES, SCOPE OF WORK. The Contractor’s tasks, duties, and scope of work (the “Scope of Work”) shall be (1) as set forth in the estimate previously provided to the Company by the Contractor or (2) in description provided by the Company, and which is attached as Exhibit “A” hereto. The Scope of Work may be amended in writing from time to time, or supplemented with subsequent services to be rendered by the Contractor and agreed to by the Company, and which collectively are hereby incorporated by reference. SECTION IV. COMPETENT WORK. All work will be done in a competent fashion in accordance with applicable standards of the profession and all services are subject to final approval by a representative of the company prior to payment. SECTION V. TAXPAYER IDENTIFICATION NUMBER. The taxpayer identification number of the Consultant is ___________________. The Consultant is licensed to perform the agreed upon services enumerated herein and covenants that it maintains all valid licenses, permits and registrations to perform same. SECTION VI. INSURANCE. The Consultant will carry general liability, automobile liability, workers' compensation and employer's liability insurance in the amount of $___________. Contractor shall name Company as an additional insured on all related insurance policies including workers compensation and general liability. In the event the Consultant fails to carry such insurance it shall indemnify and hold harmless Company, its agents and employees from and against any damages, claims, and expenses arising out of or resulting from work conducted by Consultant and its agents or employees. SECTION VII. COMPENSATION. A. Contractor shall be entitled to compensation for performing those tasks and duties as set forth in the Scope of Work as follows: _________________________. B. WAIVER OF BENEFITS Contractor hereby waives and foregoes the right to receive any bene
