                              GOVERNING BOARD
                           REGULAR MEETING MINUTES
                   300 East University Drive, Conference Room 2210, Tempe, 85281
                                          December 14, 2010
                                               3:00 P.M.



1. Call to Order

   Josephine Marsh called the meeting to order at 3:00 pm.
      Roll Call
   Cindy Walker, Governing Board Clerk, called the roll. A quorum was present.
   Members Present: Josephine Marsh, ASU Member; Myriam Roa, Superintendent, Phoenix
   Elementary School District Member; and Terry Shoumaker, ASU Foundation Member (via
   conference call).
   Member Not in Attendance: Steve Holm, President
   UPSI Staff in Attendance: Beatriz Rendón, ASU Associate VP Educational Outreach and Student
   Services and UPSI Chief Executive Officer; William Thompson, Chief Financial Officer; Prudence
   Lee, Chief Human Resources Officer; Sue Henderson, Director of Student Services; Barnaby
   Wasson, Directory of Technology; Steve Mills, Finance Manager; and Cindy Walker, Board Clerk.

   ASU Staff: Natalie Nailor, Mark Duplissis

      Pledge of Allegiance
   Josephine Marsh led the Board in the Pledge of Allegiance.

2. Approval of Agenda
   A motion was made by Myriam Roa and seconded Terry Shoumaker by to approve the agenda. The
   motion carried 3 to 0.

3. Approval of Minutes
   A motion was made by Myriam Roa and seconded by Terry Shoumaker to approve minutes of the
   November 9, 2010 Governing Board Meeting. The motion carried 3 to 0.

   There was no public comment.

5. Executive Session
    No executive session was needed.


6. Consent Agenda
    Josephine Marsh presented the Consent Agenda for approval.
    6.1. Personnel Summary

           A motion was made by Myriam Roa and seconded by Terry Shoumaker Roa to approve the
           Consent Agenda. The motion carried 3 to 0.

           Beatriz Rendón acknowledged Bill Thompson’s contribution to UPSI and he excused himself
           from the meeting.

7. Action Items

    7.1. Approval of October & November 2010 Financial Reports & Voucher Summary

           Beatriz Rendon, CEO, reviewed the Enrollment Summary and explained the lower number is
           normal attrition. The financial summary reflects the October revenue. A new addition to the
           report is the Variance Analysis. Steven Mills, Finance Manager, explained that there will be
           variances based on the projected enrollment versus the actual enrollment.

           On the Statement of Activities, the expenses reflect function rather than account codes. On the
           Balance Sheet, the line of credit under liabilities reflects the Bouma payout. On the Statistical
           Analysis chart, revenues and expenses are demonstrated in a pie chart, with Other Expenses
           displayed on a separate chart. The Statistical Analysis shows the grade level numbers at each
           site and the assigned budget and variance.

           Discussion followed about the UPSP 7th and 8th grade class size reduction expected next year as
           Phoenix Elementary School District (PESD) opens their third of three K-8 schools that had
           served as feeder schools to UPSP in the past.

           A motion was made by Myriam Roa and seconded by Terry Shoumaker to approve the October
           2010 financial reports. The motion carried 3 to 0.

    7.2. Approval of University Public School Phoenix School Council Members

           Prudence Lee, Chief Human Resources Officer, explained the UPSP School Council was
           created by the UPSI and Phoenix Elementary School District (PESD) Collaboration Agreement
           established on May 12, 2009. It provides for the UPSI Governing Board to appoint the
           Members of the School Council. The existing structure of the School Council requires the
           UPSI Governing Board to appoint two members to the School Council. The current members
           are the UPSI Chief Financial Officer and the UPSP School Principal.

           PESD and UPSI are revisiting the structure of the School Council and are recommending to the
           UPSI Governing Board that the appointees from UPSI consist of the following: a UPSP
           Administrator, a UPSI Administrator, and a third representative, which may include a parent.
           We believe this form of representation on the UPSP School Council will be beneficial to the
           continuing efforts and work of the Council.

           Also, as part of the restructure, PESD is recommending that the PESD Governing Board
           appointees consist of two PESD Governing Board Members, instead of one. Discussion
           followed on the agreement revisions.

           A motion was made by Myriam Roa and seconded by Terry Shoumaker to table this agenda
           item until the PESD Governing Board approved the proposed amended UPSI-PESD
           Collaboration Agreement. The motion carried 3 to 0.

    7.3. Approval of Resolution to Appoint UPSI Banking Signatory Authority

           Prudence Lee presented a resolution to approve the replacement of William Thompson, who
           resigned, with Deborah Gonzalez, Chief Academic Officer, and Steven Mills, Finance
           Manager, as additional authorized UPSI bank signatories effective December 14, 2010, in
           addition to the continuing signatories of Celeste Enochs, UPSP Principal; Beatriz Rendón,
           Chief Executive Officer; and Prudence Lee, Chief Human Resources Officer.

           A motion was made by Myriam Roa and seconded by Terry Shoumaker to approve the
           resolution. The motion carried 3 to 0.

    7.4. Approval of Resolution to Appoint Signatories for University Public School Phoenix
           Revolving Fund Account

           Prudence Lee explained that UPSI needs to make a change in signatories for the UPSP
           revolving fund account and remove William Thompson, former CFO. The administration
           requested the Board appoint Deborah Gonzalez, Chief Academic Officer, and Steven Mills,
           Finance Manager, as new authorized signatories on the University Public School Phoenix
           Revolving Fund Account, effective December 14, 2010, in addition to the continuing
           signatories of Celeste Enochs, UPSP Principal; Beatriz Rendón, Chief Executive Officer; and
           Prudence Lee, Chief Human Resources Officer.

           A motion was made by Myriam Roa and seconded by Terry Shoumaker to approve the
           resolution. The motion carried 3 to 0.

8. Information

    8.1. University Public School Phoenix

           Beatriz Rendón shared that ASU has approved the new logo for the ASU Preparatory Academy
           with the ASU sunburst in the logo and it will roll out as the new name identity for the entity.
           There is space for a subtext to include each partnership name/location in the logo.

           UPSI received a 3-year grant from a private donor for $100,000 per year to provide Saturday
           School for 150 students to participate. It includes parent education. This intense remedial
           program in reading and math will run from 8:00 a.m. to 12:00 noon.

           Target Corporation is our first corporate partner who donated a $10,000 literacy grant for an
           early literacy center.

           Dr. Josephine Marsh is offering her Language and Literacy program at UPSP to our teachers to
           earn their literacy endorsements, which will begin January 13, for Tuesday/Thursday classes at
           UPSP.

    8.2. Polytechnic Elementary and Middle School

           Beatriz Rendón announced that Polytechnic has a facility for 9th grade. She shared a map
           overview showing the building that is available for the 9th grade with minimal renovation. The
           vision is for high school students to take classes in the ASU campus classrooms. The proposed
           building is a temporary facility for the next three years, during which we continue to work on a
           permanent solution with a plan to build a new middle school and high school. UPSI will take
           occupancy of the 9th grade building July 1st. It is located near the Interdisciplinary Science and
           Technology Building III (ISTB3).

           UPSI is actively involved in a large tax credit donation effort to increase donations for extra-
           curricular activities at our schools.

9. Adjournment
      A motion was made by Myriam Roa and seconded by Josephine Marsh to adjourn the meeting.
      The motion carried 3 to 0. The meeting was adjourned at 3:58 p.m.
