Mr. Becket's practice is concentrated in the areas of national real property law with an emphasis
on the representation of telecommunications companies, corporate facilities leasing, acquisitions
and dispositions, high-end landlord and tenant representations, project development, project
finance and commercial brokerage representations.

Leasing

Mr. Becket has represented landlords and tenants in office, industrial, retail and land leases for
projects ranging in size from 1,000 square feet to more than 1,000,000 square feet.
Representations have included (i) leases for more than 20 international, national and regional law
firms; (ii) leases, licenses and easements for in excess of 3,000 communications sites, as well as
complex master tower agreements and collocation agreements; (iii) leases for large build-to-suit
corporate campus and industrial facilities; (iv) high-rise office building corporate headquarters
facilities; and (v) multiple retail store and big box transactions. Clients have included Verizon
Wireless and its constituent partnerships and business entities, South Coast Plaza, One Town
Center Associates, Center Tower Associates, QLogic Corporation, Plaza Tower Associates,
Geologistics, CNN, Scripto-Tokai Corporation, Taco Bell, Inc., Grand American, Inc. and U.S.
Trust of California, Inc.

Acquisitions and Dispositions

Mr. Becket serves as counsel for buyers and sellers in all types of real estate sale and exchange
transactions. Clients have included Verizon Wireless, South Coast Plaza, Santa Ana F/C
Development Venture, Fashion Square Venturers, Grand American, Inc.

Financing Transactions
Mr. Becket regularly represents borrowers in connection with real property financings of up to
$100,000,000. Clients have included South Coast Plaza, One Town Center Associates, Center
Tower Associates, Plaza Tower Associates, Far West Segerstrom Partners I , Sunflower
Associates and Pasadena Foothill Associates.

Brokerage Representations

Mr. Becket regularly serves as counsel to commercial brokerage professionals including The
Staubach Company, in connection with both enterprise and individual agent rights,
responsibilities and liabilities including contract disputes.

Development Projects

Mr. Becket has been primary counsel in large size development projects ranging from a 1,000-
room hotel in Beijing, China, to a 1,000,000-square-foot office project in Santa Monica, California.

Ms. Wolff's practice includes representing developers and property owners with regard to
acquisitions and dispositions of real property, land use entitlements, environmental clearance,
leasing, construction and development work, and real estate and construction lending. She has
special experience working with the real estate needs of institutional property owners, including
telecommunications companies. She also represents architectural and engineering firms in
connection with contractual matters. She has represented several governmental agencies,
including the Los Angeles Department of Water and Power and the Los Angeles Unified School
District with regard to facility issues.

She is a past president of the Century City Bar Association, and has been active with the
association in many capacities, including chair of the Real Property Section. She has also been
active in the Los Angeles Chapter of the National Network of Commercial Real Estate Women,
and has performed significant real estate and land use pro bono projects in conjunction with
public counsel. She has lectured and written extensively in the area of real estate law.

Purchase and Sale

Ms. Wolff has handled many complex dispositions and acquisitions for public utilities, lenders,
other institutional clients, property firms, and investors. In connection with these transactions, she
has dealt with issues related to environmental contamination, seller financing, Subdivision Map
Act compliance, options and exchanges. She has recently represented a public utility in
connection with the disposition and partial leaseback of a large headquarters project.

Land Use

Ms. Wolff has represented public utilities, entertainment companies, corporations and individuals
in a large variety of land use transactions throughout California. She has obtained zone changes,
conditional use permits, subdivision approvals, and other entitlements for hotels, entertainment
facilities, communications facilities, office buildings, residential projects, recycling facilities, and
numerous other uses. She has represented a lender in the entitlement, completion and
disposition of a portfolio of distressed properties, and has represented another lender in the
acquisition of entitlements for its headquarters building. She also represents clients in challenging
entitlements and environmental approvals.

Leasing

Ms. Wolff has a broad range of experience in leasing work, including the representation of
landlords and tenants in connection with the leasing of office, retail and industrial space. She has
also worked extensively with specialized leasing needs of telecommunications, entertainment,
and other institutional clients.

Telecommunications

Ms. Wolff has extensive experience assisting telecommunications companies with their real
estate needs, including the negotiation and documentation of transactions in connection with a
nationwide communications facility development project. Her telecommunications practice also
includes the disposition, acquisition, leasing and licensing of various telecommunications
facilities, acquisitions of rights to infrastructure, land use and entitlement work and collocation
agreements.

Financing

Ms. Wolff has represented lenders and borrowers in the documentation and negotiation of real
estate and construction loans and in structuring workouts. She also has assisted lenders in the
acquisition, development and disposition of distressed properties.

Meet Doug McEachern
National Director, Real Estate AERS Services, Deloitte & Touche LLP

Doug McEachern began his accounting career in 1976 and became a partner of Deloitte &
Touche LLP in 1985. He has provided services to every segment of the real estate industry
including real estate investment trusts (REITs), commercial property owners and developers.
Doug has special experience in serving REITs and has lead client service teams in numerous
initial public offering engagements and in helping clients raise securitized debt and equity.

As leader of Real Estate AERS Services, he is responsible for overseeing delivery of AERS
services to the real estate industry nationally.

In addition to real estate clients, Doug has significant experience in the hospitality and
financial services industries, advising clients on such topics as initial public offerings, mergers
and acquisitions, and SEC issues.

Doug is a frequent speaker at real estate and REIT forums. He is a certified public accountant
and a member of the California Society of CPAs, the American Institute of CPAs and the
National Association of Real Estate Investment Trusts. He earned his Bachelor degree in
Accounting from the University of California, Berkeley, and his M.B.A. from the University of
