        The General Terms & Conditions that apply to CUE bids (Section1) are available at the

1.      Purpose & Intent:       This price inquiry is for Office & Classroom Furniture for the
        COMMUNITY, UNIVERSITY AND EDUCATIONAL PURCHASING ASSOCIATION
        MEMBERS (CUE) as listed on the attached Roster. The term of the resultant price
        agreement shall commence on the day following award decision and terminate one year
        later. The CUE Members reserve the right to renew the resultant price agreement for (2) two
        additional years, one year at a time, subject to the approval of the CUE Membership. Pricing
        and/or discounts will remain unchanged unless the supplier notifies CUE of any changes 60
        days prior to the end of the contract period. The supplier may also elect not to renew the
        agreement by notifying the CUE 60 days prior to the end of the contract. The CUE Members
        also reserve the right to extend the resultant price agreement a maximum of thirty (30) days
        beyond the normal expiration date.

2.      The estimated annual volume of this contract is unknown at this time but is expected to be in
        excess of $100,000 (more or less).

3.      Price and Commitment:          The CUE Members do not obligate themselves to purchase
        the full quantities indicated, but the full discount offered must be allowed should the
        purchases be more or less. The requirements may exceed the quantities shown and the
        successful bidder(s) will be required to furnish all requirements as shown on purchase
        orders from the various institutions that are dated during the life of the agreement (by the
        mailing date). The buyer reserves the right to negotiate a greater discount or seek
        competitive bids on any requirements during the term of the contract based upon significant
        increases in aggregate volume of projected activity.

4.      Price: All discounts are to remain firm for the life of the price agreement. New related
        product lines may be added during the course of this agreement by the dealer of record at
        like discounts for the manufacturers they represent. If the manufacturer bids this contract
        direct, they may also add new related product lines at like discounts during the course of this
        agreement. New manufacturers can only be added at the time of bidding.

        If bidder is other than manufacturer, you must provide letterhead documentation from the
        manufacturer stating you are authorized to sell their product to the CUE Members. This
        documentation should be submitted in alphabetical order by manufacturer with your bid
        response.

5.      Special note: Referenced above is a link to the current roster of CUE Members. This roster
        changes as new members are accepted or as current members opt not to renew their

        Do you wish to extend your proposal to other purchasing groups located within Ohio
        and consisting of non-profit organizations? Such groups include but are not limited to:
        NEO, IUC, and others as approved by CUE. Some links to the web pages of each group
        are provided above so you may better understand the structure of the group, size, and
        mission. Members of these groups may utilize different software, hardware and
        platforms. Questions concerning these groups may be directed to the CUE Secretary at
        330-972-7340.

6.      Awards:        The CUE reserves the right to judge whether total low award or multiple
        awards is in the best interest of the CUE Members and to make awards accordingly.

7.      The provisions of Supplement I, attached, are incorporated into and made a part of this price
        inquiry.

8.      Test & Inspection: The CUE Members reserve the right to inspect and test any furniture
        at the manufacturer's plant, or successful bidder's establishment, or place designated by the
        CUE, prior to the award. Complete facilities, assistance, and samples shall be offered and
        readily available at the bidder's expense.

9.      Deliveries:     Deliveries shall be to the member or institution from which an order has been
        received and accepted. The CUE expects to be able to obtain a better than average delivery
        time due to the total dollar volume of this price agreement and we also expect the delivery
        time to be firm for the duration of the price agreement. Contractors will be requested to
        deliver on a “furnish and set-in-place” basis to the designated area as well as delivery to
        each individual member's Receiving Department, at the discretion of the member.

        Please submit a separate sheet advising the CUE if and when a manufacturer undergoes a
        plant shut down that will adversely effect delivery time.

        Please indicate the expiration dates of all union agreements that would affect delivery of
        your equipment to the member institutions.

10.     Catalogs:     Please DO NOT include descriptive product literature with your response.
        Award suppliers will be required, upon request, to provide catalogues to the member
        institutions.

11.     Quality:          Bidders are to recognize that only first quality equipment is acceptable.

12.     Installation: Bids are on tailgate and installed (in place) delivery of assembled furniture in
        a building. Some orders may require equipment to be installed (in place) in a building.

        Orders including installation must be supervised by a responsible representative of your
        company, trained, regularly employed by you, and thoroughly experienced in all phases of
        the work.

        On orders requiring installation, the award supplier shall receive and accept his/her
        equipment direct from the transportation company or carrier, and shall provide all handling
        etc., to the final location. Crating and other packaging materials shall be removed from the
        premises following installation.

        Multiple truckloads will not be delivered in tandem without prior approval, and truckloads will
        not be accepted for unloading after 12 noon, local time. Delivery after 12 noon will not be
        accepted without prior consent of the project coordinator at the designated institution.

        The award supplier will be responsible for any damage to property that may occur as a result
        of carelessness on the part of his/her employee.

        For orders requiring installation and completion by a fixed date, the award supplier may be
        required on the original order to furnish a performance bond, and may also be requested to
        furnish proof of insurance against damage claims.

        Some projects for Group A furnishings may require payment of prevailing wages for the
        installation labor portion of the project as determined by state, federal or local laws or
        guidelines. Information concerning prevailing wages may be obtained by reviewing section
        153 of the Ohio Revised Code. Prevailing Wage rates may change as dictated by the State
        of Ohio. Any change in discount as a result of a change in the prevailing wage rates may be
        negotiated at contract renewal.

13.     F.O.B. Point: All bids must be F.O.B. Destination. Any shipping and delivery charges must
        be included in your price discount structure.

14.     The CUE Members will apply domestic Ohio bid preference as outlined in Amended Ohio
        H.B. 1984.

15.     Acknowledgments: Acknowledgments are to be sent to the ordering institution for each
        purchase order.

        All orders are to be acknowledged within five (5) working days after receipt of the order by
        the contractor.

16.     Order Editing:        Award supplier(s) will be responsible for editing orders received.
        Orders are to be edited within ten (10) working days for:

        Dealer/Manufacturer is to promptly notify the individual member in writing of any discrepancy
        in the order. Any dealer/manufacturer failing to notify the individual member of any
        discrepancy on a purchase order will be responsible for any costs incurred in correcting the
        item or items on the particular order.

17.     Billing:         You are required to state on your Group Pages if you have any special billing
        format that will be reflected on your invoice.

        These special cases must be stated in the bid document to aid all CUE members in writing
        future purchase orders.

18.     Service School:   Please indicate if your company has a service school available for
        CUE member designated staff instruction on furniture set-up and repair.

19.     Parts: Indicate the percentage of discount for all parts: _________________.

        Award suppliers will be expected to supply a Parts Catalog at no additional charge to the
        CUE member institutions.

20.     Service Parts Manual:            Service parts manuals should be supplied to each member
        institution under this price agreement on a no charge basis. Please indicate if your company
        has such manuals available.

21.     Please indicate if you have a "CANCELLATION PENALTY" and explain in detail what the
        days and percentage penalty would be, if any.

22.     Delay: Delivery time should be indicated and held firm. Any delivery time that cannot be met
        will give the members the right to purchase from suppliers not on this price agreement.

23.     Trucks:        Please indicate if you own your own trucks and how furniture will be shipped
        to the separate members from your facilities. Indicate the locations from which furniture will
        be shipped.

24.       If any special discounts are given during the period of this price agreement it must be fully
          documented as an additional offering to your price agreement.

25.       If a line, color, or fabric is discontinued during the term of this price agreement, sufficient
          notice must be given in order that members have an opportunity to purchase for their
          institution.
          ______________________________________________________________________

26.       In addition, if a manufacturer bids the contract direct and wants to add a new dealer during
          the course of the contract, this must be done in writing and sent to the contract administrator
          of CUE. It will be the responsibility of the manufacturer/dealer to provide a thirty day written
          notice to all member institutions of the change. These changes may be put in writing on a
          quarterly basis by the CUE.

27.       The most responsible and responsive bid will be the supplier that has the ability, capacity,
          and skill to execute the price agreement or provide the service required. The following
          conditions will be considered in determining the most responsible and responsive bidder.

                 whether the bidder can perform the price agreement or provide the service promptly
                  or within the time specified without delay or interference;
                 the character and intelligence, reputation, judgment, experience and effectiveness of
                  the bidder;
                 the quality of performance on previous price agreements or of services provided;
                 the previous and existing compliance by the bidder with laws and ordinances relating
                  to the price agreement or services;
                 sufficiency of the financial resource and ability of the bidder to perform the price
                  agreement or provide the service;
                 the quality available and adaptability of the supplies or price agreement services to
                  the particular use required;
                 the ability of bidder to provide future maintenance and service;
                 the number and scope of conditions attached within the bid.

28.       Assignment: Any agreement entered into as a result of this solicitation may not be
          assigned in whole or in part, without the expressed written consent of CUE.

29.       Independent Contractor Relationship:          The vendor is and shall perform these services
          as an independent contractor, and as such, shall have and maintain complete control over
          all of its employees, agents, and operations. Neither the vendor nor anyone employed by it
          shall be, represent, act, purport to act or be deemed to be the agent, representative,
          employee or servant of CUE or any of its members.

          The vendor selected on this Request For Proposal will be working as an independent
          contractor and will be required to take out and keep in force all permits, licenses, or
          insurance that may be required by the State of Ohio, the federal government or other
          applicable laws or ordinances within the location where the product or service is provided.
          Failure to comply with any of these items would be grounds for immediate cancellation of the
          contract.

30.     Original Specifications:       CUE may provide an electronic version of the
        specifications/RFP as a convenience to interested companies. Electronic copies are made
        from a master, print copy of an original document (Original) resident in the CUE Contract
        Administrator’s office. Availability and distribution of electronic copies is conditioned on
        bidder's acknowledging the fact that the Original shall be the controlling document in the
        event of any inconsistencies, irregularities, changes or alterations that may occur as a result
        of electronic transmission, copying or other form or electronic editing. Any prospective bidder
        using any electronic copy of this RFP accepts the obligation and duty to compare the
        electronic copy with the Original and verify accuracy and consistency of the documents. In
        the event of any inconsistency or variation in any terms, phrases or clauses whatsoever,
        bidders using electronic copies understand that the Original shall prevail and be the
        controlling document used to govern and resolve any such inconsistency or variation. Each
        vendor may be required to submit with their proposal an "ORIGINAL SPECIFICATIONS"
        affidavit.

Design Services


There may be times when a contractor must charge design services to a CUE member institution.
In this connection, we are providing the opportunity for you to furnish this information:

In order to be compensated, the Contractor must advise the applicable institution at the outset, in
writing, that design service charges will apply. These charges will not be accepted by the end user if
