									December 16, 2008 Dear _____: This letter is to confirm and specify the terms of our engagement with _____________ and to clarify the nature and extent of the services we will provide. We will perform the following services: 1. Prepare the federal and state tax returns with supporting schedules for the year ended December 31, 2007 and 2008. 2. Provide general consultation on certain accounting and income tax matters on an as needed basis. Management is responsible for the proper recording of transactions in the book of accounts, for the safeguarding of assets, and for the substantial accuracy of the financial records. You have the final responsibility for the tax returns; therefore, you should review them carefully before you sign and file them. I will not audit, review or otherwise attempt to verify the accuracy or completeness of any information provided. It is up to you to provide me with accurate and complete information necessary to prepare such tax returns. My engagement cannot be relied upon to disclose errors, fraud, or other illegal acts that may exist. However, I will inform you of any material errors that come to my attention and any fraud or other illegal acts that come to my attention, unless they are clearly inconsequential. In addition, I have no responsibility to identify and communicate significant deficiencies or material weaknesses in your internal controls as part of this engagement. We retain records relating to professional services that we provide so that we are better able to assist you with your professional needs and, in some cases, to comply with professional guidelines. In order to guard your nonpublic personal information, we maintain physical, electronic, and procedural safeguards that comply with our professional standards. My fees for income tax preparation will vary depending on the complexity and completeness of your books and records. However, I would anticipate such fees to be between $500.00 and $1,000.00, plus any direct out of pocket expenses. Income tax and accounting consultation will be billed at the hourly rate of $135.00 per hour.
