					                                           TOOLING DISPOSITION INSTRUCTIONS




The instructions below should be followed when disposing of excess or obsolete P&W owned and US
Government-owned tooling residing at the vendor's facility.

1. Upon receiving notice of excess or obsolete tooling residing at the vendor's facilities, the vendor must complete Part A
"Excess or Obsolete Tooling Data". Information in Part A will be used by Product Center(s) or the Tooling Administrator
Group, and with respect to Government-owned tooling, by the P&W Government Property Administrator, to determine the
proper disposition of excess or obsolete tooling.

2. Once vendor has furnished the information requested in Part A, the cognizant Buyer, Product Center representative
or the Tooling Administrator should determine the proper disposition of the tooling in accordance with Section 10.15 of
the Pratt & Whitney Procurement Manual policies and procedures. For Government-owned tooling, disposition of such
tooling must first be authorized by the Government Property Administrator.

3. The column entitled "Disposition Option" in Part B should be completed only by either the cognizant Buyer (or a
designated representative thereof) or the Tooling Administrator, except that with respect to Government-owned tooling,
this column may be completed by the Government Property Administrator. The disposition options are:

Option 1 - Return the tooling to Pratt & Whitney

Option 2 - Ship tooling to an entity other than P&W. Use this option to ship the tooling to an approved scrap
metal dealer of P&W. For large quantities of scrap material, contact Scrap Salvage Dept. 6505. With respect to
Government-owned tooling, use this option to ship the tooling to entity(ies) designated by the Government.

Option 3 - Vendor is directed to scrap the tooling on-site at its facility in accordance with applicable federal,
state and local requirements.

Option 4 - Vendor is to retain tooling at Vendor's facility.

4. Once the Disposition Option block of Part B is completed and is signed by the cognizant Buyer, or another Product
Center representative, or the Product Center Supplier Manager, and the Government Property Administrator (as
applicable), forward this form to vendor to authorize disposition of tooling identified in Part B in the manner specified.

5. Upon complete disposition of the tooling as authorized, vendor should complete and sign Part C of this form and
return the completed form to the Tooling Administrator together with a check (where applicable)
made payable to "United Technologies Corporation, Pratt & Whitney Division" for money received for the
tooling as scrap material. Scrap value received for Government-owned tooling must be credited to the appropriate
material pool account or as directed by the P&W Government Property Administrator.




 Upon completion of the disposition of the tooling identified in Part A, this form should be completed and signed by Vendor and returned to the Tooling

Supplier is hereby authorized to dispose of Pratt & Whitney and US Government tooling identified in Part A in Vendor's
or it's subcontractor's possession in the manner specified. Attach any appropriate additional instructions if tooling is to
be shipped to more than one destination.

Supplier hereby certifies that tooling identified in Part A was disposed of in the manner specified.

Certification B: Applicable if Option 2 is selected
Supplier further certifies that the tooling identified in Part A above was shipped to the entity designated in Option 2
of Part B above on _____________ (date) to the attention of ________________________________________.

Certification C: Applicable if Option 3 is selected

Supplier further certifies that the tooling identified in Part A above were disposed of in a manner that complies with all
applicable law, statute, ordinance, order regulation, decree, or requirement of the federal, state and local governments
and any political subdivisions thereof including any agency, department, board, bureau and commission regarding
health, safety or the environment. Vendor hereby agrees to defend and hold United Technologies Corporation harmless
from any and all obligations, claims, administrative proceedings, judgments, damages, fines, costs and liabilities,
including reasonable attorney fees, that arise directly or indirectly from or in connection with the disposition by Vendor of
the above-identified tooling. The amount received for the above identified tooling as scrap material was $ ___________.
Where applicable, please enclose a check of this amount made payable to "United Technologies Corporation, Pratt &
Whitney" when returning this form.
