1. Introduction
1.1.       Objective

The FOUNDATION MELITENSIS invites suitably qualified individuals and/or organisations to submit
proposals for the provision of Project Management Services to the FOUNDATION MELITENSIS.
Further details regarding the required services and terms of engagement are provided in Section 2 of
this Document.

1.3.       FOUNDATION MELITENSIS Rights and Reservations

The FOUNDATION MELITENSIS:
1. reserves the right to cancel this tendering process without incurring any penalty or cost;
2. may, at its own discretion, decide not to select any proposal or not to award any Contract, even
       the most advantageous offer;
3. reserves the right not to consider offers that have missing mandatory information;
4. may disqualify the Bidder if he or she does not abide by the instructions in this Document.

1.4.     Clarifications and Addenda

1. A Bidder requiring clarification or interpretations of the Tender Document should do so in writing.
    The written request should reach FOUNDATION MELITENSIS at least eight (8) days prior to the
    closing date of receipt of the tenders. Any request after this date will not be accepted.


2. Any interpretations, corrections or changes to the Tender Document, will be made by
    FOUNDATION MELITENSIS by means of addenda. Interpretations, corrections or changes made
    in any other manner will not be valid, and Bidders shall not rely upon such interpretations,
    corrections and changes.


3. No addenda shall be issued later than six (6) days prior to the last date of receipt of responses
    with the exception of an addendum postponing the closing date of receipt of responses or notice
    of withdrawal of this Tender.


4. Each Bidder shall ascertain, prior to submitting the response, that he or she has received all
    addenda issued and shall acknowledge their receipt in his or her response. Clarifications and
    addenda will be notified by e-mail.




1.5.     Eligibility

(In case of a foreign company)


Bidding will be open to commercial entities. Bidding entities must nominate individuals who form part
of their regular cadre of employees, where such individuals should be duly registered as employees
with the Employment and Training Corporation (ETC) on the Bidding Entity's Employer's Employee
List, to provide the service. In case of nominated individuals who are employed with selected entity
on a contract basis, the end date of the individual’s contract period shall be longer than the duration
of the required service specified in this Tender Document. Any eventual selection shall be linked to
those particular individuals. Foundation Melitensis reserves the right to approve or reject any
individuals nominated for Lead Project Manager and/or Assistant Project Manager, without any
obligation on its part to provide reason/s.


Requests by successful entity/s to change nominated individuals shall be submitted to Foundation
Melitensis in written form and any changes will then come into effect after Foundation Melitensis
approves the request and an agreement between selected entity/s and Foundation Melitensis has
been mutually reached. Further, Foundation Melitensis reserves the right to request the selected

entity/s to change the Lead Project Manager and/or Assistant Project Manager, and will not be bound
to provide reason/s for such a decision.




1.6.     Response

Interested bidders are requested to submit their responses using the form in Appendix A together
with the following supporting documentation:
•   A Profile of the Organisation, including relative corporate experience in project management;
•   Original Document of the ETC Employer’s Employee List;
•   A Curriculum Vitae (EU format) of the nominated person providing the service;
•   Photocopies of tertiary qualifications;
•   Any other supporting documentation the Bidder believes is relevant.


Bidders may wish to submit the name of another person to support them in the running of the
Project. In this case the Bidder must identify clearly who shall be the Lead Project Manager and the
Assistant Project Manager. Further, a Curriculum Vitae (EU Format) and photocopies of tertiary
qualifications must be submitted for the Assistant Project Manager as well.


Incomplete or incorrectly filled-in forms will be disqualified.




1.7.     Submissions

Each submission must be presented in the form of two (2) printed copies and one (1) soft copy on
CD in PDF Format in one single envelope, sealed and clearly marked “Tender: Project
Management Services / FOUNDATION MELITENSIS”.


Information supplied by the Bidder in response to this Tender will be treated as confidential and all
materials provided by the Bidder are non-returnable. The closing date and time for the submission of
responses to this Invitation to Tender is 1200 hours (noon) Malta time on Friday 7th May 2010.
Responses and any related supplementary information are to be drawn up in English ONLY and
should be clearly marked as outlined above.


The submissions are to be deposited in the tender box at c/o APS Consult Ltd, 20 APS House, St.
Anne Square, Floriana between the hours of 0900 and 1200. Late submissions will not be considered.

1.8.      Grounds for Disqualification

The FOUNDATION MELITENSIS may at its discretion disqualify any submission on one or more of the
following grounds. If the Bidder:
a) is bankrupt, or is being wound up, or whose affairs are being administered by the Court, who has
     entered into an arrangement with creditors or who has suspended business activities or who is in
     any analogous situation arising from a similar procedure under national laws and regulations;
b) is the subject of proceedings for a declaration of bankruptcy, for an order for compulsory winding
     up or administration by the Court or for an arrangement with creditors or of any other similar
     proceedings under national laws or regulations;
c) has been convicted of an offence concerning his/her professional conduct by a judgement which
     has the force of res judicata in accordance with the laws of Malta;
d) has been declared guilty of grave professional misconduct proven by any means which the
     FOUNDATION MELITENSIS can demonstrate;
e) has not fulfilled obligations relating to the payment of social security contributions in accordance
     with the legal provisions of Malta or the country in which he/she is resident;
f)   has not fulfilled obligations relating to the payment of taxes in accordance with the legal
     provisions of Malta or the country in which he/she is resident;
g) is guilty of misrepresentation in supplying the information required under this contract notice or
     has not supplied such information.




1.9.      The Evaluation Methodology

The entire evaluation procedure is confidential and the Evaluation Committee meetings will be held in
closed session. The members of the Evaluation Committee are bound to secrecy. The evaluation
reports and written records, in particular, are for official use only and may not be communicated
either to the Bidders or to any party.




1.10. Publication of Results

Once the Board of the Foundation approves the recommendations made by the Evaluation
Committee, the FOUNDATION MELITENSIS will advise all Bidders of the result of the evaluation by
publishing the results on the website http://www.cospicuaparish.org.mt/. The results will be also
published on the parish church of Bormla’s notice board on behalf of Foundation Melitensis. A period
of five working days shall be allowed to provide for any possible appeals, to be made before the next
stage of the process can be proceeded with.

1.11. Right of Recourse

Bidders may accede to recourse by submitting a letter of appeal to the FOUNDATION MELITENSIS
within the period described in Section 1.10 above. The FOUNDATION MELITENSIS shall consider any
appeal and reserves the right, if required, to review its decision accordingly.




1.12. Arbitration

Any dispute, controversy or claim arising out of, or relating to this contract, or the breach,
termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the
Malta Arbitration Centre as at present in force.




1.13. Data Protection Clause

The information collected on this form shall be processed in accordance with the Data Protection Act
2001. The contents of this Document are and intended solely for the use of this Tendering process,
and will not be disclosed or copied without the Bidder’s consent to anyone outside the FOUNDATION
MELITENSIS unless the law permits otherwise.

Requirements


1.14. FOUNDATION MELITENSIS Profile

The Foundation Melitensis is a young local organisation that undertakes project initiatives in the field
of culture. It is an autonomous non-profit organization, with philanthropic aims. It has a distinct legal
personality and its statute allows it to enter into contracts and in implementing ERDF 145 EU funded
project. The Founders and members have extensive academic and work experience in various facets
within the socio-cultural field, comprising musical festivals, restoration projects, and management and
implementation of various EU-funded projects.


ERDF 145 – (Reviving Cospicua’s Architectural Soul through a Series of Museum Spaces)
EU-Funded Project involves the creation of a cultural hub in Bormla with the Parish Church and the
proposed museum at the centre of this activity.


This project is the first phase that in the words of the Promoters ‘is a micro initiative to revive one of
Cospicua’s most important monuments, the parish church through the creation of a series of museum
spaces and cultural itineraries. This particular building is considered by all the members of the
community of this locality as the architectural soul of Bormla.’




1.15. Required Services

FOUNDATION MELITENSIS requires Project Management in connection with the following activities:
1.    The restoration of parts of the church’s exterior and interior infrastructure, including:
            a. the northern and southern front façade bell towers;
            b. the restoration of the bells;
            c.   the restoration of the exterior of the historical oratory annexed to the Church;
            d. the general restoration of broken stones and dolphin stones;
            e. the creation of a passage linking the oratory with the main chapter hall.


2.    The restoration of paintings (Cupola of the chapel of the Crucifixion);


3.    The redevelopment of parts of the church annexes into a site-specific museum for the display
      of the historical and cultural artefacts. This work includes:
      a. the rehabilitation of the block of buildings situated at the side of the church to become part
          of the Parish Museum;
      b. the rehabilitation of houses at the back of the church to be used as depository for historical
          artefacts;

         c.     the creation of series of dynamic, interconnected passages linking the museum with the
                Church and historic halls annexed to the church;
         d. the introduction of a solar panel system for energy generation.


4.       The restoration of the historic grand organ.
The responsibilities of the Project Manager shall include:


•    the management of process for issuance and adjudication of Tenders by preparing all necessary
     documentation and providing technical and logistical support to FOUNDATION MELITENSIS.
     These tenders will be operated in parallel throughout the planning and project implementation
     stages, and include:            Tender/Call 2 - (Supervisory)
                                     Tender/Call 3 - (Organ restoration)
                                     Tender/Call 4 - (Paintings and furniture restoration)
                                     Tender/Call 5 - (Structural works)
                                     Tender/Call 6 - (Museum works)
                                     Tender/Call 7 - (Photovoltaic Panels)


•    implement decisions on the project and seek necessary approvals by the FOUNDATION
     MELITENSIS, for the following activities:
     o        creating and executing project work plans and revising, as appropriate, to meet changing
              needs and requirements;
     o        identifying resources required and assigning individual responsibility;
     o        managing day-to-day operational aspects of the various projects and scope;
     o        ensuring that appointed contractors deliver according to agreements and in case of default,
              report to the FOUNDATION MELITENSIS accordingly;
     o        effectively applying best practice project management standards, tools and techniques;
     o        preparing for engagement reviews and quality assurance procedures;
     o        minimising the exposure and risk on the project for FOUNDATION MELITENSIS;
     o        ensuring that health and safety standards are adopted throughout all the various phases of
              the project;
     o        ensuring project documents are complete; maintained current; and stored appropriately for
              review by the FOUNDATION MELITENSIS and any officials appointed by FOUNDATION
              MELITENSIS or reviewing authorities;
     o        keep an inventory of equipment and of items procured under this project;
     o        tracking and reporting of project hours and expenses on a monthly basis;
     o        adhering to the project budget:
     o        verifying invoices prior to submission for payment by the FOUNDATION MELITENSIS.
     o        Liaise with horizontal stake holders, such as the Managing Authority (P.P.C.D.), Department
              of Contracts, MEPA and other entities which are of relevance to this Project.

      o   Assist the Project Leader in the compilation of Project Progress Report and any other
          monitoring requirements or documentation requested by the Managing Authority (P.P.C.D.)
          and/or the Project Leader



All actions taken by the Project Manager are subject to prior approval and authorisation of the
FOUNDATION MELITENSIS.




1.16. Terms of Engagement

The Project Manager is expected to dedicate any hours necessary to fulfil the requirements of the
Contract and will be available on-site whenever requested by the Foundation Melitensis. The
contractual agreement will be a ‘Contract for Service’ type of contract and not an employment
contract.


The engagement will be for the duration of the Project and subject to a probation period of 1 (one)
year. It is envisaged that the Project will take a maximum total duration of four years.




1.17. Required Qualifications and Experience

The FOUNDATION MELITENSIS is looking for nominated individuals with the following qualifications,
competencies, skills, knowledge and experience:


1.        A recognised first degree which qualifies the individual to manage a project of this nature;
2.        At least three years project management work experience in this area;
3.        Proven track record on Project Accounting and Project Auditing;
4.        Good working knowledge of both English and Maltese;
5.        Excellent supervisory skills;
6.        Relevant accounting knowledge;
7.        Experience in the application of health and safety standards relevant to such project;
8.        Experience in managing EU funded projects shall be considered an asset;
9.        Good writing skills;
10.       Familiar with Operational Programme 1 and the Manual of Procedures for Beneficiaries as
          published by the Managing Authority (P.P.C.D.).


Applicants may be requested to produce a recognition statement on comparability of qualifications
issued by the Malta Qualifications Recognition Information Centre (MQRIC).

1.18. Financial Offer

Tenders must be presented in Euro.

Bidders are invited to quote for the entire project, as outlined in Section 3 of Appendix A - Tender
Response Form


The budget available for this tender is €47,200.00 (including VAT).

The Financial offer must be presented as an amount in euro and must be submitted using the
template for the global-price version of Section 3 of Annex A – Tender Response Form of this Tender
Dossier. While a global price must be quoted, however, a breakdown of the cost of all deliverables on
a per Tender basis must be included.


The prices for the contract must include all of the services to be provided. The prices quoted are fixed
and not subject to revision or escalation in costs.


VAT and all other taxes are to be quoted separately.




1.19. Tender Guarantee (Bid Bond)

Bidders must submit a Tender Guarantee (Bid Bond) for €4720 (Four Thousand Seven Hundred
Twenty Euro), being 10% of the budget available for this Tender (vide Section 1.18). The Tender
Guarantee must be an original and valid guarantee presented in the form specified in Appendix B.
The Guarantee must be issued by a local Maltese Bank or a Financial Institution licensed by a
recognised Financial Regulator in the country where the Tenderer is located and who assumes
responsibility for claims and payments to the amount as stated above. It must remain valid for a
period of 120 (one hundred twenty) days from the closing date of Tenders. The Tender Guarantee
must be drawn up in the name of the FOUNDATION MELITENSIS, c/o Ufficcju Parrokjali Bormla, Triq
il-Gendus, Bormla. Tender Guarantees provided by Tenderers who have not been selected shall be
released within 30 calendar days from the signing of the contract. The Tender Guarantee of the
successful Tenderer shall be released on the signing of the contract, and on submission of a valid
Performance Guarantee.

Offers that are not accompanied with the mandatory Tender Guarantee (Bid Bond) by the Closing
Date and Time of the Tender will be automatically disqualified.

Evaluation of tender submissions will be on the basis of the criteria listed below. The evaluation will
be carried out on the merits of the individual nominated as Lead Project Manager. The evaluation
criteria are:

•        Quoted price 30%
•        Resilience of the Proposal 10%


Resilience of the Proposal shall be evaluated on the basis of the qualities of the Assistant Project
Manager submitted. The FOUNDATION MELITENSIS reserves the right to introduce additional
evaluation procedures including, but not limited to, interviews and psychometric tests.




1.21. Award Criteria

The contract will be awarded to most economically advantageous Tender.

Financial offer must be submitted in Euro currency, including VAT. It is advisable that Bidders submit
a breakdown of the cost of all deliverables.


The prices for the contract must include all of the services to be provided. The prices quoted are fixed
and not subject to revision or escalation in costs.

In this section kindly submit details on experience of nominated person to fulfil role as Lead Project
Manager which is relevant to the subject of this tender, together with your intention on the way how
you are going to achieve the objectives as set out in Section 2.2 – Required Services. Write-ups, each
of approximately 200 – 500 words in length, including salient and key information in point-form,
should be submitted on experience and on each proposal to achieve stated objectives. If Bidder
indicates an Assistant Project Manager, a similar profile is to be presented for the Assistant Project
Manager as well.

FOUNDATION MELITENSIS, result in severance of any or all contracts of supply between an offending
Bidder and FOUNDATION MELITENSIS. This shall not prejudice any rights pertaining to FOUNDATION
MELITENSIS which rights shall have arisen prior to any severance of contract as above stated.

Appendix A.              Tender Regulations


1     FOUNDATION MELITENSIS is not bound to accept the lowest priced or any Tender.


2     Any soliciting will render the Bidder'(s) proposal invalid. If evidence of canvassing is discovered
      after award of tender, FOUNDATION MELITENSIS shall be entitled to cancel any agreement or
      contract with the offending Bidder. The Bidder will also be liable for any damages incurred by
      FOUNDATION MELITENSIS directly arising from such a cancellation.


3     The tender will be conducted in English, and all documentation and correspondence will be in
      ENGLISH ONLY.


4     During the tender evaluation, the Bidder may be asked to supply further clarification to his/her
      proposal and any additional documentation relating to his/her solution.


5     Bidders are required to provide upon request a certificate issued by the Employment and
      Training Corporation (ETC), indicating the number and details of employees duly registered
      with the Corporation. Equivalent national certificates are to be provided by non-Maltese bidding
      entities.

      Any Bidder who fails to provide the required certificate when requested to do so, will not be
      eligible for the award of the contract. With regard to supply contracts, FOUNDATION
      MELITENSIS reserves the right to request the submission of the ETC Certificate, or equivalent
      national certificate in the case of non-Maltese bidders, prior to the award of the contract, in
      respect of that part of the contract which may involve local labour. This will apply also in those
      cases where the Bidder is a foreign firm that intends to utilise local subcontracting for the
      elements of the contract just mentioned. The proviso in the last sentence of the preceding
      paragraph shall also apply in such cases.



6     Bidders shall bear all costs associated with the preparation and submission of their tender and
      any costs incurred in preparing subsequent presentations or attendance at same. FOUNDATION
      MELITENSIS shall not be responsible or liable for any costs or expenses regardless of the
      conduct or outcome of this tender process.



7.    Bidders are expected at all times to honour their commitment if awarded the contract.
      Performance monitoring of the contract will influence the adjudication of future tenders.

8.    Bidders must submit a Tender Guarantee (Bid Bond), as detailed in Section 1.19, in the form as
      presented in Appendix B.



9.    Successful Bidder must submit a Performance Bond on signing of Contract.



10.   Successful Bidder must submit a correctly filled-in Financial Identification Form within 15
      calendar days of receiving the Contract (against acknowledgment of receipt) from the
      FOUNDATION MELITENSES.



11.   Bidders may attend to the opening of the Tender Box, upon closing date of the Tender, being
      Friday 7th May 2010 at 12:00 hrs, at APS Consult Ltd, 20 APS House, St Anne Square, Floriana.



12.   Bidders may view publication of Results online on website http://www.cospicuaparish.org.mt/

      and on the Notice Board located at Ufficcju Parrokjali Bormla, Triq il-Gendus, Bormla.



13.   A receipt will be issued for Tenders submitted.

Appendix B.                          Tender Guarantee Form (Bid Bond)


[On the headed notepaper of the financial institutions providing the guarantee]
Whereas the FOUNDATION MELITENSIS has invited Tenders for

whereas .................................................................................... [Name of Tenderer] (hereinafter
referred to as the Tenderer) is submitting such a tender in accordance with such invitation, we
................................................... [Name of Bank], hereby guarantee to pay you on your first
demand in writing a maximum sum of Four Thousand Seven Hundred Twenty Euro (€4720) in case
the Tenderer withdraws his tender before the expiry date or in the case the Tenderer fails to provide
the Performance Bond, if called upon to do so in accordance with the Conditions of Contract.


The Guarantee becomes payable on your first demand and it shall not be incumbent upon us to verify
whether such demand is justified. This Guarantee is valid for a period of one hundred and twenty
(120)      days       from      the     closing       date      of     submission         of     Tenders,        and       expires          on   the
.................................... Unless it is extended by us or returned to us for cancellation before that
date, any demand made by you for payment must be received at this office in writing not later than
the above-mentioned expiry date.


This document should be returned to us for cancellation or utilisation or expiry or in the event of the
Guarantee being no longer required.


After the expiry date and in the absence of a written demand being received by us before such expiry
date, this Guarantee shall be null and void, whether returned to us for cancellation or not, and our
liability hereunder shall terminate.
