                               Open-End Contract for Services of Property Attorneys


Section 1            Services Required

The West Virginia Higher Education Policy Commission (Commission) is seeking proposals from property
attorneys to provide legal services on an open-end contact basis for the following services:

         Title services and opinions;
         Deed preparation;
         Acquisitions and financing;
         Preparing lease and lease-purchase agreements;
         Coal, oil and gas;
         Condemnations;
         Assisting the Commission in negotiating with property owners; and
         Other legal services related to property transactions.

The Commission intends to enter into an agreement with a firm, partnership, or single practitioner,
depending on what is in its best interests. The agreement may also be used by the West Virginia Council
for Community and Technical College Education and the state institutions of higher education.

The initial agreement will be in effect for one year with options to renew for four additional years. The
Commission will pay for services on an hourly rate basis or may negotiate a fixed fee with the attorney.
Expenses will be paid at actual cost as documented by receipts. Travel will be reimbursed according to
higher education travel regulations.

Section 2            Qualifications

Attorneys with whom the Commission will enter into contracts must meet the following qualifications:

     1. The lead or principal attorney must have at least ten years experience as a property attorney
        licensed to practice in West Virginia.
     2. Associates and principal support staff must have a proven record of providing services in their
        areas of specialization and expertise.
     3. Must be familiar with State law governing higher education at both the system level and the
        institutional level, particularly as it relates to property transactions.
     4. The successful attorney(s) must be able to be appointed as a Special Assistant Attorney General
        by the Attorney General’s Office in order to provide services to the Commission.

Section 3            Proposal Format

Please submit an original proposal containing the following information:

     1. Overview of the firm’s organization and principal areas of practice.
     2. Resumes and qualifications of principal attorney, associates and key support staff who will
        provide the services requested in this RFP.
     3. Hourly billing rates for the principal attorney, associates and key support staff.

Questions that require an interpretation of the RFP requirements or submittal of proposals must be
directed to the Chief Procurement Officer in writing and received not later than 5:00 p.m., April 7, 2010.
Written responses will posted by April 9, 2010 on the Commission’s purchasing webpage at the following
URL: https://wvhepc.org/purchasing/

It is the responsibility of the vendor (attorney/firm) to check this webpage for current information regarding
this RFP.

Discussions, interviews and negotiations may be held with attorneys/firms under final consideration prior
to making a selection for award; however, proposals may be accepted without such discussions,
interviews and negotiations. An award will be made based on qualifications, services offered and cost; it
will not be made base on cost only.

Section 7            Submittal of Proposals

Proposals will be received until 3:00 p.m., April 14, 2010. Deliver sealed proposals in an opaque
envelope marked with the RFP number, opening date and time to:

After an award, proposals will become a matter of public record and open for inspection. After the
opening, proposals shall be come the property of the Commission and will not be returned. The
successful firm will receive a purchase order issued by the Commission.
