1. INTRODUCTION

1.1   Hashoo Group; The Client
       Established in 1960, through the inspirational vision of Mr. Sadrauddin Hashwani,
       the Hashoo Group is today known as a leading brand name that has vast business
       interests ranging from hotels, real estate, oil exploration, pharmaceuticals and
       ceramics in the Middle East, Africa, Europe and other parts of the world.

1.2   Pearl City Multan; The Project
       The project, Pearl City Multan encompasses approximately 45 acres of land and
       consists of the development of Residential Villas, Shopping Complex, Commercial
       Office Tower, Community Club, Medical Centre and the Pearl Continental Hotel.

       1.2.1 Pearl City Residential Villas
             Residential development comprises of 330 villas of sizes ranging from 10
             Marla to 1 Kanal. The 1 Kanal villas are categorized in three different types;
             Imperial, Majestic and Platinum, each type has its unique design and layout.
             Other villas of 10 Marlas are also categorized in three types; Royal, Crown
             and Dynasty.

       1.2.2 Pearl City Shopping Complex
             This world class shopping complex is Ground plus three stories with a
             basement for parking. The approx covered area of the shopping complex is
             250,000 square feet. Its world class amenities encompasses wide open
             corridors, a food court, Cineplex, bowling alley, parking, standby generators,
             elevators and a vigilant security system.

       1.2.3 Pearl City Tower
             Pearl City Tower is a commercial office tower that offers an unmatched
             working environment and provides a range of services such as conference
             rooms, uninterrupted power, security system, car parking and other facilities.
             Tower has approx 150,000 sq. feet covered area with Basement, Ground and
             18 upper floors.

       1.2.4 The Pearl Continental Hotel
             The signature Pearl Continental Hotel complements the richness and
             exclusivity of Pearl City, consisting recreational, leisure and work related
             facilities like world class luxury room, restaurants, swimming pool, health
             club, Spa, banquet hall and conference rooms.

       1.2.5 Amenities and Facilities
             The development includes the construction of Community club, Medical
             Center, School, Mosque and Parks. Infrastructure works such as Water
             Supply including storage tanks, underground Electric System, Gas supply,
             Irrigation, Sewerage System including treatment system, Storm Water
             Drainage System, Road Networks and Hard and Soft Landscaping works are
             the part of development.

2. DEFINITIONS

   a. "Project" means Pearl City Multan as more particularly described in the project
       introduction in this document.

   b. “The Employer” means Pearl City Multan, the Project of Hashoo Group of
       Companies.

   c. "Employer's Representative" means such person appointed and notified by the
       Employer in writing to the Engineer from time to time to act as Employer's
       Representative for the purposes of this Agreement.

   d. “The Engineer” means the party to which a request to proposal is issued for the
       purpose of submitting a consultancy proposal regardless of whether or not any
       particular such party completes and submits a proposal.

   e. "Engineer's Representative" means the person for the time being in office as the
       Engineer's Representative pursuant to Clause 2.4.

   f. “Local Currency” means the currency of the Country.

   g. “Notice to Proceed” means the notice to proceed issued by the Employer to the
       Engineer in writing authorizing the Engineer to proceed with the Services.

   h. "Services" means the services to be performed by the Engineer in relation to the
       Project in scope of works described in this document.



3. EMPLOYER’S OBJECTIVE

   3.1    Performance
          To provide a project of the specified quality, achieve desirable low maintenance,
          efficient and economical buildings within constraints of the Project Budget.

   3.2    Time
          To complete the project within specified time.

   3.3    Cost
          To complete the Project within the Project Budget and to effect savings within the
          budget without compromising the performance and time and objectives

4. SCOPE OF WORK

   4.1.   General Responsibilities

          a. The Engineer will be responsible for supplying the necessary human
             resources, systems and procedures required to effectively deliver the
             services and the procurement of construction contracts in accordance with
             the scope of work.

          b. The Engineer shall obtain all relevant information and data necessary to
             perform its obligations.

          c. The Engineer for all administrative issues as described in the Conditions of
             Contract for Construction published by the Federation Internationale des
             Ingenieurs-Conseils (FIDIC) and the “Particular Conditions” which include
             amendments and additions to such General Conditions.

          d. The Engineer shall be performing the role of the Engineer under the
             Construction Contracts, in relation to the works to ensure that the Project as
             constructed is fit for the purposes intended.

          e. The Engineer shall in performing the Services take due account of the
             Employer’s primary objectives in relation to the Project as described in
             this document.

          f.   The Engineer shall co-operate, co-ordinate and liaise with other
               consultants appointed by the Employer to provide professional services in
               relation to the Project.

          g. In addition to the scheduled meetings, the Engineer shall as requested by
             the Employer from time to time attend and participate in other meetings
             held in relation to the Project and prepare minutes thereof where
             appropriate.

          h. Consult and attend meetings as necessary with the relevant authorities
             and departments in relation to the Project and prepare minutes thereof
             where appropriate.

          i.   During the whole project lifecycle, the Engineer shall take part in value
               engineering exercises with the Employer, Design Consultants, based on
               the cost estimate to investigate alternative materials and design solutions
               to achieve cost-effective and aesthetic solutions.

   4.2.   Master Schedule

          a. The Engineer shall prepare master schedule (level1 and level 2 schedules)
             based on the timelines provided by Employer. The master schedule shall
             include but not limited to Bar Chart/ Timelines showing Early and Late Dates
             for design, tender and construction activities, Cost profiles based on available
             estimates and estimated staff requirement by the Engineer.

          b. Master schedule shall be updated on the monthly basis and detailed report on
             schedule shall be presented to the Employer by the Engineer.

          c. The Design Consultant has developed in conjunction with the Employer, the
             Project Design Brief, which is described in this document. The Engineer shall
             prepare a Preliminary Budget Estimate and Preliminary Cash Flow based on
             this report. At time of the Engineer’s appointment the Design Phase will have
             progressed into the Concept Design - Stage 2, therefore the Engineer must
             mobilize his personnel immediately in order to produce these cost information
             promptly.

   4.3.   Design Phase
          During this Phase, the Engineer shall work closely with the other consultants and
          specialists under the management of the Employer, on producing the full design
          and tender documents for the Project. The Consultant during this Phase shall be
          responsible for but not be limited to:

          a. Prepare reports from time to time as required by the Employer on matters
             relating to the cost of the Project.
          b. Actively participate in the Change Management process throughout the life of
             the development in accordance with established procedures.
          c. The Consultant shall participate as a proactive team member in value
             engineering workshops and meetings.
          d. The Consultant shall, in performing the Services, use his best endeavors to
             identify those economic solutions which are most suited to the requirements
             of the Project.
          e. Attend and participate in Progress Meetings with the Employer, other
             consultants and contractors as required.

   4.4.   Tendering Phase
          During tendering stage, the Engineer will provide Risk Management services by
          reviewing contract documents and producing a balance contract document and
          selecting the most competent contractor for the works.

          a. Bid Package Preparation:
             The Engineer shall assist Employer in preparing bid packaging strategy and
             prepare a master schedule Architect/Engineer will be responsible for
             developing all contract drawings and specifications for the design packages.

               TEAMS will prepare the special conditions which will include phasing and
               trade coordination. The Engineer will prepare the special conditions which will

          b.   Prequalification of Contractors
               The Engineer shall make recommendations and assist the Employer in
               selecting the preliminary list of Contractors to submit an expression of interest
               in tendering for the Project.
          c.   Review of Tender Documents
               The Engineer shall review the tender documents (including Drawings,
               specifications, bill of quantities, Engineer’s Estimate etc.) in coordination with
               the Employer and Design Consultant so as to propose suitable
               recommendations for facilitating efficient and quality execution of the project
               and safeguard the Employer’s interest during the execution of the project
               against delays, cost overruns and other financial aspects.
          d.   Preparation of Conditions of Contract
               The Engineer shall prepare the special conditions which will include phasing
               and trade coordination.
          e.   Response to Queries during tendering period
               The Engineer shall act as a coordinator during tendering phase. All queries
               related to tenders shall come to the Engineer, who shall then prepare a
               comprehensive response and issue an addendum to all bidders.
          f.   Evaluation of Bids
               The Engineer shall be responsible for the technical and financial evaluation of
               bids and submit a detailed evaluation report with the recommendations.
          g.   Negotiations with Bidders
               The Engineer shall assist the Employer with his technical expertise during
               negotiations phase.
          h.   Award of Construction Contract
               The Engineer shall prepare contract agreement and assist the Employer in
               finalizing and awarding the contract with Contractors.



   4.5.   Construction Phase

   4.5.1 Construction Project Management

          a.         Schedule and Progress Reporting
               •   Review and approval of programmes submitted by the Contractor.
               •   Within seven days after the end of each month prepare and submit to the
                   Employer the number of copies of a progress report in such form and with
                   such detail as the Employer shall reasonably require including without
                   limitation the contract particulars, a comparison of progress against the
                   programme, lists of outstanding issues and claims notifications, quality
                   issues, safety matters, submittals status including approval status,
                   materials submittals status, as-built drawings and operations and

                   maintenance manuals status, warranties status and Variation Orders and
                   proposed Variation Orders including justification.
               •   As appropriate, instruct the Contractor to open up completed work to
                   confirm or otherwise that it is in accordance with the Construction
                   Contract

          b.         Document Control and Project Management Information System
               •   Utilize the Employer's project management technology platforms where
                   applicable to improve the efficiency of data management and
                   provide/incorporate any data requested by the Employer in relation to the
                   project management systems.
               •   Set up and maintain document control systems in relation to the Project.
               •   Issue to all documentation required for the construction of works.

          c.         Progress and Special Meetings
               •   Attendance and participation at Start-up Meetings, Site Meetings,
                   Progress Meetings and (as requested) other meetings
               •   Arrange weekly site meetings to monitor and discuss the progress of the
                   Works and other matters relating to the construction of the Project
                   including chairing the meetings and preparing and distributing the
                   minutes. The consultant should provide a comprehensive record of the
                   history and current site progress in graphical, analytical form during the
                   weekly site meetings in addition to any data requested by the
                   Employer/Project Manager. The site progress should be presented in a
                   comprehensive form linking it with the project schedule.
               •   Arrange technical meetings as required including chairing the meetings
                   and preparing and distributing the minutes.

          d.         Permits and Licensing
               •   Advice the Contractor of the permits, licenses, certificates and the like
                   required to be collected by the Contractor from the relevant authorities
                   and departments and monitor the Contractor’s compliance.

          e.         Approvals and Procedures
               •   Review and approval of the Contractor’s proposed procedures in respect
                   of health, safety and security matters and monitors the Contractor’s
                   adherence thereto.
               •   Review and approval of the Contractor’s procedures manuals applicable
                   to the Works including method statements and monitor the Contractor’s
                   adherence thereto.
               •   Review and approval of shop drawings, product data, samples, inspection
                   and test reports and other Contractor submittals.
               •   Respond to technical queries, clarifications and the like raised by the
                   Contractor.
               •   Check that the Contractor prepares and maintains Project records
                   including as-built drawings as the Works proceed.
               •   Approve all materials.

          f.         Inspections and Sampling
               •   Carry out off-site inspections of materials and equipment as necessary.
               •   Issue Site Instructions in accordance with the Construction Contract.
               •   Instruct the Contractor to take samples as required.

          g.         Project Closing
               •   Prepare lists of defects for all trades and issue to and check rectification
                   by the Contractor.
               •   Check and approve the Contractor’s as-built drawings and operations and
                   maintenance manuals.
               •   Compile all approved as-built drawings, operations and maintenance
                   manuals and other Project records and deliver to the Employer.
               •   Ensure that the Contractor provides all warranties and guarantees
                   required in accordance with the Construction Contract.
               •   Instruct the Contractor to carry out all tests required under the
                   Construction Contract and attend all such tests. Inform the Employer of
                   the proposed date, time and place of all tests in sufficient time to enable
                   the Employer to have the opportunity of attending. Maintain a record of all
                   such tests including test certificates.
               •   Issue Taking-Over Certificates
               •   Establish suitable procedures for the identification, notification and
                   rectification of defects during the Defects Liability Period and for the final
                   inspection of the Works prior to the issue of the Final Certificate taking
                   into account the need to avoid disturbance to normal operations and use.
               •   Carry out inspections of the Works at monthly intervals (or such shorter
                   intervals as may be necessary) during the Defects Liability Period and
                   thereafter as necessary to:
               •   Confirm that all work outstanding on the date of issue of the Taking-Over
                   Certificate has been completed and all defects previously notified to the
                   Contractor have been remedied; and
               •   Identify any further defects and notify the Contractor of such further
                   defects.
               •   Submit a report to the Employer within seven days of each such
                   inspection giving details of the current status of works completed, defects
                   remedied and outstanding works and defects.
               •   Carry out a final inspection after the end of the Defects Liability Period
                   and prior to the issue of the Final Certificate to confirm that the Works
                   have been carried out and completed in accordance with the Construction
                   Contract.

   4.5.2 Quantity Surveying and Contract Administration
         a.      General
            • Carry out the role of the Engineer under the Construction Contract with
               due expedition and without delay.
            • Administer the terms of the Construction Contract and carry out regular
               inspections of the construction and materials delivered to site to ensure
               that the Works are constructed in accordance with the Construction
               Contract.

          b.         Bonds and Insurances
               •   Reviewing Performance Bonds and Advance Payment Bonds submitted
                   by the Contractor and advising the Employer on their compliance or
                   otherwise with the Contract. Advising the Employer on any extensions
                   needed to such Bonds.
               •   Checking that the Contractor complies with its insurance obligations under
                   the Construction Contract provided that the wording of the policies of
                   insurance shall be checked and approved by the Employer’s insurance
                   brokers
               •   Reviewing the non-technical content of guarantees and warranties
                   submitted by the Contractor and reporting thereon to the Employer and
                   the Engineer

          c.         Cost Reports
               •   Providing cost reports to the Employer each month (or at such other
                   intervals as may be requested by the Employer) until the completion of the
                   Services in such form and with such details as the Employer shall require
                   including without limitation the estimated final account, a comparison with
                   approved contract expenditure, the cost effect of Variation Orders and
                   Variation Order Requests under consideration, the cost effect of claims
                   (actual and potential) for additional payments, adjustment of Provisional
                   Sums, the status of the re-measurement of the Works as executed (where
                   applicable) and cash flow forecasts

          d.         Payments Certifications
               •   Checking advance, interim and final payment applications received from
                   the Contractor, adjusting as necessary and making recommendations to
                   the Engineer for payment certification purposes
               •   Maintain register of payments
               •   Checking the priced statements submitted by the Contractor in respect of
                   any work carried out on a day-work basis including the accompanying
                   substantiation, adjusting as necessary and reporting to the Engineer
               •   Administration of Provisional Sum expenditure
               •   Re-measuring and pricing the works (where applicable), obtaining the
                   approval of the Employer and the Engineer and achieving agreement with
                   the Contractor

               •   Issue the Engineer’s certificates of payment.

          e.         Variation Orders
               •   Maintain register of Variation Orders, both issued and under
                   consideration, including details of approval status and estimated or
                   agreed cost
               •   Assist in the preparation of Variation Orders including preparing and/ or
                   amending drawings and specifications, if applicable.
               •   Advising the Employer and the Engineer on cost and contract matters
                   generally including estimates of the cost of proposed Variation Orders
               •   Establishing the value of Variation Orders, obtaining the approval of the
                   Employer and achieving agreement with the Contractor

          f.        Claims

               •   Advise the Employer of potential claims and claims avoidance.
               •   Advise the Employer as to the validity or otherwise of claims for
                   extensions of time submitted by the Contractor under the Construction
                   Contract.
               •   Examining claims notices and submissions in relation to additional
                   payments and advising the Engineer on their validity. Advising of
                   potential claims and claims avoidance
               •   Prepare and submit to the Employer on a monthly basis reports on the
                   status of all claims for additional payments or otherwise submitted by the
                   Contractor under the Construction Contract.
               •   Provide advice and assistance to the Employer and the Engineer on
                   claims notices and submissions in relation to extensions of time. Advising
                   of potential claims and claims avoidance

          g.         Project Closing
               •   Provide advice to the Employer in relation to any entitlement to liquidated
                   damages under the Contract
               •   Prepare and submit to the Employer a preliminary handover report and
                   assist the Employer in the handover process.
               •   Checking the Final Account submitted by the Contractor, adjusting as
                   necessary and making recommendations to the Engineer and the
                   Employer
               •   Review and approval of the technical content of guarantees and
                   warranties submitted by the Contractor including the period of validity.
               •   Issue Final Certificates.
               •   Contribute to feedback reviews.
               •   Carry out all other duties of the Engineer under the Construction Contract
                   not referred to elsewhere in this Sub-Clause including during the Defects
                   Liability Period and thereafter up to and including the issue of the last
                   Final Certificate.
               •   Contribution to feedback reviews including analysis of Final Account.

5. CONSULTING FEE

   Conditions

   a. Contract Period shall be 36 months

   b. Payments to the Engineer shall be made based on the man-month rates.

   c. Man-month rates based on minimum sixty (60) hours working per week over
      Six (06) days a week.

   d. The deployment/mobilization/demobilization of Engineer’s staff shall be at the
       discretion/approval of the Employer in accordance with the pace and progress of
       works. The position required will be determined by the Employer keeping in view the
       construction Schedule and requirements of the Engineer’s staff.

   e. Man-months specified in this document are estimated and is subject to change in
       accordance with the pace and progress of work. The Engineer is not eligible to
       claim for loss of profit/ overheads in event of increase or decrease of total man-
       months.

   f. The Consultant monthly rates for each of the positions above shall remain fixed
       and applicable for the duration of the Contract.

   g. The Employer shall interview all Engineers’ Staff prior to mobilization and only
       approved staff from Employer could be mobilized.

   h. The Employer may at any time ,during the performance of the project including
       the defect liability period convey its dissatisfaction to the Engineer regarding the
       deliverables including but not limited to the quality, time duration or for any other
       matter effecting the project. The Employer also has the right to initiate claims to
       the Engineer in this regard specifying reasons for such claims.

   Documents, Personnel, Equipment, Facilities and Services
   To be Provided by the Employer

   As and when needed by the Engineer for the purpose of providing that part of the
   Services to be performed at the site of the Project in respect of which the Engineer shall
   perform such of the Services at the Project site which may be required to allow it to
   provide the Services in a timely and efficient manner, the Employer shall without charge
   provide to the Engineer fully furnished, equipped, site office at the Project site for use
   by the Engineer's personnel, together with utility, cleaning and maintenance services
   therefore and telephone, electronic mail and fax services thereat. The Employer shall
   pay all telephone, electronic mail and fax call charges reasonably incurred by the
   Engineer in the performance of the Services in the said site office accommodation. The
   Engineer shall ensure that its area of the site office accommodation is kept neat and
   tidy at all times to the satisfaction of the Employer.
