					                       MINUTES OF A SPECIAL MEETING / STUDY SESSION
                                          OF THE
                               TOWN OF GUADALUPE COUNCIL

A public meeting of the Mayor and Council of the Town of Guadalupe was held on WEDNESDAY,
NOVEMBER 10, AT 6:00 P.M., 9241 South Avenida del Yaqui, Guadalupe, Arizona, in the Council
Chambers. The following members of council were present:

                                          Vice Mayor Lupita Avelar
                                         Councilmember Gloria Cota
                                       *Councilmember Saturnino Flores
                                       Councilmember Rebecca Jimenez
                                         Councilmember Joe Sanchez
                                        Councilmember Laura Valencia

Town Attorney, David Ledyard
Town Clerk, Rose Mary Arellano
Comm. Dev. Coord., Gino Turrubiartes

The following matters were discussed, considered, and decided upon at the meeting:

A. The meeting was CALL ED TO ORDER by Mayor Yolanda Solarez.

B. ROLL CALL. was taken by the Town Clerk, Rose Mary Arellano.

C. CALL TO THE PUBLIC. An opportunity is provided to the public to address the Council on items that are
   not on the agenda or included on the consent agenda. Citizens are requested not to exceed a three minute time
   period for their comments. A total of 5 minutes will be provided for the Call to the Audience agenda item,
   unless the Council requests an exception to this limit. Please note that those wishing to comment on agenda
   items posted for action will be provided the opportunity at the time the item is heard.

D. DISCUSSION AND POSSIBLE ACTION ITEMS:

   1. Executive Session: A.R.S. 38-431.03 (A)3,4,7. - The Town Council may vote to go
      into closed executive session for the following purposes:

      a. To obtain legal advice from the Town Attorney concerning the requirements for a Town to
          provide fire services and possible alternatives- ARS 38-431.03 (A)3
      b. The Council may give directions to the Town Attorney and the Town Manager
         concerning possible negotiations concerning the sale, purchase, or lease of real and
         personal property and/or contractual negotiations relating to fire services-ARS 38-
         431.03( A)3,4,7.

   MOVED by Mayor Yolanda Solarez to go into executive session.
   SECONDED by Councilmember Laura Valencia

   OPPOSED – Councilmember Rebecca Jimenez.

   MOTION CARRIED.             6   - 0    (Councilmember Saturnino Flores not present for vote.)

   Council reconvened special meeting.


   2. TowerCo Cell Tower Lease Proposal.

   Mr. Hernandez stated council had declined a previous proposal by TowerCo in September and
  directed him negotiate the proposal.

   At Bill Hernandez’s request Mr. Jim Bingham, TowerCo Real Estate Director, addressed council
   regarding the TowerCo’s request on behalf of AT&T and Lightsquared for 410 sq.ft for a
   second station to place equipment on the existing tower. The request also entails an additional 10ft
   added to the tower’s height from 75ft to 85ft. required by Lightsquared. Mr. Bingham stated that
   TowerCo proposes an additional monthly rent to the town of $1900 which is the amount
   TowerCo will be paying the town once Clearwire commences.

    Vice Mayor Lupita Avelar thanked Mr. Bingham for his time to address the council
    personally because the proposed changes will be quite visible and will impact the community.


   3. Guadalupe Sales Tax.

  1. Guadalupe Boys & Girls Club – Jennifer Snyder, Branch Executive.

  Ms. Snyder was unable to attend. Mr. Tyler Vasquez, Youth Director, addressed council
  introducing candidates for the Youth of the Year and also inviting the council and the
  community to the Boys and Girls Club annual Thanksgiving Dinner to be held November
  18, at 6:00 p.m

  2. Proposed mural at Guadalupe Cemetery, Rita Monroy, Centro de Amistad.

  Ms. Monroy, Director of Centro de Amistad, requested permission for a coalition of artists
  to paint a mural on a wall at the town’s cemetery to convey cultural awareness.

  MOVED by Mayor Yolanda Solarez to authorize Centro de Amistad to use a wall at the
  Cemetery for a mural and to first bring for council’s review the final draft of the proposed
  mural.
  SECONDED by Councilmember Joe Sanchez.

  MOTION CARRIED UNANIMOUSLY.                  7 - 0


  3. Town Audit Report – Fiscal Year Ending June 30, 2010 – Colby & Powell, Certified Accountant.

  To be rescheduled.


  4. Building Lighting Energy Saving Enhancements Project – DOC Grant – Award of Bid.

  Mr. Hernandez stated the bid submitted was low and a change order to use the remaining amount
  will be forthcoming.

  MOVED by Mayor Yolanda Solarez to award the bid to Tillman Electric in the amount
  Of $42,557.40.
  SECONDED by Councilmember Joe Sanchez.

  MOTION CARRIED UNANIMOUSLY.                 7 - 0

*Councilmember Rebecca Jimenez left the meeting at this time.


  5. Agreement with Tri-Core Engineering for construction management services for La Cuarenta
     Curb, Gutter and Sidewalk Project – ARRA0803.

  MOVED by Mayor Yolanda Solarez to approve the agreement with Tri-Core Engineering
  for La Cuarenta Curb, Gutter and Sidewalk Project.
  SECONDED by Councilmember Saturnino Flores.

  MOTION CARRIED.          6 - 0


  6. Ordinance 2010-02 – An ordinance of the Mayor and Council of the Town of Guadalupe,
     Arizona, amending Chapter 12 of the Town Code of Guadalupe and adding new regulations
     for the use of Fireworks and Declaring an Emergency.

  and Council of the Town of Guadalupe, Arizona, amending Chapter 12 of the Town Code

  7. Ordinance 2010-03 – An ordinance of the Mayor and Council of the Town of Guadalupe,
     Arizona, amending the Guadalupe Town Code, Chapter 5, Magistrate Court, relating to Home
     Detention and Monitoring.

  MOVED by Mayor Yolanda Solarez to approve Ordinance 2010-03 An ordinance of the Mayor
  and Council of the Town of Guadalupe, Arizona, amending the Guadalupe Town Code, Chapter 5,
  Magistrate Court, relating to Home Detention and Monitoring.
  SECONDED by Councilmember Saturnino Flores.

  MOTION CARRIED          6 - 0

E. COMMENTS FROM THE COUNCIL.

  -Vice Mayor Lupita Avelar thanked the audience for coming to the meeting and looks forward
   to seeing the mural which she said will be beautiful. She wished everyone happy holidays.
  -Councilmember Saturnino Flores, no comments.
  -Councilmember Cota thanked the audience for their presence.
  -Councilmember Joe Sanchez also thanked the audience and said he was excited about the mural.

   Mr. Hernandez stated due to the Thanksgiving Holiday a special meeting will be held November
   23.

F. ADJOURNMENT .

   MOVED by Yolanda Solarez to adjourn.
   SECONDED by Councilmember Saturnino Flores.
