                                BROKER / CARRIER AGREEMENT

This agreement by and between Freight Race Transportation (“Broker”), MC# 720436 and
      MC#         (“Carrier”), located at  is entered into this   day of     , 20                 , to be effective
on the date signed.

RECENTALS:
1. Broker has been granted authority by the United States Department of Transportation and the Federal Motor
Safety Administration to arrange freight movement by a carrier as a property Broker.
2. Broker shall comply with said laws and regulations to maintain its authority to remain effective.
3. This agreement will be effective from the date signed by both Broker and Carrier.

IT IS AGREED AS FOLLOWS:
1. Contract Term shall be effective for one year from the date signed by the Broker and Carrier. This Agreement
Contract shall automatically renew itself for successive one year periods. Either party may terminate this
agreement at any time by written notice with or without cause given the other party 30 days notice.
2. “Carrier” is an “independent Contractor” and in the possession of, and responsible for, cargo tendered by
Shipper for transport. Carrier and/or shipper engage a lawful United States standard short form Bill of Lading,
as proof of their exclusive liability for Public and Cargo Safety, without reference to Broker. Subsequent to this
agreement contract, “Broker” will provide an Addendum Contract, hereinafter referred to as “Carrier Rate
Agreement” as part of a series of shipments under the continuing Agreement Contract indicating terms and
conditions for the individual transportation booking between “Carrier” and the Shipper outlined in the
“Carrier Rate Agreement” is proof of the primacy and control of the Bill of Lading during transportation.
Broker declares no interest in “Carriers” cargo, or responsibility for pick up/delivery appointments or any
control of “Carriers” personnel from beginning to end of transportation, as defined in the “Carrier Rate
Agreement”.
3. “Broker” agrees to offer available freight at the rate agreed (“Carrier Rate Agreement”) to the “Carrier”
that maintains compliance with Federal Motor Carrier Safety Administration (FMCSA) requirements, United
States Department of Transportation (USDOT) laws and regulations (Title 49 Code of Federal regulations), and
State and local government laws and regulations to points in the United States.
4. “Carrier” agrees to transport the freight per the Shippers requirements. Any reasons that may arise that
would delay or prevent the load being picked up and delivered, shall be immediately reported to the Broker.
This will allow the Broker to keep the Shipper updated on the shipments progress.
5. Upon completion of the delivery “Broker” agrees to collect from shipper and remit to “Carrier” payment
per the requirements of the “Carrier Rate Agreement” when the following has occurred:

a. The original proof of delivery (POD) has been received by the Broker. (This will be the Bill of Lading signed
and dated by the person receiving the delivery and/or a delivery receipt from the receiver stating the freight that
was delivered and customers purchase order number (PO).
b. The original receipts that the Carrier paid money for and was approved for reimbursement (“Carrier Rate
Agreement”).
c. All paperwork concerning the load (POD’S, Receipts, Carrier Rate Agreement, Carriers Invoice and any
other documents pertaining to the shipment must be mailed within 7 days of delivery to the Broker for payment.
It is the responsibility of the Carrier to maintain copies of the paperwork. In the event your paperwork doesn’t
get delivered to the Broker, the Carrier will be asked to forward a copy of the paperwork again by mail or sent
by overnight carrier.

6. Carriers must have purchased and shall maintain at least $100,000.00 of cargo insurance to compensate the
Broker, owner, or consignee for loss or damage of any shipment or freight that came into the possession of the
Carrier in connection with its transportation service. Carrier will also carry separate reefer breakdown insurance
if applicable. Furthermore, the carrier is required to carry Auto Liability in the amount of $1,000,000.00 with an
A-7 rated insurance carrier. Carrier will also provide the Broker with a certificate of insurance naming Broker
as an additional insured and loss payee. The said certificate shall require the insurance carrier to give the broker
written notice thirty (30) days prior to cancellation of insurance coverage.
7. Any changes concerning the Carriers operating authority and/or Carriers Insurance status (terminated,
revoked, canceled, or changed coverage) must be reported to the Broker immediately.
8. Carrier represents and warrants that it shall be liable to the owner of the goods for all losses, delays,
destructions, thefts, damage or liability of any and all kind arising out of the transportation of any and all freight
arranged by the broker, and for all losses, expenses, public damage and liability of any and all kind arising out
of its violation of any terms of the contract, and for any failure on the carrier’s part to comply with all
applicable laws and regulations, both federal and local.
9. Carrier shall protect, defend, indemnify and save broker harmless, and pay on demand for any and all claims,
losses, damages and expenses (including reasonable attorney’s fees) arising out of any of its actions, or
omissions in the performance of this agreement and otherwise identified herein.
10. Carrier will not be paid for transportation services if the freight (load) is re-brokered, re-assigned, or
Carrier allows the freight to be transported by any other Carrier without written approval of the Broker.
11. Carrier payment will be in the form of a check sent by US MAIL after payment has been received from the
shipper unless Carrier has opted for quick pay. (Fees apply).
12. In the event of any dispute or litigation arising out of the meaning, interpretation or breach hereof or
compliance or non-compliance with the terms of this agreement, the prevailing party shall be entitled to
reasonable attorney’s fees and other legal costs, to be paid by the losing party.
13. Any changes to this agreement must be in writing and agreed by both parties. Termination of this agreement
must be sent by registered or certified mail.
