                      Project Special Provisions
                                       General
This contract is for on-call erosion control measures in Nash & Wilson counties.

All work and materials shall be in accordance with the provisions of the General
Guidelines of this contract, the Project Special Provisions, the North Carolina
Department of Transportation Standard Specifications for Roads and Structures, July
2006, the North Carolina Department of Transportation Roadway Standards Drawings,
and the current edition of the Manual of Uniform Traffic Control Devices (MUTCD).

The Contractor shall keep himself fully informed of all Federal, State and Local laws,
ordinances, and regulations, and shall comply with the provisions of Section 107 of the
Standard Specifications.


                            Non-Exclusive Contract
The Department may, as it deems to be in the best interest of the state and the
Department of Transportation, execute more than one contract based on this proposal.
The Contractor(s) understands and agrees, by signature on the Purchase Order Contract
Bid Form, that this agreement does not constitute an exclusive contract. If awarded, the
contracts will be executed with the lowest responsible bidders. The Department of
Transportation reserves the right to make multiple awards for the services provided by
this contract. Furthermore, The Department reserves the right to reject all bids received.

                Contract Time And Liquidated Damages
The date of availability for this project is SEP. 1, 2007. The Contractor may not begin
work prior to this date.

The completion date for this project is AUG. 31, 2008. No extensions will be
authorized except as authorized by Article 108-10 of the Standard Specifications.

The contractor shall complete the work for each request for erosion control
measures within seven (7) calendar days of notification. Every effort will be made to
group areas of work together in order to minimize the amount of mobilization.

Liquidated damages for failure to complete the work for each request for erosion
control measures within seven (7) calendar days shall be Fifty Dollars ($50.00) per
calendar day per request not completed.

                                Term of Contract

The Contractor shall submit a bid for one year. At the option of the department, this
contract may be extended for two additional periods of one year each for a maximum
period of three years total. The unit bid prices will be increased by three (3) percent for
each one year extension. No changes in the terms, conditions, etc. of this contract will be
made when an extension to the contract is implemented. The Engineer will notify the
Contractor in writing by May 1st if the contract may be extended. The Contractor must
notify the Engineer in writing within 15 calendar days of his/her acceptance or rejection
of this offer. Failure on the part of the Contractor to reply will be considered as a
rejection of contract extension.

                   Small Business Enterprise Program
Bids are being solicited for this project under the provisions of NCDOT’s Small Business
Enterprise Program.

Your firm does have to be formally identified as a minority, woman, or disabled business
to qualify for this Program, your business must have had an annual income of $1,500,000
or less for the previous calendar year.

Under the provisions of this Program, a NC General Contractor’s License is not required.


                            Contract Bid Quantities
The Contractor shall note that the contract quantities are used for figuring the lowest
responsible bidder only. No minimum amount of work is guaranteed under this contract.


                                    Mobilization
As the need arises, the Engineer will notify the Contractor(s) and assign jobs for erosion
control. When the total amount due the Contractor(s) for all of the work on a given job is
less than the Unit Price for One Acre of Seeding and Mulching (Conventional), a
payment for “Mobilization” will be made on a per each basis. One payment for
“Mobilization” will be made for each job where the total amount otherwise due the
Contractor(s) for all work accomplished is less than the Unit Price for One Acre of
Seeding and Mulching (Conventional)

                          Notification Of Operations
        The Contractor shall notify the Engineer 48 hours in advance of beginning work
on this project. The Contractor shall give the Engineer sufficient notice of all operations
for any sampling, inspection or acceptance testing required.


                                Liability Insurance
The Contractor shall obtain from an insurance company, duly authorized to do business
in North Carolina, Public Liability and Property Damage Insurance to protect his
company and subcontractors performing work covered under this contract from claims
which may arise from operations under this contract. Insurance coverage shall be
maintained during the life of this contract and shall extend to operations performed by the
Contractor or his subcontractors, and by anyone employed directly or indirectly by either
of them.
Public Liability Insurance shall be in an amount not less than seven hundred and fifty
thousand dollars ($750,000.00) for injuries, including accidental death, to any one
person, and subject to the same limit for each person, in an amount not less than seven
hundred and fifty thousand dollars ($750,000.00) on account of one accident.
Property Damage Insurance shall be in an amount not less than two hundred fifty
thousand dollars ($250,000.00)
Proof of insurance shall be furnished to the Engineer prior to beginning work.

                      Driveways and Private Property
The Contractor shall maintain access to driveways for all residents and property owners
throughout the life of the project. The Contractor shall not perform work for private
citizens or agencies in conjunction with this project or within the project limits of this
contract.

                                     Safety Vests
All Contractors' personnel, all subcontractors and their personnel, and any material
suppliers and their personnel must wear an OSHA approved reflective vest or outer
garment at all times while on the project.

               Minority and Women Business Enterprises
Policy

It is the policy of the North Carolina Department of Transportation that minority and
women business enterprises shall have the maximum opportunity to participate in the
performance of contracts financed by Non-Federal Funds.

Obligation

The Contractor and any subsequent Subcontractor shall ensure that minority and women
business enterprises have the maximum opportunity to participate in the performance of
the work included in this contract. The Contractor and any subsequent contractor shall
take all necessary and reasonable steps to ensure that minority and women business
enterprises have the maximum opportunity to compete for and perform a portion of the
work included in the contract. Failure on the part of the Contractor to carry out the
requirements set forth herein shall constitute a breach of contract and after proper
notification, may result in award disqualification, termination of the contract,
disqualification from bidding, or other appropriate remedy.

Goals

Due to the nature of work in this contract, specific goals for participation by Minority and
Women Businesses are not established.

Reports

The Contractor shall submit a statement with the final invoice to report all MB and WB
participation on the project. In the event the Contractor had no MB and WB participation
on the project, he is still required to submit a statement with the final invoice reporting no
participation.     Where participation is from MB and WB Material Suppliers or
Manufacturers, the statement shall indicate the appropriate percentage (60% for regular
dealers, and 100% for manufacturers) of expenditures to be reported.

THE CONTRACTOR’S STATEMENT OF MB AND WB PARTICIPATION MUST
BE DELIVERED TO THE DEPARTMENT IN ORDER FOR THE FINAL INVOICE
TO BE PROCESSED FOR PAYMENT.

           Stockpiling of Material and Equipment Storage
It will be solely the Contractor’s responsibility to store and maintain all material and
equipment off of NCDOT right of way.

                                    Miscellaneous
All work items necessary to complete the work other than listed on the “Bid Form” will
be considered incidental in nature and no further compensation will be made. Any work
performed in an unsatisfactory manner could be basis for cancellation of the contract.

Any damage caused by the Contractor to adjacent shoulders, medians, paved areas, or
other facilities shall be repaired or replaced by the Contractor to the satisfaction of the
Engineer at no cost to the Department.

All work performed by the Contractor shall be in compliance with the Standard
Specifications and workmanship/appearance done to the satisfaction of the Engineer.

                       Retainage and Prompt Payment
Retainage:

The Department will not deduct and hold any retainage from the Prime Contractor on this
project.

Prompt Payment of Monies Due Subcontractors, Second Tier Subcontractors and
Material Suppliers and Release of Retainage

Contractors at all levels; prime, subcontractor, or second tier contractor, shall within
seven calendar days of receipt of monies, resulting from work performed on the project
or services rendered, pay subcontractors, second tier subcontractors, or material
suppliers, as appropriate. This seven-day period begins upon knowledgeable receipt by
the contracting firm obligated to make a subsequent periodic or final payment. These
prompt payment requirements will be met if each firm mails the payment to the next level
firm by evidence of postmark within the seven-day period.

This provision for prompt payment shall be incorporated into each subcontract or second
tier subcontract issued for work performed on the project or for services provided.

The Contractor may withhold up to 3% retainage if any subcontractor does not obtain a
payment and performance bond for their portion of the work. If any retainage is held on
subcontractors, all retainage shall be released within seven calendar days of satisfactory
completion of all work. For the purpose of release of retainage, satisfactory completion
is defined as completion of all physical elements and corresponding documentation as
defined in the contract, as well as agreement between the parties as to the final quantities
for all work performed in the subcontract. The Department will provide internal controls
to expedite the determination and processing of the final quantities for the satisfactorily
completed subcontract portions of the project.

Failure of any entity to make prompt payment as defined herein may result in (1)
withholding of money due to that entity in the next partial payment until such assurances

are made satisfactory to this provision; or (2) removal of an approved contractor from the
prequalified bidders list or the removal of other entities from the approved subcontractors
list.

                  Traffic Control and Work Zone Safety
The Contractor shall maintain traffic during construction and provide, install, and
maintain all traffic control devices in accordance with these project guidelines, the
Project Special Provisions, North Carolina Department of Transportation Standard
Specifications for Roads and Structures, July 2006, and the current edition of the Manual
of Uniform Traffic Control Devices (MUTCD).

The Contractor shall utilize complete and proper traffic controls and traffic control
devices during all operations. All traffic control and traffic control devices required for
any operation shall be functional and in place prior to the commencement of that
operation. Signs for temporary operations shall be removed during periods of inactivity.
The Contractor is required to leave the project in a manner that will be safe to the
traveling public and which will not impede motorists.

Traffic movements through lane closures on roads with two way traffic shall be
controlled by flaggers stationed at each end of the work zone. In situations where sight
distance is limited, the Contractor shall provide additional means of controlling traffic,
including, but not limited to, two-way radios, pilot vehicles, or additional flaggers.
Flaggers shall be competent personnel, adequately trained in flagging procedures, and
furnished with proper safety devices and equipment including, but not limited to, safety
vests and stop/slow paddles.

Failure to comply with any of the requirements for safety and traffic control of this
contract shall result in suspension of work as provided in subarticle 108-7(B) of the
Standard Specifications.

The Contractor shall comply with all applicable Federal, State, and local laws,
ordinances, and regulations governing safety, health, and sanitation, and shall provide all
safeguards, safety devices, and protective equipment, and shall take any other needed
actions, on his own responsibility that are reasonably necessary to protect the life and
health of employees on the job and the safety of the public, and to protect property in
connection with the performance of the work covered by the contract.

No direct payment will be made for the signing and traffic control items. This work
will be considered incidental to the various other bid items in the Contract.




                               Work Zone Signing

1- DESCRIPTION.

Install and maintain signing in accordance with Division 11 of the North Carolina
Department of Transportation July 2006 Standard Specifications for Roads and
Structures, the North Carolina Department of Transportation July 2006 Highway Design
Branch Roadway Standard Drawings and the following provisions:

Furnish, install, maintain, and remove advance warning work zone signs and any required
lane closure signing.

All work zone signs may be portable.

2- CONSTRUCTION METHODS.

(A) General:

Install all warning work zone signs no sooner than 3 days before beginning work. Install
each work zone warning sign separately and not on the same post(s) with any other sign
except where an advisory speed plate or directional arrow is used. If signs are installed
prior to three days before beginning work, cover the signs until work begins.

(B) Advance warning work zone signs:

Install advance warning work zone signs (see attached Detail(s) and North Carolina
Department of Transportation July 2006 Highway Design Branch Roadway Standard
Drawings Nos. 1101.02 and 1110.01) prior to beginning of work and remove upon final
completion of the project. If there is a period of construction inactivity longer than two
weeks, remove or cover advance warning work zone signs. Uncover advance warning
work zone signs no sooner than 3 days before work resumes. All other operations could
be suspended upon failure to comply with the above requirements. Such suspended
operations would not be resumed until the above requirements are fulfilled.

(C) Lane closure work zone signs:

Install any required lane closure signing needed during the life of the project (see North
Carolina Department of Transportation July 2006 Highway Design Branch Roadway
Standard Drawings Nos. 1101.02, 1101.11 and 1110.02).

3- BASIS OF PAYMENT.

No direct payment will be made for Work Zone Signing as such work will be
considered incidental to the various other bid items in the Contract.


                             Seeding And Mulching
        All disturbed areas shall be dressed in typical sections and plowed to a depth of
five (5) inches. The top two (2) inches shall be pulverized to provide a uniform seedbed.
Note: Lime should be applied before plowing operation.

       Lime, seed and fertilizer shall be applied with necessary equipment to give
uniform distribution of these materials. The hand/bucket method is not acceptable.

        All areas to be seeded and mulched shall be approved by the Engineer prior to
preparing the seedbed. Work shall be in accordance with Section 1660 of the Standard
Specifications. The following rates per acre shall apply, all rates are in pounds per acre
(kilograms per hectare):

On cut and fill slopes 2:1 or steeper add 30# (35kg) Sericea Lespedeza January 1 –
December 31.
Fertilizer shall be 10-20-20 analysis. Upon written approval of the Engineer, a different

analysis of fertilizer may be used provided the 1-2-2 ratio is maintained and the rate of
application adjusted to provide the same amount of plant food as a 10-20-20 analysis.

Basis of payment will be as follows:

Crimping Straw Mulch:

Crimping shall be required on this project adjacent to any section of roadway where
traffic is to be maintained or allowed during construction. In areas within six feet of the
edge of pavement, straw is to be applied and then crimped. After the crimping operation
is complete, an additional application of straw shall be applied and immediately tacked
with a sufficient amount of undiluted emulsified asphalt.

Straw mulch shall be of sufficient length and quality to withstand the crimping operation.

Crimping equipment including power source shall be subject to the approval of the
Engineer providing that maximum spacing of crimper blades shall not exceed 8 inches.

                       Seeding and Mulching (Hydro)
Use Seeding and Mulching (Hydro) as directed by the engineer. When using Hydro-
Seeding and Mulching, Hydro-mulch, and Hydro-tack shall be used.

Basis of payment will be as follows:

                           Coir Fiber Mat w/ Stakes
Description:

Furnish material, install and maintain coir fiber mat in locations shown on the plans or in
locations as directed by the engineer. Work includes providing all materials, excavating
and backfilling, and placing and securing Coir Fiber Matting.

Materials:

(A) Matting:

Provide matting to meet the following requirements:

       100 % coconut fiber (coir) twine woven into a high strength matrix.
       Thickness - 0.30 in. minimum. (7.6 mm)
       Tensile Strength -    1348 x 626 lb/ft minimum (1650.5 x 766.5 kg/m)
       Elongation - 34% x 38% maximum
       Flexibility (mg-cm)- 65030 x 29590

(B) Stakes:

Provide wooden stakes 12” in length with a notch cut 1” from top.

Construction Methods:

Place the matting immediately upon final grading. Provide a smooth soil surface free
from stones, clods, or debris which will prevent the contact of the matting with the soil.
Take care to preserve the required line, grade, and cross section of the area covered.

Unroll the matting and apply without stretching such that it will lie smoothly but loosely
on the soil surface. Bury the top slope end of each piece of matting in a narrow trench at
least 6” deep and tamp firmly. Where one roll of matting ends and a second roll begins,
overlap the end of the upper roll over the buried end of the second roll so there is a 6”
overlap. Construct check trenches at least 12” deep every 50 ft. longitudinally along the
edges of the matting or as directed by the Engineer. Fold over and bury matting to the
full depth of the trench, close and tamp firmly. Overlap matting at least 6” where 2 or
more widths of matting are installed side by side.

Place stakes across the matting at ends, junctions, and check trenches approximately 1 ft.
apart with notch facing upslope.

Place stakes along the outer edges and down the center of each strip of matting 3 feet
apart. Place stakes along all lapped edges 1 ft. apart. Refer to details in the plan sheets.

The Engineer may require adjustments in the trenching or staking requirements to fit
individual site conditions.

Method of Measurement:

The quantity of coir fiber matting measured will be paid for according to the actual
number of square yards measured along the surface of the ground over which coir fiber
matting is installed and accepted.

Basis of Payment:
The quantity of Coir Fiber Matting, measured as provided above, will be paid for at the
contract unit price per square yards for “Coir Fiber Matting.”

                       Special Sediment Control Fence
Description:

The work covered by this section consists of the construction of special sediment control
fence. Build special sediment control fence according to NCDOT Std. Drawing 1606.01.
Place special sediment control fence as directed by the Engineer.

Materials:

(A) Posts:

Either wood or steel posts may be used. Wood posts shall be a minimum of 6 feet long, at
least 3 inches in diameter, and straight enough to provide a fence without noticeable
misalignment. Steel posts shall be at least 5 feet in length, approximately 1 3/8 inches
wide measured parallel to the fence, and have a minimum weight of 1.25 lb/ft of length.
The post shall be equipped with an anchor plate having a minimum area of 14.0 square
inches, and shall have a means of retaining wire in the desired position without
displacement.

(B) 1/4 inch Hardware Cloth:

Hardware cloth shall have 1/4 inch openings constructed from #24 gauge wire. Install
hardware cloth according to NCDOT Std. Drawing 1606.01.

(C) Sediment Control Stone:

Sediment control stone shall meet the requirements of Section 1005. Install stone
according to the detail shown on the plans.

Method of Measurement:

The quantity of 1/4 inch hardware cloth to be paid for will be the actual number of linear
feet measured along the ground, which has been completed and accepted. The quantity of
sediment control stone will be measured according to Article 1610-4.

                          INSTRUCTIONS TO BIDDERS
                        PLEASE READ ALL INSTRUCTIONS CAREFULLY
                       BEFORE PREPARING AND SUBMITTING YOUR BID.

All bids shall be prepared and submitted in accordance with the following requirements. Failure to
comply with any requirement shall cause the bid to be considered irregular and shall be grounds for
rejection of the bid.

13. The bid sheet furnished by NCDOT with the proposal shall be used and shall not be altered in any
    manner. DO NOT SEPARATE THE BID SHEET FROM THE PROPOSAL!
13. All entries on the bid sheet, including signatures, shall be written in ink.
13. The Bidder shall submit a unit price for every item on the bid form. The unit prices for the various
    contract items shall be written in figures.
13. An amount bid shall be entered on the bid sheet for every item. The amount bid for each item shall be
    determined by multiplying each unit bid by the quantity for that item, and shall be written in figures in
    the “Amount Bid” column of the sheet.
13. The total amount bid shall be written in figures in the proper place on the bid sheet. The total amount
    shall be determined by adding the amounts bid for each item.
13. Changes in any entry shall be made by marking through the entry in ink and making the correct entry
    adjacent thereto in ink. A representative of the Bidder shall initial the change in ink.
13. The bid shall be properly executed. All bids shall show the following information:
    13. Name of individual, firm, corporation, partnership, or joint venture submitting bid.
    13. Name of individual or representative submitting bid and position or title.
    13. Name, signature, and position or title of witness.

    13. Contractor’s License Number
13. Bids submitted by corporations shall bear the seal of the corporation.
13. The bid shall not contain any unauthorized additions, deletions, or conditional bids.
13. The bidder shall not add any provision reserving the right to accept or reject an award, or to enter into
    a contract pursuant to an award.
13. THE PROPOSAL WITH THE BID SHEET STILL ATTACHED SHALL BE PLACED IN A
    SEALED ENVELOPE AND SHALL HAVE BEEN DELIVERED TO AND RECEIVED IN
    DIVISION4 – DISTRICT 2 OFFICE. IN NASHVILLE, NC BY 2:00 PM ON AUG 27, 2007.
