CONTRACT TERMS AND CONDITIONS
[NAME OF VESSEL CHARTER COMPANY] AND/OR ITS AGENTS AND SUBCONTRACTORS (hereinafter
‘OPERATOR’) acknowledges receipt from ________________________________________________
(hereinafter ‘CHARTERER’) the amount set forth on the face of this Vessel Charter Agreement as a deposit for
the charter described thereon. The parties hereto agree as follows:
1. CHARTER OF VESSEL
OPERATOR agrees to let, and CHARTERER agrees to hire, the Vessel named on page 1 of this Agreement or,
if such vessel is not available due to unforeseen circumstances, a substantially similar vessel (the ‘Vessel’) on
the date(s) and for the duration of the Charter Period and at the rates set out on page 1 of this Agreement.
OPERATOR will deliver the Vessel to the Embarkation Point in full commission, carrying all equipment required
by law, clean and in good condition.
2. BOOKING DEPOSIT
OPERATOR requires a booking deposit of ______% of the total charter cost to secure the Vessel for the Charter
Period, which must be paid upon signing of this Agreement to confirm the Charter reservation. The booking
deposit must be paid by no later than _________ (___) working days prior to the start of the Charter Period. If
CHARTERER fails to pay the booking deposit by that date, OPERATOR shall make the date and the Vessel
available to other clients.
3. SECURITY DEPOSIT
OPERATOR requires a security deposit of $______________________, which will be applied to any amounts
due to OPERATOR from CHARTERER hereunder, including without limitation refuelling costs, additional charges
for food, liquor and other consumables, and the cost of repairs or replacement for any items lost or damaged by
CHARTERER or any member of its party during the Charter. The Security Deposit (or any unused portion
thereof) will be refunded to CHARTERER within fourteen (14) days after completion of the Charter.
4. PAYMENT OF BALANCE
The balance of the Charter Fees must be paid in full no later than ________ days prior to the start of the Charter
Period. Failure to pay the balance by that date will result in the termination of this Agreement and the cancellation
of the Charter.
5. DURATION OF THE CHARTER
5.1 The duration of the Charter includes the time taken for all passengers aboard to embark and disembark.
5.2 OPERATOR is not responsible for any delays caused by the late arrival of passengers, or delays at the
Embarkation Point caused by crowds or the arrival of other vessels, or for any other reason beyond its
control. OPERATOR is similarly not responsible for any delays that may occur at the Disembarkation
5.3 OPERATOR reserves the right to pull into the Disembarkation Point up to _________ minutes prior to
the scheduled time of disembarkation to allow for on-time disembarkation by CHARTERER.
5.4 If disembarkation time runs longer than _______ minutes past the scheduled end of the Charter Period,
CHARTERER will be charged for each ____-minute period thereafter at the Vessel list rate. If the
Vessel Master is required to vacate the Disembarkation Point in order to allow other vessels to
disembark, this time will also be charged to CHARTERER.
6. EXTENSION OF CHARTER PERIOD
If, during the Charter, the CHARTERER requests an extension of the Charter Period, any such extension of the
Charter Period will be at the sole discretion of the Master and the licensee who holds the liquor licence for the
Vessel. Any decision to extend the Charter Period shall be made at least ___________ minutes prior to the
completion of the Charter Period. All extra charges accumulated during any such extension for charter fees, food,
liquor, other consumables and all other charges associated with the extension must be paid for by cash or credit
card prior to OPERATOR departing the Vessel.
7. LIMIT OF LIABILITY
It is a condition of the Charter that the liability of OPERATOR, its servants, agents and subcontractors is agreed
to be limited in accordance with Part VIII of the Navigation Amendments Act.
8.1 If CHARTERER cancels the Charter more than _______ days prior to the start of the Charter Period, all
amounts paid by CHARTERER deposits will be refunded.
8.2 If CHARTERER cancels the Charter between ____ and _____ days prior to the start of the Charter
Period, CHARTERER will receive a refund of _______% of all amounts paid.
8.3 If CHARTERER cancels the Charter less than _______ days prior to the start of the Charter Period,
CHARTERER will forfeit all amounts paid hereunder.
9. FORCE MAJEURE
In the event of a force majeure event, including without limitation, industrial action, unsuitable weather conditions,
technical problems or other events beyond a party’s reasonable control, resulting in the cancellation of the
