Conditional agreement to form partnership. The parties contemplate a permanent business association together as partners. This memorandum of agreement is made for a period of _________ months from its date for the purpose of permitting the parties to determine whether or not a permanent association between them shall prove satisfactory. A agrees to loan to B, upon the signing of this agreement, _________ dollars, which B shall use in the general conduct of the business as outlined above. A shall associate himself [herself] with the business, commencing upon the signing of this agreement and the payment of _________ dollars, devoting his [her] full time and efforts, jointly with B, in promoting and building up and increasing and developing the business. B agrees to pay to A, in lieu of his [her] services as general salesperson and assistant in a commission of _________ percent upon all sales made by him [her] and upon repeat orders from A's customers, which commissions shall be credited to A's personal account once a month, and A shall be permitted to draw against the commissions _________ dollars monthly for a period of _________ months. At the end of _________ months, unless the parties shall mutually agree to a sooner termination or a longer extension of the period, the parties may enter into a joint partnership in the ownership and conduct of the business, with such proportionate ownership to each as that, at the time, they mutually agree. In the event the parties fail to reach a satisfactory agreement after the period of this contract and A should withdraw from the business, he [she] shall be entitled to receive all commissions then due together with a repayment of _________ dollars, plus interest at the rate of _________ percent. In the event the aggregate commissions earned by A during the period of this contract shall not equal the aggregate of _________ dollars per month for the period, B guarantees that _________ dollars per month shall be paid in lieu of services rendered, with no obligation on the part of A for any overdrawings in excess of any commissions earned. In the event the partners agree at the termination of this agreement to enter into partnership as the owner of the business, they shall do so in writing under an agreement of copartnership, which agreement shall set forth the ownership of each of the partners and the conditions under which the partnership is entered into.
